RENEWAL AMENDMENT No 2
This Amendment hereby amends the Self-Insured Claims Administration Agreement (“Agreement”) dated July 1, 2016 by and between Keenan & Associates and City of Commerce (hereinafter referred to collectively as the “Parties”) as follows:
WHEREAS, the current term of the Agreement shall expire on June 30, 2022; and WHEREAS, the Parties desire to continue their relationship subject to the terms and conditions outlined in the Agreement;
NOW, THEREFORE, the Parties agree as follows:
1. The parties agree to exercise the Optional Renewal Term 1 to renew the Agreement for an additional one-year term beginning on July 1, 2022 and ending on June 30, 2023 (“Renewal Term”) at the rate of $39,392 payable in full on July 1, 2022. Furthermore, the Agreement may be extended for up to one (1) additional year at the rate of $40,547 for Optional Renewal Term 2 payable in full on July 1, 2023.
2. The PRIME Fee Schedule, effective July 1, 2022 and attached hereto as Exhibit C, hereby replaces the previous Prime Fee Schedule as of the effective date of this agreement.
3. Section 12.C is hereby amended to read as follows:
• Upon termination of this Agreement Keenan shall return open and closed claim files, loss reports, payroll information and other documents and materials relating to the services provided under this Agreement to Client within a reasonable time after termination. Keenan will not be financially responsible for any costs, fees, charges, or amounts to transfer the electronic and/or physical files either from a storage facility or from the Keenan’s office to the new third party administrator or back to the Client.
4. Exhibit B will be amended as follows:
• The following language is hereby inserted as Item 2:
Should open indemnity claims increase by five percent (5%) or more, anytime during the term of the agreement, then Keenan and the Client agree to negotiate in good faith, an additional increase of fee. If the parties cannot mutually agree on a fee increase within [the] thirty (30) days following notice of Keenan’s proposed fee change, this Agreement will terminate sixty (60) days after such thirty (30) days; and
• Former Item 2 is now Item 3.
5. All the remaining terms and conditions of the Agreement shall remain unchanged and in full force and effect, and shall govern the conduct of the Parties during the Renewal Term.

7. Each person signing this Amendment to the Agreement on behalf of a Party represents and warrants that he or she has the necessary authority to bind such Party and that this Amendment is binding on and enforceable against such Party.
