SECOND AMENDMENT TO AGREEMENT BETWEEN THE CITY OF COMMERCE AND GSI ENVIRONMENTAL INCORPORATED FOR ENGINEERING SUPPORT SERVICES FOR CONSTRUCTION OF WELL 7-02 The Second Amendment GSI Environmental Incorporated’s Engineering Support Services Agreement (hereinafter “Second Amendment”) is made and entered into as of the 28th day of June, 2022 (“Effective Date”) by and between the City of Commerce, a public body of the State of California (“City”) and GSI Environmental, Inc., a California corporation in good standing (“Contractor”)
WITNESSETH
This Second Amendment is made with reference to the following facts:
As of the 1st day of June, 2018, the parties hereto entered into a certain “On-call Services Agreement for Environmental Site Assessment and Remediation Services (hereinafter “Master Agreement”) for three (3) years ending June 1, 2021.
As of the 16th day of February, 2021, the parties hereto entered into a First Amendment to the Master Agreement to extend the term by three (3) years to expire on June 1, 2024.
The parties hereto mutually desire to enter into a Second Amendment to the Master Agreement in the manner hereinafter set forth.
NOW, THEREFORE, in consideration of the mutual promises, conditions and covenants herein contained, the parties hereto agree as follows:
Term:
Pursuant to provisions in Section 1 (“Services”) of the Master Agreement:
The parties hereto agree to the services as described in Exhibit A – Proposal dated April 25, 2022. 2 (“Compensation”) of the Agreement:
The parties hereto agree to compensation as outlined in Exhibit A – Proposal dated April 25, 2022 in the amount of $209,426.
All other terms, conditions, and provisions of the Master Agreement and subsequent addenda, shall remain in full force and effect.
IN WITNESS WHEREOF, City and Contractor have caused this Second Amendment to be executed by their duly authorized representatives as of the day and year first above written.
