FIRST AMENDMENT TO TREE MAINTENANCE SERVICES AGREEMENT BETWEEN THE CITY OF COMMERCE AND WEST COAST ARBORISTS, INC.
The First Amendment to the Tree Maintenance Services Agreement (hereinafter “First Amendment”) is made and entered into as of the __ day of July, 2022 (“Effective Date”) by and between the City of Commerce, a public body of the State of California (“City”) and West Coast Arborists, Inc., a California corporation in good standing (“Contractor”)
WITNESSETH
This First Amendment is made with reference to the following facts:
As of the 1st day of October 2019, the parties hereto entered into a certain “Tree Maintenance Services Agreement” (hereinafter “Master Agreement”) for three years with a provision that allows for two (2) two-year term extensions.
The parties hereto mutually desire to enter into a First Amendment to the Master Agreement in the manner hereinafter set forth.
The parties hereto mutually agree to a rate adjustment in the amount of 7.4% effective October 1, 2022.
NOW, THEREFORE, in consideration of the mutual promises, conditions and covenants herein contained, the parties hereto agree as follows:
Scope of Services:
Pursuant to provisions in Section 1 (“Company’s Scope of Services”) of the Master Agreement:
The parties hereto agree to the City of Commerce’s Tree Policy as adopted by the City Council.
The parties hereto agree to include trees added as part of a future public or street improvement to be included in the Master Agreement at no-cost.
The scope of services are adjusted to reflect a 7.4% CPI increase effective October 1, 2022.
Term:
Pursuant to provisions in Section 2 (“Term”) of the Master Agreement:
The parties hereto agree to extend the term an additional one year expiring on October 1, 2023.
All other terms, conditions, and provisions of the Master Agreement and subsequent addenda, shall remain in full force and effect.
IN WITNESS WHEREOF, City and Contractor have caused this First Amendment to be executed by their duly authorized representatives as of the day and year first above written.
