The Project Funding includes the total programmed funds for the Project, induding the Funds programmed by LACMTA and, if any, the GRANTEE Funding Commitment of other sources of funding. The Project Funding also includes the fiscal years in which all the funds for the Project are programmed. The Funds are subject to adjustment by subsequent LACMTA Board Action.

5. Attachment B is the Expenditure Plan- Cost & Cash Flow Budget (the "Expenditure Plan"). It is the entire proposed cash flow, the Budget and fmancial plan for the Project, which includes the total sources of all funds programmed to the Project, including GRANTEE and other entity funding commitments, if any, for this Project as well as the fiscal year and quarters the Project funds are anticipated to be expended. If LACMTA agrees to such changes, the PARTIES shall memorialize such changes in an amendment to this FA. Work shall be delivered in accordance with the schedule and scope identified in this FA unless otherwise agreed to by the PARTIES in writing in an amendment to this FA. If GRANTEE fails to meet milestones or fails to deliver the Project, LACMTA will have the option to suspend or terminate the FA for default as described in Part IL Sections 2, 9, 10 and 11 herein below. To the extent interim milestone dates are not met but GRANTEE believes and can show documentation acceptable to LACMTA supporting GRANTEE's ability to make up the time so as to not impact the final milestone date, GRANTEE shall notify LACMTA of such changes in its Quarterly Progress Reports and such interim milestone dates will automatically be amended to the latest interim milestone dates provided in the Quarterly Progress Reports Attachment D-1. In no event can the final milestone date be amended by a Quarterly Progress Report.

8. Attachment D is the "Project Reporting & Expenditure Guidelines". GRANTEE shall complete the "Quarterly Progress Report" and/or the "Quarterly Expenditure Report". The Quarterly Progress and Quarterly Expenditure Reports are attached to this FA as Attachments D-1 and D-2 in accordance with Attachment D — Project Reporting and Expenditure Guidelines.

GRANTEE shall review the Project in ProgramMetro each year and update or correct the Project information as necessary during a scheduled FTIP amendment or adoption.

GRANTEE will be notified of amendments and adoptions to the FTIP via e-mail.

Changes to the FTIP through ProgramMetro should be made as soon as possible after GRANTEE is aware of any changes to the Project, but no later than October 1 of the year the change or update is effective. Should GRANTEE fail to meet this date, it may affect GRANTEE's ability to access funding, delay the Project and may ultimately result in the Funds being lapsed.

10. LACMTA anticipates it may need to avail itself of lower cost bonds or other debt, the interest on which is tax exempt for federal tax purposes (collectively, the "Bonds") to provide at least a portion of its funding commitments under this Agreement to GRANTEE. GRANTEE shall ensure that the expenditure of the Funds disbursed to GRANTEE does not jeopardize the tax-exemption of the interest, as specified in the Bond Requirements attached as Attachment F to this Agreement. Modifications that do not materially affect the terms of this FA, such as redistributing Funds among existing budget line items or non-material schedule changes must be formally requested by GRANTEE and approved by LACMTA in writing. SCOPE OF WORK

CAPITAL PROJECT
PROJECT NAME: Randolph Corridor Active Transportation Project PROJECT LOCATION/LIMITS/AREA:

The project is located in the following jurisdictions: Unincorporated Florence-Firestone (LA .

County) and the Cities of Commerce, Bell, Huntington Park (HP) and Maywood. The project limits are from the intersection of Randolph Street & Slauson Avenue in unincorporated Los Angeles, east to Slauson/ East Gage Avenue, for a total of 7.03 miles.

PROJECT DESCRIPTION INCLUDING METRO ACTIVE TRANSPORT PROGRAM AND PROJECT NEXUS:

The project implements active transportation improvements within the Randolph Corridor, which was prioritized as the top-ranking regional corridor eligible for Metro Active Transport Cycle 1 funding. The project provides improved connectivity to the LA River and the extensive and growing transit network (including the Slauson A-Lind Station), and will • improve regional access for people biking, walking, or rolling. This project will fill gaps between existing and planned high-quality bicycling and walking facilities including the Rail to River Segment B Active Transportation Corridor project, and the LA River path.

In addition to environmental clearance of the project, the planning phase will include administrative coordination between the jurisdictions on the potential project elements listed below in Exhibit 1 that are technically and politically feasible. This will include the following steps:

1. Prioritization of project elements by each jurisdiction

2. Comparison of project elements to the priorities developed by the Rail-to-River Segment B project; and

3. Potential adjustments based on both the nexus of the projects as well as for continuity from jurisdiction to jurisdiction.

4. Prior to final design, the jurisdictions will package a set of improvements, based on an estimate of quantities that align with the funding availability for each jurisdiction.

Also, based on the above coordination completed, Los Angeles County has indicated that since they have such a small segment of the total corridor, that they will incorporate elements that are consistent and continuous with the proposed improvements adjacent to the other jurisdiction(s).

SPECIAL GRANT CONDITIONS

CLOSEOUT REPORTING POLICY FORM
Grantees are required to establish project goals and to identify basic performance indicators to be collected in order to measure the effectiveness of the projects. Grantees will be asked to collect and submit data and a Closeout Report to LACMTA upon completion of the project. Evaluations will need to be completed before and after projects are constructed. The costs for project evaluation shall be included in the project budget. At minimum, projects will be evaluated for their effectiveness in improving pedestrian and bicyclist safety and enhancing connectivity and mobility. Additionally, projects will be evaluated against the specific goals and objectives established in this program, including those related to innovative partnership and project delivery. Examples of the methods of evaluation are detailed below.
• Safety: Projects will aim to reduce the occurrence and severity of vehicle-pedestrian and vehicle-bicyclist crashes. Progress towards this goal can be measured by evaluating collisions and the details surrounding them, including where they occurred, when they occurred, who was involved, and what precipitating actions took place. Progress towards this goal also can be evaluated qualitatively through user interface surveys (e.g., assessing perceived safety of walking and bicycling).

Resources: Transportation Injury Mapping System and Statewide integrated Traffic Records System (SWITRS).
• Connectivity/Mobility: Projects will aim to increase the number and percent of people walking or bicycling, and/or accessing transit on foot or bike. Progress towards this goal can be measured by counting the number of pedestrians and bicyclists using the constructed facilities. Bicycle and pedestrian counts should be taken on a mid-weekday and weekend, excluding winter months. The "after" counts should not be taken until six (6) months after the completion of the project. Bicycle and pedestrian count data should be uploaded to the SCAG/Metro Bike Count Data Clearinghouse. Progress towards this goal also can be measured by counting the number of households within a quarter-mile of a low-stress bicycle facility, the number of jobs within a quarter-mile of a low-stress bicycle facility, and the number of destinations (e.g., schools, medical centers, parks, etc.) within a quarter-mile of a low-stress bicycle facility. Progress towards this goal also can be evaluated qualitatively through user interface surveys.
• Project Partnerships and Delivery Approaches: Cycle 1. places a strong emphasis on innovative/experimental project partnerships and delivery. This priority can be evaluated through the assessment of project delivery timelines, as well as compiling and analyzing qualitative input from project sponsors and participants.

The project is located in the following jurisdictions: Unincorporated FlorenceFirestone (LA County) and the Cities of Commerce, Bell, and Huntington Park (HP).

The project limits are from the intersection of Randolph Street & Slauson Avenue in unincorporated Los Angeles, east to the East Gage/Slauson Avenue, for a total of 7.03 miles. This Project is consistent with the Metro prioritized Corridor #1 as identified from Project limit to Project limit. The project provides a health benefit via the bicycle lane/trail for 7.03 miles, connecting to the LA River and other destinations. Regional access improvements will connect people to the 'extensive and growing transit network (including the Slauson A-Line Station), and improving regional access for pe6ple biking, walking, or rolling. The project loses gaps between existing highquality bicycling and walking facilities, as well as new corridors that take advantage of available waterways, utility corridors, and right-of-way that can be developed into high-quality walking and biking facilities.

By signing this form, the agency commits itself to the following:
• Establishing project goals and to identify basic performance indicators to measure the effectiveness of the project, and
• Collecting data and submitting a completed Closeout Report to LACMTA upon completion of the project.
