Stantec Consulting Service Inc. (Stantec) understands
that the City is requesting proposals from On-call
consultants for professional services to evaluate the
impacts, mitigations, and costs related to the proposed 9ZGJ\F^7J&QNLSRJSY5WTOJHY9MJXJQJHYJIܪWR\NQQ
evaluate impacts to existing conditions, propose
strategies to mitigate impacts, and provide a conceptual cost estimate for the proposed realignment of Tubeway
Avenue between Smithway Street and Telegraph Road.
Our understanding is that this project is not a Federally or State funded project and the City is utilizing local funding sources.
Within the City of Commerce, Tubeway Avenue runs
north/south and is considered a Local Road per the City’s Circulation Plan with a posted speed limit of 35 MPH.
Tubeway Avenue is approximately 57-feet wide with one
lane in each direction and no marked center line.
Tubeway Avenue travels through a mixture of Commercial
Manufacturing, Unlimited Commercial, and Heavy
Industrial land use. Parking along the westside of
Tubeway Avenue, between Telegraph Road and Smithway
Street is not allowed due to the marked red curb. Parking along the eastside of Tubeway Avenue, between
Telegraph Road and Smithway Street is allowed along a
small portion of curbed areas that are not marked by red curb. Parking along the east and west side of Tubeway
Avenue, north of Smithway is allowed in areas that are
not marked by red and is restricted by signage prohibiting overnight parking from 2 AM – 6AM. The intersection of
Tubeway Avenue and Telegraph Road is controlled by a
YWFKܪHXNLSFQ
Our approach to this project will be to work in partnership with City staff to develop a thorough understanding of the City’s needs and objectives concerning this study. We
will meet and coordinate with City staff to develop a
consensus on the scope of the study prior to beginning
work. Consulting services for the project are anticipated to include, but not be limited to: project management
including preparation of meeting agenda and recording
FSIINXYWNGZYNTSTKRJJYNSLRNSZYJX YWFKܪH[TQZRJIFYF collection; data analysis; environmental documentation; roadway geometrics/alignment studies and exhibits;
ZYNQNY^NRUFHYJ]MNGNYX WJHTRRJSIFYNTSXFSIܪSINSLX
and report preparation.
Key Project Issues
Understanding and managing the key issues associated
with the project will be critical to the success of this assignment. We have reviewed the project site and the
materials provided by the City to familiarize ourselves with the existing improvements and project study issues.
To better understand the right-of-way, private property, and existing infrastructure impacts associated with the re-alignment, we prepared two (2) alternatives (Figures 1 and 2) for Potential No/Minimal Impact and Potential
Re-Alignment options. Based on this preliminary analysis FSIYMJNSKTWRFYNTSUWT[NIJI\JMF[JNIJSYNܪJIYMJ
following issues that will require close coordination and special attention for this project.
• Project Study Scoping – A thorough understanding
of the City’s needs and objectives concerning this
study will be key project issue. We will meet and
coordinate with City staff to develop a consensus on
the scope of the study prior to beginning work.
Section 1: Approach and Scope of Work
City of Commerce | Professional Consulting Services for the Proposed Tubeway Re-Alignment Project | 2 • Alignment Studies – We will prepare concept
plans for (3) alignment options, with one of them
being a no/minimal impact option. Figure 1 depicts
one concept alignment option, which requires
reversing curves separated by a short tangent. The
property most impacted by the re-alignment of the
road appears to be TW Metals, so the focus of the
alignments options will likely be to determine how
best to minimize the impacts to this property. The
option shown in Figure 1 requires the re-alignment
of TW Metal’s truck driveway and queuing lanes,
which will result in the loss of parking. One option to mitigate this loss of parking would be to dedicate a
portion of the City owned parcel to the south of TW
Metals, to be used as a parking lot. Another option
may be to assume that the Offstage Storage building
will be redeveloped and push the alignment of the
road further away from the TW Metals building
which may preserve most of the parking. Figure 2
depicts another concept for the no/minimal impact
option. The re-aligned road will be located just south
of the TW Metals property and to the west of the
three properties owned by Tubeway Properties Inc.
The key to this option will be to evaluate the impact
to TW Metal’s truck driveway and queuing lanes
which will need to be shifted to the north as shown
on the exhibit.
• Utility Exhibits ў'FXJITSTZWܪJQI[NXNYFSI
research it appears that there are several utilities
including storm drain lines within the existing
Tubeway Avenue which may be impacted as a result
of roadway re-alignment. Impacts to these existing
utilities will likely depend on whether or not, the three properties to the west of the Commerce Casino
will be redeveloped as part of the re-alignment. If
they will be redeveloped, then the utilities will need
to be relocated from existing Tubeway to the new
Tubeway and new services will need to be provided
for the new development(s). If the existing buildings
and parking lots are to remain, then these utilities
can potentially remain and new utility easement
dedicated depending on the ultimate use of the
existing Tubeway right-of-way.

familiar with agency guidelines and procedures.
• Right-Of-Way and Private Property Impacts –
Access to the existing properties along Tubeway
Avenue will need to be maintained with each
alternative. The anticipated future use of the
properties, whether remaining as the existing
industrial/warehouse uses, or with a redevelopment
to a different type of use, will help inform the

all available information to determine the most
FUUWTUWNFYJFHHJXXHTSܪLZWFYNTSXKTWYMJUWTUJWYNJX
based on the intended use.
• Environmental Documentation – The proposed
project is located in a highly urbanized area
comprised of light industrial and warehouse uses.
In addition, there are no known sensitive receptors
(e.g., residences, schools, churches) or resources
(e.g., biological, built environment, ) within the
area. Moreover, the proposed realignment of
Tubeway Avenue would be undertaken by utilizing
existing parking lots and/or private roadways within
previously disturbed areas. It is presumed that
the construction of the new roadway (under either
FQNLSRJSYTUYNTS\TZQIWJVZNWJTSQ^XZUJWܪHNFQ
grading (18”) and not require deep excavation and/
or over excavation and recompacting of the surface.
These activities typically have little potential to
affect sensitive resources (e.g., archaeological,
paleontological), if present.

(EPIC)
EPIC will conduct a review of existing wet and dry utility facilities in the project area to determine facilities that exist within the project limits, prepare a utility matrix, and provide utility exhibits for each build alternative. EPIC will prepare and issue Facility Map Requests (FMR) to the wet and dry utility owners requesting current information
(‘as-built' plans/facility mapping) for any existing facilities and planned future work within the proposed project
limits. When received, EPIC will plot the ‘as-built’ data on Utility Exhibit(s) sheets for three study alternatives
(including two design alternative options and one no/
minimal impact option). For anticipated utility relocations, EPIC will work with utility owners to assess the project impacts to utility facilities and develop an estimate of relocation costs for three (3) study alternatives. It is assumed that up to nine (9) potential utility owners will be contacted by EPIC.
Deliverables include:
• Facility Map Request Letters (FMR)
• Facility Maps / ‘As-Built’ Plans
• Utility Exhibit(s) for three (3) alternatives
Task 8 – ROW Impact Assessment Study
(EPIC)
EPIC will perform a right of way impact assessment for
three (3) conceptual design alternatives (two design
alternative options and one no/minimal impact option) to support design development. The right of way impact
assessments will determine right of way acquisition
requirements, identify potential acquisition issues, and discuss other relevant considerations to accommodate
the roadway widening and development build outs, and
preservation of existing improvements and scenic
character of the area. EPIC will obtain property ownership and boundary GIS data for the project area and provide
the data to Stantec for inclusion in design base mapping.
Additionally, EPIC will coordinate with the City to obtain records of any existing third-party leases or licenses that may be affected by the proposed project. Once
preliminary designs are complete, EPIC will work with the design team to identify potential acquisition or easement NRUFHYXWJXZQYNSLKWTRYMJIJXNLS+TWNIJSYNܪJIWJFQ

EPIC will review preliminary title reports and right-of-way engineering exhibits (including legal descriptions, plat maps, and map exhibits, if available) and overlay
conceptual designs with real estate data in a Geographic Information System (GIS) to analyze the Right of Way
Requirements, verify ownership, identify title
encumbrances, and prepare a preliminary right of way
cost estimate that can be integrated into the overall
project cost estimate. The approach to preparing a
conceptual right of way cost estimate for each of the
three (3) study alternatives will include:

by the proposed design, or any impacts that result
from proposed construction/laydown areas.
• Cursory review of preliminary title reports (PTRs)
provided by the City.
• Calculating the fee or easement area that will need
to be acquired for each impacted property.
• Identifying existing property improvements that may
require relocation.
• Estimate the total cost of acquisition for all parcels including real estate acquisition costs, relocation
assistance, appraisal fees, title and escrow fees,
ROW engineering costs, condemnation costs, and
other support fees as necessary.
• Where applicable, estimate applicable permit costs.
• Escalate costs to anticipated right of way acquisition date.
Assumptions:
• Prior rights determination will be performed by EPIC. • The City will provide copies of existing agreements
within City right of way within the project limits, if
applicable.
• Right of way estimates will be based on the best
ownership/tenant data publicly available at the
time of the study. Title research to verify ownership
may be performed for an additional fee if additional
vested interests are discovered during review of
City-provided PTRs.
• Right of way cost estimates will be provided in
the form of a Microsoft Excel Workbook and
will be accompanied by a summary statement

Task 9 – Environmental Study and
Documentation
Based upon Stantec’s experience with other similar
projects, we believe that a Categorical Exemption (CE)
(potentially Classes 1 and 3), per the California
Environmental Quality Act (CEQA) is applicable to the
proposed project and that there are no “unusual
circumstances” that would preclude its use. As part of
our scope of work, we will verify these conditions in the ܪJQI

1 EXHIBIT B
GENERAL TERMS AND CONDITIONS
1. Status as Independent Contractor.
A. Consultant is, and shall at all times remain as to City, a wholly independent contractor. Consultant shall have no power to incur any debt, obligation, or liability on behalf of the City of Commerce or otherwise act on behalf of Commerce as an agent.
Neither the City of Commerce nor any of its agents shall have control over the conduct of Consultant or any of Consultant’s employees, except as set forth in this Agreement.
Consultant shall not, at any time, or in any manner, represent that it or any of its agents or employees are in any manner agents or employees of the City of Commerce.
B. Consultant agrees to pay all required taxes on amounts paid to Consultant under this Agreement, and to indemnify and hold City harmless from any and all taxes, assessments, penalties, and interests asserted against City by reason of the independent Consultant relationship created by this Agreement. In the event that City is audited by any Federal or State agency regarding the independent status of Consultant and the audit in any way fails to sustain the validity of a wholly independent Consultant relationship between City and Consultant, then Consultant agrees to reimburse City for all costs, including accounting and attorney's fees, arising out of such audit and any appeals relating thereto.
C. Consultant shall fully comply with the workers' compensation law regarding Consultant and Consultant’s employees. Consultant further agrees to indemnify and hold City harmless from any failure of Consultant to comply with applicable worker's compensation laws. City shall have the right to offset against the amount of any fees due to Consultant under this Agreement any amount due to City from Consultant as a result of Consultant’s failure to promptly pay to City any reimbursement or indemnification arising under this Section 1.
D. Consultant represents to the City, and City relies on Consultant’s representations, that Consultant shall serve solely in the capacity of an independent contractor to the City. Neither the City nor any of its agents will have control over the conduct of Consultant or any of Consultant’s employees, except as otherwise set forth in the Agreement. Consultant may not, at any time or in any manner, represent that it or any of its agents or employees are in any manner agents or employees of the City. The City has no duty, obligation, or responsibility to the Consultant’s agents or employees, including the Affordable Care Act coverage requirements. Consultant is solely responsible for any tax penalties associated with the failure to offer affordable coverage to its agents and employees under the Affordable Care Act with respect to Consultant’s agents and employees. Consultant warrants and represents that the City will not be responsible and will not be held liable for issues related to Consultant’s status as an independent contractor, including Consultant’s failure to comply with Consultant’s duties, obligations, and responsibilities under the Affordable Care Act.
Consultant further agrees to defend, indemnify, and hold the City harmless for any and 2 all taxes, claims, and penalties against the City related to Consultant’s obligations under the Affordable Care Act.
2. Standard of Performance
Consultant shall perform all work with the reasonable skill and diligence required by customarily accepted professional practices and procedures normally provided in the performance of the services at the time when and the location in which the services were performed and in a manner reasonably satisfactory to the City Manager or his/her designee. No additional or different tasks or services shall be performed by Consultant other than those specified in Exhibit A.
3. Indemnification.
To the extent this Agreement is subject to Section 2782.8 of the California Civil Code, Consultant shall indemnify, defend with counsel acceptable to City and hold harmless City and its officials, officers, employees, members, agents and authorized volunteers from and against any and all losses, liabilities, claims, suits, actions, arbitration proceedings, administrative proceedings, regulatory proceedings, damages and expenses of any kind, whether actual or threatened (including but not limited to attorneys’ fees and costs, court costs, interest defense costs, and expert witness fees) where the same arise out of, pertain to, or relate to Consultant’s failure to perform any of its obligations under this Agreement, or the negligence, recklessness, or willful misconduct of Consultant or any individual or entity for which Consultant is legally liable, including but not limited to officers, agents, employees or subcontractors of Consultant. Such indemnification, defense and hold harmless extend to Consultant’s provision, use, transport and storage of hazardous materials, as those commonly are defined under state and federal laws and regulations.
It is understood that the duty of Consultant to indemnify and hold harmless includes the duty to defend as set forth in Section 2778 of the California Civil Code.
Acceptance by City of insurance certificates and endorsements required under this Agreement does not relieve Consultant from liability under this indemnification and hold harmless clause. This indemnification and hold harmless clause shall apply to any damages or claims for damages whether or not such insurance policies shall have been determined to apply. By execution of this Agreement, Consultant acknowledges and agrees to the provisions of this Section and that it is a material element of consideration.
