Caltrans Experience
As mentioned in the RFP, the City has received funding grants through the Caltrans Call for Projects for the Federal Highway Safety Improvement Program HSIP Cycle 11. Kimley-Horn has completed over 50 HSIP projects ranging from signal intersections to multiple intersection corridors. We understand that being familiar with the coordination and approval process is the key to timely completion of these projects.
Roadway and Intersection Improvements
A roadway intersection is a dynamic element in your transportation infrastructure. The efficiency of intersection operation maximizes the efficiency of the entire roadway system. Every intersection has a unique combination of features—roadway layout, signal equipment, and mix and volume of vehicles, pedestrians, and bicycles. As a result, every intersection requires careful study to develop and apply safe, efficient, and flexible design.
Our in-house staff understands all aspects of roadway design, including intersection geometrics, utility relocations, traffic control, signalizations, signing and marking, and erosion control, allowing us to be an efficient and coordinated partner to the City.
Signing and Pavement Markings
As a component to roadway design and traffic engineering, Kimley-Horn has prepared numerous signing and pavement marking plans for various projects, including studies of extensive signing and pavement marking plans for urban and rural roadway projects. Our goal is to successfully maintain the safety of pedestrians and vehicular traffic. In addition, Kimley-Horn has the capabilities to prepare these plans in accordance with the Manual of Uniform Traffic Control Devices (MUTCD) and Caltrans Design Standards.
Bidding and Construction Support
Kimley-Horn routinely serves clients during construction phases of their projects, providing bidding and construction support services to make sure our clients’ projects are successful throughout. We can assist in preparing and distributing bid documents for the City, review contractor bids, and prepare bid tabulation and contractor recommendations. Although our aim is to prepare a plan set that can stand by itself, we will respond to contractor requests for information and clarification in a timely manner. Our experience with construction contract administration has made our traffic and transportation designs more cost effective and practical and gives us the ability to problem-solve in the field during construction.

HSIP Project Experience
Kimley-Horn has experience performing similar signalized intersection work for public agencies throughout Southern California. On the following pages, we have selected key projects to showcase Kimley-Horn’s successful track record working with the City of Commerce and other similar cities.
City of Commerce, Mixmaster Street Widening (Phase 2), Commerce, CA Kimley-Horn is currently supporting the City of Commerce on the Mixmaster Street Widening Project, which includes improvements to the road widening on Atlantic Boulevard, Telegraph Road, and I-5 northbound on-ramp, sidewalk widening, dual left-turn lanes on Telegraph Road and dual right-turn lanes on Atlantic Boulevard at the Atlantic Boulevard/Telegraph Road intersection, curb ramp and driveway modifications, street lighting and on-site lighting relocation, and catch basin relocations. The intersections currently provide access to East Los Angeles and Interstate 5 (I-5) but, due to the lack of guide signs and prominent striping in existing conditions, accentuates the challenges with traffic circulation and traffic safety for drivers navigating the complex intersections.
Kimley-Horn is working with the City to reduce driver confusion and improve traffic operations by installing guide signs at 17 locations and preparing a Traffic Operations Analysis at the Atlantic Boulevard/Telegraph Road intersection to determine signing, striping, and traffic signal modification improvements. Our team is also evaluating an option to continue the road widening on Telegraph Road to the I-5 northbound onramp to accommodate WB-67 truck turning onto I-5.
City of South El Monte, Design Services for Traffic Signal Improvements at Various Signalized Intersections (HSIP Project), South El Monte, CA
Kimley-Horn is working with the City of South El Monte to improve the safety and operability of 11 signalized intersections throughout the City.
The City compiled collision data history and guidance from the Caltrans Local Roadway Safety Manual (LRSM) to develop two countermeasures:
improve signal hardware and install pedestrian countdown signal heads. Our team is working with the City to evaluate each project site to determine the upgrades and improvements needed and is providing PS&E, bidding and construction support, and record drawings as-builts.
Kimley-Horn is partnered with Avant-Garde, who is responsible for coordinating all grant administration work and Caltrans coordination needed to complete this project in a timely and cost-efficient manner.

which will give the City a more
robust communications network with
redundant fiber rings and increase the
data speed and bandwidth across the
network. Kimley-Horn has researched
different funding opportunities to help
the City identify construction funds.
We are preparing design plans for the
communication upgrades, including
interconnect design, fiber-optic cabling
and splice diagrams, network diagram
design, communication block diagrams,
and TOC details. Once completed,
the project will set the City up to
move seamlessly into Phase II of the
communication system upgrades.
City of Monterey Park, Various Signalized Intersections along Garfield Avenue Between the Northern and Southern City Limits (HSIP Project), Monterey Park, CA
Kimley-Horn is working with the City of Monterey Park to make safety improvements at nine intersections along Garfield Avenue. The intersections have not been upgraded for more than 20 years, and the insufficient visibility of traffic signal equipment required upgrading all 8” vehicle heads to 12” vehicle heads, installing retroreflective borders on the backplates of each vehicle head, and installing countdown pedestrian signal heads. Kimley-Horn also partnered with Avant-Garde to complete the Preliminary Environmental Study (PES) and Caltrans coordination for the project.

City of Downey, Paramount Boulevard Traffic Signal Upgrade and Fiber-Optic Communication System (HSIP Project), Downey, CA
This project involves the extension of an existing communication system, which will interconnect the traffic signals along Paramount Boulevard in Downey including all other field devices to be installed along this corridor. The existing communications system consists of a fiber-optic network of communication hubs and signalized intersections all communicating using IP over Ethernet. This solution made the City of Downey the first city in Southern California to deploy a fully operational Ethernet communications system. The communications network essentially consists of a ring topology of field hubs and the Traffic Management Center (TMC)—and star topology of signalized intersections. Services performed include the installation of fiber and video detection on Paramount Boulevard from Telegraph Road to Gardendale Street.
City of Norwalk, HSIP Traffic Signal Improvement Projects, Norwalk, CA Studebaker Road Traffic Signal Synchronization Project (TSSP) and Interconnect Project Kimley-Horn is developing design plans for traffic signal system improvements and updated signal timing coordination for two miles along Studebaker Road, which has experienced high volumes of vehicle collisions at both signalized and unsignalized intersections. The corridor has also experienced pedestrian and bicycle collisions, indicating both the need for better traffic management through traffic signal coordination and pedestrian countdown signal heads. Through this project, the City of Norwalk intends on enhancing safety for all modes of travel and improving traffic operations with the implementation of new traffic signal timing plans. Kimley-Horn will assist the City with the expansion of its ITS infrastructure by replacing existing wireless and copper communications with fiber-optic cable, upgrading traffic signal controllers at three intersections, and installing ADA-compliant curb ramps and pedestrian heads.
Alondra Boulevard Traffic Signal and Interconnect Improvements Kimley-Horn is providing project administration, engineering, and final design services for traffic signal improvements along Alondra Boulevard. Kimley-Horn’s services include the identification of utility conflicts, preparation of PS&E for upgrades to seven signalized intersections to modify the traffic signals, installation of fiber-optic cable and wireless communications for improved signal synchronization, and the development and implementation of signal timing plans to coordinate the traffic signals on Alondra Boulevard from Pluma Avenue to Shoemaker Avenue at those same intersections.
Norwalk Boulevard Traffic Signal and Interconnect Improvements Kimley-Horn is providing engineering services to the City of Norwalk for traffic signal improvements, ITS improvements, and signal timing coordination along Norwalk Boulevard. The project consists of left-turn phasing improvements at six intersections, various other traffic signal upgrades, fiber-optic installation, communication equipment installation and upgrades, signing and striping upgrades, and curb ramp design.
CEQA/environmental documentation is also required in support of a CE to submit to Caltrans for approval. Kimley-Horn’s services include PS&E, field review, research of relevant design standards and existing data, utility coordination, traffic count data collection, and development of signal timing coordination plans for AM, midday, PM, and weekend peak periods.

3. Approach to Scope of Services
PROJECT UNDERSTANDING
The City of Commerce (City) is looking to improve safety and operability through the implementation of Leading Pedestrian Intervals (LPIs), installation of signal hardware upgrades, and installation of signing and striping safety improvements at 26 existing signalized intersections in various locations throughout the City, plus three optional intersections. Per the RFP, the specific signal hardware upgrades will include improvements to the lenses, back-plates, retroreflective borders, mounting, size, and number of signal heads, and the signing and striping improvements will include high visibility crosswalks, pavement markings, new signage, and removal of existing striping and installation of new striping. The City is seeking an engineering consultant to provide the design services associated with the proposed project.
The Caltrans Local Roadway Safety Manual (LRSM) outlines a systemic approach of proven safety countermeasures to address systemwide safety issues. The LRSM provides steps to calculate Benefit to Cost ratios (BCR) to determine which low-cost countermeasures could be implemented to high crash locations. Based on the collision data history, BCRs, and the improvements noted in the RFP, the City has determined two primary countermeasures to increase safety and reduce the number of collisions.
The first countermeasure S02: Improve Signal Hardware: Lenses, Back-Plates with Retroreflective Borders, Mounting Size, and Number includes improvements in safety for signalized intersections by installing new LED signal heads, signal back plates, retro-reflective tape outline on the back plates, or visors to increase signal visibility, larger signal heads, relocation of signal heads, or additional signal heads. The LRSM states that the S02 countermeasure provides better daytime and nighttime visibility and clarity of signals and reduces rear-end and right-angle collisions associated with drivers who are unable to see traffic signals sufficiently in advance of an intersection. The implementation of upgrading all vehicle head lenses to 12” LED vehicle heads and all back-plates with retroreflective borders and mountings has the potential to reduce crashes by 15 percent as documented in the LRSM.
The second countermeasure S21PB: Modify Signal Phasing to Implement a Leading Pedestrian Interval (LPI) improves pedestrian safety by modifying signal timing to give pedestrians the opportunity to enter an intersection 3-7 seconds before vehicles are given a green light indication. The LRSM states the S21PB provides increased visibility of crossing pedestrians, reduced conflicts between pedestrians and vehicles, increased likelihood of motorists yielding to pedestrians, and enhanced safety for pedestrians who may be slower to start crossing into the intersection. This improvement can be effectively and efficiently implemented systematically with numerous locations. The RFP identifies 9 intersections to implement LPI, which could include an upgrade to 2070 controllers to provide this operation if not already existing.
This improvement has the potential to reduce crashes by 60%, as documented in the LRSM.
To implement the countermeasures previously mentioned as well as the installation of 12” signal heads, countdown pedestrian signal heads, audible pedestrian signals, battery backup system, controller cabinets, or signal poles/mast arms, and traffic signal modification plans will be developed along with verification of overhead/underground conflicts. Specific improvements are further discussed in the succeeding Scope of Work section of this document. These project intersections and improvements are shown in Figure 1 on page 26.
In addition to the design and integration of this project, Kimley-Horn understands the importance of coordination with Caltrans District 7 to assure a successful implementation of this project. Our team will verify that our submittals are complete to meet Caltrans LAPM requirements for each submission. It is further understood that this project, along with all others receiving funding under HSIP Cycle 11, are funded by stateonly funds, and are also subject to the state’s process for state-funded HSIP projects.

PROJECT APPROACH
The implementation of countermeasures S02 and S21PB is an effective method to improve overall intersection safety through enhancements to visibility. Kimley-Horn is committed to working with the City to deliver a project that is comprehensive, timely, and cost-effective.
We have performed an initial review of existing conditions at each intersection and observed several elements such as existing signal head equipment, 8” vehicle heads, standard crosswalks, and faded pavement markings that need to be upgraded as well as constraints that might impact the proposed design. Figure 1 highlights observations and proposed project recommendations based on the RFP and our additional recommendations. These additional recommendations include APS push buttons, countdown pedestrian signal heads, and battery back-up systems. Kimley-Horn will conduct a thorough field investigation at each of the 26 intersections to document more detailed existing conditions.
Due to the nature of the proposed upgrades at each intersection, we anticipate that the design plans will require minor traffic signal improvements. These plans will include installing countdown pedestrian signal heads and audible pedestrian push buttons, upgrading vehicle heads, installing retro-reflectorized borders on backplates, installing battery back-up systems, upgrading/replacing controller cabinets, and installing high-visibility continental crosswalks and limit lines.
Kimley-Horn will submit preliminary plans that would include between four and six intersections per sheet at 1”=40’ scale. The plans will show the removal of existing signal head backplates, existing 8” vehicle signal heads, and existing pedestrian signal heads as well as the installation of retroreflective backplates, 12” LED vehicle heads, pedestrian countdown signal heads and audible pedestrian push buttons, installing battery back-up systems, upgrading/replacing controller cabinets, and installing high-visibility continental crosswalks and limit lines. To reduce costs associated with plan preparation and City review, base mapping within each sheet will be kept to a minimum and will be limited to show only relevant signal equipment, conduit runs, pull boxes, controllers, and other elements unnecessary to the design will be omitted.
Additionally, as one location (Location 20 - Garfield Avenue and Randolph Street) will have minor upgrades and only need new retroreflective backplates and high-visibility continental crosswalks, the plan for this location is expected to be completed by redlining an as-built traffic signal plan to reduce effort.
We have included a project sample to the right. This provided enough context for the design, conveyed the information to the contractor, and required zero contractor change orders. For the City of Monterey Park, we drew the existing right-of-way, curb, and centerlines as a base for the design along with traffic signal upgrades that are similar in scope to this project.

Our QC/QA program will include the review of project documents and supporting data by our task managers and key staff who will direct individual tasks. Our QC/QA program will include the following procedures:
• The project manager will be responsible for being thoroughly familiar with requirements and will be given the authority to direct the project team and call upon our corporate resources, as required, to satisfy the project needs • An internal “kick-off” meeting will be held with key individuals assigned to the task to clearly define the scope of services and establish the schedule
• Project meetings and decisions will be documented by a “paper trail.” All documents will be supported by appropriate data that will clearly show the choices evaluated and the basis for our recommendations • Supporting calculations, text, or data used to develop a document will be signed and dated by the individual involved when the services are performed. Also, telephone conversations and meetings that include or affect a project decision will be documented • Team network review will be undertaken. Team network quality control is the day-to-day peer review that is undertaken by the project team. Documents, analyses, letters, etc., are reviewed by a team member other than the individual preparing the documents and analyses.
Review of significant analyses and documents are provided by the task manager for each task. The individual doing the checking will sign and date the documents and prepare a record of the findings. The findings will be resolved by the originator of the document and checked again until corrected. Quality control review comments will be maintained in a quality assurance file. This network review will be enhanced by weekly or bimonthly full team meetings
Schedule and Budget Control
Kimley-Horn understands the importance of meeting the City’s schedule and is committed to completing this project on time. Our confidence in being able to meet the City’s timeline is attributed to our stringent approach to schedule control. We understand that schedule control must begin with a clear understanding of the scope of work and budget as well as the subsequent preparation of a detailed schedule that includes milestone completion dates, critical path items, and risks for interim deliverables. We maintain a detailed, integrated Management Information System (MIS), designed primarily to focus on schedule control. MIS tracks both effort and performance by recording time spent and percent of projects completed. Twice monthly, MIS produces a Project Effort Report, which shows the actual effort expended by task. This internal control allows us to make any timely adjustments reasonably necessary to maintain project schedules.
Budget control is achieved through two independent processing systems integrated into the MIS, providing a complete financial and reporting overview of each individual task as well as the entire project. Our project managers receive detailed status reports twice a month but can also access the system and obtain real time information on an ongoing basis. This level of tracking controls task budgets, allowing us to keep our clients fully informed of all administrative aspects of each task at a moment’s notice.
Document Control
We utilize a redundant document control system in which both hard and electronic copies of project deliverables and significant project communications are filed and tracked by project number and key words. Our streamlined electronic filing system includes records of meetings and data shared; documentation of design decisions; and data collected and/or provided by others, allowing us to quickly locate project records and respond to your requests in a timely fashion.

We will create and maintain a detailed schedule, updating it as needed to manage the project, and as requested by the City.
Kimley-Horn will schedule and conduct a pre-design (kick-off) meeting with City staff after the award of contract to conduct introduction and discuss the scope of work, information needed from various City departments, overall schedule, and the implementation process. After the kick-off meeting, biweekly progress meetings will be scheduled as well as meetings to review the preliminary design, 60%, 90%, and 100% submittals with City staff. Any difficulties that may impede progress will be communicated, resolved, and expedited to confirm deadlines are met on time.
TASK 1 DELIVERABLES:
✔ Schedule and conduct kick-off meeting
✔ Attendance at project meetings
✔ Electronic copy of meeting agendas and meeting minutes ✔ Schedule updates at each submittal milestone (60%, 90%, 100%) TASK 2. UTILITY COORDINATION
Task 2.1: Utility Coordination
This task includes collecting data and information from the City, coordinating with utility companies, and a field reconnaissance at 26 intersections. Kimley-Horn will coordinate with the City to collect existing data for the design. Sample data that will be requested includes, but is not limited to, the following:
• Utility contacts
• Existing as-builts pertinent to the project within the project vicinity including, but not limited to, existing traffic signal, roadway, and communication as-builts (The City has copies of the traffic signal plans for 21 intersections and timing sheets for 25 intersections) • Available electronic signal plans
Kimley-Horn will perform utility coordination for the project. Record base maps of the utility companies will be requested, and we will notify the various agencies and request that if they plan to install new facilities within the project area that they coordinate with the City as soon as possible. Utility records will be scanned and catalogued as they are received. Utility information will be incorporated into the project base map. Kimley-Horn will review and analyze received utility record plans to locate underground and overhead utilities and to identify potential conflicts with the proposed improvements such that the final design is compatible with utilities within the project area. A matrix will be created to track which utility companies have been contacted, which utility documentation has been received, and which utility documents have been implemented into the plan. Preliminary and final plans will be sent to affected utility companies to communicate our improvements and further minimize any utility conflicts that may occur during construction.
Kimley-Horn will coordinate with utilities up to the start of construction to facilitate the adjustment and relocation of their facilities if necessary. It is assumed that utility coordination will transfer to another responsible party at the start of construction.

The updated timing sheets will include proposed signal timing parameters such as minimum bicycle greens, all-red times, walk times, flashing don’t walk times, and yellow times. For each intersection, recommended phase timing parameters will be calculated by referencing the latest version of the CA MUTCD and recent aerial imagery measurements. The format of the updated timing sheets will be consistent with the proposed traffic signal controller software type.

GENERAL TERMS AND CONDITIONS
1. Status as Independent Contractor.
A. Consultant is, and shall at all times remain as to City, a wholly independent contractor. Consultant shall have no power to incur any debt, obligation, or liability on behalf of the City of Commerce or otherwise act on behalf of Commerce as an agent.
Neither the City of Commerce nor any of its agents shall have control over the conduct of Consultant or any of Consultant’s employees, except as set forth in this Agreement.
Consultant shall not, at any time, or in any manner, represent that it or any of its agents or employees are in any manner agents or employees of the City of Commerce.
B. Consultant agrees to pay all required taxes on amounts paid to Consultant under this Agreement, and to indemnify and hold City harmless from any and all taxes, assessments, penalties, and interests asserted against City by reason of the independent Consultant relationship created by this Agreement. In the event that City is audited by any Federal or State agency regarding the independent status of Consultant and the audit in any way fails to sustain the validity of a wholly independent Consultant relationship between City and Consultant, then Consultant agrees to reimburse City for all costs, including accounting and attorney's fees, arising out of such audit and any appeals relating thereto.
C. Consultant shall fully comply with the workers' compensation law regarding Consultant and Consultant’s employees. Consultant further agrees to indemnify and hold City harmless from any failure of Consultant to comply with applicable worker's compensation laws. City shall have the right to offset against the amount of any fees due to Consultant under this Agreement any amount due to City from Consultant as a result of Consultant’s failure to promptly pay to City any reimbursement or indemnification arising under this Section 1.
D. Consultant represents to the City, and City relies on Consultant’s representations, that Consultant shall serve solely in the capacity of an independent contractor to the City. Neither the City nor any of its agents will have control over the conduct of Consultant or any of Consultant’s employees, except as otherwise set forth in the Agreement. Consultant may not, at any time or in any manner, represent that it or any of its agents or employees are in any manner agents or employees of the City. The City has no duty, obligation, or responsibility to the Consultant’s agents or employees, including the Affordable Care Act coverage requirements. Consultant is solely responsible for any tax penalties associated with the failure to offer affordable coverage to its agents and employees under the Affordable Care Act with respect to Consultant’s agents and employees. Consultant warrants and represents that the City will not be responsible and will not be held liable for issues related to Consultant’s status as an independent contractor, including Consultant’s failure to comply with Consultant’s duties, obligations, and responsibilities under the Affordable Care Act. Consultant further agrees to defend, indemnify, and hold the City harmless DocuSign Envelope ID: 74A0E1F7-D816-471D-AEEB-D5E8852DE33D 2 for any and all taxes, claims, and penalties against the City related to Consultant’s obligations under the Affordable Care Act.
2. Standard of Performance

Consultant's duty to defend shall consist of reimbursement of defense costs incurred by City in direct proportion to the Consultant's proportionate percentage of fault. Consultant's percentage of fault shall be determined, as applicable, by a court of law, jury or arbitrator. In the event any loss, liability or damage is incurred by way of settlement or resolution without a court, jury or arbitrator having made a determination of the Consultant's percentage of fault, the parties agree to mediation with a third party neutral to determine the Consultant's proportionate percentage of fault for purposes of determining the amount of indemnity and defense cost reimbursement owed to the City.
B. Notwithstanding the foregoing and without diminishing any rights of City under Section 3(a), for any liability, claim, demand, allegation against City arising out of, related to, or pertaining to any act or omission of Consultant, but which is not a design professional service, Consultant shall defend, indemnify, and hold harmless City, its officials, employees, and agents ("Indemnified Parties") from and against any and all damages, costs, expenses (including reasonable attorney fees and expert witness fees), judgments, settlements, and/or arbitration awards, whether for personal or bodily injury, property damage, or economic injury, and arising out of, related to, any concurrent or contributory negligence on the part of City, except for the sole or active negligence of, or willful misconduct of City. If it is determined the City's negligence or willful misconduct contributed to the liability or damage, Consultant shall be required to provide indemnification to the City and reimbursement of defense costs incurred by City in direct proportion to the Consultant's proportionate percentage of fault.
C. It is understood that the duty of Consultant to indemnify and hold harmless is subject to and includes the duty to defend as set forth in Section 2782.8 of the California Civil Code as further addressed in Section 3(a) above. Furthermore, Consultant shall avoid the appearance of having any interest which would conflict in any manner with the performance of its services pursuant to this Agreement.
B. 8. Termination. Notwithstanding any other provision, this Agreement may be duly terminated at any time by the City at its sole discretion with or without cause by serving upon the consultant at least ten (10) days prior written notice (“Notice of Termination”).
Upon receipt of said notice, the Consultant shall immediately cease all work under this Agreement, unless the notice provides otherwise. Unless expressly agreed upon in writing by the City, the City shall not be obligated to pay for any services rendered nor any costs or expenses paid or incurred after the date of termination. Consultant agrees that in the event of such termination, Consultant must refund the City its prorated share, except for services satisfactorily rendered prior to the effective date of termination. Immediately upon receiving written Notice of Termination, Consultant shall discontinue performing services, preserve the product of the services and upon payment for services, turn over to City the product of the services in accordance with written instructions of City.
In the event this Agreement is terminated pursuant to this Section, the City shall pay to Consultant the actual value of the work performed up to the time of termination, provided that the work performed is of value to the City. 13. Compliance with Laws. Consultant shall keep itself informed of State, Federal and Local laws, ordinances, codes and regulations which in any manner affect those employed by it or in any way affect the performance of its service pursuant to this Agreement. Consultant shall at all times comply with such laws, ordinances, codes and regulations. Waiver by either party of any one or more of the conditions of performance under this Agreement shall not be a waiver of any other condition of performance under this Agreement. In no event shall the making by City of any payment to Consultant constitute or be construed as a waiver by City of any breach of covenant, or any default which may then exist on the part of Consultant, and the making of any such payment by City shall in no way impair or prejudice any right or remedy available to City with regard to such breach or default.
16. Attorney's Fees. In the event that either party to this Agreement shall commence any legal or equitable action or proceeding to enforce or interpret the provisions of this Agreement, the prevailing party in such action or proceeding shall be entitled to recover its costs of suit, including reasonable attorney's fees and costs, including costs of expert witnesses and Consultant.

Legal actions concerning any dispute, claim or matter arising out of or in relation to this Agreement shall be instituted in the Superior Court of the County of Los Angeles, State of California. However, the Parties may agree to submit any dispute to non-binding arbitration.
19. Counterparts. This Agreement may be executed in any number of counterparts, each of which shall be deemed to be the original, and all of which together shall constitute one and the same instrument.
20. Severability. If any provision or any part of any provision of this Agreement is found to be invalid or unenforceable, the balance of this Agreement shall remain in full force and effect.
21. Entire Agreement. This Agreement, and any other documents incorporated herein by specific reference, represents the entire and integrated agreement between Consultant and City. This Agreement supersedes all prior oral or written negotiations, representations or agreements. Neither Party shall be liable for any delay or default in, or failure of, performance resulting from or arising out of any Force Majeure event, and no such delay, default in, or failure of performance shall constitute a breach by either Party hereunder. Where a Force Majeure event gives rise to a failure or delay in either Party performing its obligations under this Agreement (other than obligations to make payment), those obligations will be suspended for the duration of the Force Majeure event. A Party who becomes aware of a Force Majeure event which gives rise to, or which is likely to give rise to, any failure or delay in performing its obligations under this Agreement, will forthwith notify the other and inform the other of the period for which it is estimated that such failure or delay will continue. The affected Party shall take reasonable steps to mitigate the effects of the Force Majeure event.
