FIRST AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF COMMERCE AND CLIMATE RESOLVE FOR ASSISTANCE IN EXECUTING THE SUSTAINABLE TRANSPORTATION EQUITY PROGRAM (STEP) GRANT The First Amendment to the Professional Services Agreement (hereinafter “First Amendment”) is made and entered into as of the 23rd day of April, 2024 (“Effective Date”) by and between the City of Commerce, a municipal corporation of the State of California (“City”) and Climate Resolve (“Contractor”).
WITNESSETH
This First Amendment is made with reference to the following facts:
As of the 1st day of December 2020, the parties hereto entered into a certain “Professional Services Agreement” (hereinafter “Master Agreement”) ending March 31, 2025.
The parties hereto mutually desire to enter into a First Amendment to the Master Agreement in the manner hereinafter set forth.
NOW, THEREFORE, in consideration of the mutual promises, conditions and covenants herein contained, the parties hereto agree as follows:
Term of Agreement:
Pursuant to provisions in “Section 2. Term of Agreement”:
The parties hereto agree that Climate Resolve will carry out the additional tasks (under Task 7 of the STEP Grant) until the end of the grant term March 31, 2025.
With the exception of the First Amendment to the Master Agreement as made herein, all other terms, conditions and provisions of the Master Agreement shall remain in full force and effect.
IN WITNESS WHEREOF, the parties enter into this First Amendment.
