SECOND AMENDMENT TO AGREEMENT BETWEEN THE CITY OF COMMERCE AND GSI ENVIRONMENTAL INCORPORATED FOR ENVIRONMENTAL ASSESSMENT AND REMEDIATION SERVICES The Second Amendment to the On-call Environmental Assessment and Remediation Services Agreement (hereinafter “Second Amendment”) is made and entered into as of the 23rd day of April, 2024 (“Effective Date”) by and between the City of Commerce, a municipal corporation of the State of California (“City”) and GSI Environmental Incorporated, a California corporation in good standing (“Consultant”).
WITNESSETH
This Second Amendment is made with reference to the following facts:
As of the 1st day of June 2018, the parties hereto entered into a certain “On-call Services Agreement for Environmental Site Assessment and Remediation Services” (hereinafter “Agreement”) for three (3) years ending June 1, 2021.
On the 16th day of February, 2021, the parties agreed to an amendment to the agreement extending the term by three (3) years ending June 1, 2024.
The parties hereto mutually desire to enter into a Second Amendment to the Agreement in the manner hereinafter set forth to continue with work in progress under the California Department of Toxic Substances oversight.
NOW, THEREFORE, in consideration of the mutual promises, conditions and covenants herein contained, the parties hereto agree as follows:
Term of Agreement:
Pursuant to provisions in Section 7.2 - “Term of Agreement”:
The parties hereto agree to extend the term three (3) years from the current expiration date to expire on June 1, 2027.
2. With the exception of the amendment to the Agreement as made herein, all other terms, conditions and provisions of the Agreement shall remain in full force and effect.
