SUBJECT: A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF COMPTON

AUTHORIZING THE CITY MANAGER TO ISSUE A PURCHASE ORDER

TO WILLDAN FINANCIAL SERVICES TO CONDUCT A USER FEE CPI (CONSUMER POST INDEX) UPDATE ($5,000)

SUMMARY
Adoption of this resolution will authorize the City Manager to issue a purchase order to Willdan Financial Services to conduct a User Fee CPI (Consumer Post Index) update in the amount of ($5,000).

BACKGROUND
On October 10, 2017, the City Council adopted Resolution No. 24,668, which adopted a Master Fee Schedule for services and facility rental fees and charges provided by the City. The current user fees which were adopted in 2017 have not been increased by a CPI factor since adoption.

Willdan Financial Services will obtain and review relevant documentation to refresh understanding of the services, fees, escalation factors and rates to be updated. A written request for data will be sent to the City, if necessary. In addition, updated information will be requested and documentation on current fees and fee programs, activity levels, and budget and staffing information related specifically to programs and activities which have associated fees, and for which the City has this level of detail.

Willdan Financial Services will also identify and resolve policy issues typically raised by a fee update, address gaps in data, and refine any data needs. Based on information gathered previously and building on the model and analysis developed in the previous study, this task involves the gathering of specific information, directly from City staff, to adjust the fees based the previously approved CPI factor.

Willdan Financial Services will develop and test the updated fee exhibit and prepare and present a final updated fee exhibit to City Council for review and adoption.

STATEMENT OF THE ISSUE
Willdan Financial Services has reached the $25,000 authorized expenditure threshold for Fiscal Year 2022-2023. In order for the City Manager to exceed the $25,000 expenditure threshold and issue a purchase order to this vendor, City Council approval is needed.

2. Staff Report Willdan Financial Services-User Fee CPI Update February 14, 2023

Page 2 ends

FISCAL IMPACT
The funding is available in the 2022-2023 Adopted Fiscal Year Budget for this expenditure in the City Manager’s account 1001-510-000-4269.

RECOMMENDATION
Staff recommends the adoption of the attached Resolution authorizing the City Manager to issue a purchase order to Willdan Financial Services for an amount not to exceed $5,000.

Re: Proposal to Conduct a User Fee CPI Update
Dear Mr. Thomas:

Willdan Financial Services (“Willdan”) is pleased to submit the following proposed scope of services and budget to conduct a User Fee CPI Update (“City”). Willdan understands that the current user fees were adopted in 2018 and have not been increased by a CPI factor since adoption.

Scope of Services
Our proposed work plan, described in detail by task, is provided below. We explain how each task will be accomplished and identify associated meetings and deliverables. We want to ensure our scope provides quality and clarity and is responsive to the City’s needs and specific local circumstances. We will work in concert with the City to adjust the scope as needed during the course of the study.

Please note that this scope and fee proposal does not include revisions to existing timetable data for the User Fee Report.

We can assist with updates to the timetable data for an additional fee.

User Fee CPI Update
Task 1: Initial Document Request
Objective: Initial due diligence; obtain study-related data.

Description: We will obtain and review relevant documentation to refresh our understanding of the services, fees, escalation factors and rates to be updated. A written request for data will be sent to the City, if necessary.

We will request updated information and documentation on current fees and fee programs, activity levels, and budget and staffing information (to the extent not already available) related specifically to programs and activities which have associated fees, and for which the City has this level of detail.

Deliverables: Willdan: Submit information request to City.

City: Provide requested data to Willdan (prior to Task 2, Kick-off Meeting/Refine Scope). We will follow up with the City to confirm receipt of requested data and information and highlight data elements that are outstanding.

Task 2: Kick-off/Refine Scope
Objective: Identify and resolve policy issues typically raised by a fee update, address gaps in data, and refine any data needs (based on Task 1).

Description: Verify our understanding of the City’s goals, the City’s cost-recovery policy for user fees, and to fill any gaps in data/information necessary for the project. It is important for the City and Willdan to identify and address any foreseeable problems and maintain open communication throughout the process.

During this discussion, we will ask that the City identify a project manager who will serve as the primary contact for the project. The project manager shall have responsibility for ensuring that all available data is provided in a timely manner, thereby maintaining adherence to the project’s schedule.

User Fee CPI Update 2
City of Compton, CA
Meetings: One (1) project kick-off conference call to initiate the entire project, discuss any additional data needs and address policy issues.

Deliverables: Willdan: 1) Revised project scope and schedule (if needed); and 2) brief summary of policy decisions (if needed).

City: 1) Provide further data needs; and 2) determine/introduce City’s project manager.

Task 3: Develop Consumer Price Index Increase Model
Objective: Develop a model and analysis to calculate appropriate CPI increase.

Description: Based on information gathered previously and building on the model and analysis developed in the previous study, this task involves the gathering of specific information, directly from City staff, to adjust the fees based the previously approved CPI factor.

The model and methodology will produce maximum fee levels and fully loaded hourly billing rates for City staff positions suitable for a variety of uses, including billing to CIP projects.

Meetings: Conference calls with City staff to understand structure and operations of the model.

Deliverables: Willdan: One (1) CPI increase calculation component, in Microsoft Excel format that provides a ceiling for all relevant user fees.

Task 4: Develop Updated Fee Exhibit
Objective: Develop and test the updated fee exhibit.

Description: This task involves the development of a modified fee exhibit for adoption by the City Council.

City staff and/or the City Council may choose not to increase fees to the full amount authorized by the previous fee study.

Deliverables: Willdan: One (1) model in Microsoft Excel and PDF format for attachment to a City resolution updating the rates with CPI factors.

Task 5: Prepare and Present Final Exhibit
Objective: Prepare and present final updated fee Exhibit to City Council.

Description: Based on staff comments received regarding the draft exhibit, we will prepare the final exhibit for presentation.

Meetings: One (1) meeting with City Council to present the results.

Deliverables: Final fee exhibit incorporating preferred fee increases for Council Agenda and Staff Report.

SUBJECT: A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF COMPTON AMENDING THE FIRE DEPARTMENTS’ 2022-2023 FISCAL YEAR

BUDGET TO TRANSFER FUNDS AND AUTHORIZING THE CITY

MANAGER TO ISSUE PURCHASE ORDERS TO SOUTH COAST

EMERGENCY VEHICLE SERVICE (PIERCE) AND WILLIAM KALVIKOV

DBA FIRE APPARATUS SOLUTIONS FOR MAINTENANCE AND
REPAIRS OF EMERGENCY FIRE APPARATUS ($100,000.00)

SUMMARY
The adoption of this resolution will amend the Fire Departments’ 2022-2023 Fiscal Year budget to transfer funds between accounts and authorize the City Manager to issue purchase orders with South Coast Emergency Vehicle Service and William Kalvikov DBA Fire Apparatus Solutions for the additional maintenance and repair services of the Compton Fire Department’s emergency apparatus in the amount not to exceed One Hundred Thousand One Dollars and Zero Cents ($100,000.00)

BACKGROUND
The City of Compton’s (”City”) fire engines were purchased in 2005 and one engine recently purchased in 2019 and due to the high volume of emergency responses as well as the conditions of the City streets, the cost of repairs are increasing.

Annual apparatus maintenance and repair for the Compton Fire Department’s (“Department”) emergency vehicles are essential for the safe and efficient emergency response and operation. The Department performs routine apparatus and equipment inspections on all apparatus daily to ensure that preventive maintenance guidelines are adhered to and that there are no defects with reference to fire engine operations.

Furthermore, all vehicles are required to meet the Department of Transportation and California Highway Patrol regulatory statutes concerning emergency vehicles.

Last year, the Department solicited and received three (3) bids from the following vendors for maintenance and repair services at the listed hourly labor rates: (i) South Coast Emergency Vehicle Service (“South Coast”) ($105.00/hour); (ii) William Kalvikov dba Fire Apparatus Solutions ($98.00/hour); (iii) Bit Pros Fire Service ($140.00/hour). The Department determined that South Coast and William Kalvikov dba Fire Apparatus Solutions were the lowest and most responsive to the needs of the Department.

3. South Coast Emergency Vehicle Service & William
Kalvikov DBA Fire Apparatus Solutions Staff Report
February 14, 2023, page 2

STATEMENT OF ISSUE
On September 6, 2022 the City Council adopted Resolution No. 25,715 to approve the Departments’ use of South Coast, at a labor rate of $105.00 per hour and William Kalvikov DBA Fire Apparatus Solutions, at a labor rate of $98.00 per hour to perform the maintenance and repair of emergency fire apparatus and issued a purchase order in the amount of $100,000 to South Coast and William Kalvikov DBA Fire Apparatus Solutions.

The Department has exhausted the current purchase order and is in need of an additional purchase order to pay for maintenance and repairs.

Staff is recommending that the Department continue to use South Coast Emergency Vehicle Service and William Kalvikov DBA Fire Apparatus Solutions for its maintenance and repair of emergency fire apparatus. The City has no vendor in the City boundaries that provide maintenance and repairs for emergency fire apparatus.

City Council approval is needed because the expenditure is in excess of $25,000.00 Dollars.

FISCAL IMPACT
The estimated cost for maintenance and repairs to the Departments’ emergency fire apparatus for the remainder of Fiscal Year 2022-2023 is One Hundred Thousand Dollars and Zero Cents ($100,000.00). The Department’s 2022-2023 Fiscal Year budget will need to be amended to transfer funds between accounts as follows:

From: Description Amount
1001-690-000-4238 Special Projects $100,000.00
To: Description Amount
1001-690-000-4229 Automotive Repairs $49,146.00

SUBJECT: A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF

COMPTON AUTHORIZING THE CITY MANAGER TO ENTER

INTO A FUNDING AGREEMENT BETWEEN THE CITY OF

COMPTON AND THE LOS ANGELES COUNTY METROPOLITAN

TRANSPORTATION AUTHORITY (LACMTA) FOR OPERATING

ASSISTANCE FOR THE COMPTON RENAISSANCE TRANSIT

PEAK HOUR ENHANCEMENT

SUMMARY
Adoption of this resolution will authorize the City Manager to enter into a Funding Agreement between the City of Compton and the Los Angeles County Metropolitan Transportation Authority (LACMTA) for operating assistance for the Compton Renaissance Transit Peak Hour Enhancement.

BACKGROUND
On May 25, 2006, the LACMTA Board adopted a resolution declaring LACMTA to be the designated recipient for formula funds from the Federal Transit Administration (FTA) Section 5316 Job Access and Reverse Commute (JARC) Program Funds.

Pursuant to the LACMTA Board action of May 25, 2006, the LACMTA Chief Executive Officer (CEO) or his/her designee is authorize to enter into agreements with interested cities and local agencies in Los Angeles County for LACMTA in its role as the Designated Recipient for Section 5316 JARC grant funds (the “Federal Funds”).

In January 2017, the Board approved the competitive FY 2017 solicitation process for FTA Sections 5310, 5316 and 5317. This included repurposed Section 5316 JARC and Section 5317 New Freedom funds previously approved for agencies from older grants that later indicated they would not implement their projects or did not need their full grant award. The City originally applied for the Section 5316 JARC funds and was awarded $192,174 in operating funds. The Section 5316 funds seek to improve access to transportation services to employment and employment related activities for welfare recipients and eligible low-income individuals.

4. Staff Report – Resolution Authorizing Funding Agreement Los Angeles County Metropolitan Transportation Authority Operating Assistance for the Compton Renaissance Transit Peak Hour Enhancement February 14, 2023, Page 2 of 3

Page 2 of 3 ends

On July 27, 2017 the LACMTA Board authorized the LACMTA Chief Executive Officer (CEO) or his designee to negotiate and execute Agreements with agencies as subrecipients and approved the application and award of $192,174 to the City for operating assistance for the Compton Renaissance Transit Peak Hour Enhancement. (the “Project”), FTIP #LA9918939.

The JARC grant which was the source of the repurposed funds did not name the City as a subrecipient, and due to FTA restrictions on lapsing funds could not be amended. To resolve the problem, LACMTA exchanged the Federal Funds with Local Proposition C 40% funds (Prop C 40%) and applied the Federal Funds to an eligible LACMTA project. This exchanged was approved by the LACMTA Board on January 24, 2019. This is a one-time grant and does imply or obligate any future funding commitment on the part of LACMTA.

The terms of the Funding Agreement shall commence on the date of the LACMTA’s CEO or his/her designee’s signature and shall terminate three years after the Effective Date of the Agreement.

STATEMENT OF ISSUE
In December 2017, the City was awarded Section 5316 Job Access and Reverse Commute (JARC) Program Funds in the amount of $192,174. The program seeks to improve access to transportation services to employment and employment related activities for welfare recipients and eligible low-income individuals by expanding its transit peak service hours.

On December 10, 2019, pursuant to Resolution No. 25,172, City Council authorized the City Manager to enter into a 3-year fixed route transit service agreement with MV Transportation to include the new proposed schedule of 12 hours/day (6:00 am – 6 pm, Monday – Friday) in compliance with the operating assistance for the Compton Renaissance Transit Peak Hour Enhancement Program Funds.

In March 2022, the City implemented the Compton Renaissance Transit Peak Hour Expansion project. The project consisted of providing operating assistance of the Compton Renaissance Transit’s five (5) fixed routes by expanding its Monday through Friday operating hours for two years by an additional 4.5 hours during peak hour service.

As a result, 1.5 peak hours was added in the morning and 3.0 hours was added in the evening which expanded the peak hour service to and from regional transportation services, downtown, colleges, universities, job centers, and medical facilities by an additional 4.5 hours during peak periods. By extending the hours during peak periods, fixed route services will improve within the City of Compton as well as with additional service outside of the city including:

California State University of Dominquez Hills, Martin Luther King Jr. Outpatient Centers, and various job centers totaling 5,500 hours annually. The expanded service is currently operating Monday through Friday from 6:00 am to 6:00 p.m.

Therefore, in order to authorize the City Manager to enter into a Funding Agreement between the City of Compton and the Los Angeles County Metropolitan Transportation Authority (LACMTA) for operating assistance for the Compton Renaissance Transit Peak Hour Enhancement, City Council’s authorization is necessary.

ALTERNATIVE
There are no other alternatives being recommended at this time. The City desires to be reimbursed reduce delays and improve the traffic operation by implementing geometric improvements while minimizing impacts to the surrounding area.

FISCAL IMPACT
The City will be eligible to receive a one-time grant reimbursement in amount of $192,174 from LACMTA.

RECOMMENDATION
Staff recommends the City Council adopt the attached Resolution.

RECITALS
A. On May 25, 2006 the LACMTA Board adopted a resolution declaring LACMTA to be the Designated Recipient for formula funds from the Federal Transit Administration (FTA) Section 5316 Job Access and Reverse Commute (JARC) Program Funds.

B. Pursuant to the LACMTA Board action of May 25, 2006, the LACMTA Chief Executive Officer (CEO) or his/her designee is authorized to enter into agreements with interested cities and local agencies in Los Angeles County for LACMTA in its role as the Designated Recipient for Section 5316 JARC grant funds (the “Federal Funds”).

D On July 27, 2017 the LACMTA Board authorized the LACMTA Chief Executive Officer (CEO) or his designee to negotiate and execute Agreements with agencies as subrecipients and approved the application and award of $192,174 to the City for operating assistance for the Compton Renaissance Transit Peak Hour Enhancement. (the “Project”), FTIP #LA9918939.

F. The total cost for the Project described in the Scope of Work (the "SOW"), attached as Exhibit "A", hereto is estimated to be $256,232 ("Estimated Cost").

G. The City has agreed to provide the required local match of $64,058 (the "Local Match"), as described in the Financial Plan that is attached as Exhibit "B", and any additional funding required to complete the Project.

7 Agreement #: 9200000000S1734

3.2 The City shall not use the Funds to substitute for any other funds or projects not specified in this Agreement. Further, the City shall not use the Funds for any expenses or activities beyond the approved Scope of Work (Exhibit A).

3.3 The City must use the Funds in the most cost-effective manner. If the City intends to use a consultant or contractor to implement all or part of the Project, LACMTA requires that such activities be procured in accordance with the City’s contracting procedures and consistent with State law. The City will also use the Funds in the most cost-effective manner when the Funds are used to pay “in-house” staff time. This effective use of funds provision will be verified by LACMTA through on-going Project monitoring and through any LACMTA interim and final audits.

3.4 The City’s employees, officers, councilmembers, board member, agents, or consultants (a “City Party”) are prohibited from participating in the selection, award, or administration of a third-party contract or sub-agreement supported by the Funds if a real or apparent conflict of interest would be involved. A conflict of interest would include, without limitation, an organizational conflict of interest or when any of the following parties has a financial or other interest in any entity selected for award: (a) a City Party (b) any member of a City Party’s immediate family, (c) a partner of a City Party; (d) any organization that employs or intends to employ any of the above. This conflict-of-interest provision will be verified by LACMTA through on-going Project monitoring and through any LACMTA interim and final audits.

3.5 If the Project requires the implementation of an Intelligent Transportation Systems (“ITS”) project, the City shall ensure the Project is consistent with the Regional ITS Architecture

3.6 The City is obligated to continue using the Project consistent with the public transportation purposes for which the Project was approved. The Project right-of-way and real property purchased to implement the Project shall remain dedicated to public transportation use. The obligations set forth in this section shall survive termination of this Agreement.

3.7 If the City desires to use the Funds to purchase or lease equipment including, without limitation, vehicles, office equipment, computer hardware or software, or other personal property (“Equipment”) necessary to perform or provide the services set forth in the Scope of Work, the City must obtain LACMTA’s written consent prior to purchasing or leasing any Equipment. Equipment purchased or leased without such prior written consent shall be deemed an unallowable expenditure of the Funds. Equipment acquired as part of the Project shall be dedicated to that Project use for their full economic life cycle, including any extensions of that life cycle achieved by reconstruction, rehabilitation, or enhancements.

3.8 If an Equipment ceases to be used for the proper use as originally stated in the Scope of Work, the City will be required to return to LACMTA the Funds used to purchase or lease such Equipment in proportion to the useful life remaining and in equal proportion of the Funds to the City Local Match ratio. The obligations set forth in this section shall survive termination of this Agreement.
8 Agreement #: 9200000000S1734

3.9 If any Project facilities or any real property purchased to implement the Project is no longer used or is no longer needed for the Project, including construction easements or excess property, the City will be required to return to LACMTA the Funds used to design, construct, or acquire such Project facilities or real property in equal proportion of the grant to the City Local Match ratio. The obligations set forth in this section shall survive termination of this Agreement.

3.10 If the City desires to use any Project facility or any real property purchased to implement the Project to generate revenue, the City shall first obtain LACMTA’s written consent prior to entering into any such revenue generating arrangement. The City shall provide LACMTA with the applicable information regarding the transaction, including without limitation, the property at issue, the proposed use of the property, the amount of revenue, any impact to the Project and the proposed use of the revenue. LACMTA consent may be conditioned on whether bond funds were used, and how the City plans to use the revenue, including, without limitation, sharing any net revenues with LACMTA. If the City fails to obtain LACMTA’s prior written consent, the City shall be considered in default and LACMTA shall have all rights and remedies available at law or in equity, including, without limitation the return of the Funds to cover the cost of the property in question. The obligations set forth in this section shall survive termination of this Agreement.

3.11 The City understands that this Agreement does not provide any rights for the City to use LACMTA real property needed for the Project. If the Project requires use of LACMTA Property, the City will need to enter into a separate agreement with LACMTA in accordance with LACMTA real property policies and procedures. Nothing in this Agreement obligates LACMTA to provide the City with any real estate right.

4. DISBURSEMENT OF FUNDS:

4.1 Payments to the City will be processed by LACMTA within a reasonable time period, but in no event more than sixty (60) calendar days after receipt of a Request for Reimbursement meeting the requirements of Part 1, Section 3. The City shall be subject to, and shall comply with, all requirements of this award as required by LACMTA.

4.2 Disbursements shall be made on a reimbursement basis in accordance with the provisions of this Agreement.

4.3 LACMTA will make all disbursements electronically unless an exception is requested in writing. Disbursements via Automated Clearing House (ACH) will be made at no cost to the City. The City must complete the ACH form and submit such form to LACMTA before grant payments can be made.

4.6 Expenses that are not invoiced within 60 days after the termination date specified in Part II, Section 8.1 below are not eligible for reimbursement.

4.7 Commencing with the Execution Date, Funds will be made available to the City for all work related to the initial Project milestone identified in Exhibit A - Scope of Work. Funds for subsequent Project milestones will not be available until the City provides evidence that the current Project milestone has been completed or is clearly on track to be completed on the approved schedule stated in the Scope of Work, as determined by LACMTA.

5. AUDIT REQUIREMENTS/PAYMENT ADJUSTMENTS:

5.1 LACMTA, and/or its designee, shall have the right to conduct audits of the Project, as deemed appropriate, such as financial and compliance audits; interim audits; pre-award audits, performance audits and final audits. LACMTA may commence a final audit within nine months of receipt of an acceptable final invoice, provided the Project is ready for final audit (meaning all costs and charges have been paid by the City and invoiced to LACMTA, and such costs, charges and invoices are properly documented and summarized in the accounting records to enable an audit without further explanation or summarization including actual indirect rates for the period under review). The City agrees to establish and maintain proper accounting procedures and cash management records and documents in accordance with Generally Accepted Accounting Principles (GAAP). The City shall reimburse LACMTA for any expenditure not in compliance with this Agreement and the Guidelines. The City’s eligible expenditures submitted to LACMTA for this Project shall be in accordance with the Scope of Work (Exhibit A) and 2 CFR Subtitle A, Chapter II, Part 200. The allowability of costs for the City’s contractors, consultants and suppliers submitted to LACMTA through the City’s invoicing process shall be in compliance with 2 CFR Subtitle A, Chapter II, Part 200 or 48 CFR Part 31 (FAR), whichever is applicable. Any use of the Funds which is expressly prohibited under this Agreement shall be an ineligible use of the Funds and may be disallowed by LACMTA audit. Findings of the LACMTA audit are final. When LACMTA audit findings require the City to return monies to LACMTA, the City shall return such monies within thirty (30) days after the final audit is sent to the City.

5.2 The City’s records shall include, without limitation, accounting records, written policies and procedures, contract files, original estimates, correspondence, change order files (including documentation covering negotiated settlements), invoices, and any other supporting evidence deemed necessary by LACMTA to substantiate charges related to the Project (all collectively referred to as “records”) shall be open to inspection and subject to audit and reproduction by LACMTA auditors or authorized representatives to the extent deemed necessary by LACMTA to adequately permit evaluation of expended costs. Such records subject to audit shall also include, without limitation, those records deemed necessary by LACMTA to evaluate and verify, direct and indirect costs, (including overhead allocations) as they may apply to costs associated with the Project. These records must be retained by the City for three years following final payment under this Agreement. 10 Agreement #: 9200000000S1734

5.3 The City shall cause all contractors to comply with the requirements of Part II, Sections 5.1 and 5.2 above. The City shall cause all contractors to cooperate fully in furnishing or in making available to LACMTA all records deemed necessary by LACMTA auditors or authorized representatives related to the Project.

5.4 LACMTA or any of its duly authorized representatives, upon reasonable written notice shall be afforded access to all of the records of the City and its contractors related to the Project and shall be allowed to interview any employee of the City and its contractors through final payment to the extent reasonably practicable.

5.5 LACMTA or any of its duly authorized representatives, upon reasonable written notice, shall have access to the offices of the City and its contractors, shall have access to all necessary records, including reproduction at no charge to LACMTA, and shall be provided adequate and appropriate workspace in order to conduct audits in compliance with the terms and conditions of this Agreement.

5.6 In addition to LACMTA’s other remedies as provided in this Agreement, LACMTA shall withhold the Funds and/or recommend not to award future grants to the City if the LACMTA audit has determined that the City failed to comply with the Scope of Work (such as misusing Funds or failure to return Funds owed to LACMTA in accordance with LACMTA audit findings) and/or is severely out of compliance with other terms and conditions as defined by this Agreement, including the access to records provisions of Part II, Section 5.

5.7 When business travel associated with the Project requires use of a vehicle, the mileage incurred shall be reimbursed at the mileage rates set by the Internal Revenue Service, as indicated in the United States General Services Administration Federal Travel Regulation, Privately Owned Vehicle Reimbursement Rates.

5.8 The City shall certify monthly invoices by reviewing all contractor and subcontractor costs and maintaining internal control to ensure that all expenditures are allocable, allowable and reasonable and in accordance with 2 CFR Subtitle A, Chapter II, Part 200 or 48 CFR Part 31 (whichever is applicable) and the terms and conditions of this Agreement.

5.9 The City shall also certify final costs of the Project to ensure all costs are in compliance with 2 CFR Subtitle A, Chapter II, Part 200 or 48 FAR Part 31 (whichever is applicable) and the terms and conditions of this Agreement.

5.10 Whenever possible, in exercising its audit rights under this Agreement, LACMTA shall rely on the City’s own records and audit work to minimize direct audit of contractors, consultants, and suppliers.

6. ONE TIME GRANT: This is a onetime only grant subject to the terms and conditions agreed to herein and in the Guidelines. This grant does not imply nor obligate any future funding commitment on the part of LACMTA.
11 Agreement #: 9200000000S1734

7. SOURCES AND DISPOSITION OF FUNDS:

7.1 The obligation for LACMTA to grant the Funds for the Project is subject to sufficient Funds being made available for the Project by the LACMTA Board of Directors. If such Funds are not made available for the Project, LACMTA shall have no obligation to provide the Funds for the Project, unless otherwise agreed to in writing by LACMTA.

7.2 The City shall fully fund and contribute the City’s Local Match, as identified in the Financial Plan (Exhibit B), towards the cost of the Project. If the Funds identified in Exhibit B are insufficient to complete the Project, the City agrees to secure and provide such additional non-LACMTA funds necessary to complete the Project.

7.3 The City shall be responsible for any and all cost overruns for the Project.

7.4 At any time, if the City receives outside funding for the Project in addition to the Funds identified in the Financial Plan at the time this grant was awarded, this Agreement shall be amended to reflect such additional funding.

7.5 If, at the time of final voucher, available funding for the Project (including the Funds, the City Local Match, and any additional funding) exceeds the actual Project costs, then the cost savings shall be applied in the same proportion as the sources of funds from each party to this Agreement as specified in Exhibit B and both the Funds and the City Local Match required for the Project shall be reduced accordingly. LACMTA shall have the right to use any cost savings associated with the Funds at its sole discretion, including, without limitation, programming the unused Funds to another project or to another City. If, at the time of final voucher, it is determined that the City has received Funds in excess of what the City should have received for the Project, the City shall return such overage to LACMTA within 30 days from final voucher.

8. TIMELY USE OF FUNDS:

8.1 The City must demonstrate timely use of the Funds by:
(i) executing this Agreement within ninety (90) days of receiving formal transmittal of the Agreement from LACMTA.
(ii) meeting the Project milestones due dates as agreed upon by the LACMTA and the City in the Agreement. See project milestones, Exhibit A.
(iii) expending the Funds granted under this Agreement for allowable costs within three (3) years after the execution of this agreement.

8.2 If the Project does not meet the milestone due dates as agreed upon in the Agreement, LACMTA will issue a notice of non-compliance to the City, and the City will be 12 Agreement #: 9200000000S1734
required to develop a written recovery plan illustrating in detail the City’s actions to resolve the delay and to meet the Project completion date agreed upon in the Agreement (the “Recovery Plan”). If the Recovery Plan is deemed viable by LACMTA staff and meets the Project completion date agreed upon in the Agreement, LACMTA may grant an administrative schedule update as long as the Funds are expended in compliance with (iii) above. If the City fails to submit a Recovery Plan within 30 days of the notice of non-compliance from LACMTA, or the Recovery Plan illustrates that the Project will not meet the milestones date in the Agreement, LACMTA may recommend termination of this agreement.

9. DEFAULT: A Default under this Agreement is defined as any one or more of the following: (i) the City fails to comply with the terms and conditions contained herein or in the Scope of Work; (ii) the City is consistently behind schedule in meeting milestones or in delivering the Project; or (iii) the City fails to perform satisfactorily or makes a material change, as determined by LACMTA at its sole discretion, to the Financial Plan, the Scope of Work, or the Project Funding without LACMTA’s prior written consent or approval as provided herein.

10. REMEDIES:

10.1 In the event of a Default by the City, LACMTA shall provide written notice of such Default to the City with a 30-day period to cure the Default. In the event the City fails to cure the Default or commit to cure the Default and commence the same within such 30- day period to the satisfaction of LACMTA, LACMTA shall have the following remedies: (i) LACMTA may terminate this Agreement; (ii) LACMTA may make no further disbursements of Funds to the City; and/or (iii) LACMTA may recover from the City any Funds disbursed to the City as allowed by law or in equity.

10.2 Effective upon receipt of written notice of termination from LACMTA pursuant to Section 10.1, the City shall not undertake any new work or obligation with respect to this Agreement unless so directed by LACMTA in writing. Any Funds expended after termination shall be the sole responsibility of the City.

10.3 The remedies described herein are non-exclusive. LACMTA shall have the right to enforce any and all rights and remedies herein or which may be now or hereafter available at law or in equity.

11. COMMUNICATIONS:

11.1 The City shall ensure that all Communication Materials contain recognition of LACMTA’s contribution to the Project as more particularly set forth in “Funding Recipient Communications Guidelines” available upon request. The Funding Recipient Communications Guidelines may be changed from time to time during the course of this Agreement. The City shall be responsible for complying with the latest Funding Recipient Communications Guidelines during the term of this Agreement, unless otherwise specifically authorized in writing by the LACMTA Chief Communications Officer.

FUNDS AND AUTHORIZING A PURCHASE ORDER WITH THE

JANKOVICH COMPANY TO PROVIDE DIESEL FUEL, MOTOR

COOLANT AND MOTOR LUBRICANTS FOR THE COMPTON FIRE

SUMMARY
Adoption of this resolution authorizes the City Manager to establish a purchase order in the amount not to exceed Eighty Thousand Dollars and Zero Cents ($80,000.00) with the Jankovich Company to purchase additional diesel fuel, motor oil, transmission fluids and radiator coolants for the remainder of Fiscal Year 2022-2023.

BACKGROUND
Provision and replacement of diesel fuel, motor oils, transmission oils, and radiator coolant is essential to the everyday response of fire apparatus. The purchase will allow fire department personnel to perform their daily duties and respond to emergencies with emergency apparatus that has been properly maintained.

Last year, the Department solicited and received three (3) bids from the following vendors for the purchase of fuel: (i) Jankovich ($0.09 a gallon); (ii) SC Fuels ($0.1379 a gallon); (iii) Wood Oil Co. ($0.18 a gallon). The Department determined that Jankovich is the lowest and most responsive to the needs of the Department. .

STATEMENT OF ISSUE
On December 13, 2022 the City Council adopted Resolution No. 25,754 to approve the Departments’ use of Jankovich for the purchase of petroleum products and fuel and issued a purchase order in the amount of $80,000. The Department has exhausted the current purchase order and needs an additional purchase order to pay for additional petroleum products and fuel for the remainder of the 2022-2023 fiscal year.

Staff is recommending that the Department continue to use Jankovich for the purchase of petroleum products and fuel.

5. City Council approval is needed because the expenditure is in excess of $25,000.00 Dollars.

The Fire Departments 2022-2023 Fiscal Year budget shall be amended to transfer funds between accounts as follows:

From:
