SUBJECT TO ANNUAL BUDGET APPROPRIATIONS

SUMMARY
Staff requests that the City Council adopt a Resolution authorizing the City Manager to execute an agreement with Agiloft, Inc. for implementation of a Contract Lifecycle Management (CLM) platform designed to support the City’s contract administration, legal matter management, and procurement workflow processes Implementation services will be performed by Spectrum Mobility, LLC, a third-party implementation partner.

The proposed platform consolidates three operational systems into a single configurable solution:
• Contract Management System
• Legal Matter Management System
• Procurement Workflow Management System

BACKGROUND
The City currently manages contracts, procurement documentation, and related legal matters through paper files, shared drives, email correspondence, and other decentralized systems across departments.

Agiloft, Inc. has proposed a Contract Lifecycle Management platform designed to centralize contract records, automate workflows, and improve the administration of contracts and legal matters. Implementation of the platform will be conducted by Spectrum Mobility, LLC.

7.7.7. Agiloft Inc

Page 2 ends

STATEMENT OF THE ISSUE
The City requires a more efficient and centralized system for managing contracts, procurement documentation, and legal matters. Reliance on paper and decentralized systems can result in delays in processing agreements and limited visibility into contract and procurement activities.

ANALYSIS / ALTERNATIVES
The Agiloft, Inc. platform provides a centralized digital system supporting the full lifecycle of contracts.

Key capabilities include centralized storage, automated approval workflows, contract tracking, legal matter tracking, and procurement workflow coordination.

Sole Source Determination: Staff conducted outreach to three additional vendors to assess whether alternative platforms could meet the City's combined operational requirements. The vendors contacted were CobbleStone Software, OpenGov, Inc., and PlanetBids, Inc. Following discussions with each vendor, staff confirmed that none could provide a single integrated system combining contract management, legal matter management, and procurement workflow coordination. Each platform reviewed addressed one or more of the City's needs in isolation but could not deliver the combined functionality required without reliance on multiple separate systems.

Based on this assessment, Agiloft, Inc. is the sole source capable of providing the integrated lifecycle management solution that meets the City's defined operational requirements.

PUBLIC BENEFIT / OPERATIONAL IMPACT
Implementation of a centralized lifecycle management platform is expected to improve operational efficiency, transparency, and coordination while reducing reliance on paper- based processes.

FISCAL IMPACT
The proposed agreement with Agiloft, Inc. will begin April 1, 2026, and continue through June 30, 2029. The annual subscription fee is $55,821. The first period (April – June 2026) is prorated to $13,955 for a total subscription cost of $181,418. Implementation services will be provided by Spectrum Mobility, LLC at a one-time cost of $76,000. The total cost of the subscription and implantation services combined is $257,418.

Agiloft Inc

Page 2 ends

Funds in the amount of Thirteen Thousand Nine Hundred Fifty-Five dollars ($13,955) for the prorated subscription will be available in the Department's Fiscal Year 2025-26 Budget in Account No. 1001-510-000-4222. Funds in the amount of Seventy-Six Thousand dollars ($76,000) for implementation services will be available in the Department's Fiscal Year 2025-26 Budget in Account No. 1001-510-000-4266. The remaining years will be budgeted in future budgets.

Fiscal Year Estimated Cost
FY 2025–2026 (Apr–Jun Subscription) $13,955
FY 2025–2026 (Implementation) $76,000
FY 2026–2027 $55,821
FY 2027–2028 $55,821
FY 2028–2029 $55,821
TOTAL $257,418

Order Terms
The Services provided under this Order are governed by the Agiloft Services Agreement, at https://www.agiloft.com/terms- policies/services-agreement/, unless the parties have entered into a separate agreement for the Services, in which case that separate agreement will govern (the “Agreement”). The terms of the Agreement are incorporated by reference into this Order. Capitalized terms used in this Order have the meaning ascribed to them in the online Agiloft Services Agreement, unless otherwise defined in this Order.

1. General
 During the Subscription Term, Customer may increase the Subscription Services provided under this Order, for example, by adding additional users or upgrading to a higher support package, by executing an add-on order but may not decrease the overall committed spend for the Subscription Services provided under this Order during the Subscription Term. Add-on orders must co-terminate with the originating order. No more than once a year, Customer may re-allocate license types so long as the committed spend for that year of the Subscription Term does not decrease.  Any special, discounted, promotional, or one-time pricing in this Order is only valid for the term of this Order and will not be applicable to future orders. Upon renewal of the Subscription Services in this Order, pricing will be adjusted to reflect the pricing model for the Subscription Services in place at the time of the renewal.  If access to the Subscription Services continues during the interim period between the end date of the expiring Order and the start date of a new Order, Customer shall be billed at Agiloft’s pricing model for the Subscription Services (and any enhanced support package) in effect at the time of the renewal, without any discount applied for units provisioned, on a pro-rata basis.

Such interim fees, if applicable, shall be invoiced separately and are payable in accordance with the terms of this Order.  Except as expressly provided in the Agreement, Services purchased under this Order are non-cancelable and non- refundable.

2. Payment & Purchase Orders
 Agiloft bills annually in advance for each year of the Subscription Term (the “Annual Billing Period”). For multi-year Subscription Terms, payment must be received on or before the start of each Annual Billing Period after the first year of Customer’s initial Subscription Term.
 If Customer requires a purchase order (“PO”), the PO for the first Annual Billing Period must be submitted to Agiloft via email at [email protected] no later than three days after the Order Effective Date. If a PO is required for future billing related to this Order, the PO must be submitted to Agiloft via email at [email protected] no later than the earlier of (a) sixty days prior to the start of the Annual Billing Period, and (b) a period no less than the length of Customer’s Payment Term prior to the start of the Annual Billing Period, as specified in the table below.  Failure to provide a required PO by the specified PO submission due date will result in Agiloft issuing an invoice without a PO reference. The payment due date for such invoices shall be determined in accordance with the Customer’s agreed-upon Payment Term, calculated from the invoice creation date. Customer agrees that any terms and conditions included in any PO, vendor portal or any similar Customer specific invoicing process are void and will not apply between the parties or to Customer’s purchase of the Services.
 This Order does not include any applicable sales tax or government fees, which will be added to the invoice, so any PO should include the relevant sales tax for your location. Credit card and P-Card payments are subject to a 3% service fee.
