Dear Customer:
As you are aware, City of Corona (“you” or “your”) and Contract Sweeping Services, LLC (“Contract Sweeping”) are parties to that certain Maintenance/General Services Agreement, dated June 16, 2021 (the “Agreement”). We are pleased to announce that Contract Sweeping intends to enter into an asset purchase agreement with SCA OF CA, LLC, a Delaware limited liability company (“Buyer”), pursuant to which Buyer will acquire all of the assets of Contract Sweeping (the “Transaction”). In connection with the proposed Transaction, Contract Sweeping intends to assign the Agreement to Buyer, whereby Buyer will assume and perform the Agreement after the closing of the Transaction (the “Assignment”) pursuant to the terms of the Agreement.
Contract Sweeping is requesting that you sign and return a copy of this letter to evidence your consent to the Assignment, your agreement that the Assignment will not constitute a breach or default under, or result in a termination of, the Agreement, and that the Agreement, as assigned to Buyer, will continue in full force and effect following the closing of the Acquisition.
Please indicate your consent to the foregoing by countersigning this letter below and returning an executed counterpart via e-mail to Manvendra S Saxena at [email protected]. This letter may be executed in any number of counterparts, and may be delivered by facsimile, e-mail or other means of electronic transmission, all of which will be deemed to be the same letter and will have the same legal effect as delivery of an original signed copy of this letter.
Please note that the Transaction has not been publicly disclosed and we respectfully request that the contents of this letter remain confidential.
