ENDMENT NUMBER ONE
TO PROFESSIONAL SERVICES AGREEMENT
WITH
DATA TICKET, INC.
Thi
s Amendment Number One (“Amendment”) is made and entered into this 17th day of January, 2023 (“Effective Date”), by and between the CITY OF COSTA MESA, a municipal corporation (“City”), and DATA TICKET, INC., a California corporation (“Consultant”).
WH
EREAS, City and Consultant entered into an agreement on January 1, 2022, for Consultant to provide parking citation processing services (the “Agreement”); and WH
EREAS, City and Consultant desire to amend the Scope of Services to include the additional services set forth in Exhibit “A,” attached hereto and incorporated herein by this reference; and
WH
EREAS, City desires to increase Consultant’s maximum compensation accordingly to One-Hundred and Thirty-Five Thousand Dollars ($135,000.00).

OW, THEREFORE, for valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:
1. The S
cope of Services shall be amended to include the additional services s et for
th in Exhibit A.
2. S
ection 2.1 of the Agreement shall be amended to reflect that Consultant’s total compensation shall not exceed One-Hundred and Thirty -Five Thousand Dollars ($135,000.00). Consultant shall be paid according to the fee schedule set forth i n the A
greement and Exhibit A of this Amendment.
3. A
ll terms not defined herein shall have the same meaning and use as set forth i n the A
greement.
4. A
ll other terms, conditions, and provisions of the Agreement not in conflict with this Amendment shall remain in full force and effect.
5. Thi
s Amendment may be executed in one or more counterparts, each of which shall be deemed an original. All counterparts shall be construed together and shall constitute one agreement.
