TERMS AND CONDITIONS
In consideration of the mutual covenants and agreements hereinafter set forth, Client and KLH Consulting, Inc. ("Contractor") do hereby contract and agree as follows:
1. Term. The Term of this Agreement will become effective on the "Commencement Date" described herein and will continue for 12 months.
2. Billing and Payment. Client agrees to pay Contractor for the performance of all work, as described herein and in any Service and Support Contract or other project-specific contracts entered into concurrently or in the future between the parties.. Time and material rates will apply for any services that are not covered under a Service and Support Contract or other project-specific contract. Client will be billed separately for Time and Material services at the then-prevailing rate. Interest will be assessed on all balances owed that remain unpaid more than 30 days past the date of invoice. The interest rate will be 1.5% per month on all past due balances, or the maximum allowable by law, whichever is less.
3. Termination. Contractor reserves the right to terminate its services for any past due amount extending beyond 30 days. Termination by either party in no way relieves the obligation of the Client to pay for services already rendered and materials already provided.
4. Independent Contractor. Contractor is an independent contractor and in performing the services specified in this Agreement shall be under the control of the Client only as to the result of Contractor's work and not as to the means by which said result is accomplished. Contractor retains the right to furnish whatever tools and equipment are necessary to complete the work contracted for, as well as the right to hire and control what other employees Contractor may require. Contractor is also free to contract for other and similar services to be performed for other clients while he is under contract with Client so long as such work is not performed on Client's premises.
5. Non-Disclosure and Confidentiality.
(a) "Contractor's Confidential Information" shall mean all information disclosed by Contractor to Client in any form which relates to the present or future business relationships or activities of Contractor, including but not limited to all sales, promotional, advertising, pricing, service level Agreements, support programs, technical documentation, web site content, reports, programs, systems, methodologies and diagrams. Client shall hold such Contractor's Confidential Information in trust and confidence for Contractor and shall not use it except as authorized by Contractor in writing prior to disclosure. Upon termination or expiration of this Agreement, Client shall promptly deliver to Contractor or destroy all information in any form that contains any such Contractor's Confidential Information. (b) Contractor agrees to hold in confidence all Client-designated confidential information, data, records, profiles, policies, and security infrastructure ("Client Confidential Information"). Client Confidential Information shall only be used in the course of providing services to the Client as defined in this Agreement or as required by court order. (c) Confidential Information of either Contractor or Client does not include any information which is or becomes publicly available other than as a result of a breach of this Agreement by Contractor or Client.
6. Compliance with Laws. The parties shall comply with all applicable municipal, state and federal ordinances, regulations and statutes.
7. Warranty. Every part of the work described herein to be performed by Contractor shall be performed in compliance to all applicable software and hardware manufacturers' recommendations. There are no other warranties or Quote #001347 v1 2324 Bethards Drive Santa Rosa, CA 95405 Page: 4 of 6 conditions, expressed, implied, statutory or otherwise applicable to the services or subject matter herein unless expressly provided.
