RESOLUTION OF THE COTATI CITY COUNCIL AUTHORIZING THE CITY
MANAGER TO NEGOTIATE AND ENTER INTO AN EXCLUSIVE NEGOTIATING AGREEMENT WITH FREEBIRD DEVELOPMENT LLC. FOR THE
DEVELOPMENT OF 120 E. COTATI AVENUE WITH A 100-PERCENT
AFFORDABLE HOUSING PROJECT
WHEREAS, the City of Cotati is the owner of three parcels of real property in the City of Cotati legally described as per Map recorded June 7, 1983 in Book 10, Pages 8 of Official Records, in the City of Cotati, County of Sonoma, State of California, APNs 144-274-014, 144- 274-015 and 144-274-002 as shown on the map on the attached Exclusive Negotiating Agreement (ENA) as Exhibit A and incorporated herein by this reference (“Property”); and WHEREAS, on March 30, 2024, the City issued a Request for Qualifications for the development of affordable housing, as defined and described in the City of Cotati Zoning Ordinance, on the Property (the “Project”) and the City is interested in exploring the feasibility of the Project with Freebird Development LLC as a potential developer of the Project; and WHEREAS, it is anticipated that the Project will include a range of 40-55 units at a mix of unit sizes and affordability levels, on-site parking, indoor amenity space including a community room, a lobby, laundry facilities and potentially a property management office and commercial space on the ground floor fronting onto La Plaza and East Cotati Avenue, with all units affordable to households with incomes not to exceed 120% of median income for Sonoma County, California, adjusted for actual household size appropriate for the unit, and as published from time to time by the State of California Department of Housing and Community Development; and WHEREAS, the purpose of the Agreement is to establish procedures and standards for the negotiation by the City and the Developer of a Disposition and Development Agreement (“DDA”) pursuant to which the Developer will conduct specified development activities related to the Property and the City will convey the Property, subject to a restriction requiring development of Affordable Housing, upon satisfaction of and subject to certain conditions to be negotiated.
NOW THEREFORE BE IT RESOLVED, that the City Council of the City of Cotati:
1. Finds that this action is exempt from the California Environmental Quality Act (CEQA) as entering into a negotiating agreement is not a project which has a potential for resulting in either a direct physical change in the environment, or a reasonably foreseeable indirect physical change in the environment, pursuant to CEQA Guideline section 15378. Future development of the project site will require separate environmental analysis under CEQA.
2. Authorizes the City Manager to enter into an Exclusive Negotiating Agreement with Freebird Development LLC, subject to final review by the City Attorney, with the goal of developing 120 E. Cotati Avenue with a 100-percent affordable housing development.
