RESOLUTION OF THE CITY COUNCIL OF THE CITY OF COTATI
APPROVING AN AMENDED SCOPE OF SERVICES AND CONTRACT
AMOUNT FOR THE SANTERO WAY SPECIFIC PLAN REZONING WITH
4LEAF INC. AND AUTHORIZING THE CITY MANAGER TO EXECUTE AN
AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT WITH
4LEAF INC. FOR A TOTAL CONTRACT AMOUNT OF $442,487 AND APPROVING A TOTAL NOT TO EXCEED PROJECT AMOUNT OF $482,487
WHEREAS, the City desires to employ a consultant to provide services related to, and to make certain updates and amendments to, the Santero Way Specific Plan area of Cotati and to expand the environmental analysis conducted to include implementation of Transit Oriented Communities (TOC) policies within the ½ mile radius of the SMART station; and WHEREAS, the work is to be performed in accordance with the terms and conditions described in the scope of services, including the budget and schedule, attached hereto as Exhibit A; and
WHEREAS, the City has initially determined that 4Leaf Inc. (and their identified subconsultants) as qualified by experience and ability to perform the planning related services desired by the City, and 4Leaf Inc. is willing to perform such services and has continued to support this determination in approving the expanded scope of work and budget amendment; and WHEREAS, 4Leaf Inc., and their identified subconsultants, Rincon Consultants Inc., will conduct all the work as described and detailed in a Professional Services Agreement with the City; and
WHEREAS, the original Professional Services Agreement with 4 Leaf Inc. was proposed to run until approximately July 2024, with a not to exceed amount totaling $378,000, was previously amended to include an additional $44,597 to cover the costs of the additional analysis resulting in a new maximum not to exceed amount of $422,591 and is now being modified again to include the cost of Rincon conducting a water supply assessment as required under SB 610 and SB 211 for a total additional cost of $19,896 and to include a separate $5,000 contingency; and WHEREAS, the original Professional Services Agreement with Carollo and Associates (Carollo) was amended on August 13, 2024 to cover any costs associated with the additional analysis resulting in a new maximum not to exceed amount for the Carollo contract of $35,000; and
WHEREAS, City staff has reviewed the scope of services provided by Rincon and finds it to be fair, reasonable and likely to meet the City’s requirements and needs of the Santero Way Specific Plan rezoning process, and the related CEQA analysis and documentation for the SWSP Update.
NOW THEREFORE BE IT RESOLVED the City Council of the City of Cotati does hereby:
1. Find that the foregoing recitals are true and correct and are hereby incorporated by reference.
2. Find that the action of contract approval does not constitute a project as defined by California Environmental Quality Act Guidelines Section 15378; therefore, no further environmental review is required.
3. Approve the budget amendment and updated schedule for the Scope of Services identified in the attached Exhibit A, proposed by Rincon Consultants Inc., and authorizes the City Manager to execute any needed amendments to the Professional Services Agreement with 4Leaf Inc. for a new not to exceed contract amount of $442,487 and an overall not to exceed project cost of $482,487.
IT IS HEREBY CERTIFIED that the foregoing resolution was duly adopted at a regular meeting of the City Council of the City of Cotati held on the September 24, 2024, by the following vote, to wit:
