Enhanced Infrastructure Financing District Policy
Introduction
On September 24, 2014, the governor approved Senate Bill 628, which authorized the formation of an Enhanced Infrastructure Financing District (EIFD). EIFDs were proposed as an alternative development tool following the dissolution of Redevelopment Agencies in 2012.
An EIFD is a tax increment financing district that allows one or more taxing entities to secure a portion of property tax increment revenues from a specifically defined area, to finance a broad range of public infrastructure and economic development projects of community-wide significance. An EIFD does not impose new taxes or any fees on property owners.
The County's participation in an EIFD is voluntary and requires Board approval. All requests for the County to participate in an EFID must be submitted to the County Administrator and the County’s Auditor-Controller-Treasurer-Tax Collector for preliminary review to ensure they meet the minimum requirements below to be considered by the Board of Supervisors.
Purpose
This policy establishes the minimum requirements for the County’s participation in an EIFD with one or more taxing entities. Because Cities and Counties are the only taxing entities that can create an EIFD, this policy assumes that a City is requesting the County’s participation in an EIFD. However, special districts may participate in an EIFD with the County and the County may form an EIFD as the sole property tax increment contributor.
The purpose of the policy is to protect the County’s interests, to provide guidance to staff evaluating proposals requesting County participation in an EIFD, and to ensure fiscal due diligence prior to a staff recommendation to the Board of Supervisors to participate in an EIFD.
Minimum Requirements
1. The City’s contribution of property tax increment as a percentage must be greater than or equal to the County’s property tax increment contribution.
2. The County will not contribute 100 percent of its property tax increment.
3. A fiscal analysis must be conducted by the City and must demonstrate a positive net impact to the County General Fund that is attributable to the tax revenue generated from the proposed EIFD and should account for avoided costs resulting from EIFD-funded projects.
4. In addition to supporting economic development, projects in the proposed EIFD must align with established Board strategic priorities in one or more of the following areas: a) affordable housing, b) climate adaptation and resilience, c) transit-oriented development, d) active transportation, or e) advancing racial and social equity. 274 of 324
County Administrator’s Office Financial Policy February 2024
5. An EIFD proposal must be consistent with Division 2 of Title 5 of the California Government Code (Section 53398.5 - 53398.88), which authorizes the formation of EIFDs.
Revisions to the Policy
The Board may revise this EIFD policy to include requirements for fiscal analysis, proposal standards, community engagement, or other requirements. 275 of 324

Re: City of Cotati and City of Rohnert Park Request for Proposals for Tax Increment Financing District Services
Dear Mr. O’Bid, Mr. King, City Staff, and Review Committee:
Kosmont & Associates, Inc., doing business as Kosmont Companies (“Consultant” or “Kosmont”) is pleased to present our proposal to the Cities of Cotati and Rohnert Park (“Client” or “Cities”) for evaluation and potential implementation of one or more Enhanced Infrastructure Financing Districts (“EIFDs”) or similar tool(s) within the Cities.
Kosmont, a certified Minority Business Enterprise (“MBE”) and Small Business Enterprise (“SBE”), was founded in 1986 by Larry J. Kosmont, Chairman and CEO. Kosmont is a full-service local government, economics, and real estate advisory firm with an award-winning track record of working with cities, counties, and other public agencies on economic development plans, infrastructure funding strategies, land use market analyses, business/industry attraction, and real estate projects, as well as real estate asset strategies and public finance transactions exceeding $12 billion.
Kosmont is extremely well-suited to provide the necessary advisory services to the Client, given our status as the State leader in the evaluation and implementation of EIFDs and other innovative publicprivate funding sources and financing mechanisms. Our firm possesses an unprecedented level of understanding, strategic thinking, and hands-on expertise necessary to successfully evaluate and implement these toolsfor the Cities.
Across California, Kosmont has facilitated the successful formation of more TIF Districts than any other firm since the dissolution of Redevelopment Agencies (22 of the 34 fully-formed EIFDs thus far), including current and previous work within the County of Sonoma in the cities of Santa Rosa, Sebastopol, Sonoma, and unincorporated County jurisdiction. No other firm has been as successful in facilitating multi-jurisdictional (e.g., city / county) partnerships in such special districts, as Kosmont has successfully facilitated the formation of six (6) city-county EIFD partnerships thus far, with two (2) additional city-county EIFD partnerships currently in the formation hearing phase.
Kosmont is actively engaged in over 50 other city and county TIF/EIFD evaluations and formations 278 of 324

EXECUTIVE SUMMARY
CITIES OF COTATI & ROHNERT PARK
Tax Increment Financing District Services
EXECUTIVE SUMMARY
Kosmont is proposing a three-phased approach, consistent with the Scope of Services included in the Request for Proposals (RFP). The first phase (Initial Feasibility Analysis) is intended to establish a foundation for staff and elected officials to understand options (district types, boundaries, partnership approaches between the Cities and Sonoma County) and the potential value proposition of one or more financing district(s), as the first “go / no-go” decision point, before investing more time and resources in Phase Two.
Phase Two involves General Fund fiscal impact considerations for the Cities and the County as a potential Partner (consistent with the County EIFD Policy), representing the second “go / no-go” decision point, prior to preparation of one or more Resolutions of Intention to initiate implementation proceedings in Phase Three.
Kosmont’s approach and budget represent anticipation of various possible outcomes. We think it is possible that one of the Cities may determine at some point (e.g., Phase Two) that implementation is not feasible or desirable, while another one of the Cities may wish to proceed with implementation. In this scenario, Kosmont might only support implementation in one of the Cities. Our proposed budget is intended to illustrate the cost savings that accompany multi-jurisdictional partnership, but we would like the Cities to know that Kosmont will remain agile and flexible as conditions change along the way, having learned from experience in this specific field.
We welcome the opportunity to discuss our approach verbally during an interview with Client representatives. 281 of 324

A. APPROACH TO SCOPE
PHASE ONE: INITIAL FEASIBILITY ANALYSIS
Task 1.1: Determine Type of District or Districts
Kosmont will conduct a high-level review of special purpose financing districts to determine if EIFDs and/or another type of financing district or financing tool best meets the goals of the Cities. These districts may include, but are not limited to:
• Enhanced Infrastructure Financing Districts (EIFDs) (SB 628/AB 313/SB 63/AB 1568/SB 1145/SB 961) • Community Revitalization and Investment Authorities(CRIAs) (AB 2/AB 2492) • Infrastructure and Revitalization Financing Districts (IRFDs) (AB 229) • Affordable Housing Authorities (AHAs) (AB 1598/AB 2035) • Climate Resilience Districts (CRDs) (SB 852)
• Disaster Recovery Districts(SB 782)
• Downtown Revitalization and Economic Recovery Financing Districts(AB 1445).
Kosmont will summarize Task 1.1 findings in a matrix format, including advantages, disadvantages, and notes on relevance of each district for the Cities.
Task 1.2: Identify Economic Development Opportunities and Financial Feasibility Kosmont will analyze the project areas in RFP Exhibit A and identify development and redevelopment opportunities, and if/how these projects overlap with former Redevelopment Agency areas, while determining infrastructure opportunities where those development/redevelopment opportunities are expected to be built. Kosmont will explore financial and other needs around these potential opportunities, including costs, and if they require a public/private partnership, and how those partnerships may take shape.
Kosmont will summarize Task 1.2 findings in map, text, and table format, identifying areas of Redevelopment Agency Project Area overlap, and quantifying the magnitude of potential development or redevelopment (e.g., number of residential units, hotel rooms, commercial / industrial square footage), as well as related infrastructure costs, where available.
Approach to Tasks: The prospective assignment and consulting services that Kosmont will provide will be of a relatively limited scope and duration, and advisory in nature. Kosmont will be making recommendations only, which advise the Client and jurisdictions, including their elected officials, appointed officials, and staff, which they can accept or reject by. None of Kosmont's staff will act in a capacity as an elected official, nor appointed official, nor as staff, nor as serving in a "designated" position.
Consistent with the RFP, Kosmont proposes a phased approach, where work would not continue into subsequent phases without written authorization in advance.

Task 1.3: Determine Financing Feasibility
Kosmont will prepare a preliminary funding and financing analysis, including parties and entities that would benefit and/or pay into the district, properties impacted, bonding capacity, revenue generation, and potential infrastructure needs within the boundary. Kosmont will help engage with potential public (e.g., Sonoma County ) or private partners (e.g., landowners, developers) to determine the feasibility of the proposed financing district(s).
Kosmontsummarize Task 1.3 findings in text and table format, including:
• Potential assessed value generation from future development in the district over time • Property tax increment funding capacity at select annual benchmarks and cumulatively over varying district lifetime (e.g., 10-,20-, 30-, 45-year periods)
• Varying levels of tax increment allocation by taxing entity (e.g., Cotati 25%/50%, Rohnert Park 25%/50%, Sonoma County percentage or dollar match)
• Initial estimates of potential bonding capacity (to be prepared by Kosmont Financial Services, registered Municipal Advisor)
• Comparison of potential revenue generation to costs of targeted infrastructure improvements.
Task 1.4: Provide Roadmap
Based on evaluated financial feasibility, Kosmont will draft a roadmap with estimated timelines for implementation of an EIFD and/or another type of financing district, including required approvals for district creation, timing for agreement between partner district entities, required public noticing, options for governance, governing board composition and operation, voting procedures, how project funding issuance is determined, and other critical factors.
Kosmont will summarize Task 1.4 findings in table format with estimated timing through approximately December 2026, including alternatives for utilizing “project areas” within each financing district, which would consolidate administrative functions, while allowing for separate tracking and spending of revenues by different geographic areas.
Task 1.5: Meetings and Outreach
Kosmont anticipates two in-person meetings in Phase 1 (one at each City Council meeting) and three virtual meetings with the Cities, the public, and other entities as needed.
Kosmont will staff meetings for maximum value and cost efficiency at the direction of Cities staff. The Kosmont team includes staff based locally in Sonoma County, which may allow for additional in-person meetings beyond those committed above.
Kosmont will not continue into Phase Two work without written authorization from Client in advance. 284 of 324

PHASE TWO: FISCAL IMPACT ANALYSIS AND PURSUIT OF TAXING ENTITY PARTNERSHIP Following Phase One analysis of the need for one or more special purpose financing district(s) in the Cities, should each City or both Cities wish to move forward with the creation of an EIFD and/or another type of financing district, Kosmont expects to prepare analysis of how such a district or districts would impact the Cities and other relevant entities.
Task 2.1: Fiscal Impact Report on Net Impact to Entities Kosmont will draft a fiscal impact and economic benefit analysis demonstrating the fiscal impact on each potential participating entity, were the financing district to be implemented, reflecting various possible tax allocation levels and durations by taxing entity (e.g., Cotati 25%/50%, Rohnert Park 25%/50%, Sonoma County percentage or dollar match, over 10-, 20-, 30-, 45-years).
Beyond property tax increment calculations, Kosmont will estimate other fiscal revenues (e.g., unencumbered property tax, direct and indirect sales tax, hotel transient occupancy tax), primary fiscal expenditures (e.g., public safety service costs, community services), and resulting net fiscal impact (fiscal revenues net of fiscal expenditures) to be generated for participating taxing entities from district implementation.
Consultant will additionally apply an IMPLAN-based analysis to estimate the employment (job creation), labor income (wages), and economic output (value of goods and services produced) benefits to be derived from both construction and ongoing operations within the financing district(s). Direct, indirect, and indirect (multiplier) impacts will be reflected.
Task 2.1 findings will be summarized in text and table form, with back-up spreadsheet detail available for Cities and County finance and other staff’s review.
Task 2.2: Outreach of Report
Kosmont will prepare and present the fiscal impact analysis to potential public and private entity stakeholders (e.g., real estate property owners, business owners, County Board of Supervisors, the staff for the Sonoma County AuditorController, Treasurer-Tax Collector, County Counsel, and the County Administrator’s office. Kosmont anticipates one in-person meeting and three to five additional meetings in total as part of Phase 2.
Kosmont will staff meetings for maximum value and cost efficiency at the direction of Cities staff. The Kosmont team includes staff based locally in Sonoma County, which may allow for additional in-person meetings beyond those committed above.
Task 2.3: Determination of Creation of Financial District Following outreach, Kosmont will assist in direction/confirmation on whether the Cities should proceed with an EIFD and/or another type of financing district formation together or separately or not at all.
Kosmont will not continue into Phase Three work without written authorization from Client in advance. 285 of 324
PHASE THREE: IMPLEMENTATION
Should one or both of the Cities determine they will move forward with an EIFD and/or another type of financing district together or separately, Kosmont will assist with implementation of said district or districts.
Task 3.1: Documentation for Implementation of Authority Kosmont will draft required documentation for establishment of the oversight board, such as a Public Financing Authority (PFA), including the Resolution(s) of Intention (“ROI”) and associated exhibits. Task 3.1 deliverables will include draft resolutions and exhibits for City Attorney(s) to review and draft staff report content for staff review.
Task 3.2: ROI Adoption
Kosmont will coordinate and assist with presentations, public noticing, and reports to provide at the required City Council and County Board of Supervisor meetings to adopt the ROI. Kosmont anticipates three in-person meetings as part of this Task.
Task 3.3: Preparation of Infrastructure Financing Plan (IFP) Kosmont will lead and collaborate with Cities staff to prepare the report and documentation for the required IFP(s).
Kosmont will collaborate with other third-party consultants (counsel, engineering, surveyors, etc.) as appropriate, and assist clerk staff with distribution of the IFP to taxing entities, property owners, and residents within the district as may be required by the relevant financing district statute. The IFP must include a legal description of district boundaries, public improvements to be implemented, location, timing, and costs of development and financial assistance, finalized tax increment projections, intention to incur debt (e.g., bonds), district termination date, taxing entity fiscal impact analysis, and replacement housing obligations.
Task 3.4: IFP Adoption
Kosmont will coordinate and assist with required presentations, public noticing, and reports at required City Council, County Board of Supervisors, and PFA meetings and hearings to adopt the IFP and form the financing district(s).
Kosmont anticipates up to two PFA public meetings, two PFA public hearings, two City Council meetings, and up to two meetings of the County Board of Supervisors per financing district (in-person or virtual as deemed mutually appropriate by the Cities, County, and Kosmont). Kosmont budget anticipates five (5) in-person meetings per financing district.
While Kosmont is not an attorney, deliverables will include draft content for required resolutions for review by the City Attorney, County Counsel, and/or special counsel. Kosmont will additionally assist in drafting and coordinating the required noticing (e.g., website, mailing, newspaper notices) of the PFA meeting and hearings.
Once the financing district is successfully formed, Kosmont will assist City staff in completing the required filings for Change of Jurisdictional Boundaries with the State Board of Equalization.

CITY OF FRESNO: Downtown and Blackstone BRT Corridor Enhanced Infrastructure Financing District (EIFD) Evaluation and Formation
Kosmont evaluated and led the successful formation of an enhanced Infrastructure Financing District (EIFD) encompassing approximately 4,200 acres in the Downtown and Blackstone Avenue Bus Rapid Transit (BRT) Corridor areas of the City, an area almost entirely comprised of Opportunity Zone and Disadvantaged Community Census Tracts.
The district will generate approximately $350 million in funding for transit and housing-supportive infrastructure to catalyze and support future growth and reinvestment into the local community. The Fresno City Council and the EIFD Public Financing Authority (PFA) approved the final Infrastructure Financing Plan (IFP) in September 2020, marking the first City-lead EIFD in the Central Valley.
