RESOLUTION NO. (XX)
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF COTATI APPROVING
A THIRD AMENDED AND RESTATED CITY MANAGER EMPLOYMENT
CONTRACT AND AUTHORIZING THE MAYOR TO EXECUTE SAME
WHEREAS, the current City Manager, Damien O’Bid became Acting City Manager on December 1, 2014; and
WHEREAS, following an open recruitment process the City Council selected and entered into a three-year agreement with Mr. O'Bid, commencing on April 15, 2015; and WHEREAS, the original agreement was extended on April 10, 2018 until July 9, 2018; and
WHEREAS, the agreement was extended on July 10, 2018 until July 9, 2021; and WHEREAS, on August 24, 2021, the City Council authorized an Amended and Restated Employment Agreement that extended the employment term to July 9, 2026; and WHEREAS, on August 23, 2022, in response to the extraordinary inflationary pressures and following the same changes for all other employees, the City Council authorized a 1% COLA increase, as well as an increase in life insurance from $100,000 to $150,000, and a modified longevity structure by approving the Second Amended and Restated Employment Agreement; and
WHEREAS, Damien O’Bid shall have all the powers, duties and responsibilities of the City Manager in the same manner as provided for in Chapter 2.12 of the Cotati Municipal Code.
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Cotati does hereby determine and find it is the desire for the City and Damien O’Bid to enter into a Third Amended and Restated Employment Agreement concerning compensation, benefits, terms and conditions of Damien O’Bid’s employment as City Manager.
BE IT FURTHER RESOLVED that the attached Third Amended and Restated Employment Agreement (Exhibit A) is approved and the Mayor is authorized and directed to execute same on behalf of the City.
IT IS HEREBY CERTIFIED that the foregoing resolution was duly adopted at a regular meeting of the City Council of the City of Cotati held on June 9, 2026, by the following vote, to wit:
