SUBJECT: RECOGNIZED OBLIGATION PAYMENT SCHEDULE PURSUANT TO HEALTH AND SAFETY CODE SECTION 34177(l) FOR THE PERIOD
JULY 1, 2022 THROUGH JUNE 30, 2023
RECOMMENDATION
• Consider and adopt Resolution SA2022-01, A RESOLUTION OF THE
SUCCESSOR AGENCY TO THE DISSOLVED REDEVELOPMENT AGENCY
OF THE CITY OF CRESCENT CITY APPROVING A RECOGNIZED
OBLIGATION PAYMENT SCHEDULE (ROPS) FOR THE PERIOD JULY 1, 2022 THROUGH JUNE 30, 2023, PURSUANT TO HEALTH AND SAFETY CODE SECTION 34177(L) AND (M)
BACKGROUND
Pursuant to Health and Safety Code Section 34172, the Redevelopment Agency of the City of Crescent City (“Agency”) was dissolved as of February 1, 2012. The City of Crescent City (“RDA Successor Agency”) is the successor agency of the Agency, and pursuant to Health and Safety Code Section 34173(g), the RDA Successor Agency is a separate legal entity from the City. The Oversight Board is responsible for approving the actions of the RDA Successor Agency pursuant to Health and Safety Code Section 34179, including the Recognized Obligation Payment Schedule (“ROPS”).
One of the responsibilities of the Successor Agency is to prepare a ROPS, which sets forth the nature, amount, and source(s) of payment of all “enforceable obligations” of the Agency (as defined by law) to be paid by the Successor Agency. This report is for the fiscal period July 1, 2022 through June 30, 2023.
This ROPS, once approved by the Successor Agency, must be submitted to the Oversight Board for approval. The Oversight Board is scheduled to meet January 19, 2022. The approved ROPS is required to be submitted to the Department of Finance, California State Controller, and County Auditor-Controller by February 1, 2022.
Successor Agency Staff Report
ROPS 22-23
January 10, 2022
2 ANALYSIS
Attached to the resolution as Exhibit “A” is the ROPS for the period July 1, 2022 through June 30, 2023. It is organized into the following sections:
Recognized Obligation Payment Schedule (ROPS 22-23) – Summary and Detail This report shows the estimated amounts to be expended and the funding source for those amounts. The Successor Agency has two potential sources of funding to make payments on recognized obligations and to cover administrative costs:
• Existing assets / fund balance
• Redevelopment Property Tax Trust Fund (RPTTF)
Of these amounts, the Successor Agency is required to use its assets first and then may apply for RPTTF to cover any shortfall to make approved payments toward recognized obligations. RPTTF is collected by the County and distributed to taxing entities pursuant to Health and Safety Code Section 34183. The remaining amount (called the residual) is potentially available to fund Successor Agency obligations. However, the Successor Agency may only request up to 50% of the difference between the projected residual and the actual residual from the base year 2012-13.
The ROPS 22-23 is based on the prior year actual amounts and a projection for the current year. If the actual current year amounts differ from the projection, the State Department of Finance will adjust the ROPS amount. If the State adjusts the ROPS amounts, the Successor Agency will adjust the payment accordingly and no additional action is required from the Successor Agency or the Oversight Board.
The proposed ROPS estimates $130,000 to make recognized obligation payments plus $5,000 for administrative costs. Of this amount, $63,000 is estimated to come from existing assets of the Successor Agency and $72,000 is requested from RPTTF funds.
Under AB 1484 (adopted in 2012), the outstanding SERAF loan is required to be paid before the Water Fund loan. That balance will be paid off this fiscal year. The payment amount of $130,000 in the FY 2022-23 ROPS will be used to pay down the Water Fund loan.
The Water Fund loan that was approved by the Department of Finance in 2015 was $685,286. (This is not the full amount the RDA submitted for approval, but DOF denied $518,433 and the City’s General Fund took over that portion.) Interest has been calculated on the Water Fund approved amount (based on LAIF rate at the time of the loan, as required under state regulations). The first payment of $5,296 is scheduled to be paid on the loan in the current fiscal year. The total amount to be repaid each year will depend on the RPTTF residual, which fluctuates from year to year. For FY 2022-23, the Successor Agency Staff Report
ROPS 22-23
January 10, 2022
3 amount is estimated at $130,000, although this may be adjusted by the State after its review.
Also under AB 1484, 20% of the Water Fund loan repayment must be paid into the Successor Housing Fund for affordable housing. Therefore, of the proposed $130,000 payment on the Water Fund loan, $104,000 would go to the Water Fund and $26,000 would go to the Successor Housing Fund.
The amount of the loan that cannot be repaid due to the Successor Housing Fund requirement could be either: (1) treated as an investment loss to the Water Fund, or (2) covered by the General Fund. Staff has been investigating the options with its Successor Agency consultant and legal counsel, and will report to the Council with recommendations at a later meeting.
Cash Balance Report
The Report of Cash Balances tracks Successor Agency cash flow and ending balances across several ROPS periods. This form provides transparency over the continual estimation and tax distribution true-up processes embedded in the State dissolution law.

The ROPS 22-23 financial report would authorize the Successor Agency to use $63,000 of its assets and request $72,000 from RPTTF funds for a total loan payment of $130,000 plus $5,000 in administrative costs. This is in accordance with the purpose of the Successor Agency, which is to wind down the affairs of the former Redevelopment Agency and pay its enforceable obligations.
Due to the timing of when final RPTTF information is available compared to the deadline for ROPS submission, the amounts provided are based on estimates only. If necessary, the DOF will make adjustments to the ROPS when final RPTTF amounts are known.

7 CITY COUNCIL AGENDA REPORT
TO: MAYOR GREENOUGH AND MEMBERS OF THE CITY COUNCIL
FROM: JON OLSON, DIRECTOR OF PUBLIC WORKS
DATE: JANUARY 10, 2022
SUBJECT: TOBACCO RETAIL LICENSE DISCUSSION
______________________________________________________________________
RECOMMENDATION
• Hear presentation from Amber Wier (with NorCal4Health) and her designees regarding what was covered in the tobacco ad hoc committee • Mayor Greenough and Council Member Smith report out on tobacco ad hoc committee
• Technical questions from the Council
• Receive public comment
• Further Council discussion
• Take action as necessary and appropriate regarding the consideration or creation of a tobacco retail license policy
BACKGROUND
On 19 April 2021, Amber Wier with NorCal4Health gave a presentation about tobacco use and sales in Crescent City and Del Norte County and recommended that the City Council adopt a tobacco retail license policy.
The Council decided to create an ad hoc committee to further review current tobacco policies, gain additional education regarding how tobacco is discussed in schools, what retailers have to do to sell tobacco, review of enforcement activities, and make recommendations to the full City Council regarding a possible tobacco retail license addition to the municipal code.
Mayor Greenough and Council Member Smith volunteered to participate on the ad hoc committee. City Council approved the selection. Jon Olson was selected to set up the meetings and Chief Griffin was also asked to sit on the committee along with Amber Wier.
The Committee met multiple times over the past several months and received a great deal of information from a diverse group of resources including educators, business owners, and advocacy groups. The final ad hoc meeting was conducted on 21 September 2021.
Tobacco Retail License Discussion
10 January 2022
2 ITEM ANALYSIS
Upon hearing the report from Amber Wier and the report out from Mayor Greenough and Councilmember Smith, the City Council may deliberate and direct staff to bring back additional information / presentation, a draft policy, or any other related action, or take no further action.
FISCAL ANALYSIS
Impacts to budget correspond directly to the council action that may be taken. To date only staff time has been utilized to support the tobacco ad hoc committee. Should the Council choose to implement an ordinance update related to tobacco regulations, there would be costs associated with staff time, planning consultant time, legal services, and publication costs. The City has approximately $4100 remaining in grant funds from The California Endowment for health-related policy updates that could be used for this purpose.

• Adopt Resolution No. 2022-02, A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF CRESCENT CITY AMENDING THE FISCAL YEAR 2021-22
BUDGET OF THE CITY OF CRESCENT CITY
BACKGROUND
SAFETY NEED 1
Pursuant to improving safety in the City of Crescent City utilizing RMAP funding, the City began last summer to investigate the Del Norte Library parking lot. On August 16, 2021 the Council approved a contract with Hemmingsen Contracting to remove the trip hazards and repave that portion of the parking area. Based upon a visual inspection by the City Engineer, it was decided to hire an expert to evaluate the large Monterrey Cypress trees amongst all the other trees located on City lots at and around Front Street. Included in the survey are the trees surrounding the Cultural Center, Fred Endert Pool, Beachfront Park, the Del Norte Library parking lot, and the parking lot on Front Street between G and H Streets.
On September 13, 2021, the City hired an arborist to evaluate the trees. Many trees were given the “green thumbs-up” requiring maintenance only, which will be conducted by the Public Works maintenance staff. However, the evaluation revealed that approximately 22 trees in addition to the cypress trees in the Del Norte Library parking lot were severely damaged by wind, disease, animal infestation, preventative maintenance, and many have reached their estimated life. The arborist determined that the likelihood of failure was “imminent” with the likelihood of impact being “likely” and the consequences being “high”
SAFETY IMPROVEMENTS USING RMAP FUNDS
JANUARY 10, 2022
2 due to the proximity of the trees to buildings and public vehicles. No options other than complete removal of the trees were offered.
SAFETY NEED 2
The City presently owns a QuantiFit machine located at the Washington Boulevard Fire Hall which has become inoperable during the last year. This machine is used by both the Police and Fire departments to evaluate the fit of masks used by public safety personnel.
The machine has exceeded its useful life, requires 20 minutes per test, and has been deemed not cost effective for repair.
ITEM ANALYSIS
Due to the hazardous condition and imminent failure of the trees, and therefore, the need to have the trees removed as quickly as practical, staff requested Turner Chopping, LLC to provide a quote for the work. Turner Chopping, LLC provided a quote of $12,605, which includes the following scope of work:
a. Mobilization of necessary equipment for falling trees (whole or in controlled sections)
b. The following trees to be fallen with minimal stump remaining… i. Eucalyptus #1 per Exhibit A page 1
ii. Eucalyptus #2 per Exhibit A page 1
iii. Eucalyptus #3 per Exhibit A page 1
iv. Cedar per Exhibit A page 2
v. Pine10 per Exhibit A page 2
vi. Pine12 per Exhibit A page 2
vii. Pine89 per Exhibit A page 2
viii. Pine567 per Exhibit A page 2 only remove 21” branch over Cultural Center
ix. Dozen trees along Elk Creek per Exhibit A page 2
x. Cypress per Exhibit A page 3
xi. Cedar per Exhibit A page 4
c. No removal of stumps, roots, wood chips, debris/slash is included in the quote Since the total cost of the work is less than $60,000 obtaining multiple bids is not required per City purchasing policy for public works contracts (CCMC 14.08.020). Please note that this tree removal project is separate and in addition to the Hemmingsen Contracting Co.
Cypress tree removal contract and the Hemmingsen Contracting Co. trip hazard and pavement project previously authorized. If the budget amendment is approved, the City Manager has contracting authority to sign an agreement with Turner Chopping, LLC to complete the work.
Purchase of a QuantiFit machine will enable the City Fire and Police departments to perform mask fitment checks on a timely basis and ensure proper use of their equipment.
The quoted machine will be able to perform a fitment check in 2 minutes compared to its predecessor which took 20 minutes. The quoted machine will come with adapters to enable fitment check for gas, SCBA, SAR, and 3M full face APR masks. It also will include a battery for portable operation and a 3-year service contract which covers calibration.
SAFETY IMPROVEMENTS USING RMAP FUNDS
JANUARY 10, 2022
3 The quote for the QuantiFit machine is $14,430 and is also within the City Manager’s contracting authority. (CCMC 14.12.020.)
FISCAL ANALYSIS
The City has received several Risk Management Accreditation Program (RMAP) awards in recent years from its insurance pool, Golden State Risk Management Authority. This program recognizes the City’s efforts to improve safety and reduce risk and liability. The City has used some of its RMAP funds in the past for safety-related improvements, such as sidewalk grinding (to reduce trip hazards), playground repairs, and updated vests for the Police Department. The use of RMAP funding reduces liability claims by eliminating potential causes of claims.
Approval of the attached resolution will authorize funds to be transferred from the Insurance Fund to the General Fund for the amount of the quotes plus 10% contingency, for a total budgeted expenditure of $29,788.
Turner Chopping, LLC Contract Amount $12,650
QuantiFit OHD Quote $14,430
Contingency $ 2,708
Total $29,788
STRATEGIC PLAN ASSESSMENT
GOAL 1: Support quality services, community safety, and health to enhance the quality of life and experience of our residents and visitors.
C. Empower and utilize Police, Fire, and Public Works departments to make Crescent City one of the safest cities in the United States F. Incorporate health considerations into decision-making across departments and policy areas by:
• Continuing to refine, adjust and use Community Policing Strategies and Programs to reduce crime, the fear of crime, and to engage public safety and community members in a partnership to improve the quality of life within our City
GOAL 2: Promote a thriving local economy
A. Evaluate and optimize additional revenue sources
F. Plan and prepare for the growth and future needs of the Crescent City community by:
• Expanding on the success of grant funding by maximizing utilization of opportunities with corresponding community needs

CITY COUNCIL AGENDA REPORT
TO: MAYOR GREENOUGH AND MEMBERS OF THE CITY COUNCIL
FROM: ERIC WIER, CITY MANAGER
BY: MARTHA D. RICE, CITY ATTORNEY
DATE: JANUARY 10, 2022
SUBJECT: REPORT ON BUSINESS NAMES AND ROLE OF BUSINESS LICENSES _________________________________________________________________
RECOMMENDATION
• Hear staff report
• Technical questions from the Council
• Receive public comment
• Further Council discussion
• Take action as necessary and appropriate
BACKGROUND
At the December 29, 2021 City Council Meeting, a local resident addressed the Council concerning the potential for duplication of business names within the City. The resident requested that the City not issue a business license for a particular named business if that name (or a similar name) is already being used by another business with a City business license. The City Council directed that staff look into the issue and report back to the Council.
ANALYSIS
The City Attorney provides the following report to the Council.
This report is not intended as legal advice to any member of the public. The purpose of this report is to educate and inform the Council concerning the matter. Any member of the public with questions regarding the law or process for protecting their business name needs to consult with their own legal counsel.
1. City Business Licenses
City business licenses are technically a revenue producing measure and not a regulatory measure. (CCMC 5.04.020.) In reality, however, each application for a business license notifies the City of the potential need for a health and safety inspection of a new business. Such inspection checks the business location for basic health and safety requirements (including compliance with basic building and fire codes) as appropriate for the type of business. City staff confirms the type of business is allowed in the proposed location, per zoning regulations. The City business license application is also a public record. Thus, any member of the public could request a copy of the business license and/or application for a particular business if they needed information as to business ownership or how to contact the owner.
The City does not monitor or regulate business names in any form or manner.
Proprietary rights in business names are already extensively regulated by state and federal laws. The following sections are intended to give a brief overview of current regulations.
2. The Basics – Protecting a Business Name
The ownership, protection, and registration of trademarks and trade names are governed on the federal level by the Trademark Act of 1946, commonly called the Lanham Act (15 U.S.C. § 1051 et seq.), and on the state level by the Model State Trademark Law (Bus. & Prof. Code § 14200 et seq. and by Bus. & Prof. Code § 14401 et seq.). Actions based on the unfair imitation of a name or designation that is not susceptible to exclusive use are governed by Bus. & Prof. Code § 17200 et seq. and common law unfair competition principles (see, e.g., Ball v. American Trial Lawyers Assn. (1971) 14 Cal. App. 3d 289, 300–302).
A state trademark registered under the Model State Trademark Law (Bus. & Prof.
Code § 14200 et seq.) can protect the name of a business at a state level. A federal trademark registered under the Trademark Act of 1946 (15 U.S.C. § 1051 et seq.) can protect the name of a business at a national level. Trademarks prevent others in the same (or similar) industry from using your trademarked names throughout California (for a state trademark) or throughout the United States (for a federal trademark). Businesses in every state are subject to trademark infringement lawsuits, which can prove costly.
California law also recognizes common law trademark rights. Common law is the body of law developed from court decisions instead of from laws written by the legislature.
Common law trademark rights offer relatively little protection as they are limited to the general geographic area in which the business operates and can be difficult to enforce as there is no clear “start” date for the trademark as there is when the trademark is registered with the state or the feds. As with all trademarks, common law trademark enforcement is up to the trademark owner. Enforcement means taking action if one learns that another business in the area is using a claimed trademark. If one fails to take action, then the trademark rights could be lost.
3. The Fictitious Business Name Statement
The Business and Professions Code requires that any entity or person that regularly transacts business in the State of California for profit under a fictitious business name must file a fictitious business name statement with the County in which the business is principally located. (Bus. & Prof. Code § 17910.) A “fictitious business name” is any business name or “trade name” that is not the true name of a legally-recognized entity.
The purpose of the filing of the FBNS is to make available to the public the identities of persons doing business under the fictitious name. (Bus. & Prof. Code § 17900.) The FBNS must also be published in a newspaper of general circulation once per week for four consecutive weeks. The County Recorder retains all filed FBNS and they are available for public inspection. Del Norte County maintains an online searchable database of FBNS that can be searched by the public free of charge.
There is, however, another use for the FBNS. If a dispute arises as to who has the right to use a particular business name, the fact that one person or entity has registered the name with a FBNS creates a legal presumption that the registrant has the exclusive right to use the fictitious business name (or any confusingly similar trade name) as a trade name in the county where the statement is filed. (Bus. & Prof. Code § 14411.) However, this is only a presumption and therefore, it may be overcome by other evidence. If more than one party files the same name or a confusingly similar name in the same county, then the party that filed first gets the presumption that it is entitled to use of the name in that particular county.
4. Remedies
In general, a business name dispute will begin with a “cease and desist” letter from the complaining party. This is a letter in which one party demands that the other party immediately cease using the name and articulates the basis for the complaining party’s superior right to the name. The ultimate recourse for the wrongful use of another’s trade name is a civil suit in either state or federal court, depending upon which law the plaintiff is suing under. The remedy may include an injunction (court order prohibiting future use of the name by the offending party) and/or monetary damages if the plaintiff can prove that it has been negatively financially impacted by the wrongful use of its trade name.
5. Recommendation
This summary is an oversimplification of the laws governing registering and protecting business names. It is meant to give the Council a general overview of the level of regulation that already exists regarding this subject matter. If the City were to enact an ordinance that regulated business names within the City, it still would not necessarily resolve an issue like the one that was brought before the Council on December 29. That is because the inquiry only begins with whether there is another business with the same or similar name with a City business license. Let’s assume that a business named Rice Bros. obtains a city business license in 2016 to sell widgets. In 2021, a business named Rice Brothers seeks a business license to sell widgets. Rice Brothers is out of luck, right? But what if Rice Brothers registered its name and business as a trademark with the Secretary of State in 2008 to sell widgets? Based on these simple facts, Rice Brothers legally has the superior right to use the name. Does the City deny them a business license? Does the City revoke the Rice Bros. business license? Should City staff be the judge in such matters? The answer is clearly “no”. Trademarks can be a complex area of the law best left for a court to resolve if there is dispute.
