Director Taylor explained to the Council that this item is to have a Partnership Agreement with Del Norte Association for Cultural Awareness (DNACA) for concerts in the park. This Agreement will include marketing, booking fees for the artist, technical services and towing and setup of the Fairgrounds Showmobile; which is estimated to cost in total, $4,000. The City will only be responsible for the actual costs and anything above $4,000.00, DNACA will fund. Council Member Schellong asked about the cost of travel and lodging will be covered by the DNACA and Director Taylor stated that yes, DNACA will cover it, it was written incorrectly in the Agreement.
Mayor Inscore asked if by approving this Agreement if it would take anything away from other projects/programs; Director Taylor stated it would not be taking anything away from other projects.
Council Member Schellong didn’t feel comfortable signing an agreement before a budget is fully secured. Mayor Inscore asked DNACA Executive Director Stephanie LaTorre when will she be planning the concert series; Director LaTorre stated she would be starting right away. Mayor Inscore asked about the $50 for marketing and it was very little and wouldn’t even cover one radio ad; Council Member Schellong stated that DNACA gets in kind marketing through BiCoastal Media. Mayor Inscore stated he wanted to ensure it was marketed as much as possible, so wanted to check the plan. Director LaTorre stated that marketing would include printed media, website, social media, radio, newspaper ads. Mayor Inscore stated that if more marketing is needed for this, Lynette Braillard of LuLish should be contacted for assistance. Council Member Schellong asked if the City would be notified in advance who will be selected for the concerts as she would like to see high energy entertainment to draw crowds. Director LaTorre stated she can provide the City with a list of who is being considered. Director Yeager stated that tying together themes for events that will tie into the DNACA performances would be a great idea. Mayor Inscore asked Director Leaver if a $16k commitment should be considered for tonight - $4k for Forest Moon and then $12k for DNACA to have three more concerts to include next year’s Forest Moon 3 | P a g e

concert. City Attorney Rice stated that the Agreement is only for 3 concerts which includes Forest Moon. Council Member Schellong stated that the Agreement is incorrect and should be changed from the not-to-exceed amount of $12k to $16k. Council Member Wright asked if $4k would be enough for next May; Director LaTorre stated that as that gets closer, it will be better known what the amount will be 2025.

COUNCIL OF THE CITY OF CRESCENT CITY AMENDING THE FISCAL YEAR 2023-24 BUDGET OF THE CITY OF CRESCENT CITY
Director Yeager reported to the Council that due to the slide between 7th and 8th on Pebble Beach Dr, there is currently an undercut road section – about 140 feet of roadway that staff would like to get repaired. CalTrans stated that due to the weekend storm event, they are trying to lump our damage into other damages in the area for funding. The slide is still active, is still a risk to the public and to traffic. There is a need for engineering or geotechnical work to see what needs to be done next. Additional barricades, signs and the asphalt needs to be pulled so people stop standing on it – that is the ask of $5,500. There are also handrails and preliminary engineering to see what needs to be done – ask is $30k. Council Member Schellong asked where the money would be coming from; City Manager Wier stated that it would come from the General Fund. City Manager Wier stated that Humboldt has already declared an emergency and we are next to do so that will potentially give us funding for this damage. Council Member Schellong asked if the Measure S Oversight Committee can be consulted to see if Measure S funds can be used for this project; City Manager Wier stated that if the Council is in consensus that could be an option. City Manager Wier stated that in the end it will be a local match. Mayor Inscore asked if the current active slide would dramatically change the project if the whole thing would be done; has what happened with this storm event changed the overall scope of the project that already existed.
Director Yeager stated that no, it does not change the project. Discussion on the larger project was held at length and it was decided to have it agendized to have an emergency fix should be needed for the funding options. City Manager Wier stated that on Wednesday would be a meeting at CalTrans to discuss funding.

3/18/24 COUNCIL MINUTES
Ethan Lawton, Planner from SHN, gave an overview of the General Plan Map Amendment for a proposed Roosevelt Estates (Phase 2). He gave an overview of the public hearing notice that went out to surrounding neighbors/property owners. This amendment will allow the development proposed by the developer. City Manager Wier asked what the maximum number of units that could have been built before this zoning change; Planner Lawton stated that it would have been 52, the increase is four extra units.
The following resident addressed the Council:
Mike Lovaas: owner of the property adjacent to this project and did not know that there would be a housing development built there. Stated that a potential tenant was concerned about having an auto body shop so close to this development and that he wanted something in writing from the developer stating tenants would be aware of the close proximity to a machine shop.
Gerry Hemmingsen, owner of Mor-Jon: stated he is in favor of more housing but is concerned that a residential project will put him out of business. He stated that there is a lot of industrial noise in the area and is concerned with the amount of traffic that this development will bring to California Street. Would like to have discussions about drainage.
Kevin Hawkins: is affiliated with the current project as his firm will be managing the property. He stated that anytime a large lot is sold after a long period of time, a lot of times adjacent property owners are dissatisfied that the open space is gone. Housing is desperately needed in our community and development such as this is something we should encourage as it is bringing 56 units for people to rent.
Sam Strait: is confused to who would be renting the units when there is discussion on moderate income and those on HUD. Mayor Inscore stated that this is being built as market rate, not lowincome. That because of the amount of the rent, it qualifies for a HUD voucher.
Patrick Hawkins: owner of First Service Plumbing - supported the project as it brings work for local contractors and we should be grateful.
Ernie Perry: stated the project before the Council only increases the density by 4 units, however, it still increases the density. He stated there are concerns with the adjacent businesses that believe this will impact their business. He further stated this is an amendment to an ordinance, not project specific. Suggested the Council add the language that it should be understood by tenants that they are moving to an industrial area.
Mayor Inscore stated that the project went through the Planning Commission is when the appeal process would have been available. He explained that there is no authority to change the project that has already been approved. The complaints brought up this evening should have been presented to the Planning Commission as that is the process. Planner Lawton stated for clarification that it is not called industrial zoning, this is commercial zoning. Regarding noise and order; general commercial use is allowed with noise that is considered normal. If there is a complaint, then the ordinance would be in effect – the commercial use is protected. Higher density serves as a transition between single-family homes to commercial property. He explained affordable housing and each of the levels of what constitutes as “affordable housing”. This project was published in the Triplicate and notices were sent to property owners with no appeals filed.
Council Member Schellong asked to clarify that no businesses will lose the ability to operate in this zone just because a tenant complains; maybe signs that says “large trucks” should be on the road; suggested that language be built within the lease stating it is an “industrial area” so the renters are aware of the potential noise.
Mayor Inscore closed the public hearing at 7:21 p.m.

Gerry Hemmingsen: is a proponent of the project, is concerned with the additional traffic.
Mike Lovaas: stated he never got notification of this project; lives in Ontario, Oregon and didn’t hear about it until someone sent him the publication from Wild Rivers Outpost. Would like to have all public notices to be sent registered mail.
Planner Lawton stated that first class, standard mail is all that is required, not registered mail. He stated that this particular property Mr. Lovaas references is owned by the family trust and that is where the notice was sent to. Notice is also circulated in the Triplicate. All of this was done within 10 days of the public hearing. Mayor Inscore asked if letters were sent to all property owners within 300 feet of the project; Planner Lawton answered in the affirmative. This project has been before the Planning Commission twice for the public to be given the opportunity to participate.

Council Member Schellong asked about how much the use permit will be; City Manager Wier stated that a fee schedule will come before the Council in April. Council Member Greenough asked if sandwich board signs be allowed or disallowed; Mayor Inscore stated they have been allowed. City Attorney Rice stated that it is outlined what the conditions are; City Manager Wier stated that a permit is required for the sandwich boards. Council Member Greenough asked about the over-the-counter permit for sandwich boards; City Manager Wier stated that there would be a conditional use permit. Planner Lawton stated that the sandwich board does not need a use permit, but the flowing sign will.
Sandwich boards were only allowed for grand openings. Council Member Greenough asked for this to be brought back to discuss the 90-day allowance for sandwich boards for a long-term permit. Council Member Schellong agrees with Council Member Greenough, especially since there are businesses on 3rd Street that are within the building and not off the street. City Manager Wier asked for Council clarification that they want sandwich boards allowed with no time limit; City Attorney Rice stated that the business can put in their application how the sign would be used and the time frame. The Council was in consensus to allow sandwich boards and for staff to work on all of it together. Mayor Pro Tem Altman was not in favor of continuing discussions on the sign ordinance as he felt it had already taken too long and the Planning Commission did what was asked of them. Planner Lawton stated that he wanted clarification if the whole ordinance was being overhauled; Council Member Schellong stated that only the allowance of sandwich boards and wind feather signs.
Mike Greer: is in favor of moving forward with this as is, asked for the Council to work on section 7 of the ordinance.
Darrin Short: stated that in regards to the time-limit for sandwich boards, if the wording changes on the board, does that make it a different one? Asked for language to be in the ordinance to be ADA compliant and safe to pedestrians. Would like the ordinance to be business friendly.
Mayor Pro Tem Altman asked for clarification that this will not be going back before the Planning Commission; City Manager Wier stated it is not. City Manager Wier stated that tonight is only to adopt the ordinance. Mayor Pro Tem Altman stated that the initial was to make this ordinance more lenient. And now we are talking about sandwich boards after the Planning Commission has worked on this for 2 years; Council Member Schellong stated that the first time the Council has heard this was in February. Mayor Inscore stated that the issue at hand is to allow sandwich boards; Mayor Pro Tem Altman stated that the initial reason this was brought before the Council was to reduce the amount of wind feather flags. Council Member Greenough stated that the goal is to have everyone on the same page. Council Member Schellong stated that rules weren’t being followed because of COVID when businesses just wanted to have it known that their business is open; would like to see additional language for sandwich boards with permit to be used without permit.

Director Yeager explained the analyzation that the Planning Commission went through and the problem with not having a permit. If there is an issue in town with a sign, there is no enforcement.

• Give direction to staff regarding the use of Zoom during public meetings City Attorney Rice stated that this item is for the Council to determine whether or not they would like to continue using the Zoom platform. She went over how the platform started to be used by the City during COVID and it allowed us to continue to meet without gathering in large groups.
Due to the public engagement via Zoom, the City continued utilizing it. Now that things are getting more normalized, the platform is no longer as utilized by the public as before. It is more useful for meetings at a staff level. Recently this platform has been used by people outside of our community to say offensive comments. A lot of cities are moving away from this platform. She explained that due to the First Amendment, even if someone says something that one finds offensive, they still have the right to do so and cannot be silenced. City Attorney Rice stated that we are not required to offer public comment via Zoom. It can still be used for staff members or presenters to attend remotely, but not legislators. City Manager Wier stated that this does not prohibit us from using the live feed on YouTube; City Attorney Rice concurred.
Sam Strait: stated that currently we are three hours into the meeting and the public participation is slim. He further stated any way the public be allowed to attend the meeting should occur, however, understands the Council’s position.
Darrin Short: stated that the County has discontinued Zoom and has saved $2k; he stated that the public can be in person, email, mail a letter to address the Council if needed be. He stated tha the 72 hour posting of the agenda may not allow someone to give public comment in time. Is in support of the County’s decision to no longer use Zoom. 7 | P a g e

Ethan Lawton: stated that many jurisdictions have wrestled with this decision; encouraged the City to remember their vision and mission when making this decision.
Mayor Pro Tem Altman stated that the Zoom option for the City for the last five meetings hasn’t been working properly; is in agreement to discontinue Zoom. Council Member Wright stated he has never been a fan of Zoom and is in agreement to discontinue. Council Member Schellong is torn, does not want to take it away from the public, but also does not want to subject young children to the foul language that has been used on the platform. Council Member Greenough stated that the pandemic brought this platform forward and it has been a good resource. There is always a risk that someone is going to say something that is reprehensible, however it is their right to do so. Is in favor of continuing the Zoom option. Mayor Inscore stated that he doesn’t disagree with anything said on the dais; before the pandemic, it was always believed that we were giving access to the public. He further stated that even before the public comment via Zoom from last meeting, he had contemplated discontinuing the Zoom option.
Sam Strait: stated that conversations include facial expressions and hand gestures, if you are not in the room, how valuable is the comment.
Council Member Wright prefers public comment be given in person; when comments are directed at you, it gives a different perspective. He stated that the comments from last meeting did not reflect Del Norte County at all and is in favor to discontinue using Zoom. Council Member Greenough stands by his decision to continue Zoom. Mayor Pro Tem Altman wishes that there was a platform that worked properly and respects Council Member Greenough’s opinion. Further stated that he would like a screening process much like TV and radio. Council Member Schellong asked City Attorney Rice when the caller can be redirected; City Attorney Rice stated that it is when they are off topic and not tying their comment into an agenda item.

SUBJECT: DECLARING THE CONTINUANCE OF AN EMERGENCY DUE TO
CONTINUOUS SLIDE ACTIVITY ALONG PEBBLE BEACH DRIVE
__________________________________________________________________________
RECOMMENDATION
• Declare by a 4/5 vote that there is a need to continue the emergency action for the continuous slide activity along Pebble Beach Drive between 7th and 8th Streets per Public Contract code § 22050
BACKGROUND
At the February 5th City Council meeting, the Council declared an emergency pursuant to Public Contract Code Section 22050. This declaration of emergency allows the City to by pass the normal competitive bidding process in order to procure services and contractors to address the emergency; in this case, the continual slide activity that has undermined a section of Pebble Beach Drive between 7th and 8th Streets.
As of the posting of this agenda there are not any additional updates or significant changes in the current emergency. City staff are maintaining communication with Coastal Commission staff regarding permitting and Caltrans / California Office of Emergency Services regarding funding as well as engaging with State Senator McGuire’s and Congressman Huffman’s Office. These meetings have been productive and all agencies are fully aware of the emergency situation as well as the funding challenges. The last conversation with the California Office of Emergency Services indicated they actively working on evaluating this project, although they could not commit to an exact timeframe when a determination will be made.
As a reminder, the City has applied for Emergency Opening (EO) funding with Federal Highways Administration (FHWA) and administered through Cal Trans. If approved, EO funding is 100% reimbursable. Once granted the EO funding has to be spent within 270 days. These funds are intended to cover only the immediate costs to stabilize the emergency, reopen the roadway, and provide for public safety. It is not yet guaranteed Pebble Beach Slide Emergency Declaration

that EO will be granted. If granted, the timeline for reimbursement is also not yet known.
Staff is continuing to work on funding options for this portion of the repair work.
ANALYSIS
The Public Contract Code requires the City to revisit whether an emergency declaration allowing the City to contract without formal bids is still necessary at each regular meeting.
It is necessary to continue the emergency action as the slide has yet to be fixed. The City will only be able to complete a “temporary” fix, which itself is complicated by its coastal location. Funding, design and construction will all need to come together in a very short window of time. This window is not enough time to competitively let bids.
FISCAL ANALYSIS
Both the immediate emergency costs and the permanent repair costs are unknown as the scopes of work for both are unknown at this time.

SUBJECT: MEASURE S OVERSIGHT COMMITTEE APPOINTMENTS
_____________________________________________________________________
RECOMMENDATION
• Confirm the Mayor’s appointments of Ernie Perry and Dana Reno to the Measure S Oversight Committee
BACKGROUND
On November 3, 2020, the voters of the City of Crescent City approved a 1.0% local transactions and use (“sales”) tax and the City Council has formally adopted the Ordinance. Imposition of the sales tax began April 1, 2021. Ordinance No. 824 provides for the appointment of an oversight committee made up of two non-voting staff members and five voting City resident members. The Ordinance charges the oversight committee with reviewing and publicly reporting on the expenditure of revenues generated by the tax. In addition, the Bylaws for the Committee task it with also advising on the expenditure of anticipated revenues as part of the annual budget process. Committee Members serve two-year terms.
ITEM ANALYSIS
Two committee member positions are up for re-appointment for the 2024-2025 term. The Mayor has the duty to appoint members to the Committee, subject to the confirmation of the City Council. Committee members must be residents of the City and at least 18 years of age. The City advertised for the appointment and has received two applications, one from Ernie Perry and one from Dana Reno.
Mr. Perry and Mr. Reno’s applications were reviewed by the Mayor, who appointed the applicants to serve on the Committee and are presented to the Council at tonight’s meeting for confirmation. If Mr. Perry and Mr. Reno’s appointment are confirmed, there will remain one additional vacancy on the committee (term ending 12/31/2024). The City is still accepting applications for that vacancy until it is filled.

DATE: APRIL 1, 2024
SUBJECT: BUDGET-TO-ACTUAL FINANCIAL REPORTS FOR FEBRUARY 2024 ______________________________________________________________________
RECOMMENDATION
• Receive and file budget-to-actual financial reports of the City’s major operating funds for Fiscal Year 2023-24 as of February 29, 2024
BACKGROUND
In order to provide timely information to the City Council and to the public, the City’s Finance Department has prepared the attached monthly budget-to-actual reports. These reports provide a summary as of February 29, 2024 of the fiscal year-to-date revenues and expenses of the City’s major operating funds: General Fund, Housing Authority Fund, RV Park Fund, Sewer Fund and Water Fund.
ITEM ANALYSIS
As of February 29, 2024, we are 67% through the fiscal year, with 33% of the year remaining. If revenues were received and expenditures made evenly throughout the year, there would be 33% of each budget line remaining. However, revenues and expenditures are not even throughout the year for many reasons. Many revenues are not received evenly throughout the year (particularly tax revenues and grant reimbursements), most expenses are not recorded until the invoice is received in the following month, and budgets may include large projects that have not yet been completed. In addition, many revenues and invoices (expenses) received by the City during July and August have been accrued back to FY 2022-23, which can result in July and August activity appearing to be very low.
This report summarizes the actual revenues and expenditures for the year to date; additional information is provided in the budget-to-actual reports attached. • General Fund
BUDGET TO ACTUAL REPORT AS OF FEBRUARY 29, 2024
APRIL 1, 2024
2 General Fund revenues show that 45% of the budgeted amount is yet to be received. This is dependent on the timing of when certain revenues are received.
For example, most taxes, third party billings, and grant reimbursements are recorded quarterly. In addition, many revenues received in July and August will be accrued back to Fiscal Year 2022-23. General Fund actual expenditures show that 47% of the budgeted amount is yet to be expended.
• Housing Authority Fund
The Housing Authority is funded by monthly disbursements from the federal government. At this point, actual revenues show 37% remaining to be received and actual expenditures have remaining amounts of 41%.
• RV Park Fund
Revenues collected by the Recreational Vehicle Park (RV Park) show 30% remaining to be collected. RV Park revenues are highly seasonal, and most rental revenues are typically received in the summer months. Actual expenses in the RV Park show 50% of the budget left to be expended.
• Sewer Fund
The Sewer Fund earns revenue primarily from charges to the users of its services.
Actual revenues show 35% of the total revenue budget remaining to be collected.
Operational expenses (not including debt service or capital improvements) show 44% of the budget remaining to be expended.
• Water Fund
The Water Fund earns revenue primarily from charges for service. Actual revenues show 28% of the budget remaining to be collected and 44% of budgeted operational expenses (not including debt service or capital improvements) remaining to be expended.
• Summary
The following table summarizes the actual revenues and expenses for the City’s five major operating funds, not including encumbrances:

3 • Long-term Liabilities
The City’s long-term liability balances are included in the table below. Net Pension Liability, Net OPEB Liability, and Compensated Absences are updated annually during the audit process. These amounts below are from the most recent audit that has been completed (June 30, 2023). The Sewer Fund and Water Fund loan balances are updated when payments are made (in July for the Sewer Fund loan, and in December and June for the Water Fund loan). These do not include interfund balances (amounts owed from one City fund to another).

COUNCIL OF THE CITY OF CRESCENT CITY AMENDING THE FISCAL YEAR 2023-24 BUDGET OF THE CITY OF CRESCENT CITY
BACKGROUND
Phase 1 of Front Street improvements (from B to G Streets, along with some other local streets), was funded by a Community Development Block Grant (CDBG) and was substantially complete on January 26, 2021.
On May 22, 2023 the City Council approved and authorized the City Manager to sign a construction contract with Tidewater Contractors, Inc. for the construction of Front Street from G Street to I Street. Front Street improvements for the I Street to Play Street block were included in the Alternative Bid items in the contract. The City had secured the base bid funding in the aggregate amount of $2.2 million from Measure S, American Rescue Plan Act (ARPA), Del Norte Local Transportation Commission (DNLTC), and the City’s General Fund. The alternate bid item I Street to Play Street had funding from Housing and Urban Development (HUD) Federal Community Grant in the amount of $750,000 and TIDEWATER CCO6 BID ADDITIVE – FRONT STREET, I ST TO PLAY ST APRIL 1, 2024
2 an additional $515,000 from Coronavirus Response and Relief Supplemental Appropriations Act (CRRSAA) State Transportation Improvement Program (STIP) and CRRSAA TIP. However, due to federal funding approvals of the sources for the bid alternate, only the base bid project could be awarded at that time.
With anticipation of funding approval, on July 10, 2023, Change Order #1 for $126,540.00 was issued to Tidewater to order the long-lead time water components of the Alternative Bid.
In February 2024, all funding conditions had been met allowing for the CRRSAA funds and Federal Community Grant funds to be used to complete the alternate bid scope of work from I Street to Play Street.
ITEM ANALYSIS
To complete the construction of Front Street between I Street and the Play Street including that intersection, Contract Change Order #6 includes the entire bid additive, less the water items that were already included in CCO #1. Some of the item quantities have been changed to reflect changes in the scope. These changes included reducing the quantity of the stamped concrete on the south side of Front Street. A new item of work was added to replace the south sidewalk with unstamped/uncolored concrete. The combined total of the adjusted scope of work is $1,351,319.00.
To complete the storm drain work through the Play Street intersection, an existing sanitary sewer line which was running through an existing storm drain manhole has to be relocated. Therefore the project needs to add sewer funds for sewer plan drawings so a cost for this sewer work can be obtained from the contractor. Although exact costs will not be known until the design is complete, the total estimated cost of the sewer improvements is $35,000.

Funding to complete the next block of Front Street through the Play Street intersection is short approximately $33,000 for the Street portion and as stated above $35,000 for the sewer improvements.
The City currently has ARPA funds available that must be spent by December 2024. Of the remaining ARPA funds, $30,000 was intended to be set aside for the City’s required grant match if the application for a Downtown Plan is awarded (grant application to be submitted to the Economic Development Agency). If the City is awarded the grant, the project would need to go out for proposals, staff is uncertain whether the project would be completed by the ARPA spending deadline. Therefore, staff recommends reallocating $30,000 of the remaining ARPA funds to the Front Street project. If the EDA grant application is successful, staff recommends the match would be funded using remaining funds we have already received from the California Endowment, which were earmarked for an economic resiliency project that has come in under budget. The remaining California Endowment funds need to be spent on an economic development project, which would be a good fit for the Economic Development Administration (EDA) grant project. The remaining $3,000 needed to fully fund Change Order No. 6 can be covered using funds disencumbered from previous projects that came in slightly under budget.
The budget adjustment required for the recommended actions will include:
• For the street portion:
o Remove $30,000 revenue (ARPA) and expense (EDA grant match) from the General Fund budget
o Add $30,000 revenue (ARPA) to the General CIP Fund
o Increase CIP expenses in the General CIP Fund $33,000 (using the $30,000 ARPA funds plus $3,000 from disencumbered funds) • For the sewer portion:
o Add $35,000 expense to the Sewer Fund (to transfer money to the Sewer CIP Fund)
o Add $35,000 revenue (to receive the transfer from the Sewer Fund) and expense to the Sewer CIP Fund
TIDEWATER CCO6 BID ADDITIVE – FRONT STREET, I ST TO PLAY ST APRIL 1, 2024
5 It is likely that additional contingency funding may be needed to complete the street project. Staff recommends requesting $75,000 in contingency funds from Measure S.
Staff will be meeting with the Oversight Committee on April 3, 2024 to make this request.

AUDITING SERVICES

RECOMMENDATION
• Hear staff report
• Technical questions from Council
• Receive public comment
• Further Council discussion
• Approve and authorize City Manager to sign the Professional Services Agreement with Badawi & Associates
BACKGROUND
The City Council engages a Certified Public Accountant (CPA) to independently audit the financial statements of the City. This annual audit is required by law and by the standards issued by the Government Accounting Standards Board (GASB), and provides significant benefits to the City and to the public:
• Provides users of the City’s financial reports (including citizens, governmental agencies, granting agencies, and others) with assurance concerning the reliability and fair presentation of the financial reports • Provides the City with professional guidance and support in evaluating the City’s internal controls and financial management
• Acts as a resource for City staff regarding the implementation of new GASB and legal requirements
Under California Government Code Section 12410.6, local agencies must change either their auditing firm or the primary audit partner at least every six years. The City’s audit partner was Mitesh Desai (with Badawi & Associates) for the last five years and was PROFESSIONAL SERVICES AGREEMENT – BADAWI & ASSOCIATES
APRIL 1, 2024
2 Ahmed Badawi (Badawi & Associates) for the five years prior to that. As the current audit agreement expires with the conclusion of the FY 2022-23 audit, the City issued a Request for Proposals (RFP) on February 1, 2024.
The RFP followed the guidance of the Government Finance Officers Association (GFOA) best practice for audit RFPs:
• Governmental entities should undertake a full-scale competitive process for the selection of independent auditors at the end of the term of each audit contract. • Governmental entities should enter into multiyear agreements of at least five years in duration when obtaining the services of independent auditors. • The audit procurement process should be structured so that the principal factor in the selection of an independent auditor is the auditor’s ability to perform a quality audit. In no case should price be allowed to serve as the sole criterion for the selection of an independent auditor.
The RFP specified the selection criteria would be weighted 75% for technical qualifications and 25% for cost. The selection panel was made up of the Audit Committee (Council Member Kelly Schellong and Mayor Blake Inscore serving as alternate) and two members of staff (City Manager and Finance Director).
ITEM ANALYSIS
The RFP for professional auditing services was released on February 1, 2024 and sent directly to 10 auditing firms recommended by other cities, posted on the California Society of Municipal Finance Officers website, posted on the City’s website, and sent to six firms that have previously registered with the City to receive RFPs and bid announcements.
The proposals were due March 1, 2024 and two were received (Badawi & Associates and Chavan & Associates). The selection committee interviewed both firms on March 14, 2024.
After extended discussion, the audit selection panel unanimously agreed to recommend entering into an agreement with Badawi & Associates. The decision was made based on the selection criteria listed in the RFP as follows:

Technical quality
Responsiveness of proposal 10

Although the proposal from Badawi & Associates was not the lowest cost (approximately $10,000 - $13,000 more per year), the panel agreed that Badawi & Associates would be the best fit for the City. The firm specializes in the audits of cities (rather than private businesses, nonprofits, or other government entity types) and has extensive experience with auditing cities comparable to Crescent City. They also have greater experience with Single Audits (required for cities that receive more than $750,000 in federal grants) and Housing Authority audits. Their staffing plan and auditing approach are very thorough as well as their technical expertise and understanding of the City’s auditing needs.
Because Mitesh Desai (with Badawi & Associates) has been the primary auditor of the City for the last five years, he can only audit the City for one additional year. After that, the audit partner will change to Ahmed Badawi. This rotation of primary audit partner provides for the City’s compliance with the government code and GFOA best practice and would be recommended in any case to ensure that “fresh eyes” are looking critically at the City’s finances and internal controls.
FISCAL ANALYSIS
The agreement with Badawi & Associates is for three years with an option to extend for two additional years. The annual fees include auditing the City’s financial statements, Single Audit, Housing Authority audit and REAC submission, Measure S audit, Gann (appropriations) limit, assistance with GASB statements, report on internal controls, annual presentation to the City Council, annual training, and assistance with accounting matters throughout the year.
The fees are allocated across all major City funds and included in each year’s budget.

16.8 VERIFICATION OF COVERAGE. CONSULTANT must provide with Certificates of Insurance for all required coverages as well as Declarations and applicable Endorsement Pages prior to commencement of work. 16.9 SUBCONTRACTORS. CONSULTANT must require and verify that all subcontractors, if any, maintain insurance meeting all of the requirements stated herein. CITY COUNCIL AGENDA REPORT
BACKGROUND
The HOME Investment Partnerships Program (HOME) is a federally funded program through the Department of Housing and Urban Development (HUD). This funding provides loans or grants to eligible HOME applicants serving low-income and very lowincome households (below 80% of the Area Median Income). The principal objective of HOME is the creation and retention of affordable housing.
As a State Recipient (unit of local government designated by the State to receive HOME funds), Crescent City may apply for HOME funding through the State Department of Housing and Community Development (HCD). HCD receives funding from the federal government and releases a Notice of Funding Availability (NOFA) to invite applications.
The 2022-2023 NOFA was released February 2024 and applications are due no later than April 9, 2024. The total funding for the NOFA will be a minimum of $120 million.
HCD will allocate $66 million for rental projects and $60 million for rural areas inclusive of rental projects.

• Approve and adopt Resolution No. 2024-20, A Resolution Authorizing Submittal of an application for HOME Investment Partnerships Program funding under the 2022-2023 NOFA for Valhalla Townhomes located at 911 Pacific Avenue in the amount of $3,150,000; and
• Authorize the City Manager to sign and submit the Applicant Certification and Commitment of Responsibility
HOME APPLICATION
April 1, 2024
2 Eligible uses of HOME funds are as follows:
Project Activities
• Multi-family Rental Projects (new construction and/or rehabilitation with or without acquisition); and
• First-Time Homebuyer (“FTHB”) Projects (subdivision development) Program Activities
• FTHB Programs, including in-fill new construction programs where feasible; • Owner-Occupied Rehabilitation (“OOR”) Programs; and
• Tenant-Based Rental Assistance (“TBRA”) Programs with a minimum of 50% of the funds reserved for Rural areas.
The City of Crescent City would submit its application under Project Activities, MultiFamily Rental Project, as a loan to a developer to rehabilitate a low-income housing complex.
ITEM ANALYSIS
The grant application for $3,150,000 is broken up as follows:
$3,075,000 Project Costs
$3 million Loan to Developer
GreenShoots Communities, LLC / GS Valhalla, LP (“Applicant”) acquired Valhalla Townhomes (911 Pacific Ave) on December 19, 2023. The acquisition includes a substantial rehabilitation of the entire complex consisting of nine buildings and 45 twobedroom units. Renovations are currently in process and include: new roof and gutters, parking lot and sidewalk repairs, replacement of all kitchen and bathroom cabinets and counters, as well as appliances, interior lighting, heaters and hot water heaters as necessary. At the conclusion of the renovations, there will be 5 units with ADA mobility features and 2 units with ADA communication features. Forty-four (44) of the units will be reserved for tenants with a household income between 30% and 80% of the area median income. One unit will be utilized for an onsite manager’s unit.
Current financing for the project includes California State tax exempt bonds, federal lowincome housing tax credits, California state certificated low-income housing tax credits, Developer Debt of $815,000, and a Crescent City LMIHF Loan of $300,000.
The $3.075 million HOME Loan to the project would allow the Developer to lower the amount of permanent debt, allowing the project to continue to charge existing tenants lower than maximum affordable rents while also increasing the financial strength of the property. It would also be used to repay Developer Debt and Deferred Fees. $75,000 Project-Related Soft Costs (Grant to City)
Eligible uses of the Soft Costs Grant by the City include staff and overhead costs of the participating jurisdiction directly related to carrying out the project, such as work specifications preparation, loan processing inspections, and other services related to assisting potential owners, tenants, and homebuyers, e.g., housing counseling. Other eligible expenses include staff and overhead costs directly related to providing advisory
HOME APPLICATION

3 and other relocation services to persons displaced by the project, including timely written notices to occupants, referrals to comparable and suitable replacement property, property inspections, counseling, and other assistance necessary to minimize hardship. $75,000 General Administration (Grant to City)
Eligible uses of the Administrative Grant by the City include payment of expenses related to general management, oversight, coordination, and staff and overhead related to the project. (See Attachment 5 – Eligible Administrative Costs for full detail of Administrative Funds Grant eligible expenses.)
Timeline
Due to the short timeframes, staff will need to move quickly to complete the application.
The anticipated schedule is shown below:
2022 – 2023 NOFA released January 19, 2024
2022 – 2023 NOFA opens February 12, 2024
Council authorization to prepare application April 1, 2024 2022 – 2023 Applications due April 9, 2024
2022 – 2023 Award announcements Sept - October 2024
2022 – 2023 HCD Contract executed May 17, 2025
FISCAL ANALYSIS
If Council directs staff to apply for HOME funds, staff will work with a consultant and the Developer to prepare the application. The Developer will cover the consultant’s direct costs required to submit the application.
Though HOME is awarded on a reimbursable basis, if awarded, HCD will allow the City to request funds ahead of funding the project. As there will only be one draw request at conversion to permanent financing, the City will not be required to bridge the $2,900,000 which would be loaned to the property but will be able to have it the funds go directly to escrow as part of the conversion to permanent financing.
If awarded, the City will incur administrative costs, both in setting up the program infrastructure initially, as well as ongoing monitoring and reporting requirements for 55 years. However, it is expected that the total of $150,000 in grant funds would be sufficient to cover the initial set up costs. The loan to the project will also include an annual fee of $5,000, with an escalator of 3% after year 3, paid by the Developer to the City to cover the 20 years of on-site monitoring and reporting required by HCD. The additional 35 years of affordability monitoring will be covered in the loan agreement as part of the existing requirements of the other funding sources and passed on to the City to meet our requirements.
The City is projected to receive approximately $10,000/year initially in debt service payments, increasing over time. All loan payments received by the City will be considered Program Income and can be used for other HOME approved programs such as tenant
