In the event of breach of this warranty, Cudahy shall take the necessary actions to correct the breach and the consequences thereof, at Cudahy’s sole expense, in the most expeditious manner as permitted by existing circumstances.
Upon notification from Administrator of Cudahy’s breach, if Cudahy does not promptly take steps to correct the breach, Administrator may: 1) Correct the breach or cause others to do so upon written consent of Cudahy. 9.2. Members and Associates assume no liability or responsibility for Cudahy equipment.
9.3. Cudahy will not hold any Member or Associate liable or responsible in any way for unforeseen interruptions in providing the RIITS Data regardless of cause.
9.4. Cudahy, on behalf of itself and its agents, sub-licensees, employees, clients, and customers, hereby waives and releases Administrator and all Members and Associates from any and all liability, including but not limited to claims, causes of action, losses, costs, damages, and expenses of any kind or nature whatsoever, whether known or unknown, to the extent caused by or attributable to RIITS, this Agreement, or the use of RIITS Data by Cudahy.
Cudahy (for itself and its clients, customers and employees) expressly waives the benefit of Section 1542 of the California Civil Code, which provides as follows: “a general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor”. (Cudahy’s Initials) ______

10.2. The indemnification specified in this Section shall survive termination or closeout of the Agreement hereunder and is in addition to any other rights or remedies that Members and Associates may have under the law or under this Agreement.
10.3. Parties acknowledge that all Members and Associates enter into an Interagency Memorandum of Understanding with substantially similar indemnification language under which Cudahy shall be indemnified as a Member.
10.4. Claims against the indemnified Members and/or Associates by any employee of the Members and/or Associates, its subcontractors, suppliers, anyone directly or indirectly employed by any of them, and/or anyone for whose acts any of them may be liable shall not in any way limit Cudahy’s indemnification obligation as set forth above, including the Agreement and/or type of damages, compensation, and/or benefits payable by or for the Cudahy or its subcontractors under workers’ compensation acts, disability benefit acts, and/or other employee benefit acts and/or insurances.
11. NO WAIVER
11.1. Failure of Administrator to enforce at any time, or from time to time, any provision of the Agreement shall not be construed as a waiver thereof.
11.2. No waiver by Administrator of any breach of any provision of the Agreement shall constitute a waiver of any other breach or of such provision.
11.3. Failure or delay by Administrator to insist upon strict performance of any terms or conditions of the Agreement, or to exercise any rights or remedies provided by law, shall not be deemed a waiver of any right of Administrator to insist upon performance of Cudahy's obligations set forth in the Agreement, or rights or remedies as to any prior or subsequent default hereunder.

12.1. The term of the Agreement shall begin upon the date of the last Party to sign this Agreement and shall continue for one (1) year (the “Initial Term”).

13.2. Except as provided in the preceding paragraph, CM Committee reserves the right to revoke Cudahy’s access privileges to RIITS and terminate this Agreement at any time, upon thirty (30) days prior written notice to Cudahy.
13.3. Cudahy may terminate this Agreement upon thirty (30) days prior written notice to Administrator.
14. OTHER TERMS AND CONDITIONS
14.1. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which taken together shall constitute one and the same instrument.
14.2. Each Member and Associate of the CM Committee is an express third-party beneficiary of this Agreement.
14.3. The persons executing this Agreement on behalf of the Parties shall be duly authorized to execute this Agreement on behalf of its respective Party.

By entering into the Agreement, the Parties consent and submit to the jurisdiction of the courts of the State of California, County of Los Angeles, over any action at law, suit in equity, and/or other proceeding that may arise out of the Agreement.
18. SEVERABILITY
In the event any article, section, sub-article, paragraph, sentence, clause, phrase contained in the Agreement shall be determined, declared, adjudged invalid, illegal, unconstitutional, or otherwise void, such determination, declaration, or adjudication shall in no manner affect the other articles, sections, sub-articles, paragraphs, sentences, clauses, or phrases of the Agreement, which shall remain in full force and effect as if the article, section, sub-article, paragraph, sentence, clause, or phrase declared, determined, or adjudged invalid, illegal, unconstitutional, or otherwise void, was not originally contained in the Agreement.

STAFF REPORT
Date: March 18, 2025
To: Honorable Mayor/Chair and City Council/Agency Members From: Alfonso Noyola, City Manager/Executive Director
By: Johncito “John” Peraza, Assistant to the City Manager Subject: Adoption of Resolution No. 25-16 Authorizing the City Manager to Execute the Public Health Services Contract Between the County of Los Angeles and the City of Cudahy
RECOMMENDATION
The City Council is requested to adopt Resolution No. 25-16 authorizing the City Manager to execute the Public Health Services Contract (PH-005608) between the County of Los Angeles and the City of Cudahy.
BACKGROUND
Since the City’s incorporation on November 10, 1960, the Los Angeles County Department of Public Health has provided public health services to the City of Cudahy. The County’s Health Officer has acted as the City’s Health Officer, and the County’s Department of Public Health has served as the City’s Environmental Health Department. This longstanding partnership has ensured that public health regulations are enforced and that residents have access to essential health services.
1. On November 10, 1960, the City of Cudahy was incorporated, and the Los Angeles County Department of Public Health began providing public health services to the City.
2. Over the years, the City has continuously contracted with the County to maintain these services, ensuring compliance with state and county health regulations.
3. The existing contract for public health services is set to be replaced with a new agreement (PH-005608), which will remain in effect until June 30, 2029, with automatic five (5) year renewals , for an indefinite period unless terminated by either party.

ANALYSIS
The proposed contract continues the partnership between the City and the County for public health services. Under this agreement, the County Health Officer will continue to enforce public health statutes, regulations, and local ordinances within the City’s jurisdiction. The contract ensures that the County will provide necessary health inspections, issue permits, and oversee public health-related matters, including environmental health concerns.
The County will continue to observe and enforce public health orders prescribed by the California Department of Public Health, state statutes related to public health, and relevant sections of the Los Angeles County Code, which the City has adopted. The agreement also outlines procedures for the City to adopt future amendments to the County’s health code as necessary.
This contract will allow the City to maintain high public health standards without needing to establish its own independent health department. The agreement also provides mechanisms for cost recovery should the City request additional discretionary public health services beyond those mandated by law.
CONCLUSION
Approval of this contract ensures uninterrupted public health services for Cudahy residents. If the Council approves this agreement, the County will continue to provide services through June 30, 2029, with automatic five (5) year terms, for an indefinite period.
STRATEGIC PLAN CORRELATION
Goal F. Communication and Outreach
6. Explore opportunities for efficiency through insourcing and outsourcing.

To: Honorable Mayor/Chair and City Council/Agency Members From: Alfonso Noyola, City Manager/Executive Director
By: Johncito “John” Peraza, Assistant to the City Manager Subject: Resolution to Support SB 454 – The PFAS Mitigation Fund
RECOMMENDATION
The City Council is requested to adopt Resolution No. 25-18 in support of SB 454, titled “State Water Resources Control Board: PFAS Mitigation Program” (the “Bill”).
BACKGROUND
Perfluoroalkyl and polyfluoroalkyl substances (PFAS) are a class of toxic chemicals that have been widely used in industrial and consumer products. PFAS contamination in water supplies and wastewater presents significant health risks, including cancer, reproductive health issues, and immune system disorders. These chemicals have found their way into water systems, threatening public health despite being unintentional pollutants.
ANALYSIS
SB 454, introduced by Senator McNerney, seeks to address the growing concerns around PFAS contamination by establishing the PFAS Mitigation Fund. This fund will assist water suppliers and wastewater operators with the costs associated with treating drinking water and wastewater to meet state and federal PFAS standards. Key provisions of the Bill include:
• Establishing the PFAS Mitigation Fund in the General Fund, which will be used to help mitigate PFAS contamination in water and wastewater systems. • The State Water Resources Control Board (State Board) will manage the fund and can seek federal, nonstate, and private funds to support mitigation efforts. • The State Board will provide grants, loans, or contracts to water suppliers and wastewater operators for the costs associated with treating PFAS contamination and disposing of contaminated materials.
Item Number

“Serving The People” "Sirviendo A La Comunidad"
Staff Report

• To be eligible for funds, water suppliers or wastewater operators must demonstrate a clear public benefit related to safe drinking water or treated wastewater.
The Bill emphasizes environmental justice by focusing on the impact of PFAS contamination on disadvantaged communities and aims to ensure equitable access to mitigation funds throughout California.
This Bill aligns with the City’s 2025 legislative platform, specifically under State Priorities for Water Quality Improvements, seeking funding for local water quality projects to ensure safe and reliable drinking water. Furthermore, it complements Resolution No. 24-41, which expresses the City’s commitment to ensuring access to safe and clean water for all residents.
CONCLUSION
The City Council is requested to adopt Resolution No. 25-__ in support of SB 454, which will provide necessary funding and resources to mitigate PFAS contamination in California’s water systems, promoting public health and environmental safety.
