Usingconfidentialtaxpayerrecordsasauthorizedby RevenueandTaxationCodeSection7056, Hdlwill find andcorrecterrorsthat resultin underpaymentsof taxto the Cityof Cupertino. Thefirm will employ aseriesof analyses, comparisonswith other datasourcesandphysicalcanvassingthe Cityto find, documentandsubmitfor correctionall taxpayererrorsthat resultin lost Cityrevenueor couldresultin lostrevenuein the future. Whenerrorsarefound, Hdlstaff will promptlyfile claimsfor their correction followingBOEproceduresandregulations. Thereafter, Hdlwill diligentlywork with the BOEto ensure the prompt recoveryof all escapedrevenues. Documentationof errorswill beregularlyprovidedto the City.
In conductingtheseactivitieson behalfof the City, Hdlwill providequarterlyreportsthat accurately depictthe City'ssalestaxbase, usetaxcollectionsandrevenues. All reports, graphs, tablesandrevenue forecastsaredesignedto enhancethe City'scapacityto planfor, expandandmanageits varioussales useanddistrict tax revenues. Reportsidentifyingandcomparingthe retail compositionof varioussub- geographic-areasof the Citywill alsobeprovided.
1. Audit Recovery
Toachievethe highestaudit andrecoveryresults, Hdlemploysthe followingaudit techniquesand programs:
a. Identificationof ErrorsandRevenueMaximizationOpportunities
1. FieldSurveys: Fieldinventoriesof the City'sbusinessandindustrialareasareconducted every10-12monthsto identify businesseslocatedwithin the Citythat appearto be underreportingrevenuesor arenot on the BOEallocationrolls. Speciallytrainedfield auditors, usingthe latestin mapping, GPSanddigitalrecordingtechnology, documentnot onlythe existenceof salestaxproducingbusinessesbut alsoanyrelevantfactorssuchas size, presenceof a largestockof goods, will-callwindowsandanyspecificreferencesto salesactivity. Thisprocessidentifiesa wide rangeof registrationerrorsincludingerroneous consolidationof multiple outlets, misreportingof point of salefrom anerroneouslocation anddelaysin reportingnewoutlets.
2. TaxAreaCode (TAC) Review: Hdlreviewseveryactiveaccounton the BOE'sallocation rollsreporting $50or morein localtaxto ensureproperTACassignment. Governmentand privatesectormappingandGISdatabasesareusedextensivelyin this process. These programsareimportant becausephysicalcanvassingwill not revealbusinesseswith missing or incompletesignage, or thosethat arehome-based. A completeTACreviewisperformed at leastonceevery9-12months.
3. DeviationAssessment: Hdlappliesproprietaryqueriesandanalysesto its statewide allocationdatabaseto identify a// accountsfor whichthere hasbeena substantialchangein allocationpattern. Hdl'sdatabase, unmatchedin size, comprisesover98.5% of all salesand usetaxtransactionsin Californiaandallowsfor the mostcomprehensiveauditsin the state.
Thedeviationreviewisperformedeverythree monthsandisfar moresophisticatedand thoroughthan a reviewof the BOE'spublishedQuarterlyDistributionReport. Thereviewis appliedto directallocationsandto the countypools, andallowsfor a muchbroaderview andunderstandingof what hashappenedin anygivenquarter. Well-foundedleadsare quicklyculledfrom this process, often without the needfor time-consumingmanualreviews of taxpayerfiles. Thisallowsfor fasterprocessingandlesstime usedfor preparing submittals. Thisin turn lowersrecoveryfeesby reducingthe amountof prior quarter revenuerequiringredistribution.
4. UseTaxErrorsandOpportunities: StateBoardof EqualizationRegulation1802(d) allows for directallocationof localusetaxon qualifyingindividualsalesor purchasesover 500,000. UnderRegulation1699.6, businessesandorganizations (includinglocal governmentagencies) with aggregatepurchasessubjectto usetax of at least $500,000per yearcanapplyfor a UseTaxDirectPaymentPermit, allowingfor directallocationof the correspondinglocalshare. Finally, undera resolutionadoptedby the BOEin Decemberof 1994, a constructioncontractorwho entersinto a contractequalto or greaterthan 5,000,000mayelectto obtaina sub-permit for the jobsiteresultingin a directallocationof localusetaxto the jurisdictionwherethe jobsiteislocated. Hdlanalyzesthe usetax allocationpoolsof the 58countiesandthe stateeachquarterto identify instanceswherea taxpayermayhavemisidentifieda transactionasusetax ratherthansalestax. Further specializedreviewsandtechniquesareemployedto identify directallocationopportunities of localusetax.
5. Regulation1699Evaluations: BOERegulation1699controlswhenandwherea permit shouldbeissuedto a givenbusinesslocation. Wholesalers, contractors, processors, manufacturers, andother non-retail businessesthat do not normallysellmerchandiseoften conductoccasionalsales, self-accrueusetaxor arelevieddeficiencyassessmentsby the state. Hdlusesproprietarymethodsfor findingcompaniesthat shouldbe takingout permits sothat thoserevenuesareallocatedto the City.
b. Recoveryof MisallocatedRevenue
1. Developmentof CorrectionData: Preliminaryleadlistsdevelopedthroughanyof the aforementionedaudit programsarefurther culledusinga varietyof programsand databasesto reducethe needfor taxpayercontact. Companiesremainingin the audit databasearethen contactedby a specializedaudit unit whosemembersarespecifically selectedandtrainedto interviewtaxpreparersandmarketing, warehouseandmanagement staff. Taxpayerinterviewsarealwaysconductedin a businessfriendly, nonintrusivemanner that emphasizescooperationandprotectionof confidentiality.
2. Documentation: Telephonecontactsareoften accompaniedby a written follow-up questionnaireconcerningbusinessactivities, a specificone-time transactionor a written confirmationof our findings. Thisdocumentationisalwaysfiled with the petition to minimizeBOEprocessingtime. Soliddocumentationandfollow-up lowersclientfeesby reducingthe numberof quartersrequiringretroactiveadjustmentandensuresfaster recoveryof misallocatedrevenues.
3. CityReview: Toavoidpotentialconflictswith a City'sin-houseaudit efforts, Hdlprepares a list of misallocatedor under-reportingbusinessesfor Cityofficialsto reviewandauthorize prior to anyinvoicing. Thisline item, account-levelapprovalprocessisanimportant stepin eliminatinganymisunderstandingsor disagreementsregardingwhat maybeconsidereda validaudit "find."
4. PreparationandSubmittalof Corrections: Petitionsareprepared (BOEForm549-Sor 549- L) that notify the BOEthe existenceandnatureof the misallocation. All relevantand availablesupportingdocumentationisincluded. Copiesof all transmittalformsand correspondencewith the BOEandtaxpayersaresentto Citystaff.
5. ContinuousFollow-up: Hdlemploysa full-time casemanagerwhoseresponsibilityisto monitor andfollow-upon caseinventory. Anagingreport isupdatedandreviewedon a monthlybasisandthe appropriatefollow-up isinitiated on casesthat aretakingan inordinateamountof time to correct. Thisfollow-up emphasizespartnershipand cooperationwith BOEAllocationGroupstaff. Hdl'scontinuousefforts to checkon the status of submittalsaremadeto ensurethat correctionsarebeingpursued. Timelyfollow up on casesreducesthe time it takesfor the Cityto recoverits revenue.
6. Appeals: Hdlcasesarethoroughlyresearched, vettedanddocumentedprior to submittal.
Thisensuresthe fastestpossibleprocessingtimes, andreducesthe numberof casesthat are initially disclaimedandmustbefurther researchedanddefendedthrougha verylengthy BOEappealsprocess. Nearlyall Hdlcasesareresolvedfavorablyat either the first or second levelsof the BOEpetition processdescribedin Regulation1807. Other Insurance
For any covered " auto" you own, this Coverage Form provides primary insurance. For any covered auto" you don' t own, the insurance provided by this Coverage Form is excess over any other collectible insurance. However, while a covered " auto" which is a " trailer" is connected to another vehicle, the Covered Autos Liability Coverage this Coverage Form provides for the " trailer" is:
Excess while it is connected to a motor vehicle you do not own; or Primary while it is connected to a covered " auto" you own.
For Hired Auto Physical Damage Coverage, any covered " auto" you lease, hire, rent or borrow is deemed to be a covered " auto" you own. However, any " auto" that is leased, hired, rented or borrowed with a driver is not a covered " auto".
Regardless of the provisions of Paragraph a. above, this Coverage Form' s Covered Autos Liability Coverage is primary for any liability assumed under an " insured contract".
When this Coverage Form and any other Coverage Form or policy covers on the same basis, either excess or primary, we will pay only our share. Our share is the proportion that the Limit of Insurance of our Coverage Form bears to the total of the limits of all the Coverage Forms and policies covering on the same basis.
Premium Audit
The estimated premium for this Coverage Form is based on the exposures you told us you would have when this policy began. We will compute the final premium due when we determine your actual exposures. The estimated total premium will be credited against the final premium due and the first Named Insured will be billed for the balance, if any. The due date for the final premium or retrospective premium is the date shown as the due date on the bill. If the estimated total premium exceeds the final premium due, the first Named Insured will get a refund.
If this policy is issued for more than one year, the premium for this Coverage Form will be computed annually based on our rates or premiums in effect at the beginning of each year of the policy.
Policy Period, Coverage Territory
Under this Coverage Form, we cover " accidents" and " losses" occurring:
During the policy period shown in the Declarations; and Within the coverage territory.
The coverage territory is:
The United States of America;
The territories and possessions of the United States of America; Puerto Rico;
Canada; and
Anywhere in the world if a covered " auto" of the private passenger type is leased, hired, rented or borrowed without a driver for a period of 30 days or less, provided that the " insured' s" responsibility to pay damages is determined in a " suit" on the merits, in the United States of America, the territories and possessions of the United States of America, Puerto Rico or Canada, or in a settlement we agree to.
We also cover " loss" to, or " accidents" involving, a covered " auto" while being transported between any of these places.
