1. Adopt Resolution No. 25-___ approving the City Manager Employment Agreement between the City of Cupertino and Tina Kapoor (Attachment A), and authorize the Mayor to execute the agreement; and

2. Adopt Resolution No. 25-___ amending the Appointed Employees’ Compensation Program (Attachment C) Reasons for Recommendation
Since May 2025, Tina Kapoor has served as Acting and subsequently Interim City Manager, providing steady leadership and operational continuity for the City of Cupertino. Ms. Kapoor has over twenty years of local government experience and a strong record of collaborative leadership. She has guided the organization through a period of transition with professionalism, strategic focus, and dedication to serving Cupertino’s residents and business community.

Under Ms. Kapoor’s leadership, the City has continued to deliver high-quality municipal services, strengthen fiscal sustainability, and advance City Council priorities in housing, economic development, public safety, and community engagement. She has fostered a culture of transparency, teamwork, and accountability among staff and maintained strong relationships with all Councilmembers, as well as regional and community partners.

Following a comprehensive evaluation of Ms. Kapoor’s performance and leadership over the past six months, the City Council determined that she is well qualified to serve as Cupertino’s next permanent City Manager. Staff has prepared the Employment Agreement and accompanying resolution amending the Appointed Employees’ Compensation Program.

The proposed Employment Agreement (Attachment B) outlines the terms and conditions of Ms. Kapoor’s appointment, including salary and benefits consistent with the Appointed Employees’ Compensation Program (Attachments D-E). A resolution amending the program to reflect this appointment is included for Council consideration (Attachment C).

At the time of agenda publication, the draft resolutions, amendments to the Appointed Employees’ Compensation Program, and the City Manager Employment Agreement were not yet available and are forthcoming. These documents will be provided to the City Council and made available to the public no later than Tuesday, November 18, 2025.
