Summary of Cash and Investments Held In Trust
As of February 28, 2025
CITY OF CYPRESS
CITY COUNCIL REPORT
City Council Regular 14.

FROM: Matt Burton, Director of Finance and Administrative Services DATE: 03/24/2025
SUBJECT: Receive and File Register of Warrants, Transfers, and Wires Issued for the Period of February 8, 2025 through March 7, 2025

RECOMMENDATION
Receive and file the attached payment register summarized below for the period of February 8, 2025 through March 7, 2025:

Electronic Funds Transfers 16678 through 16846
Warrants 67219 through 67439
Payroll Transfers W1550 through W1551

DISCUSSION
Payments to vendors for goods and services received and/or rendered are initiated and approved by the requesting department in accordance with proper purchasing guidelines.

Processing of these payments occurs centrally in the City's Finance Department with payments issued bi-weekly. A register listing of these payments is typically presented each month at the second regularly scheduled meeting of the City Council. This register also includes any Electronic Funds Transfers (EFT), outgoing payroll transfers or wires issued since the previous register was presented to the City Council. Voided payments (if any) are also identified.

All payments are processed on the City's financial management software system. This system generates a payment batch register, sorted by warrant number (or EFT/Wire number), and presents the invoice amount and a description of the payment issued.

BUDGET IMPACT
Total warrants, transfers, and wires issued (net of any voided payments) during the period of February 8, 2025 through March 7, 2025 are $5,224,366.95.

LEGAL REVIEW
None required.

CITY OF CYPRESS
CITY COUNCIL REPORT
City Council Regular 15.

FROM: Bonnie Peat, Council Member
DATE: 03/24/2025
SUBJECT: Consider Updating Municipal Code Section 2-2.20 Council Meetings – Voting – Disqualification and Abstention

RECOMMENDATION
Consider updating Municipal Code section 2-2.20 Council meetings – Voting – Disqualification and abstention.

DISCUSSION
At the March 10 City Council meeting, Council Member Peat requested the City Council consider how abstentions from City Council votes are counted.

Currently, the Municipal Code counts abstentions as a vote in favor of a motion. The rule was established in 1965 by Ordinance No. 265 (attached). The minutes from the meeting at which the City Council approved Ordinance No. 265 are also attached but offer no insight into the City Council’s deliberations.

Cypress’ practice of counting abstentions as a vote in favor of a motion (without any qualification) is uncommon. None of the 14 Orange County cities that responded to a survey by the City Clerk (attached) operates in the same manner. Ten cities do not count an abstention as an affirmative or a negative vote, meaning that if there are two yeas, two nays, and one abstention, a motion fails. Four cities (Costa Mesa, Irvine, Santa Ana, and Yorba Linda) establish the expectation that Council Members should/shall vote unless disqualified by a conflict of interest. Irvine, Santa Ana, and Yorba Linda require Council Members to (at least) provide legal justification for an abstention. Unapproved disqualifications/abstentions count as affirmative votes in Costa Mesa, Irvine, Santa Ana, and Yorba Linda. The relevant section of each municipal code is attached.

Similarly, the City Attorney’s firm represents dozens of public agencies and reports that its clients typically follow Robert’s Rules of Order or Rosenberg’s Rules of Order and do not count abstentions as affirmative votes.

Options for Consideration
#1: No change.
#2: Follow Robert’s Rules of Order and do not count abstentions as affirmative votes. Under Robert’s Rules of Order, motions that do not receive majority support fail. Agencies that follow Robert’s Rules of Order typically prohibit withdrawing an abstention, meaning failed motions cannot be reconsidered.

Municipal Code Section 2-2.11 establishes that (except as otherwise provided) Robert's Rules of Order shall govern the conduct of the meetings of the City Council. How abstentions are counted is one of, if not the only, exception in the Municipal Code to Robert's Rules of Order.
#3: Prohibit abstentions unless a Council Member has established a legal justification for abstaining and record unapproved disqualifications and abstentions as an affirmative vote.

Under this option, a motion yielding two yeas, two nays, and one abstention would pass.

The following example is from Irvine’s Municipal Code: Except as otherwise provided by law, no member of the City Council shall be permitted to abstain from voting unless such disqualification shall have been approved by the City Attorney or by unanimous vote of the remainder of the Council present. Unapproved disqualifications and abstentions shall be recorded by the City Clerk as an affirmative vote. Costa Mesa, Irvine, Santa Ana, and Yorba Linda all count unapproved disqualifications and abstentions as an affirmative vote. #4: Prohibit abstentions unless a Council Member has established a legal justification for abstaining and record unapproved disqualifications and abstentions as an abstention. This option is the same as #3 except that it applies Robert's Rules of Order, so a motion yielding two yeas, two nays, and one abstention would fail. Agencies that follow Robert’s Rules of Order typically prohibit withdrawing an abstention, meaning failed motions cannot be reconsidered.

At least two other Orange County cities (Garden Grove and Stanton) operate in this manner. #5: Provide other direction.

BUDGET IMPACT
None.

LEGAL REVIEW
The City Attorney contributed to this report and will draft any update to the Municipal Code.

2. The councilmember is awaiting advice from the fair political practices commission or the results of a pending investigation by the fair political practices commission; or

3. The councilmember states  from  the dais  the possibility of a conflict arising  from a source identified at the meeting, and, based on advice from the city attorney, recuses themself out of an abundance of caution.

If  a  councilmember  is  disqualified  from  voting  due  to  a  conflict,  the  member  shall  not participate in the consideration of the matter, shall not be counted  for the purpose of the quorum, and shall leave the dais during the consideration of the matter; provided, however, that if the matter is being considered on the consent calendar and has not been removed from  the consent calendar,  the councilmember may  remain on  the dais and disclose  the reason  for  disqualification.  A  disqualified  councilmember may  speak  on  the matter  as  a private citizen, but only to the extent allowed by the Section 18702.5 of the Regulations of the Fair Political Practices Commission, or its successor sections.

If  a  councilmember  abstains  on  a  vote  in  violation  of  this  rule,  the abstention shall  be considered concurrence in the item being voted upon, and the city clerk shall record that councilmember's abstention as a "yes" vote.

A tie vote means that no action has been taken, and the item under consideration shall not be placed upon a future agenda, unless by a majority vote of the council, city staff is directed to  place  the  item  on  a  future  agenda,  or  based  on  new  information  or  changes  in circumstances, the city manager places the item on a future agenda.

Yorba Linda
Disqualification and Abstention. No City Councilmember  shall be permitted  to disqualify himself and abstain from voting unless the disqualification shall have been approved by the City Attorney or by unanimous vote of the remainder of the City Council present. Unapproved disqualifications and abstentions shall be counted by the City Clerk as an affirmative vote.
