The recommendation to hire an investment advisory and management services advisor was supported by the Finance Committee.
Due to lack of capacity and prioritization of work assignments, the process for hiring of an investment advisor was delayed from late 2023 to mid-late 2024. In the meantime, City staff invested in short-term Treasury Bills (T-Bills), as was previously discussed with the Finance Committee, which has resulted in higher returns on investments.
On May 9, 2024, the City issued a Request for Qualifications (RFQ 2024-04) soliciting proposals from qualified professionals to perform investment advisory and/or management services, including but not limited to advising or managing the City’s investment portfolio, evaluating market risk and developing strategies that minimize the impact on the portfolio, and providing the City with various other investment advisory services in order to maximize returns on the City’s investments as further described in Exhibit A to Attachment A.
DISCUSSION/ANALYSIS:
During the solicitation period, four (4) proposals were received from: 1) Bowman Wealth Management, LLC; 2) Optimized Investment Partners, LLC (OIP); 3) Garcia Hamilton & Associates, LLP; and 4) Clearwater Advisors, LLC (Clearwater). The proposals were carefully evaluated by City staff based on experience, qualifications, and other relevant factors. Proposed costs and fees were also evaluated to ensure they were in line with current market rates for the services to be provided. Of the four firms who submitted proposals, City staff interviewed OIP and Clearwater, whose proposals were ranked the highest by staff based on their experience, qualifications, and potential ability to best meet the City’s current and future needs.
After conducting interviews, staff determined that OIP is best suited to meet the City’s current and future needs based on their demonstrated expertise, municipal investment market knowledge, and reasonable fees for services. OIP provided highly positive references, has an in-depth investment market understanding, and has experience providing investment advisory services to other agencies of similar size to the City of Del Mar.
OIP is a local company from the San Diego region founded in 2022 that serves cities and special districts. Although a relative newcomer to the market, OIP is comprised of highly skilled staff with extensive municipal finance experience. OIP specializes in assisting small to medium size municipalities in California with optimizing their investment portfolios. OIP currently has over a dozen clients with total assets under management of $220 million. OIP’s approach to optimizing the City’s returns on its investments will include rigorous cash flow modeling and monthly reviews of cash balances to ensure sufficient liquidity necessary for daily operations.

City Council Agenda Report
Agreement for Investment Advisory and Management Services November 18, 2024
The fees for OIP services will be based on the amount of assets under management (AUM) and is set at a flat rate of 0.09% (9 bps) for AUM, which encompasses all investments in custodial accounts, pooled accounts, and other investment-related accounts, excluding City checking account balances. There are no additional fees or reimbursement costs associated with any additional services required by the City that are related to investment management.
Staff recommends that the City Council approve the as-needed Agreement with OIP for an initial three-year period beginning November 18, 2024, through November 17, 2027, with the option for the City Manager to extend the agreement for an additional two-year period based upon satisfactory service being provided during the initial contract period.
The City will also have an option to terminate the agreement at any time, should the Consultant’s performance or return on investments fall below the City’s expectations.
FISCAL IMPACT:
There is no fiscal action to be taken at this time by the City Council related to this agenda item. Staff estimates that the cost of investment services will be approximately $36,000 annually based on the AUM percentage. It is anticipated that the City’s portfolio earnings will increase after partnering with OIP, which will sufficiently cover the cost of services.
Staff will include amendments to investment revenues and expenditures during the FY 2024-2025 Mid-Year Financial Report.
ENVIRONMENTAL IMPACT:
The proposed City Council action does not constitute a “project” under the definition set forth in California Environmental Quality Act (CEQA) Guidelines Section 15378 because it will not have a potential to result in a direct or indirect physical change in the environment and is, therefore, not subject to CEQA. No further action under CEQA is required.
NEXUS TO CITY COUNCIL GOALS AND PRIORITIES:
This is an operational item and is not included in the City Council’s list of Goals & Priorities.

PROFESSIONAL SERVICES AGREEMENT BETWEEN
THE CITY OF DEL MAR AND OPTIMIZED INVESTMENT PARTNERS, LLC
FOR INVESTMENT ADVISORY AND MANAGEMENT SERVICES
This Professional Services Agreement (“Agreement”) is made and entered into this 18th day of November, 2024 by and between the City of Del Mar, a Charter City and a municipal corporation (“City”), and Optimized Investment Partners, LLC (“Consultant”) (collectively “Parties”).
WHEREAS, the City desires to employ a consultant to provide investment advisory and management consulting services (“Consulting Services”). Said work is to be performed in accordance with the terms and conditions set forth below and as described in the scope of services, attached hereto as Exhibit “A” and incorporated herein; and WHEREAS, the City has initially determined that Consultant is qualified by experience and ability to perform the services desired by City, and Consultant is willing to perform such services; and
WHEREAS, Consultant will conduct all the work as described and detailed in this Agreement to be provided to the City.
NOW, THEREFORE, the Parties hereto mutually covenant and agree with each other as follows:
1. CONSULTING SERVICES.
1.1 Scope of Services. The Consultant shall perform the Consulting Services as set forth in the written Scope of Services, attached hereto as Exhibit “A” and incorporated herein. Such services shall be provided at the direction of the City.
1.2. City Modification of Scope of Services. City may order changes to the Scope of Services within the general scope of this Agreement consisting of additions, deletions, or other revisions. If such changes cause a change in the Consultant’s cost of, or time required for, completion of the Scope of Services, an equitable adjustment to Consultant’s compensation and/or contract time shall be made, subject to the City’s approval. All such changes shall be authorized in writing, executed by Consultant and City. If such a change results in an extension of the term of this Agreement or increases the maximum amount to be paid under this Agreement, no such change shall have any force or effect unless an amendment to this Agreement is approved by the City Council.
2. DURATION OF AGREEMENT.
2.1 Term, Time for Performance. This Agreement shall be effective for a period of three (3) years beginning on November 18, 2024 and ending on November 17, 2027.
The agreement may be extended for an additional two (2) year period, upon written approval of the Parties. Time is of the essence for this Agreement and each provision of this Agreement, unless otherwise specified in this Agreement.
2.2 Delay. Any delay occasioned by causes beyond the control of Consultant may merit an extension of time for the completion of the Scope of Services. When such delay occurs, Consultant shall immediately notify the Project Coordinator in writing of the cause and the extent of the delay, whereupon the Project Coordinator shall ascertain the facts and the extent of the delay and grant an extension of time for the completion of the Consulting Services when justified by the circumstances provided that no extension of time shall be granted which would extend the time for performance beyond the date specified in section 2.1 above. 4 November 18, 2024 Item 05

2.3 City’s Right to Terminate for Default. Should Consultant be in default of any covenant or condition hereof, City may immediately terminate this Agreement for cause if Consultant fails to cure the default within ten (10) calendar days of receiving written notice of the default.
2.4 City’s Right to Terminate without Cause. Without limiting its rights in the event of Consultant’s default, City may terminate this Agreement, without cause, by giving written notice to Consultant. Such termination shall be effective upon receipt of the written notice. Consultant shall be compensated for all effort and material expended on behalf of City under the terms of this Agreement, up to the effective date of termination. All personal property remaining in City facilities or on City property thirty (30) days after the expiration or termination of this Agreement shall be, at City’s election, considered the property of City.
3. PERFORMANCE AFTER TERMINATION. Upon termination of this Agreement as provided herein, Consultant shall, within such reasonable time period as may be directed by City Manager, complete those items of work which are in various stages of completion and which City Manager determines are necessary to be completed by Consultant to allow the project to be completed in a timely, logical, and orderly manner. Upon termination, all finished or unfinished documents, data, studies, surveys, drawings, models, photographs, reports, and other materials prepared by Consultant shall be delivered to the City Manager, upon his request, as property of City.
4. COMPENSATION.
4.1 Total Amount. Compensation to Consultant shall be provided in accordance with the rates described in the Fee Schedule contained in Exhibit “B.” Consultant shall bill the City for work provided and shall present a written request for such payment monthly. City shall pay all invoices in arrears and shall in no event be required to pay for any services provided by Consultant in advance. Consultant acknowledges that it is not guaranteed any particular amount of work.
4.2 Additional Services. City may, as the need arises or in the event of an emergency, request additional services of Consultant. Should such additional services be required, Compensation therefore shall be paid to the Consultant in accordance with Scope of Services contained in Exhibit “A.” City and Consultant shall agree to the costs prior to commencement of such work.
5. INDEPENDENT CONTRACTOR. Consultant is, for all purposes arising out of this Agreement, an independent contractor. The Consultant has and shall retain the right to exercise full control and supervision of all persons assisting the Consultant in the performance of said services hereunder, the City only being concerned with the finished results of the work being performed. Neither Consultant nor Consultant’s employees shall in any event be entitled to any benefits to which City employees are entitled, including, but not limited to, overtime, any retirement benefits, workers’ compensation benefits, any injury leave or other leave benefits, Consultant being solely responsible for all such matters, as well as compliance with social security and income tax withholding and all other regulations and laws governing such matters.
6. STATEMENT OF EXPERIENCE. Consultant agrees that it has the financial resources, service experience, completion ability, personnel, and experience in dealing with public agencies necessary for performing the Scope of Services and that such performance shall be in accordance with the standards customarily adhered to by an experienced and competent Consultant using the degree of care and skill ordinarily exercised by reputable Consultants practicing in the same field of service in the State of California. By executing this 5 November 18, 2024 Item 05

Agreement, Consultant represents that it has demonstrated trustworthiness and possesses the quality, fitness, and capacity to perform the Agreement in a manner satisfactory to City.
Additionally, Consultant and all of Consultant’s employees or agents shall secure and maintain in force such permits and licenses as are required by law in connection with the furnishing of services pursuant to this Agreement.
7. AUDIT OF RECORDS.
7.1 At any time during normal business hours and as often as may be deemed necessary, the Consultant shall make available to a representative of City for examination all of its records with respect to all matters covered by this Agreement and shall permit City to audit, examine, and/or reproduce such records. Consultant shall retain such financial and program service records for at least four (4) years after termination or final payment under this Agreement.
7.2 The Consultant shall include the City’s right to audit under this section in any and all of their subcontracts, and shall ensure that these sections are binding upon all subcontractors.
8. CONFIDENTIALITY. All Consulting services performed by Consultant, including, but not limited to, all drafts, data, correspondence, proposals, reports, research and estimates compiled or composed by Consultant, pursuant to this Agreement, are for the sole use of the City, its agents and employees. Neither the documents nor their contents shall be released to any third party without the prior written consent of the City. This provision does not apply to information that (a) was publicly known, or otherwise known to Consultant, at the time that it was disclosed to Consultant by the City, (b) subsequently becomes publicly known through no act or omission of Consultant or (c) otherwise becomes known to Consultant other than through disclosure by the City. Except for any subcontractors that may be allowed upon prior agreement, neither the documents nor their contents shall be released to any third party without the prior written consent of the City. The sole purpose of this section is to prevent disclosure of City’s confidential and proprietary information by Consultant or subcontractors.
9. CONFLICTS OF INTEREST.
9.1 Consultant shall at all times comply with all federal, state and local conflict of interest laws, regulations, and policies applicable to public contracts and procurement practices, including, but not limited to, California Government Code §§ 81000 et seq. (Political Reform Act) and §§ 1090 et seq. Consultant shall immediately disqualify itself and shall not use its official position to influence in any way any matter coming before the City in which the Consultant has a financial interest as defined in Government Code § 87103. Consultant represents that it has no knowledge of any financial interests, which would require it to disqualify itself from any matter on which it might perform services for the City.
9.2 Consultant shall comply with all of the reporting requirements of the Political Reform Act. The Consultant shall file a Fair Political Practices Commission Form 700 (Assuming Office Statement) within thirty (30) calendar days of the City’s determination that the Consultant is subject to a conflict of interest code, if applicable. The Consultant shall also file a Form 700 (Annual Statement) on or before April 1, disclosing any financial interests held during the previous calendar year for which the Consultant was subject to a conflict of interest code.
9.3 If, in performing the Consulting Services set forth in this Agreement, the Consultant makes, or participates in, a “governmental decision” as described in Title 2, section 18701(a)(2) of the California Code of Regulations, or performs the same or substantially all the 6 November 18, 2024 Item 05

same duties for the City that would otherwise be performed by a City employee holding a position specified in the department's conflict of interest code, the Consultant shall be subject to a conflict of interest code requiring the completion of one or more statements of economic interests disclosing the Consultant’s relevant financial interests.
10. OWNERSHIP OF DOCUMENTS. All documents, data, studies, drawings, maps, models, photographs and reports prepared by Consultant under this Agreement shall be considered the property of City. Consultant shall be permitted to reference and use said materials for use in future studies, work, and marketing so long as said materials are considered “public documents” and are not subject to attorney-client privilege, or the subject of pending closed or executive session discussions.
11. INSURANCE
11.1 Consultant shall procure and maintain for the duration of the Agreement insurance against claims for injuries to persons or damages to property which may arise from or in connection with the performance of the work hereunder and the results of that work by the Consultant, their agents, representatives, employees or subcontractors. Insurance shall be placed with insurers with a current A.M. Best’s rating of no less than “A” and “VII” and are admitted to do business in the State of California, unless otherwise approved in writing by the City’s Risk Manager.
11.2 Consultant’s liabilities, including but not limited to Consultant’s indemnity obligations, under this Agreement, shall not be deemed limited in any way to the insurance coverage required herein. All policies of insurance required hereunder must provide that the City is entitled to thirty (30) days prior written notice (ten (10) days for cancellation due to nonpayment of premium) of cancellation or non-renewal of the policy or policies. Maintenance of specified insurance coverage is a material element of this Agreement.
11.3 Types and Amounts Required. Consultant shall maintain, at minimum, the following insurance coverage for the duration of this Agreement:
11.3.1 Commercial General Liability (CGL). Insurance written on an ISO Occurrence form CG 00 01 07 98 or equivalent providing coverage at least as broad which shall cover liability arising from any and all personal injury or property damage in the amount of $1,000,000 per occurrence and subject to an annual aggregate of $2,000,000. There shall be no endorsement or modification of the CGL limiting the scope of coverage for either insured vs. insured claims or contractual liability. All defense costs shall be outside the limits of the policy.
11.3.2 Commercial Automobile Liability. For all of the Consultant's automobiles including owned, hired and non-owned automobiles, automobile insurance written on an ISO form CA 00 01 12 90 or a later version of this form or an equivalent form providing coverage at least as broad for bodily injury and property damage for a combined single limit of $300,000 per occurrence. Insurance certificate shall reflect coverage for any automobile (any auto).
11.3.3 Workers' Compensation. For all of the Consultant's employees who are subject to this Agreement and to the extent required by applicable state or federal law, a Workers' Compensation policy providing at minimum $1,000,000 employers' liability coverage.
The Consultant shall provide an endorsement that the insurer waives the right of subrogation against the City and its respective elected officials, officers, employees, agents and representatives.

11.3.4 Consulting Liability. Consulting liability (errors and omissions) coverage with a limit of $1,000,000 per claim and $2,000,000 annual aggregate. The Consultant shall ensure both that (1) the policy retroactive date is on or before the date of commencement of the Scope of Services; and (2) the policy will be maintained in force for a period of three years after substantial completion of the Scope of Services or termination of this Agreement whichever occurs last. The Consultant agrees that for the time period defined above, there will be no changes or endorsements to the policy that increase the City's exposure to loss. All defense costs shall be outside the limits of the policy.
11.4 Deductibles and Self-Insured Retentions. Any deductibles or selfinsured retentions are the responsibility of the Consultant and must be declared to and approved by the City. At the option of the City, either (1) the insurer shall reduce or eliminate such deductibles or self-insured retentions as respects the City, its officers, officials, employees, and volunteers, or (2) the Consultant shall provide a financial guarantee satisfactory to the City guaranteeing payment of losses and related investigations, claim administration, and defense expenses.
11.5 Additional Required Provisions. The commercial general liability and automobile liability policies shall contain, or be endorsed to contain, the following provisions:
11.5.1 The City, its officers, officials, employees, and representatives shall be named as additional insureds. The City's Additional Insured status must be reflected on additional insured endorsement form which shall be submitted to the City.
11.5.2 The policies are primary and non-contributory to any insurance that may be carried by the City, as reflected in an endorsement which shall be submitted to the City.
11.6 Verification of Coverage. Consultant shall furnish the City with original certificates and amendatory endorsements effecting coverage required by this Section 11. The endorsement should be on forms provided by the City or on other than the City’s forms provided those endorsements conform to City requirements. All certificates and endorsements are to be received and approved by the City before work commences. The City reserves the right to require complete, certified copies of all required insurance policies, including endorsements affecting the coverage required by these specifications at any time.
12. DEFENSE AND INDEMNIFICATION.
12.1 Consultant agrees to indemnify, defend (with attorneys approved by City), and hold harmless the City, and its officers, officials, agents and employees (the “Indemnified Parties”) from any and all claims, demands, costs or liability that arise out of, or pertain to, or relate to the Consultant, its employees, agents, and subcontractors performance of services under this Agreement. Consultant’s duty to indemnify under this section shall not include liability for damages for death or bodily injury to persons, injury to property, or other loss, damage or expense arising from the sole negligence or willful misconduct by the City or its elected officials, officers, agents, and employees. Consultant's indemnification obligations shall not be limited by the insurance provisions of this Agreement. The Parties expressly agree that any payment, attorney's fees, costs or expense City incurs or makes to or on behalf of an injured employee under the City's self-administered workers' compensation is included as a loss, expense, or cost for the purposes of this section, and that this section will survive the expiration or early termination of this Agreement.

12.2 This indemnity is in addition to any other rights or remedies which City may have under the law or this Agreement. In the event of any claim or demand made against any party which is entitled to be indemnified hereunder, City may, at its sole discretion, reserve, retain or apply any monies due to Consultant under this Agreement for the purpose of resolving such claims; provided however, that City may release such funds if Consultant provides City with reasonable assurances of protection of the City's interest. The City shall, in its sole discretion determine whether such assurances are reasonable.
12.3 Consultant agrees that its duty to defend arises upon an allegation of liability based upon the performance of services under this Agreement by Consultant, its officers, agents, representatives, employees, sub-consultants, or anyone for whom Consultant is liable and that an adjudication of Consultant’s liability is not a condition precedent to Consultant's duty to defend.
13. SUBCONTRACTORS.
13.1 The Consultant’s hiring or retaining of third parties (i.e. subcontractors) to perform services related to the Project is subject to prior approval by the City.
13.2 All contracts entered into between the Consultant and its subcontractor shall also provide that each subcontractor shall obtain insurance policies, which shall be kept in full force and effect during any and all work on this Project and for the duration of this Agreement. The Consultant shall require the subcontractor to obtain all policies described in section 11 of this Agreement in the amounts required by the City, which shall not be greater than the amounts required of the Consultant.
13.3 In any dispute between the Consultant and its subconsultants, the City shall not be made a party to any judicial or administrative proceeding to resolve the dispute. The Consultant agrees to defend and indemnify the City as described in section 12 of this Agreement should the City be made a party to any judicial or administrative proceeding to resolve any such dispute or should the City incur any costs in responding to third-party discovery requests.
14. NON-DISCRIMINATION. Consultant shall not discriminate against any employee or applicant for employment because of race, color, religion, sex, national origin, ancestry, physical or mental disability, medical condition, genetic information, marital status, military or veteran status, gender, gender identity, gender expression, sexual orientation, or any other class protected under state, federal, or local law. Consultant shall take affirmative action to insure that applicants are employed and that employees are treated during employment without regard to any class or category protected under state, federal, or local law and shall make reasonable accommodation to qualified individuals with disabilities. Such action shall include, but not be limited to, the following: employment, upgrading, demotion, transfer, recruitment, or recruitment advertising, layoff or termination, rates of pay or other forms of compensation, and selection for training, including apprenticeship. Consultant agrees to post in conspicuous places available to employees and applicants for employment any notices provided by City setting forth the provisions of this non-discrimination clause.
15. NOTICES. All communications to either party by the other party shall be delivered to the persons listed below. Any such written communications by mail shall be conclusively deemed to have been received by the addressee five (5) calendar days after the deposit thereof in the United States Mail, postage prepaid and properly addressed as noted below.

This statement is to provide guidance regarding the prudent investment of the cash of the City of Del Mar, and to establish the goals and limitations of investments suitable to ensuring the safety of the City’s funds. The ultimate goal is to protect these funds while enhancing the economic status of the City of Del Mar.
Responsibility for the investing of the idle cash and trust funds of the City resides with the City Treasurer. The investment policies and practices of the City Treasurer of the City of Del Mar are based on limitations placed on it by governing legislative bodies. These policies have three primary goals:
1. To assure compliance with all Federal, State, and Local laws governing the investment of monies under the control of the City Treasurer.
2. To protect the principal monies entrusted to this organization.
3. To generate the maximum amount of investment income within the parameters of this Annual Investment Policy.
II. SCOPE
This policy provides guidelines for investing idle cash for all funds under the direct authority of the City with the exception of retirement funds, deferred compensation funds, and those monies from unexpended bond proceeds that are under the direction of a trustee. This investment policy applies to all financial assets of the City of Del Mar. These funds are accounted for in the City of Del Mar’s Annual Comprehensive Financial Report and include the General Fund and General Governmental Funds, Special Revenue Funds, Capital Projects Funds, Enterprise Funds, and Trust and Agency Funds.
III. PRUDENCE
Investments shall be made with judgment and care, under circumstances then prevailing, which persons of prudence, discretion, and intelligence exercise in the management of their own affairs, not for speculation, but for investment, considering the probable safety of their capital as well as the probable income to be derived.
The standard of prudence to be used by investment officials shall be the “prudent person” standard and shall be applied in the context of managing an overall portfolio. Investment officers acting in accordance with written procedures and the investment policy and exercising due diligence shall be relieved of personal 15 November 18, 2024 Item 05
responsibility for an individual security’s credit risk or market price changes, provided deviations from expectations are reported in a timely fashion and appropriate action is taken to control adverse developments.
IV. OBJECTIVES
Safety: Safety of principal is the primary objective of the City of Del Mar and is the single most important factor in governing the investment decisions of the City Treasurer. Each investment transaction shall be made considering the potential for capital losses in an effort to limit such losses, whether from institution default, broker-dealer default, or erosion of market value of securities. The City Treasurer shall evaluate each potential investment, seeking quality in both issuer and in underlying security or collateral. The use of diversification of the portfolio will assist to reduce market risk and possible principal loss. To help mitigate against market risk due to fluctuations in interest rates, this policy provides limits on the portfolio maturity.
Liquidity: Second only to safety is the need to maintain liquidity in the portfolio to meet the anticipated cash needs of the City, and to ensure that money is always readily available. This percentage specifically shall be reviewed on an annual basis. Since not all cash needs can be anticipated, the City Treasurer will only invest in instruments with an active secondary market. These securities will have a low sensitivity to market risk. Yield: Once the basic requirements of safety and liquidity are met, the City’s fund shall be designed to attain a market-average rate of return through economic cycles. Market-average rate of return is defined as the average return on one-year Treasury bills.
V. DELEGATION OF AUTHORITY
The authority for investing idle cash resides with the City Treasurer by direction of the City Council. The Treasurer may delegate such responsibilities, as recording of investment purchases and sales and recording of investment activity, to the Finance Officer and Accounting Technician, or other City officials as authorized by resolution of the City Council, as is necessary to maintain adequate internal controls as described in the following section.
VI. CONFLICT OF INTEREST
All City officials involved in the investment process shall refrain from personal business activity in violation of Government Code Section 1090 and the Political Reform Act (Government Code 8100 et seq.).
16 November 18, 2024 Item 05
Section 1090 of the Government Code prohibits City officials from “making” a contract in which the official is financially interested. Under the Political Reform Act, a City official is disqualified from making, participating in making, or using his or her official position to influence the making, of a governmental decision in which it is reasonably foreseeable the decision could materially affect the official’s economic interest, in a manner distinguishable from its effect on the public generally.
VII. INTERNAL CONTROLS
A system of internal controls shall be in place to prevent losses of public funds arising from fraud, employee error, and misrepresentation of third parties, unanticipated changes in financial markets or imprudent action by city officials.
Such controls deemed most important are the separation of responsibilities for investment purchases from the recording of investment activity, custodial safekeeping, written confirmation of investment transactions, and established criteria for broker relationships. The annual financial audit will include a comprehensive review of the portfolio, accounting procedures for security transactions, and compliance with the investment policy.
VIII. REPORTING
Under provision of Section 53646 of the California Government Code, the City Treasurer shall render a quarterly report to the City Council showing the type of investment institution, date of maturity, amount of deposit, current market value for all securities as provided by our safekeeping institution, rate of interest, and such other data that may be required by the City Council. This report shall also include a schedule of maturity by type of security.
The report must also include a statement that the investment portfolio complies with this policy, or a statement as to the manner in which the portfolio is not in compliance.
The report also must include a statement noting the ability of the City to meet its expenditure requirements for the next six months or provide an explanation as to why sufficient money shall, or may, not be available.
IX. SAFEKEEPING OF SECURITIES
To protect against potential losses caused by collapse of individual securities dealers, all securities owned by the City shall be kept in safekeeping with “perfected interest” by a third-party bank trust department acting as agent for the City under the terms of a custody agreement executed by the bank and by the City.
All securities will be received and delivered using standard delivery versus payment procedures. The only exception to the foregoing shall be certificates of deposit and investments in: (a) LAIF; (b) local government investment pools; and 17 November 18, 2024 Item 05
(c) money market funds, since the purchased securities are not deliverable. A record of these investments shall be held by the Treasurer.
X. QUALIFIED DEALERS AND INSTITUTIONS
The City shall transact business only with banks, savings and loans, and registered investment securities dealers. The purchase by the City of any investment, other than those purchased directly from the issuer, shall be purchased either from an institution licensed by the State as a broker-dealer, as defined in Section 25004 of the Corporation Code, who is a member of the National Association of Securities Dealers, or a member of a federally regulated securities exchange, a national or state-chartered bank, a federal or state association (as defined by Section 5102 of the Financial Code), or a brokerage firm designated as a primary government dealer by the Federal Reserve Bank. The City Treasurer shall investigate all institutions that wish to do business with the City in order to determine if they are adequately capitalized and agree to abide by the conditions set forth in the City’s Investment Policy.
XI. AUTHORIZED INVESTMENTS
The City of Del Mar has a fiduciary responsibility to the residents of the community to protect the assets of the City and to invest and manage those funds wisely.
These investment decisions shall be governed under Government Code sections 53600 through 53609 under which those making investments on its behalf are deemed to act in a fiduciary capacity.

The City, under no circumstances, may borrow funds for the purpose of leverage in the purchase of securities. The purchase of derivatives, as provided for in Government Code Section 53601.6, is expressly prohibited under the terms of this Investment Policy.
XII. INTERFUND LOANS
If deemed to be in the best interest of the City, the City Council may from time to time authorize the Treasurer to make loans from one City fund to another. The fund receiving the loan proceeds must pay at least the interest rate that the fund providing the loan would have received on the funds borrowed. The City Council may direct the Treasurer to pay an interest rate greater than what the fund providing the borrowed funds would have earned had it retained the funds. The term of any such loan shall not exceed five (5) years.
XIII. MAXIMUM MATURITIES
Every effort will be made to match investment maturities to cash flow needs.
Matching maturities with cash flow dates will reduce the need to sell securities prior to maturity, thus reducing market risk. Unless matched to a specific requirement, no more than 60 percent of the portfolio may be invested with maturities greater than two and a half years. No investment may be made with a maturity greater than five years.
IXX. OVERSIGHT COMMITTEE
The City Council may establish an investment oversight committee, which will meet quarterly to review the portfolio, the investment policy, and the City’s current investment strategy. Agenda Report
________________________________________________________________________________________________________ City Council Action:
TO: Honorable Mayor and City Councilmembers
FROM: Nestor Machado, Management Analyst
Karen Brindley, Planning and Community Development Director Via Ashley Jones, City Manager
DATE: November 18, 2024
SUBJECT: Approval of Agreements for As-Needed Shoreline Management Services REQUESTED ACTION/RECOMMENDATION:
Staff recommends the City Council: 1) Approve consulting services agreements with Coastal Environments, Inc. (Attachment A), Dudek (Attachment B), and Moffatt & Nichol (Attachment C) to provide as-needed shoreline management services for an initial threeyear period effective November 18, 2024, through November 18, 2027; and 2) Authorize the City Manager to execute the agreements and any subsequent term extension amendments provided for under the Agreement contingent upon satisfactory performance by the consultant firm.
BACKGROUND:
The City’s Shoreline Management Program supports implementation of the City’s adopted Sea Level Rise Adaptation Plan. The Shoreline Management Program includes implementation of a potential beach nourishment project per the City’s Sand Compatibility Opportunistic Use Program (SCOUP) and implementation of the living levee conceptual plan. The City uses the services of outside consultant to support this work, who typically (not limited to) provide the following:
• Environmental assessments
• Technical studies
• Vulnerability and risk assessments
• Adaptation planning for coastal hazards
• Sediment management and monitoring
• Flood management planning along the Pacific Ocean and San Dieguito River • Monitoring and implementation of projects related to dredging with the San Dieguito Lagoon, beach sand placement, and living levee project implementation 1 November 18, 2024 Item 06

Agreements for As-Needed Shoreline Management Services
November 18, 2024
The City currently uses Moffat & Nichol for these services under an agreement which expired on June 30, 2024. To date, the services provided have been highly satisfactory.
DISCUSSION/ANALYSIS:
On August 29, 2024, the City issued a Request for Qualifications (RFQ 2024-07) soliciting proposals from qualified consultants to perform third-party shoreline management services. During the solicitation period, three proposals were received from Coastal Environments, Inc., Dudek, and Moffatt & Nichol.
The proposals were carefully evaluated by City staff based on experience and qualifications, and proposed fees were determined to be in line with the current market.
All three firms have experience providing similar consulting services to other agencies, and were each deemed qualified to meet the City’s existing and future needs. As such, staff are recommending that the City enter into as-needed, on-call agreements with all three firms.
The purpose of having multiple firms under on-call, as-needed agreements is to allow staff to engage one or more of the firms on a case-by-case basis depending on the nature of the work to be performed and the firm’s areas of expertise and ability to meet identified timelines for completion of the work.
FISCAL IMPACT:
There is no fiscal action to be taken by the City Council related to this agenda item.
Sufficient funds for these as-needed shoreline management services are available in the approved Fiscal Year 2024-2025 budget. Funds for these services will also be included in future fiscal year budgets for Council consideration.
However, the services to be provided will support Council priority special projects.

All such changes shall be authorized in writing, executed by Consultant and City. 4. COMPENSATION.
4.1 Total Amount. Compensation to Consultant shall be provided in accordance with the rates described in the Fee Schedule contained in Exhibit “B” and incorporated herein. Consultant may raise fees annually starting on the one-year anniversary of the Agreement in an amount not to exceed 2%. Consultant shall bill the City for work provided and shall present a written request for such payment monthly.

Consultant’s duty to indemnify under this section shall not include liability for damages for death or bodily injury to persons, injury to property, or other loss, damage or expense arising from the sole negligence or willful misconduct by the City or its elected officials, Attachment A 7 November 18, 2024 Item 06

officers, agents, and employees.

PROFESSIONAL SERVICES AGREEMENT BETWEEN
THE CITY OF DEL MAR AND DUDEK
FOR AS-NEEDED, SHORELINE MANAGEMENT SERVICES
This Professional Services Agreement (“Agreement”) is made and entered into 18th day of November 2024 by and between the City of Del Mar, a Charter City and a municipal corporation (“City”), and Dudek (“Consultant”) (collectively “Parties”).
WHEREAS, the City desires to employ a consultant to provide as-needed shoreline management services (“Consulting Services”). Said work is to be performed in accordance with the terms and conditions set forth below and as described in the scope of services, attached hereto as Exhibit “A” and incorporated herein; and
WHEREAS, the City has initially determined that Consultant is qualified by experience and ability to perform the services desired by City, and Consultant is willing to perform such services; and
WHEREAS, Consultant will conduct all the work as described and detailed in this Agreement to be provided to the City.
This Agreement shall be effective for a period of three (3) years beginning on November 18, 2024, and ending on November 18, 2027.
The agreement may be extended for an additional two (2) year period, upon written approval of both parties.
Time is of the essence for this Agreement and each provision of this Agreement, unless otherwise specified in this Agreement.
2.2 Delay. Any delay occasioned by causes beyond the control of Consultant may merit an extension of time for the completion of the Scope of Services. When such delay occurs, Consultant shall immediately notify the Project Coordinator in writing of the cause and the Attachment B 14 November 18, 2024 Item 06

extent of the delay, whereupon the Project Coordinator shall ascertain the facts and the extent of the delay and grant an extension of time for the completion of the Consulting Services when justified by the circumstances provided that no extension of time shall be granted which would extend the time for performance beyond the date specified in section 2.1 above.
Compensation to Consultant shall be provided in accordance with the rates described in the Fee Schedule contained in Exhibit “B” and incorporated herein. Starting in Fiscal Year 2025-26, and each fiscal year thereafter for the duration of the Agreement, rates may be increased in accordance with the Consumer Price Index (CPI) or by 3%, whichever is lower. Consultant shall bill the City for work provided and shall present a written request for such payment monthly. City shall pay Consultant within 30 days of invoice receipt.
Neither Consultant nor Consultant’s employees shall in any event be entitled to any benefits to which City employees are entitled, including, but not limited to, overtime, any retirement benefits, workers’ compensation benefits, any injury leave or other leave benefits, Attachment B 15 November 18, 2024 Item 06

For As-Needed Shoreline Management Services
Consultant being solely responsible for all such matters, as well as, compliance with social security and income tax withholding and all other regulations and laws governing such matters.
By executing this Agreement, Consultant represents that it has demonstrated trustworthiness and possesses the quality, fitness, and capacity to perform the Agreement in a manner satisfactory to City.
The Consultant shall file a Fair Political Practices Commission Form 700 Attachment B 16 November 18, 2024 Item 06

The Consultant shall also file a Form 700 (Annual Statement) on or before April 1, disclosing any financial interests held during the previous calendar year for which the Consultant was subject to a conflict of interest code.
9.3 If, in performing the Consulting Services set forth in this Agreement, the Consultant makes, or participates in, a “governmental decision” as described in Title 2, section 18701(a)(2) of the California Code of Regulations, or performs the same or substantially all the same duties for the City that would otherwise be performed by a City employee holding a position specified in the department's conflict of interest code, the Consultant shall be subject to a conflict of interest code requiring the completion of one or more statements of economic interests disclosing the Consultant’s relevant financial interests.
All policies of insurance required hereunder must provide that the City is entitled to thirty (30) days prior written notice (ten (10) days for cancellation due to non-payment of premium) of cancellation or non-renewal of the policy or policies.
For all of the Consultant's automobiles including owned, hired and non-owned automobiles, automobile insurance written on an ISO form CA 00 01 12 90 or a later version of this form or an equivalent form providing coverage at least as broad for bodily injury and property damage for a combined single limit of Attachment B 17 November 18, 2024 Item 06
Professional Services Agreement
For As-Needed Shoreline Management Services
$300,000 per occurrence.
12.1 Consultant agrees to indemnify, defend (with attorneys approved by City), and hold harmless the City, and its officers, officials, agents and employees (the “Indemnified Parties”) from any and all claims, demands, costs or liability that arise out of, or pertain to, or relate to the Consultant, its employees, agents, and subcontractors performance of services Attachment B 18 November 18, 2024 Item 06

under this Agreement.
Such action shall include, but not be limited to, the following: employment, upgrading, demotion, transfer, recruitment, or recruitment advertising, layoff or termination, rates of pay or other forms of compensation, and selection for Attachment B 19 November 18, 2024 Item 06

PROFESSIONAL SERVICES AGREEMENT BETWEEN
THE CITY OF DEL MAR AND MOFFATT & NICHOL
FOR AS-NEEDED, SHORELINE MANAGEMENT SERVICES
This Professional Services Agreement (“Agreement”) is made and entered into 18th day of November 2024 by and between the City of Del Mar, a Charter City and a municipal corporation (“City”), and Moffatt & Nichol. (“Consultant”) (collectively “Parties”).
When such delay occurs, Consultant shall immediately notify the Project Coordinator in writing of the cause and the Attachment C 25 November 18, 2024 Item 06

extent of the delay, whereupon the Project Coordinator shall ascertain the facts and the extent of the delay and grant an extension of time for the completion of the Consulting Services when justified by the circumstances provided that no extension of time shall be granted which would extend the time for performance beyond the date specified in section 2.1 above.
Compensation to Consultant shall be provided in accordance with the rates described in the Fee Schedule contained in Exhibit “B” and incorporated herein. Consultant shall bill the City for work provided and shall present a written request for such payment monthly. City shall pay all invoices in arrears, generally within thirty (30) days receipt, and shall in no event be required to pay for any services provided by Consultant in advance.
Neither Consultant nor Consultant’s employees shall in any event be entitled to any benefits to which City employees are entitled, including, but not limited to, overtime, any retirement benefits, workers’ compensation benefits, any injury leave or other leave benefits, Consultant being solely responsible for all such matters, as well as, compliance with social security and income tax withholding and all other regulations and laws governing such matters.

By executing this Agreement, Consultant represents that it has demonstrated trustworthiness and possesses the quality, fitness, and capacity to perform the Agreement in a manner satisfactory to City.
The Consultant shall also file a Attachment C 27 November 18, 2024 Item 06

All policies of insurance required hereunder must provide that the City is entitled to thirty (30) days prior written notice (ten (10) days for cancellation due to non-payment of premium) of cancellation or non-renewal of the policy or policies.

Consultant's indemnification obligations shall not be limited by the Attachment C 29 November 18, 2024 Item 06
Professional Services Agreement
For As-Needed Shoreline Management Services
insurance provisions of this Agreement.

City of Del Mar
Agenda Report
________________________________________________________________________________________________________ City Council Action:
TO: Honorable Mayor and City Council Members
FROM: Clem Brown, Assistant City Manager
Yannet Martinez, Management Analyst
Via Ashley Jones, City Manager
DATE: November 18, 2024
SUBJECT: Agreement with Redflex Traffic Systems, Inc. for Automated Traffic Signal Photo Enforcement Services
REQUESTED ACTION/RECOMMENDATION:
Staff recommends that the City Council: 1) Approve an Agreement with Redflex Traffic Systems, Inc. (Redflex) for automated traffic signal photo enforcement for an initial threeyear period effective November 18, 2024, through November 18, 2027 (Attachment A); and 2) Authorize the City Manager to execute the Agreement and any subsequent term extensions provided for under the Agreement contingent upon satisfactory performance by the vendor.
BACKGROUND:
On December 8, 2003, the City Council authorized the City Manager to execute an agreement with Redflex to install and manage traffic signal photo enforcement systems to enhance public safety in the City of Del Mar. Following approval of the agreement, three (3) cameras were installed in February 2004 at the following locations:
Location Description Direction
Camino Del Mar (CDM) & Del Mar Heights (DMH) Northbound Camino Del Mar & Via de la Valle (VDV) Southbound
Camino Del Mar & Via de la Valle Northbound
The intent of the automated traffic signal photo enforcement (i.e., red-light) program is to enhance public safety. For many, the known presence of the cameras at these intersections serves as a deterrent for unsafe driving decisions and, subsequently, drivers are more cautious resulting in safer streets.
The initial agreement was amended and extended by the City Council in 2009, 2016, and most recently in 2019 with an additional three-year term and two (2), one (1) year 1 November 18, 2024 Item 07
City Council Agenda Report
Agreement for Automated Traffic Signal Photo Enforcement November 18, 2024
automatic extensions that expired on September 30, 2024. To prevent a lapse in service while the City Council considers a new agreement, staff and Redflex executed a monthto-month agreement extension through December 31, 2024. If the City Council does not authorize a new agreement with Redflex by the end of the calendar year, the program will end and the cameras will be removed.
DISCUSSION/ANALYSIS:
For the last several months, staff has undertaken a process in conjunction with the County of San Diego Sheriff’s Department (Sheriff) to analyze program costs, revenues, and potential benefits to determine whether a continuation of the automated traffic signal photo enforcement program is warranted. As a result of this process, staff is recommending that the program be continued and that the City enter into a new Agreement with Redflex Traffic Systems Inc. for another initial three-year period, the basis for which is further described below.
Program Administration
The City has little administrative responsibility for the implementation of the automated traffic signal photo enforcement program. Redflex processes violations from each intersection and performs an initial review of each violation, which then makes the data available to authorized staff to determine whether the incident meets statutory requirements to issue a citation for running the red light or is dismissed.
The City’s contract with the Sheriff for law enforcement services includes the review and issuance of citations from the red-light camera system. When the program was first implemented, a 960-hour retired Sheriff Deputy based out of the North Coastal station was responsible for reviewing each incident. The Sheriff no longer has a 960-hour retired deputy assigned to the station. However, the Redflex program has been absorbed by the station at no extra cost to the City.
Citation and Collision Data
A review of the number of citations issued and historical collision data at the three intersections suggests that the system has resulted in lower collision rates and improved safety, as described further below.
Table 1 shows the number of enforceable citations from Fiscal Year 2021-2022 through 2023-2024.

Of the citations made available for review by the Sheriff via Redflex, 94-98% resulted in prosecutable violations during the identified timeframe below. Examples of violations that are deemed as non-prosecutable offenses include lack of license plates or inability to identify a vehicle’s driver.
Table 2 shows the number of Redflex citations issued in Del Mar between the calendar years 2022 and 2024 and their disposition results.

1 Data is incomplete. Disposition data for September 2024 through December 2024 for calendar year 2024 is not yet available.
Table 3 shows the number of collisions at the three intersections over the prior contract period (2019-2024).

Based on the historical citation and collision data, which show a high number of enforceable violations and low collision rate, the argument can be made that the red-light cameras improve the safety of the intersections subject to photo enforcement, reduce red light violations, increase compliance with State laws, and ultimately result in decreased collision rates in the City.
3 November 18, 2024 Item 07
City Council Agenda Report
Agreement for Automated Traffic Signal Photo Enforcement November 18, 2024
Further, the red-light cameras augment the City’s traffic enforcement presence. It is not practical or cost-effective for the City to pay for a traffic motor deputy to have a constant presence at the signalized intersections supported by the cameras, which makes the program an integral roadway safety tool.
If the program were discontinued, it is likely the City would incur additional law enforcement costs to provide similar results. Continuing to partner with Redflex will enable continuation of the automated photo enforcement equipment for monitoring and enforcement of traffic laws at two of Del Mar’s most high traffic light-controlled intersections.
Program Expenditures/Revenues
The cost of the Redflex agreement is $63,396 for the first year and is included in the adopted budget for Fiscal Years 2023-2024 and 2024-2025. There are also indirect costs for City staff time and City Attorney services associated with this program, which are estimated to be approximately about $650-$700 per year and are accounted for in the City’s approved operating budget.
Program costs are offset by revenues from citations related to the photo enforcement program, which in for Fiscal Year 2024-2025 is $85,000. Table 4 below shows revenues and expenditures for the period FY 2019-20 through FY 2023-24. As indicated, the program is still in a revenue positive position with net income from the program in FY 2023-24, totaling $31,234.
Table 4. Program Revenues and Expenditures
Fiscal Year Revenue Expenditures Net Income
2023-2024 $94,156 $62,922 $31,234
2022-2023 $73,937 $60,283 $13,654
2021-2022 $52,859 $56,790 ($3,931)
2020-2021 $65,903 $56,790 $9,113
2019-2020 $88,651 $56,790 $31,861
Total $375,506 $293,575 $81,931
Though there is a net positive cash flow for the program, its purpose is to augment the City’s traffic enforcement efforts and to promote public safety rather than to be a revenue source. Positive cash flow for this program helps off-set the City’s other costs for law enforcement services.
Terms and Conditions of Agreement
If authorized by the City Council, the proposed Agreement includes the equipment lease for three (3) cameras and review by Redflex of each potential citation. The three-camera enforcement system pricing will increase by a percentage equal to the Federal U.S.
Department of Labor Consumer Price Index (CPI) for each contract year. Per camera 4 November 18, 2024 Item 07
City Council Agenda Report
Agreement for Automated Traffic Signal Photo Enforcement November 18, 2024
pricing is $1,761 per month, bringing the three-camera annual total to $63,396 for the first year. This cost will be fully offset by program revenues as described above.
The City’s Purchasing Policy (Municipal Code 7.04.090) allows for an exemption from the public bid process when goods and/or services can only be reasonably obtained from a single source. Three vendors who offer red light camera services are owned by the same parent company, Verra Mobility. Since Redflex is one of the companies owned by Verra Mobility, staff decided it was in the best interest of the City to continue service with Redflex.
In addition, the City already has the Redflex equipment installed and switching vendors would require significant up-front costs. Solana Beach also uses Redflex, which means there are efficiencies for program support and administration since both cities contract with the Sheriff for services provided by the North Coastal station. The same staff has knowledge of the program’s fundamentals, including citation processing, technology, and coordination with Redflex.
FISCAL IMPACT:
There is no immediate fiscal action to be taken by the City Council related to this agenda item. The estimated cost of the Redflex Program in FY 2024-25 is $63,396, which will be increased annually based on CPI, and will be offset by program revenues. Funding for the Redflex photo enforcement program is included as part of the approved operating budget for Fiscal Years 2023-2024 and 2024-2025 and will be included in future operating budgets for Council consideration.
This is an operational item and is not related to the City Council Goals and Priorities.

No Party will be liable to the other or be deemed to be in breach of this Agreement for any failure or delay in rendering performance arising out of causes beyond its reasonable control and without its fault or negligence. 11.9. CONSTRUCTION. This Agreement shall be construed as having been fully and completely negotiated by both Parties and neither the Agreement nor any of its provision shall be construed more strictly against either Party.
11.10. HEADINGS. City of Del Mar
Agenda Report
________________________________________________________________________________________________________ City Council Action:
TO: Honorable Mayor and City Councilmembers
FROM: Sarah Krietor, Administrative Services Manager/City Clerk Denise Galvan, Management Analyst
Via Ashley Jones, City Manager
DATE: November 18, 2024
SUBJECT: Approval of the 2025 Advisory Committee Meeting Schedule REQUESTED ACTION/RECOMMENDATION:
Staff recommends that the City Council approve the 2025 Advisory Committee Meeting Schedule (Attachment A).
BACKGROUND:
Del Mar has a long and proud history of active citizen involvement with a robust system of citizen advisory committees. Current City advisory committees include Arts, Finance, Lagoon, Measure Q Citizen Oversight, Parks and Recreation, Shores Park (on hold), Sustainability, Traffic and Parking, and Undergrounding Project, as well as the quasi-judicial Design Review Board and Planning Commission.
The Del Mar community benefits from the talented individuals on these committees, whose contributions help preserve the Community Plan by promoting Del Mar's unique values.
These volunteers ensure that City government reflects community priorities as they dedicate countless hours to this effort.
In 2022, City advisory committees began meeting quarterly, with special meetings scheduled as needed and approved by the designated Council liaisons. This change, from the previous monthly meetings, takes into consideration limited staff resources while ensuring committees can still complete an annual work plan that supports the City Council’s goals and the City’s overall objectives.
The City Council authorized advisory committees to hold an administrative meeting in addition to their regular quarterly meetings starting in 2023, in order to appoint committee officers and develop a proposed work plan for the coming year. These meetings are not included in Attachment A and will be scheduled by staff upon request by the committee as authorized by the assigned Council liaisons to the committee. The committees also have the ability to create subcommittees that are able to convene and work on approved committee work plan items in between the quarterly committee meetings.
In 2024, there was a total of 31 scheduled meetings between all the City advisory committees, in addition to meetings of the City Council, Design Review Board and Planning Commission. 1 November 18, 2024 Item 08
City Council Agenda Report
2025 Advisory Committee Meeting Schedule
November 18, 2024
DISCUSSION/ANALYSIS:
Staff is proposing 26 regular advisory committee meetings to be held in 2025, which does not include any special meetings or administrative meetings that may be scheduled on an asneeded basis.
The proposed 2025 Advisory Committee Meeting Schedule is included with this report as Attachment A. Should any changes to the meeting schedule occur following approval, staff will revise the schedule accordingly, update the City’s public meeting calendar, and notify committee members and Council liaisons.
The Shores Park Advisory Committee is on hold per prior City Council direction, so no meetings are proposed for 2025. The City Council will consider next steps related to the Shores Park Master Planning effort in early 2025. Should the Council decide to re-activate the Shores Park Advisory Committee in the future, staff would schedule meetings in coordination with the assigned Council and staff liaisons and committee members.
Additionally, the Arts Advisory Committee has not met since May 2023 and currently does not have enough members for the committee to hold a meeting (lack of quorum). As such, the proposed 2025 Advisory Committee Meeting Schedule does not include Arts Advisory Committee meetings. Staff recommends the Council revisit the status of the Arts Committee as part of the Local and Regional Appointments discussion in January 2025.
FISCAL IMPACT:
There is no fiscal impact or action to be taken by the City Council related to this agenda item.

DATE: November 18, 2024
SUBJECT: Proposed 2024 City Facility Holiday Closure
REQUESTED ACTION/RECOMMENDATION:
Staff recommends the City Council authorize the additional holiday related closure of City Hall and the Public Works Administrative Office to the public on December 26, 27, 30, 2024.
BACKGROUND:
City facilities are closed each year in December and January for the following designated City holidays: Christmas Eve, Christmas Day, New Year’s Eve and New Year’s Day. In past years, the City Council authorized staff to close City facilities for additional days around holidays when it is practical to do so.
Since 2020, City Hall and the Public Works Administrative Office have been closed to the public between the Christmas and New Year’s holidays. Not only does this closure take into account normal paid City holidays, but includes additional non-paid days between Christmas and New Years, which is historically a very slow time of year for the City.
DISCUSSION/ANALYSIS:
This year, the designated City paid holidays fall on December 24 (Tuesday), 25 (Wednesday), 31 (Tuesday), and January 1 (Wednesday). Based on the closure of City Hall and the Public Works Administrative Office in past years between Christmas and New Years with minimal impact to the public, staff is proposing additional non-paid closure days on December 26 (Thursday), 27 (Friday), 30 (Monday), 2024. City Hall would reopen to the public on (Thursday) January 2, 2025.
The 2024 City Council Meeting Schedule reflecting the already approved and additional proposed City facility closure days is included as Attachment A. If the recommendation is approved by the City Council, City staff that choose to work on the additional non-paid 1 November 18, 2024 Item 09
City Council Agenda Report
2024 Holiday Closure Schedule

closure days can do so or they would be able to use accrued leave and take the additional time off.
Although City Hall and Public Works Offices would be closed to the public, beach maintenance, public safety, parking enforcement, and public works field staff would still provide a standard level of service to the public during that time.
As in past years, if approved, staff will notify the public of the closure dates via several channels, such as sending out eblasts and including in the Del Mar Weekly, posting the dates on the City website calendar, posting signs on the City Hall front doors, making announcements at the December Council meetings, noting the close on Google, and providing notifications through the City’s social media.
FISCAL IMPACT:
There is no fiscal impact associated with this item. Employees will be required to use their own accrued leave time if they choose not to work on the additional City closure dates.
NEXUS TO CITY COUNCIL GOALS AND PRIORITIES:
This is an operational item unrelated to City Council Goals & Priorities.

________________________________________________________________________________________________________ City Council Action:
TO: City Council Members
FROM: Mayor Dave Druker and Deputy Mayor Terry Gaasterland, Council Liaisons to the Undergrounding Project Advisory Committee
Prepared by Denise Galvan, Management Analyst
DATE: November 18, 2024
SUBJECT: Appointments to the Undergrounding Project Advisory Committee REQUESTED ACTION/RECOMMENDATION:
The Undergrounding Project Advisory Committee (UPAC) Council liaisons recommend that the City Council appoint Adam Wallace and John Imperato as voting members to UPAC for full three-year terms beginning on November 18, 2024 and ending on November 30, 2027.
BACKGROUND:
UPAC works with the Utility Undergrounding Program team to move the utility undergrounding project forward in a timely manner, track progress on the goals and tasks, and evaluate ongoing project success and lessons learned to make recommendations for adjustments as necessary. UPAC consists of seven Del Mar residents serving three-year terms. For continuity, UPAC members may continue to be appointed for additional threeyear terms through completion of the undergrounding project.
There are currently two vacancies on UPAC due to the resignation of Micheal Minter on September 24, 2024, and the separation of Steven Voss on November 1, 2024.
DISCUSSION/ANALYSIS:
City staff advertised the vacancies, and two Citizen Interest Forms were received during the recruitment period from Adam Wallace and John Imperato (Attachment A). The Council Liaisons to UPAC have reviewed the applications and recommend that rather than filling the balance of the prior member’s terms, the City Council appoint John Imperato and Adam Wallace to serve full three-year terms on the Committee beginning on November 18, 2024, and ending on November 30, 2027.
If the recommended appointments are approved by the City Council, UPAC will have a full roster with no remaining vacancies. A copy of the current roster is included as Attachment B for the Council’s reference.

Agenda Report
TO: Honorable Mayor and City Council Members
FROM: Martin Boyd, Principal Engineer
Monica Molina, Finance Manager/Treasurer
Sarah Krietor, Administrative Services Manager

DATE: November 18, 2024
SUBJECT: Citywide Undergrounding Program Financial Analysis and Potential Funding Options
REQUESTED ACTION/RECOMMENDATION:
Staff recommends the City Council: 1) Receive a presentation from City staff and NHA Advisors, LLC (NHA), based on NHA’s Technical Memorandum (Attachment A); 2) Provide feedback and recommendations regarding an initial borrowing to fund Undergrounding Districts X1A and 1B construction and the overall preferred funding strategy for the City’s Undergrounding Program; 3) Approve Task Order 2 with NHA for $20,000 to further evaluate financing options and structure (Attachment B); 4) Authorize the City Manager to execute the Task Order and any amendments up to $5,000; and 5) Amend the Fiscal Year 2024-2025 Operating and Capital Budget as described in the Fiscal Impact section of this report.
EXECUTIVE SUMMARY:
Citywide undergrounding has been a community goal since 2016, following approval of Measure Q by the voters. With the completion of the Tewa Court/10th Street pilot project and Utility Undergrounding District (UUD) 1A (Stratford Court South) construction underway, the City is working to identify viable and fiscally responsible potential funding strategies for undergrounding future districts, starting with the UUD X1A (Crest Canyon).
Staff and the City’s financial consultant, NHA Advisors, have completed a comprehensive financial analysis and developed a dynamic model to assist the City Council with selecting a funding strategy that best addresses the community’s goals and project challenges.
Three potential financing strategies will be discussed in this report that range from a “pay-as-yougo” model (no financing) to a “finance-as-you-go” model (periodic and strategic financing when needed). The timeline for completing the Undergrounding Program is 20 to 35 years depending on which strategy is ultimately pursued by the City. The current base total project cost is estimated to be $105 million in today’s dollars, which may increase to over $200 million when applying inflation and financing costs over the life of the project.
In September and October, the City’s Undergrounding Project Advisory Committee (UPAC) and Finance Committee received detailed presentations from staff and NHA Advisors and both committees recommended that the Council direct staff to further investigate public (bond) and private (bank loan) financing options to fund the next phase of undergrounding. In addition, UPAC 1 November 18, 2024 Item 11

Undergrounding Program Financial Analysis

recommended continued monitoring of cost variables for feasibility, particularly at each financing stage, continued efforts to assess cost efficiencies, and work with SDG&E to better understand and control costs.
If the City Council decides to proceed with further evaluating borrowing options to fund UUD X1A and 1B construction, staff will execute Task Order 2 with NHA (Attachment B) and return to the Finance and Undergrounding Committees with more detailed information about borrowing options, timing, and cost in early 2025, followed by a presentation and recommendation to the City Council.
BACKGROUND:
Measure Q, a 1% local transaction and use tax (sales tax) measure initiated by the City of Del Mar (City), was approved by voters in November 2016, and went into effect in April 2017.
Measure Q is a general tax allowing for the funds to be used for any City governmental purpose and is derived from taxable purchases made in the City of Del Mar as well as online and vehicle purchases by Del Mar residents. As such, it is most comparable to sales tax revenues received by the City.
The ballot language for Measure Q stated that funding would be used for “general city services and infrastructure projects, such as improvement of streets and sidewalks, utility undergrounding, public landscapes, improvement of community parks, trails and recreation facilities; police, crime prevention, fire protection and other public safety services.” In October 2017, the City Council prioritized use of Measure Q funds for Downtown Streetscape, undergrounding of utility poles citywide, and completion of the Shores Park Master Plan and future implementation. This was reaffirmed in September 2018, through adoption of Resolution 2018-63 (Attachment C). Since that time, citywide undergrounding efforts have been ongoing; Downtown Streetscape was completed in 2020; and the Shores Park Master Planning effort was placed on hold during COVID with next steps to be considered by the Council in early 2025.
The City’s Undergrounding Program Advisory Committee (UPAC) was established in 2017, and over the course of approximately two years, the Committee developed a project delivery plan, estimated project costs, assisted with prioritizing undergrounding districts, drafted communications plan, and provided policy recommendations for City Council consideration.
On August 5, 2019, the City Council adopted the UPAC recommended Project Delivery Plan (PDP) to achieve the citywide Undergrounding Program (UP), with the identified goals of improving overall public safety; reducing fire risks in fire critical areas; and improving property values and public/private views. The PDP includes prioritization of districts based on fire risk, density, and circuit logistics of San Diego Gas & Electric (SDG&E) utilities. Based on the information available at the time, UPAC anticipated the project timeframe could range anywhere from 12 to 26 years.
The key underlying assumptions for the PDP, as recommended by UPAC and supported by the City Council, are as follows:
• The City should remain committed to prioritizing and eventually undergrounding all overhead utilities.
2 November 18, 2024 Item 11
City Council Agenda Report
Undergrounding Program Financial Analysis
November 18, 2024
• The City should cover all costs in the public right-of-way and on City property, with the exception of the cost for non-joint trenching for the telecommunications utilities infrastructure. • Private property owners and other government agencies should cover all the costs associated with the undergrounding project that is on their property. • The City should limit expenditures on the UP to using Measure Q money and do the best the City can with those funds, even if it means the City cannot underground its entire jurisdiction as fast as the citizens wish, consistent with commitments to Shores Park and the Downtown Streetscape projects.
The City Council agenda report from April 15, 2019, noted that if the costs from the bidding process exceeded expectations, the Council could consider various alternatives, including costsharing with private properties through the formation of an assessment district. However, this was not recommended by UPAC and pursuing this as an option at this point in the program implementation could create many potential issues. Some issues that may arise include things such as inequity among property owners with some having to pay toward their undergrounding work through an assessment and not others; assessments can only be formed through a majority vote of the affected property owners; potential impacts to Council approved district areas that were strategically scoped and prioritized based on the factors described above; and risk of creating an inefficient piecemeal design that results in higher overall project costs.
A copy of the August 5, 2019, City Council agenda report with more detailed information, including the PDP, can be found on the City’s undergrounding webpage.
With regard to undergrounding, to date, the City completed a small pilot project known as Tewa Court/10th Street in February 2023; started construction of Utility Undergrounding District (UUD) 1A with an expected completion date of August 2025; is finalizing design of UUD X1A with construction expected to begin in spring 2025 pending availability of financing; formed UUD 1B with 30% design complete and 60% design anticipated by year-end; and recently completed formation of UUD 2 with design on hold pending approval of a UP funding strategy.
Measure Q Financial Overview
Although Measure Q revenues are legally considered general fund revenues and reported as such in the City’s Annual Comprehensive Financial Report (ACFR), they are internally set aside and tracked separately to ensure they are being used for Council designated purposes and in accordance with Council direction, which is reviewed and reported on annually by the City’s Measure Q Citizen Oversight Committee.
To date, the City has collected $20.9 million in Measure Q revenues (including interest earned), and a total of $11.1 million has been spent. An additional $3.5 million is anticipated in revenue in Fiscal Year 2024-2025, with an additional $12.7 million allocated to fund upcoming UP expenditures. Below is a chart that provides more detailed Measure Q revenue and expenditure information.

More detailed information regarding the history of Measure Q and accomplishments to date can be found at: https://www.delmar.ca.us/DocumentCenter/View/9623/Item-12--Measure-QOverview Utility Undergrounding Process Overview
It is important to understand the different stages of a utility undergrounding project, starting with district formation through completion, as each of these stages include activities that generate project costs.
The process starts with district formation requiring the City Council to form an UUD before any design work can begin. Once the City Council has created a UUD, an approximately 30-to-38- month design process begins. There are many tasks during the project's design phase, such as surveying existing conditions, design by utility companies and City civil design, coordinating service lateral design with homeowners, easement coordination and recordation, and the City preparing California Environmental Quality Act (CEQA) documentation and permits.
Once the design process is complete, a construction bid package is prepared and the City undertakes a competitive public bidding process in accordance with State law. The City Council is then asked to consider awarding a construction contract to the lowest responsive and responsible bidder.
After the selected contractor is awarded a contract and issued a notice to proceed, construction of the underground utility systems and the subsequent removal of overhead utility systems in the public right-of-way commences and is anticipated to take between 12 to 24 months for each district. This construction process consists of four phases: trenching/conduit by the City and property owners, cable & connections by utility companies, service cutovers by utility companies, and pole removals by utility companies.
UP General Cost Estimates
Since 2016, the City has engaged specialized consultants, Utility Specialists and Lee & Ro, City Finance and Undergrounding Program advisory committees, and SDG&E, in an ongoing process to understand and forecast UP general costs.
4 November 18, 2024 Item 11
City Council Agenda Report
Undergrounding Program Financial Analysis
November 18, 2024
Prior to placing Measure Q on the ballot for voter consideration, the concept of undergrounding utility lines throughout the City was preliminarily evaluated by the City’s Finance Committee, who recommended in April 2016 the City Council consider a one-cent sales tax measure that could be used to amortize debt related to citywide undergrounding with an estimated total project cost of $25-30 million. The basis for this early Finance Committee estimate is not entirely clear.
Additionally, Utility Specialists provided an early 2016, pre-Measure Q, estimate of $18 million for total undergrounding costs. This estimate was incomplete in that it only considered construction costs and did not capture all project costs as further described below.
Before true project costs were known through completion of UUD Tewa Court/10th Street and UUD 1A bidding process, Rough Order of Magnitude (ROM) estimates were used to predict UP costs, which have evolved over time, as described below, based on the best information available.
Utility Specialists Original Program Estimate Incomplete In 2019, Utility Specialists developed an incomplete program cost estimate of $26.5 million based primarily on a $323 per linear foot cost of overhead conversion. Cost of overhead conversion refers to the estimated cost per linear foot to relocate overhead electrical line underground.
Unfortunately, Utility Specialists’ estimate was very preliminary and incomplete as it did not take into consideration many important cost factors, as further described below. In comparison to current project estimates, the initial Utility Specialists cost estimate was deficient in that it:
• Was for hard construction costs only. It did not include necessary “soft costs” for utility and environmental consultants, project management, homeowner communication and coordination, civil engineering and surveying, protected tree surveys, bidding and construction management, etc.
• Assumed simple trench patch work only for restoration and did not include additional repair for curbs, gutters, concrete sidewalk/pedestrian ramp, concrete or paver driveways, and retaining walls.
• Was based on previous historical cost data mostly from private land development projects, not public projects completed in existing streets.
• Did not include estimated cost escalation to the anticipated year of construction.
Lee & Ro, UPAC, and SDG&E Program Estimates
On August 5, 2019, City Council approved recommendations made by UPAC and City staff pertaining to the preliminary undergrounding district boundary map (i.e., blocks) and prioritization of the blocks related to the PDP.
As part of this process, Lee & Ro developed a program cost estimate of $51.6 million at a cost of $719 per linear foot of overhead conversion. As part of developing the PDP, the City Council instructed staff and UPAC to complete a deeper review of the costs to reconcile the differences in the program cost estimates provided by Utility Specialists and Lee & Ro.
Through this review, UPAC developed their own program cost estimate of $32-$42 million which is a cost of $464-$609 per linear foot of overhead conversion. UPAC also stated in their 5 November 18, 2024 Item 11
