CITY OF DELANO
STAFF REPORT
March 6, 2023
Agenda Item: 4
TO: Honorable Mayor and Members of the City Council
FROM: Maribel Reyna, City Manager
By: Sumeet Batth-Chavez, Recreation Manager
SUBJECT: Approval of the co-sponsorship in the amount of $450 for the Kern County Public Works Department to host a public informational meeting on May 4
Recommendation
Staff is requesting the City Council to consider the total amount of $450 for the usage of the Civic Center on May 4 by the Kern County Public Works Department. The Kern County Public Works Department will be hosting a public meeting to inform county residents of upcoming changes to their county garbage collection services.
Discussion
County residents may be affected in different ways by upcoming fee increases and state requirements. Some fees will be pertaining to the County landfill and others pertaining to the garbage collection services provided by franchise haulers in the county areas. Also, due to SB 1383 an expansion of the Universal Collection Areas is needed. Therefore, those who may not currently be required to have garbage collection services, will find that they will now be required by law to have said services.
The rental rate for the Jefferson Center is $50 (per hour) for public meetings, plus the $300 building deposit (per day).
Budget Impact
The total cost of $450 of the co-sponsorship of the Civic Center fees will be charged to City’s co-sponsorship account 01-5307-105.

CITY OF DELANO
STAFF REPORT
March 6, 2023
Agenda Item: 5
TO: Honorable Mayor and Members of the City Council
FROM: Maribel Reyna, City Manager
By: Viviana Alapisco, Transportation Manager
SUBJECT: Resolution to add On-Demand (DART-N-GO) during the week to areas currently not served by fixed routes for the City of Delano Transit (DART) Program
Staff recommends adopting resolution to add On-Demand (DART-N-GO) during the week to areas currently not served by fixed routes for the City of Delano Transit (DART) Program
Discussion
City of Delano Transit (DART), is the transit provider for the City of Delano and surrounding unincorporated County Areas under contract with Kern County. In addition to providing fixed route bus service, the department is responsible for the provision of complimentary Paratransit services (required by the Federal Americans with Disabilities Act).
DART operates four fixed routes within the City of Delano, one commuter bus to Bakersfield and Delano Area Dial-A-Ride operates within the City of Delano and surrounding unincorporated county. DART funds its fixed route and paratransit services with State Transportation Development Act (TDA) which include Local Transportation Fund (LTF) and State Transit Assistance (STA) funds and the Federal Transit Administration (FTA) Section 5307 program.
With the growth of business’s and homes, DART currently doesn’t have fixed routes to services those areas. In order to efficiently serve those areas, DART is proposing to add On-Demand (DART~N~GO) during the week to provide services. It had been proposed in the LRTP to add On Demand (DART~N~GO) in the areas where there is growth.
The On Demand (DART~N~G0) which will enable riders to request specific pick-up and drop-off locations, is being put in place to improve existing or new bus services. The ondemand service can be requested via smartphones and by calling the office. Providing the On Demand (DART~N~G0) for this time will assist DART with Revenue Miles and Service Hours. There will be no budget impact since we already have a vehicle and staff to offer new services.

Agenda Item: 8
TO: Honorable Mayor and Members of the City Council
FROM: Maribel Reyna, City Manager
By: Roman Dowling, P.E., Public Works Director/City Engineer SUBJECT: Approval of agreement of purchase & sale and joint escrow instructions with Double Eagle Dover Investments, LLC, for 8.23 acres of vacant land (APN 521-020-18) for the future High St. flyover right of way, for $2,510,000.00, and authorization for the city manager to sign it and any other documents needed to complete this purchase and to settle any final details of a non-material nature.
Recommendation
Approve agreement of purchase & sale and joint escrow instructions with Double Eagle Dover Investments, LLC, for 8.23 acres of vacant land (APN 521-020-18) for the future High St. flyover right of way, for $2,510,000.00, and authorize the city manager to sign it and any other documents needed to complete this purchase and to settle any final details of a non-material nature.
Discussion
The last decade’s worth of growth in the Woollomes Avenue commercial area has severely impacted traffic flows and congestion in that part of town, especially across the SR 99 Interchange. Providing a connection between the east side of town and the Woollomes commercial part of the City, that bypasses both the railroad and SR 99, has always been the preferred option to mitigate the issue.
Staff worked with the traffic engineering consultant firm Ruettgers & Schuler to conduct the feasibility study of the flyover grade separation across the SR 99, which resulted in the amount and configuration of land acquisition needed for the future construction of the bridge. Staff approached the landowner representative with the proposed acquisition, which resulted in productive negotiations that brought this deal forward. The cost range for the actual bridge project is estimated between $40M and $50M. Staff is working with KernCog and the City’s lobbyist to identify funds to move the project forward.
Budget Impact
The appraised fair market value and purchase price is $2,510,000.00, and it is recommended that $40,000.00 be added to cover costs associated with the due diligence and escrow fees; it is requested that $2,550,000.00 be appropriated from the Traffic Impact Fee (Fund 541) to complete this transaction, Staff is directed by this action to open escrow and deposit the required “Initial Deposit” as per the “Agreement of Purchase and Sale and Joint Escrow Instructions.”

DATE OF REPORT February 13, 2023
DATE OF VALUE February 8, 2023
MARKET VALUE $2,510,000
At the request of the client, I have determined and performed the scope of work necessary to develop credible assignment results. The sales comparison is the necessary approach for the intended use to aid the client in acquiring the real estate. A brief summary report with fully developed sales comparison approach is presented. A hypothetical condition of this analysis is that the lot line adjustment has been completed for the 8.23 acre portion, that is the subject of this report, as of the date of this appraisal.
This Appraisal Report is intended to comply with the reporting requirements of Standards Rule 2-2(a) of the Uniform Standards of Professional Practice (USPAP), and therefore contains a summary presentation of the data, reasoning, and analyses used in the valuation process to develop the appraiser’s value conclusion. Additional information, pertaining to the appraiser’s analyses and conclusions, is contained in the appraisal file. It is intended that the use of and reliance upon this Appraisal Report is limited to the client, CITY OF DELANO.
2 PURPOSE OF THE ASSIGNMENT
The purpose of the appraisal is to form an opinion of market value of the herein identified property, in its hypothetical condition as described in this appraisal, as of the date of value of this appraisal.
MARKET VALUE DEFINITION
Market Value means the most probable price which a property should bring in a competitive and open market under all conditions requisite to a fair sale, the buyer and seller each acting prudently and knowledgeably, and assuming the price is not affected by undue stimulus. Implicit in this definition is the consummation of a sale as of a specified date and the passing of title from seller to buyer under conditions whereby:
1. Buyer and seller are typically motivated;
2. Both parties are well informed or well advised, and acting in what they consider their own best interest;
3. A reasonable time is allowed for exposure in the open market;
4. Payment is made in terms of cash in U.S. dollars or in terms of financial arrangements comparable thereto; and,
5. The price represents the normal consideration for the property sold unaffected by special or creative financing or sales concessions granted by anyone associated with the sale.
Source: OCC, 12 CFR, Part 34, Subpart C - Appraisals, 34.42 Definitions [g].
The estimated exposure time to achieve the above value conclusion is three months.
Appraisal Premise
An appraisal of the "as is" condition will estimate the defined value of a property while precisely reflecting its actual physical, legal, economic, and political status on the effective date of valuation.
When an "as is" appraisal premise is used, it means that the property is valued based on its precise condition or status as of the effective date of value. This condition must be accurately described in the appraisal report.
The subject property of this appraisal is an 8.23 acre portion of a larger parcel that is 22.66 acres. An unrecorded plat map has been provided to show the lot line adjustment separating the larger parcel into two parcels. A hypothetical condition of this analysis is that the lot line adjustment has been completed for the 8.23 acre portion, that is the subject of this report, as of the date of this appraisal.
The hypothetical condition is known to be false but is assumed at the request of the client. The use of a hypothetical condition might affect the assignment results.
Exposure Time
Considering current market conditions and exposure time for similar type commercial land properties, a one-year exposure time was estimated.
PROPERTY RIGHTS APPRAISED
Property rights valued are those of the fee simple interest. 3 INTENDED USE OF THE APPRAISAL
The intended use is to develop an opinion of market value to aid the client and intended user, CITY OF DELANO, in acquiring the real estate.
SCOPE OF WORK
This is an appraisal report that in my opinion has been prepared in accordance with the Uniform Standards of Professional Appraisal Practice of the Appraisal Foundation and the professional standards and ethics of the Appraisal Institute. The appraisal assignment was not based on a specific valuation or any action or event resulting from the analyses.
Through communication with the client, and with an understanding of the assignment conditions, I have determined the appropriate scope of work for this appraisal report. All applicable approaches to value were considered. Sales comparison is the only applicable approach for vacant land, such as the subject. The income and cost approaches are not applicable, therefore were not performed.
The scope of the assignment included: (1) an inspection of the subject property and its market area; (2) research and investigation of current market conditions relative to the property type being appraised as well as the market segment within which the subject is identified; (3) interviews with brokers, appraisers, property owners and managers, as well as relevant public agencies or governing bodies; and (4) collection, verification, and analysis of market data and other pertinent information necessary to the valuation process.
IDENTIFICATION OF PROPERTY
The location is mid-block along Dover Parkway in Delano, California. The legal description was not provided. The property is described as a portion of assessor's parcel number: 521-020-18. The census tract number is 0048.02.
OWNERSHIP HISTORY (3 Years)
According to public records and information provided the appraiser, the current owner is Double Eagle Dover Investments, LLC. There has been no transfer of ownership in the last three years.
The entire 21.66 acre parcel, in which the subject property is a part of, is currently listed for sale.
The asking price is $6,708,240 or $7.00 per square foot based on an even 22 acres (rounded). The property has been listed for approximately 7 years.
According to the listing broker, Henry Mendez with Central Valley Commercial Brokers, Inc there have been three offers to purchase the property over the listing period. The first was in June of 2015 for $3,000,000 cash; the second was June 2016 for $3,500,000 cash; and the third was for $3,750,000 in June 2017. Mr. Mendez explained that none of the purchases finalized because the owners wanted to wait for more development to be completed in the area. There have been no other offers that I am aware of.
ASSESSED VALUE AND TAXES
The property is assessed by the Kern County Assessor’s office and is identified as Assessor's Parcel Number: 521-020-18. CITY ANALYSIS
Location and Accessibility
The subject property is located in the city of Delano, California. Delano is in Kern County, which lies at the southern end of the San Joaquin Valley. Delano is 144 miles north of Los Angeles, 30 miles north of Bakersfield and 75 miles south of Fresno. Access to the area is good and is provided by State Highway 99, a major north-south traffic route, which bisects the San Joaquin Valley. State Highway 99 connects the northern California cities of Sacramento and Stockton with central and southern California and is considered a major truck route for the distribution of agricultural products throughout the state.
Economic Base
Delano is located in the north central portion of the county and is surrounded by farm ground. It is the second largest city in the county with its economy largely dependent upon agriculture, resulting in a high unemployment rate due to the seasonal nature of the work. The predominant plantings in the area are vineyards. The region ships hundreds of millions of dollars’ worth of commodities throughout the United States and to over 80 foreign countries. Due to the stress on the local economy by the downturn in the agricultural markets in the late 1980's and early 1990's, the City of Delano stepped up their efforts to diversify their economic base.
The North Kern State Prison, a 2,892-bed facility, was constructed in 1993 with 1,550 staff and annual operating budget of $170 million. Delano was selected for construction of a second prison adjacent to the first prison which was completed in 2005. Kern Valley State Prison, a 2,448-bed facility, has a staff of 1,620 and annual operating budget of $125 million.
A 1.25 million square foot warehouse for Sears was constructed in 1992 and subsequently expanded in size. Wonderful Citrus, the largest grower, shipper and marketer of fresh citrus in the United States, built a 450,000 square foot packing facility. It is a multipurpose orange and lemon packinghouse that also includes company headquarters and sales department.
Wonderful Citrus added a 640,000 square foot citrus packinghouse in 2012 for mandarins. This is the largest citrus packinghouse in the world. The new facility created 500 jobs in Delano. 5 The City of Delano Enterprise Zone was first established in 1991. On October 14, 2009, they received approval retroactive to December 2006 for expansion of the zone that now includes all businesses within the city limits and some county unincorporated areas. Enterprise Zones have been replaced with Opportunity Zones which are similar as a geographically designated, economically depressed area in which businesses can receive several substantial state tax breaks and other benefits. These benefits include sales or use tax credits and hiring tax credits. Delano has two industrial parks with ample vacant sites available.
Population
The 2010 federal census population statistics and 2018 and 2023 projected estimates for Delano are compared to Kern County and the state.
2010 Census 2018 Estimate 2023 Estimate
Delano 53,041 53,458 54,833
Kern County 839,631 902,474 946,722
State of California 37,253,956 39,806,791 41,456,909
* STDB Online: U.S. Census Bureau
The total local prison population (two state prisons and one city owned correctional facility) of approximately 9,000 inmates is included in the Delano population. High unemployment has been a limiting factor to growth in Delano. The county has consistently grown faster than the state. The growth in population will create demand for housing units and support services.
Income Level
Household income is defined as the total gross income derived from all persons living in a single dwelling. A household income may be comprised of one or more families. It is directly related with employment availability and employment based industries in the area. Due to the characteristics of agriculture, a large percentage of the employment is not year round. According to Environmental Systems Research Institute, Inc. (ESRI) estimates for 2018, the median household income was $52,842 in Kern County, $60,231 in Bakersfield and $39,750 in Delano.
Delano Commercial Market
The rate of retail sales growth in Delano has been significantly higher than the state for several years due to new retail development including the Delano Marketplace shopping center opening in 2013 through 2014.
Historically, commercial development in Delano surrounded Main Street in the downtown area, and along Cecil Avenue, which connects to Highway 99. Medical office space is near the Delano Regional Medical Center (hospital) on Garces Highway in the southeast section of town. City and regional county offices are situated downtown. The downtown area developed in the 1940’s to 1960’s with some in-fill or redevelopment of newer commercial buildings. Off-street parking is an issue with older downtown commercial buildings. Development near the hospital has occurred over the last 20 years.
Commercial properties are typically single-story and under 10,000 square feet. New construction in recent years has mostly been build-to-suit or owner user. We are not aware of a market vacancy survey for the Delano area. The City historically had been focusing on a 16 block revitalization project between 8th & 11th Streets and Highway 99 and High Street. A Delano Downtown Improvement District Feasibility Study included a retail market analysis dated March 2005. The 6 study estimated leakage of $16,600,000/year in retail sales from Delano to other communities that provide more comprehensive shopping choices. The report further concludes that an additional $176,000,000 in retail sales could be captured from the region, for a total of $192,000,000 in additional retail sales. The Delano trade area extends a radius of 15 to 20 miles to include several surrounding small communities and serves a population of 125,000 to 150,000.
The Home Depot built a new store in the northwest quadrant of Highway 99 and Woollomes Avenue in 2004. Across the street, new development includes a 45-acre site south of Woollomes with a supercenter Wal-Mart that opened in the Fall of 2013 as anchor of the Delano Marketplace shopping center. Several pad restaurants, junior anchor stores, and multi-tenant shop buildings have also opened in the shopping center. One block west, Maya Cinemas opened a multi-screen theater in 2019 and Aldi opened a grocery store. This new development has shifted the center of retail activity to the south end of the city and is a solution to most of the retail sales leakage in the trade area.
Conclusion
The trend for Delano is stable. Expansion of the economic base has diversified Delano’s economy but the unemployment rate remains high. Housing and services received the greatest benefit.
Industrial property values were less affected.
PROPERTY SUMMARY
Site: The site has a mid-block orientation along Dover Parkway, intersecting with Morse Boulevard to the east, in Delano. Dover Parkway is a two-lane roadway with a center turn lane and moderate traffic. Morse Boulevard is a two-lane roadway with moderate traffic that runs perpendicular to Dover Parkway. The 99 Freeway abuts the site along the east property line. Surrounding uses include recently developed professional and medical offices along Dover Parkway with residential development off of the main thoroughfares. The Delano Marketplace and The Vineyard are newly constructed, anchored shopping centers along Woollomes Avenue at Dover Parkway to the south of the subject.
According to Parcel Map12093 the subject property is 8.23 acres or 358,499 square feet. The site is “flag” shaped and fronts approximately 145 feet along the east line of Dover Parkway and 302 feet along the west line of the 99 Freeway. Topography is slightly above street grade.
According to the Federal Emergency Management Agency's flood insurance rate map communitypanel number 060078 – 06029C0750E dated September 26, 2008, the subject property is situated in zone X and X500. Both Zone X and X500 are defined as being within the 500-year flood limits and is not considered a flood hazard zone.
The routine inspection of the subject disclosed no unusual conditions affecting the land. However, no responsibility is accepted for evaluating subsoil or discovery of unapparent or unusual conditions, as I am not an expert in this field. The subject is not located in an Alquist-Priolo seismic special studies zone. Based upon surrounding land uses, it appears the soil is suitable for development.
The site is serviced by all public utilities including gas, electricity, water, sewer, and storm drainage.
Off-site improvements include asphalt paved street and curbing along with street lighting.
A preliminary report was not provided. Existing public utility easements do not have an adverse effect on value. No adverse easements, encroachments, or other surface restrictions were observed. 7 The presence of hazardous materials may affect the value of the property. The value estimated is predicated on the assumption that there is no such material on or in the property that would cause a loss in value. No responsibility is assumed for any environmental conditions, or for any expertise or engineering knowledge required to discover them. Descriptions and resulting comments are the result of the routine observations made during the appraisal process.
According to the City of Delano Planning Department, the zoning is CRC, Community Retail Commercial. The CRC zoning is part of the Employment District with a primary purpose to provide appropriate regulations and suitable locations for light industrial, research and development, warehouse and distribution office-based firms seeking pleasant and attractive working environments, business support services, and commercial uses requiring large parcels.
HIGHEST & BEST USE
As Vacant – The subject is zoned for a commercial office or industrial use. Physical characteristics and services availability are consistent with this use. Financial feasibility and maximum productivity are achieved with development of an office property for a tenant or owner occupant. Development on a speculative basis could result in a long marketing period, reducing profitability. If a build-to-suit tenant or owner occupant is not found, holding the site vacant in speculation of future development is the prudent course of action.
SALES COMPARISON APPROACH
My investigation uncovered four closed sales and one listing considered similar to the subject.
Physical inspections were made, and the sale prices were verified. The units of comparison used in this appraisal are price per square foot. Specific information on the comparables is provided in the adjustment grid below and plat maps are in the addendum. The adjustment grid below is followed by a discussion of the adjustments, resulting in an indication of value.
8 LAND SALES MARKET DATA GRID
The sales utilized are considered the most comparable available. Although similar, there are characteristics which differ from the subject and cause the prices paid to vary. These differences are adjusted to reflect the variance in sales price. The adjustments are discussed as follows.
Financing (Terms of Sale) - All the comparable sales were sold for cash or involve terms equivalent to cash. No adjustments are required.
Conditions of Sale - Sale 5 is a current listing with 230 days on the market and is adjusted downward for buyer negotiations.
Market Conditions (Time of Sale) - As discussed in the market overview section, market activity and conditions for commercial properties were stable in 2021 through the end of 2022.
Site Size - Parcels with more square footage tend to sell for less on a per acre basis than smaller parcels. An explanation for this is that there are more buyers that can afford smaller properties and therefore more demand which increases the unit price. Sale 1 is significantly smaller than the subject and is adjusted downward.
Improvements – The subject property is unimproved land as comparable Sales 2 through 5. Sale 1 has a paved and landscaped parking area that covers approximately 40% of the lot size. Sale 1 is adjusted downward for this difference. Marshall Valuation Services was utilized as a guide in making the adjustment.
Zoning - The subject is zoned CRC, Community Retail Commercial which allows many commercial office and industrial uses. Sales 1, 4, and 5 are zoned general commercial which allows Subject Sale 1 Sale 2 Sale 3 Sale 4 Sale 5

Location
Adjustments
9 for most retail uses in addition to other commercial uses and is considered superior to the subject’s zoning. These sales are adjusted downward 10% for this difference.
Location - The subject site is mid-block in a mixed use area and has visibility from the 99 Freeway.
Sale 1 and 5 are considered similar in terms of location. Sale 2 is located in an industrial area which is not desirable for office or other commercial users. Sales 3 is located just over 1.5 miles east of the 99 Freeway which is inferior to the subject. Sales 2 and 3 are adjusted upward for the difference in location. Sale 4 has a corner location along a major arterial near established retail centers which is superior in location and is adjusted downward.
Reconciliation - The sales indicate a range after adjustments of $4.17 to $8.56 per square foot. Sale 5 is at the top of the range and is a current listing, which would typically be given the least weight.
However, Sale 5 required the less adjustments than the closed sales and is very similar to the subject.
Sales 2 and 3 required the most adjustments which reduces the reliability of the data and these two sales are given the least weight. Sales 1 and 4 are the most similar closed sales and are given the most weight. The subject is assigned a unit value of $7.00 per square foot which indicates an overall value as follows:
358,499 Square Feet x $7.00/Square Foot = $2,509,492
Indicated Value by the Sales Comparison Approach (ROUNDED) $2,510,000 As a result of our investigation and analyses presented in this report, it is our opinion that the market value “as is”, fee simple as of February 8, 2023, subject to the assumptions and limiting conditions set forth in the addendum of this report, is the sum of:
TWO MILLION FIVE HUNDRED TEN THOUSAND DOLLARS
$2,510,000
A hypothetical condition of this analysis is that the lot line adjustment has been completed for the
8.23 acre portion, that is the subject of this report, as of the date of this appraisal.
10 ASSUMPTIONS AND LIMITING CONDITIONS
Standards Rule ("S.R.") 2-1(c) of the "Standards of Professional Appraisal Practice of the Appraisal Foundation" requires the appraiser to "clearly and accurately disclose all assumptions, extraordinary assumptions, hypothetical conditions, and limiting condition used in the assignment.” In interpreting this report, such assumptions and limiting conditions are set forth as follows:
Extraordinary Assumptions
1. None
Hypothetical Conditions
1. A hypothetical condition of this analysis is that the lot line adjustment has been completed for the 8.23 acre portion, that is the subject of this report, as of the date of this appraisal.
General Assumptions and Limiting Conditions
1. The conclusions and opinions expressed in this report apply to the date of value set forth in the letter of transmittal accompanying this report. The dollar amount of any value opinion or conclusion rendered or expressed in this report is based upon the purchasing power of the American dollar existing on the date of value.
2. The appraiser assumes no responsibility for economic, physical or demographic factors which may affect or alter the opinions in this report if said economic, physical or demographic factors were not present as of the date of the letter of transmittal accompanying this report. The appraiser is not obligated to predict future political, economic or social trends.
3. In preparing this report, the appraiser was required to rely on information furnished by other individuals or found in previously existing records and/or documents. Unless otherwise indicated, such information is presumed to be reliable.
However, no warranty, either express or implied, is given by the appraiser for the accuracy of such information and the appraiser assumes no responsibility for information relied upon later found to have been inaccurate. The appraiser reserves the right to make such adjustments to the analyses, opinions and conclusions set forth in this report as may be required by consideration of additional data or more reliable data that may become available.
4. No opinion as to title of the subject property is rendered. Title is assumed to be marketable and free and clear of all liens, encumbrances, easements and restrictions except those specifically discussed in the report. The property is appraised assuming it to be under responsible ownership and competent management, and available for its highest and best use.
5. This appraisal should not be considered a report on the physical items that are a part of this property. Although the appraisal may contain information about the physical items being appraised (including their adequacy and/or condition), it should be clearly understood that this information is only to be used as a general guide for property valuation and not as a complete or detailed physical report. The appraiser is not a construction or engineering expert, and any opinion given on these matters in this report should be considered preliminary in nature.
It is assumed that there are no hidden or unapparent conditions of the property, sub-soil, or structures which would render it more or less valuable. No responsibility is assumed for any such conditions or for any expertise or for arranging any engineering, surveys, soil studies, termite inspections or other special inspections or studies. Since no such tests, studies, or inspections were made, no liability is assumed for matters relating to engineering, architectural, structural, mechanical, or soils conditions which may be required to discover such factors. The structures were not checked for building code violations and it is assumed that all buildings meet the building codes unless so stated in the report.
Because no detailed inspection was made, and because such knowledge goes beyond the scope of this appraisal, any observed condition comments given in this appraisal report should not be taken as a guarantee that a problem does not exist. Specifically, no guarantee is made as to the adequacy or condition of the foundation, roof, exterior walls, interior walls, floors, heating system, air conditioning system, plumbing, electrical service, insulation, soils or sub soils. The presence of radon gas, hazardous waste, asbestos or any toxic and potentially dangerous materials and conditions have not been considered and such conditions may or may not be present. If any interested party is concerned about the existence, condition or adequacy of any particular item or condition, it is strongly suggested that the proper expert be hired for a detailed investigation.
6. Unless otherwise stated, the subject property is appraised assuming it to be in full compliance with all applicable 11 zoning and land use regulations and restrictions. The property is appraised assuming that all required licenses, permits, certificates, consents or other legislative and/or administrative authority from any local, state or national government or private entity or organization have been or can be obtained or renewed for any use on which the value estimate contained in this report is based.
No analysis or survey to determine if the property is in compliance with the Americans with Disabilities Act (ADA) has been provided the appraiser or made by the appraiser. Possible noncompliance with ADA was not considered in estimating the value. No responsibility is assumed for determining whether the property is in conformity with the various detailed requirements of the ADA.
7. No engineering survey has been made by the appraiser. Except as specifically stated, data relative to size and area of the subject property was taken from sources considered reliable and no encroachment of the subject property is considered to exist.
8. No opinion is expressed as to the value of subsurface oil, gas, water or mineral rights or whether the property is subject to surface entry for the exploration or removal of such materials, except as is expressly stated.
9. Maps, plats and exhibits included in this report are for illustration only to serve as an aid in visualizing matters discussed within the report. They should not be considered as surveys or relied upon for any other purpose, nor should they be removed from, reproduced or used apart from the report.
10. No opinion is intended to be expressed for matters which require legal expertise or specialized investigation or knowledge beyond that customarily employed by real estate appraisers.
11. Possession of this report, or a copy of it, does not carry with it the right of publication. Without the written consent of the appraiser, this report may not be used for any purpose by any person other than the party to whom it is addressed.
In any event, this report may be used only with proper written qualification and only in its entirety for its stated purpose.
12. The property which is the subject of this appraisal is within a geographic area prone to earthquakes and other seismic disturbances. Except as specifically indicated in the report, no seismic or geologic studies have been provided to the appraiser concerning the geologic and/or seismic condition of the subject property. The appraiser assumes no responsibility for the possible effect on the subject property of seismic activity and/or earthquakes.
13. Testimony or attendance in court or at any other hearing is not required by reason of rendering this appraisal, unless such arrangements are made a reasonable time in advance of said hearing. Further, unless otherwise indicated, separate arrangements shall be made concerning compensation for the appraiser's time to prepare for and attend any such hearing.
14. The liability of KERN APPRAISAL COMPANY, its employees, and independent contractors under agreement is limited to the client only and to the fee actually received by the appraiser. Further, there is no accountability, obligation, or liability to any third party. If this report is placed in the hands of anyone other than the client, the client shall make such party aware of all assumptions and limiting conditions of the assignment and related discussions. The appraiser is in no way to be responsible for any costs incurred to discover or correct any deficiencies of any type present in the property; physically, financially, and/or legally.

B. Purchaser agrees to undertake its best efforts to commence and diligently process and approve for recordation the C of C for the creation of the Parcels; provided that Seller acknowledges and agrees that Purchaser’s approval of the C of C is a matter within Purchaser’s sole and absolute discretion, and that Purchaser’s failure to approve the C of C for any reason will in no event constitute a breach or default by Purchaser under this Agreement nor expose Purchaser to liability of any kind or nature.
C. Prior to Closing, Purchaser will have had the opportunity to investigate all physical, legal, environmental, developmental, operational, and economic aspects of the Property and to make all inspections and investigations of the Property that Purchaser deems necessary or desirable to protect Purchaser’s interest in acquiring the Property, including, without limitation, environmental audits and assessments, toxic reports, surveys, investigation of land use and development rights, development restrictions and conditions that may be imposed by governmental agencies, soils and geological reports, governmental agreements, and approvals, and evaluation of the quantity, quality, and cost of available utilities, and except for Seller’s express representations and warranties as set forth in this Agreement, the Property will be conveyed at Closing in an “AS IS, WHERE IS, AND WITH ALL FAULTS” condition.

(2) The balance of the Purchase Price (that is, the difference between the Purchase Price and the Deposit) shall be payable in cash upon the Close of Escrow.
B. Notwithstanding any term or provision of this Agreement, One Hundred Dollars ($100.00) of the Deposit (“Independent Consideration”) shall constitute independent consideration to Seller for having entered into this Agreement and shall be nonrefundable if the Property is not acquired by Purchaser for any reason related to a Purchaser termination under this Agreement, or failure of a Purchaser condition, and to the extent that this Agreement requires the Deposit to be refunded to Purchaser, the same shall be refunded less the Independent Consideration.
Section 4. Escrow.
An escrow (the “Escrow”) is to be opened to consummate the sale with Placer Title Company (the “Escrow Agent”), 9100 Ming Ave., Suite 201, Bakersfield, CA 93311, Attn. 4 (4) Approval of the terms and conditions of this Agreement by the City Council of Purchaser.
B. Seller's obligation to perform under this Agreement and to complete the sale of the Property is subject to the satisfaction, or express written waiver by Seller, of the following conditions:
(1) Purchaser's representations and warranties in this Agreement being correct as of the date of this Agreement and as of the Closing Date; (2) Purchaser having approved and/or processed the C of C as is necessary for the legal creation of the Parcels and the recordation of the C of C prior to the Closing.
(2) Purchaser's performance of all obligations to be performed by Purchaser under this Agreement.
Section 6. Title; Inspections.
A. Promptly following the execution of this Agreement (if not already procured by Purchaser) the Purchaser shall cause Placer Title Company (the "Title Company") to issue and deliver to Purchaser (with a copy to Seller) a preliminary report (the "Preliminary Report”) for a ALTA Owner's Policy of Title Insurance for the Property, together with copies of all documents relating to title exceptions referred to in the Preliminary Report. Purchaser shall approve or disapprove each exception shown in the Preliminary Report (each an "Exception") within fourteen (14) days following the receipt of the Preliminary Report and any amendments or updates of the Preliminary Report; except that Purchaser will not have the right to object and will accept title subject to the lien of property taxes not yet due (the “Deemed Approved Exceptions”).
Purchaser's failure to given written notice of objection within the fourteen (14) day period shall be deemed to be an approval of the Exceptions. If any Exception is disapproved in writing (each a "Disapproved Exception"), Seller shall, not later than ten (10) days following expiration of the fourteen (14) day period provided above, notify Purchaser as to whether Seller is willing or unwilling to cause the removal of any Disapproved Exception (“Seller’s Cure Notice”). To the extent Seller is willing to cause the removal of a Disapproved Exception, Seller shall, for a period of thirty (30) days following the giving of Seller’s Cure Notice use its best efforts to cause each such Disapproved Exception to be discharged, satisfied, released, or terminated, as the case may be, of record, and in a form that is reasonably satisfactory to Purchaser, all at Seller's sole cost and expense. If Seller is unable to obtain a discharge, satisfaction, release, or termination as to such Disapproved Exception, or if Seller is unwilling to cause the removal of a Disapproved Exception, Purchaser shall have the right to:
(1) Waive the Disapproved Exception and proceed with Closing, accepting title to the Property subject to the Disapproved Exception, in which event DocuSign Envelope ID: EC5B3D77-3B71-4D6A-A0D0-98A61A3C1E04 LA #4856-6698-3504 v5 – Seller Draft 2.27.2023
5 such Disapproved Exception shall be deemed to be a Deemed Approved Exception, or
(2) Terminate this Agreement, in which case both Purchaser and Seller shall be relieved of all further obligation and liability to each other under this Agreement, except for such as have accrued prior to the date of termination and except for such as are stated in this Agreement to survive its termination or expiration. below, and Purchaser and Seller will share equally in paying any cancellation fees charged by Escrow.
B. During the period commencing on the date of this Agreement and terminating thirty (30) days thereafter ("Feasibility Period"), Purchaser may undertake, at Purchaser's expense, an inspection, investigation and review of the Property, including, but not limited to, the physical condition of the Property, an inspection and examination of soils, environmental factors, geotechnical factors, and Hazardous Substances, if any, relating to the Property. If Purchaser’s inspection, investigation or review discloses the need, or contains a recommendation, for further environmental examination beyond a socalled Phase I Environmental Site Assessment or the need or recommendation for further examination of the physical condition of any portion of the Property, then Purchaser shall have the option by written notice given to Seller prior to the end of the Feasibility Period to extend the Feasibility Period for an additional period of time, not to exceed thirty (30) days, in which case the Closing Date (as defined in Section 7D) shall be similarly extended. If Purchaser disapproves of any of the results of its inspection, investigation and review, Purchaser shall, within five (5) days following the end of the Feasibility Period, give Seller written notice specifying in reasonable detail those matters which are disapproved by Purchaser ("Disapproved Matters"). Seller shall have ten (10) days following the receipt of Purchaser's written notice in which to give Purchaser written notice that Seller with either (1) cure or remedy, prior to the Closing Date, some or all of the Disapproved Matters specified in Purchaser's notice or (2) that Seller will not cure or remedy any of the Disapproved Matters specified in Purchaser's notice. Seller's failure to give such written notice within said ten (10) day time period will be conclusively deemed to be Seller's election not to cure or remedy any of the Disapproved Matters. Within ten (10) days following Purchaser's receipt of Seller's written notice or within ten (10) days following Seller's failure to give such notice, Purchaser may elect, at the Purchaser's sole discretion, to either (i) accept the Property subject to those Disapproved Matters which Seller will not cure or remedy or (ii) terminate this Agreement, in which case both Purchaser and Seller shall be relieved of all further obligation and liability to each other under this Agreement, except for such as have accrued prior to the date of termination and except for such as are stated in this Agreement to survive its termination or expiration. If such termination occurs, all funds and documents deposited with Escrow Agent shall be promptly refunded or returned, as the case may be, by Escrow Agent to the depositing party, and Purchaser and Seller will share equally in paying any cancellation fees charged by Escrow.
C. Access to the Property during the Feasibility Period shall be given to Purchaser and its authorized representatives upon one (1) business day's prior notice to DocuSign Envelope ID: EC5B3D77-3B71-4D6A-A0D0-98A61A3C1E04 LA #4856-6698-3504 v5 – Seller Draft 2.27.2023
6 Seller. Purchaser agrees to indemnify and defend Seller against and hold Seller harmless from all losses, costs, damages, liabilities, and expenses, including reasonable attorney fees, arising in connection with Purchaser's or its authorized representatives’ inspection, investigation or review of the Property. The indemnification obligations under this Section 6.C. shall survive any termination or expiration of this Agreement and the Closing.
Section 7. Closing.
A. Simultaneously with the Closing (as defined below), Escrow Agent must cause the Title Company to issue an ALTA Owner's Policy of Title Insurance ("Title Policy") in the amount of the Purchase Price, subject only to the following matters ("Approved Exceptions"):

DocuSign Envelope ID: EC5B3D77-3B71-4D6A-A0D0-98A61A3C1E04 LA #4856-6698-3504 v5 – Seller Draft 2.27.2023

(1) Record the C of C (marked for return to Seller, provided, however, Escrow shall provide to Seller concurrently with Closing an electronic copy of the recorded C of C) with the Kern County Recorder (which will be deemed to be delivery to Purchaser), and then record the Deed (marked for return to Purchaser) with the Kern County Recorder; (2) Cause the Title Policy to be issued;

STAFF REPORT
March 6, 2023
Agenda Item: 9
TO: Honorable Mayor and Members of the City Council
FROM: Maribel Reyna, City Manager
By: Roman Dowling, P.E., Public Works Director/City Engineer SUBJECT: Approval of Amendment No. 5 to Agreement 2013-77 (Airport Farm Lease) between the City of Delano and Joe Paesano Farms and authorization for the City Manager to execute any documents needed to carry this out
Recommendation
Approve Amendment No. 5 to Agreement 2013-77 (Airport Farm Lease) between the City of Delano and Joe Paesano Farms and authorize the City Manager to execute any documents needed to carry this out.
Discussion
The Airport Farm Lease includes 203 acres of farmable land and 161 acres of non-farmable area for weed abatement as described in Exhibit “A” of the agreement. Joe Paesano Farms is the current tenant with the contract term set to expire December 31, 2023. Mr. Paesano is familiar with airport regulations and has worked well with city staff during the past decade.
Mr. Paesano is requesting a lease extension of two years, beginning January 1, 2024 and ending December 31, 2025. Mr. Paesano has invested considerable resources for a project that requires this amount of time to be feasible. Staff has considered this and deems it favorable to both parties.
Mr. Paesano will continue weed control in other areas of the Airport per schedule in the agreement. $10,000 per year for said work shall be credited towards the lease payment during the remaining 3 years of the lease. Due to the extended drought, Mr. Paesano has not had enough water to farm the entire field and has accumulated $69,210 in outstanding dues, these are amortized in exhibit C as part of this extension.
Additionally, as per the current agreement, Well 32 is available and feasible to be used by Mr. Paesano for at least at a 20-day increment per crop season with the responsibility for all associated costs. This use benefits the subject well, since the equipment will be exercised and the high nitrate water will be suitable for crops.
Budget Impact
The total revenue for the three years left in the lease agreement will be $128,414. Exhibit “B” provides the combined dues and shall be paid as indicated.

STAFF REPORT

Agenda Item: 11
TO: Honorable Mayor and Members of the City Council
FROM: Maribel Reyna, City Manager
By: Viviana Alapisco/Transportation Manager
SUBJECT: Public Hearing to receive comments related to unmet transit needs that may exist and can be reasonably met
Recommendation
Each year DART is required to hold Public Hearings for the purpose of receiving testimony concerning any unmet transit needs that may exist within its service area that is reasonable to meet. Staff will review, evaluate, and make recommendations to City Council on March 20, 2023 regarding any needs identified during the public hearing period. Hearing notices were posted on the buses, at the Transit Center, Transit Bus Stops, City Hall, and posted in the local newspaper on Wednesday, February 2, 2023.
Discussion
As a requirement to receive State Transportation Development Act (TDA) Funds, the receiving agency must annually hold a public hearing review of its transit program to determine if the needs of individuals or groups are being met. The funding sources for TDA are from two sources, the Local Transportation Fund (LTF) and the State Transit Assistance (STA).
The TDA creates in each county LTF for the transportation purposes specified in the Act (Mills-Alquist Deddeh Act, known as the Transportation Development Act, PUC Section 99200). LTF funds may be allocated for salaries, equipment, and operations. Revenues to the LTF are derived from the ¼ cent of the 8.50 cent retail sales tax collected statewide.
The ¼ cent is returned by the State Board of Equalization to each county according to the amount of tax collected in that county. Payments from the LTF are made by the county auditor but only in accordance with written allocation instructions issued by the county’s transportation planning agency Kern COG.
The State Transit Assistance (STA) fund provides a second source of TDA funding for transportation planning and mass transportation purposes as specified by the Legislature.
Funds for this program are derived from statewide sales tax on gasoline and diesel fuel.
The money is appropriated to the State Controller by the Legislature, for allocation by formula to each Transportation Planning Agency (TPA) (Kern COG) and other agencies within the State. The formula allocates 50 percent of the funds according to population and the remaining 50 percent is allocated according to operator revenues from the previous fiscal year. STA funds may not be allocated to fund administration or streets and roads projects only for capital purchases. Operators receiving STA funds must meet qualifying criteria based on the subsidy per revenue vehicle hour received in the previous year taking into consideration the change in the Consumer Price Index within the operator’s region.
In order to qualify for funding under the TDA (from either the LTF or STA fund) a transit claimant must maintain a ratio of fare revenues for fixed routes to operation cost at least equal to the ration it had during 1978/79 or 20 percent (urbanized area), whichever is greater.
To assist the Council in determining an unmet transit need that can reasonably be met, please refer to Exhibit “A”, a set of questions and answers to explain how transit needs are analyzed.
Budget Impact
None.
Attachment(s)
Exhibit A
Public Hearing Notice
EXHIBIT “A”
1. What are the unmet transit needs finding process?
It is an annual review of transit needs of individuals or groups. It is also a review of new services needed to meet those needs.
2. How is public transportation currently funded?
Fares bring in only 10-20% of the operating percent expenses. Money for operations is primarily derived from a ¼ of one-percent sales tax.
3. Who distributes this money?
Kern COG in its capacity as the Regional Transportation Planning Agency (RTPA).
4. What is the basis for distribution?
Distribution is based on population of cities/unincorporated communities.
5. Does every transit need get funded?
Not necessarily. The stated need must meet adopted definition of an “unmet transit need”.
6. How is an “unmet transit need” defined?
An unmet transit need exists if an individual of any age or physical condition is unable to transport himself or herself due to deficiencies in the existing transportation system.
Excluded are: 1) those request for minor operational improvements, 2) those improvements funded and scheduled for implementation in the following fiscal year.
7. Why aren’t all unmet transit needs funded?
An unmet transit needs to pass the “reasonable to meet” definition.
8. How is “reasonable to meet” defined?
1) operational feasibility: the requested improvement must be safe to operate, there must be adequate roadways for transit vehicles, 2) duplication of service: the proposed service shall not duplicate other transit services, 3) timing: the proposed service shall be in response to an existing, rather than a future need, and 4) service must meet the legally required farebox ratio (Public Utility Service Sections 99268.2 and 99268.5) with fares close to fares of similar service.
9. Isn’t the “reasonable to meet” definition too narrow? Not. New services are extremely difficult to fund because:
a. in many situations, there is no transportation sales tax money to spare. b. ridership on new service could be so low that it can be difficult to recover through fares even the mandated 10% of the expenses.
10. Who would the public contact to express an unmet transit need? By calling the Transportation Manager at (661) 721-3333, submitting their unmet transit needs request to Delano City Clerk, 1015 11th Avenue, P.O. Box 3010, Delano, CA 93216, or [email protected], or attend the publicly held City Council meeting on “Unmet Transit Needs”.
