2. Teresa Ruiz shared she walks in the morning and finds trash. People take flowers. She shared that people are stealing and being disrespectful.
3. Eva Arredondo shared that there are boys drinking at the cemetery and smoking marijuana. It seems to have a party setting; she has witnessed fights and vandalism.
4. Anthony Cortez asked if the cemetery must deal with the sheriffs instead of Delano Police department because it’s in county jurisdiction? Is this a recent or ongoing issue? How did it get to this point without enforcement of rules?
Agenda Item: 4
5. Sergio Alvarez would like to know what will happen with the alley. There are vehicles parked in the back that can’t be removed.
6. Rivera asked that all these topics be added to a future agenda.
7. Sylvia Vera has stopped taking items to graves because they are taken. She’s upset that this has been going on for 25 years. She notices the trash is always full, there is no running water, and people are drinking on the premises.
8. Gina Martinez asked when will the public know what the protocol is and what is going to be done. Are they going to close the gates? The community is asking for respect, and they need security.
9. David Vivas shared that this is an ongoing issue. There is a lot of drinking and gang members. Law Enforcement drives by the cemetery patrolling. He would not like to see the same issue after this meeting. Mr. Jaime gets harassed, the center needs help.
10. Claribel Gutierrez stated that police do what they can, but it’s simply not done fast enough.
The issue is determining who the alley belongs to.
11. Gloria Herrera shared that this problem has been going on for a long time. Through discussions at previous meetings, it is still happening. We need to find a way to come up with a solution. She walks through the cemetery and notices the trash is always full and the wind blows the trash.
12. Fernando Bravo stated that the city should pass an ordinance to ban alcohol. How many people have been cited for a violation? What is PD going to do? More patrolling? It is an ongoing issue. People party and have loud music.
13. Jaime Mendoza suggested having a county cemetery inside the city. Both entities should put funds towards getting security to help with the issue of loud music and drinking.
14. Trujillo shared comments about the access way. He stated he must go to one meeting and then get told to go to another entity. He shared that they have permits for the block wall and gate.
ADJOURNMENT

Item No. 5 pulled by Anthony Cortez
Reason: Had a question for Interim Chief Nicholson. How often does Delano Police Department, Kern Valley State Prison, Wasco State Prison and North Kern State Prison gather for this response team?
Interim Chief Nicholson provided the staff report. He shared that they have meet with this team 5 times in the last year for tactical responses, search warrants, investigating homicides or investigating the introduction of drugs into a prison facility. This agreement is strictly for declared emergencies by the county, state, or council.
Item No. 6 pulled by Anthony Cortez
Reason: Was curious on why the Elementary School District has not requested theirs? Based on what he read the Delano High School is requesting 2 SROs. If the Elementary is requesting SROs, how many and can we provide that for them as well? Interim Chief Nicholson stated that this contract is for 2 SROs. We are currently in negotiations with the Elementary School District and are also requesting 2 SROs.
City Manager Reyna clarified that after speaking with Rosalina Rivera they are currently taking the contract to their board and should be expected at the next council meeting.
Item No. 9 pulled by Anthony Cortez
Reason: Is curious on Alliance Against Family Violence and Sexual Assault. Why was it changed to Open Door Network? Or is there something going on withing the organization that it was changed?
City Manager Reyna clarified that there were two different entities, the Bakersfield Homeless Center and the Alliance Against Family Violence and Sexual Assault. The two entities merged resulting in the name change of the Open Door Network.
Item No. 11 pulled by Anthony Cortez
Reason: Shared that this is based off collision records. How does CHP data relate to local data stats?
Engineer Dowling clarified that they use the SWITRS data system.
Interim Chief Nicholson stated that every month our records division submits records through SWITRS. It’s a program that the state used to account for all traffic accidents withing all jurisdictions within the State of California.

Public Comment Closed
Councilmember Morris: Congratulated the team on their accomplishments. She was going to be conservative since we are spending taxpayers’ money. Then thought 15 boys are going to have their character built by this event in their lives. I don’t think you can put a money value on what that means to them. They represent a whole community. We are counting on you so be and do the very best that you can. Either way we are proud of you. I support the request of $10,000.
Councilmember Nunez: Shared his support to the team. However, we do need to be fiscally responsible to our city. He made a personal donation of $500. Let’s not put this all on the city, lets all get involved.
Mayor Pro Tem Solorio-Ruiz: shared that he was hesitant at the beginning because in this role you have to manage being fiscally responsible and caring for our young people. Will the $8,000- $10,000 cover everything that is needed to be spent in Missouri? Samuel Torres confirmed it will cover the flights, transportation, hotels, and food. This is the Cal Ripken 18 and Under World Series.
Mayor Pro Tem Solorio-Ruiz: asked if the kids are invited to come back next year.
Samuel Torres shared that they are as long as they meet the age requirement.
Mayor Pro Tem Solorio-Ruiz: stated that this would be a great recruitment as well to get more young men involved in sports. This is a unique opportunity because not everyone goes to the World Series. This would give them the opportunity to be able to travel. He congratulated the team and because of the kindness of our hearts we will support you.
Mayor Alindajao: He congratulated the coaching staff and the parents. A lot of time and effort goes into this. It’s a big sacrifice. He remembers the Lions tournament when teams would come from all over the state. It is a once in a lifetime opportunity. I support this once in a lifetime opportunity. You’ve raised $3,000, your budget is $10,000, would $7,000 meet the budget? Samuel Torres responded in the affirmative.

Claribel Gutierrez and some of my colleagues also attended. I went to congratulate and welcome our third Starbucks into our City. We are going in the right direction in terms of growth for the City. He went on a ride along with Sergeant Nino a few weeks ago. It was a fantastic time and allowed him to view what they do. He encourages his colleagues to do them. He invited the public to a dog adoption event this Saturday from 10AM-12PM at the animal shelter. The first 15 adoptions will receive complementary collars and leashes.
Mayor Alindajao: Welcomed Nancy as City Clerk. Reminded the public of the Delano Police Departments Gun Buyback Program happening on August 19th from 10AM to 3:00PM. It’s a no questions asked event. You bring firearms, the City of Delano will be paying $100 for pistols, rifles, and shotguns. $200 for AR Style Rifles or platforms and ghost guns. On behalf of the Delano Hometown Heroes Parade Committee, he thanked the public for all their support. We had a fundraiser on the 28th and sold more tickets than we printed. We had a lot of walk-ups and callin orders and was a great success. I can’t wait for the public to see our 2nd Annual Veterans Day Parade on November 4th of this year. Flood is our partners at the navigation center. They administer our navigation center here in Delano that is currently under construction.

Recommendation:
Award the Contract for the “2023 CDBG Glenwood Facilities HVAC Replacement Project” to Vortex Construction from Bakersfield, CA, in the amount of $307,915.44.
Discussion:
The project consists of the removal and replacement of the existing Heating, Ventaltion, and Air Conditioning (HVAC) systems at the City’s 615 and 625 Glenwood Street buildings with the latest energy efficient units and particulate filters. Work includes removal of existing piping to and from the HVAC equipment; installation of refrigeration lines for new HVAC equipment; modifications to the electrical system to support the HVAC upgrades. An Ultraviolet (UV) Light air purifier system will be installed to improve the facilities’ air quality, as sanitation is vital at these locations. The Fire Suppression System will be updated in addition in the kitchen area with the newest Ansul System.
The two buildings are owned by the City of Delano and leased/operated as childcare facilities by the Community Partnership of San Luis Obispo County. The goal is to establish appropriately ventilated spaces for youth services and activities, and reduce the likelihood of transmission of air borne diseases.

Licensee may exercise the options by giving County, through authority granted to the Chief General Services Officer (“CGSO”) written notice of Licensee’s desire to extend, not less than 60 calendar days prior to expiration of the then current term of this Agreement. The CGSO, at the CGSO’s sole discretion, may accept or reject the request to extend.

7. Rental Consideration: As and for rental consideration, the service and benefit that Licensee’s Golf Equipment provides to the general public, and Licensee’s provision of utilities, specifically, electricity and water to the Junior Livestock Show Barn as depicted on the attached Exhibit “A,” shall be sufficient rental consideration for this Agreement.
8. Purpose:
a. In General - This Agreement is made for the purpose of allowing Licensee use of the area inside the Building for the Operator’s use, including its purpose of storing, maintaining, and servicing the Golf Equipment. Licensee shall not use the Building or permit the Premises to be used for any other purpose without the prior written consent of the CGSO, which may be granted or withheld at the CGSO’s sole discretion. b. Licensee shall not cause, maintain, or permit any nuisance or waste on or about the Premises, or allow the Premises to be used for any unlawful purpose. Within 72 hours of receiving written notice from County that a nuisance exists, Licensee shall abate or otherwise cause the nuisance to be abated. If Licensee has not taken corrective action within 72 hours, then County may enter and abate the nuisance at the sole cost of Licensee without any liability whatsoever to County. Licensee shall not allow any offensive matter, refuse or substance constituting an unnecessary, unreasonable or unlawful fire hazard, or material detrimental to the public health, to remain on the
Premises or within a distance of 50 feet thereof, and shall prevent any accumulation thereof from occurring.
9. Condition of Premises: Licensee has inspected the Premises and knows the extent and condition thereof and accepts same in its present condition, subject to and including all defects, latent and/or patent. County does not warrant or represent the Premises to be safe, healthful, or suited to Licensee’s purposes.

b. Repair of Damage by Licensee - To the extent that Licensee or its invitees intentionally or negligently cause damage to the Premises, Licensee shall be responsible for such damage. County may, but is not required to, perform the repairs at Licensee’s sole cost. Licensee’s obligations under this Section 11 shall survive the expiration or termination of this Agreement.
12. Utilities and Services; Modification of Utilities: County shall pay, during the term of this Agreement or any holding over of the term, the reasonable cost of utilities used by Licensee in connection with its operations on the Premises. The term “utilities” for the purposes of this Agreement shall include only electricity and water service.

Licensee is also aware that the construction of improvements may trigger the payment of property taxes levied on improvements.
14. Signs: Licensee shall not have the right to affix and install signs on the Premises.
15. Damage and Destruction: If the Premises shall be damaged or destroyed by fire or casualty, not the fault of Licensee or any person in or about the Premises with the express or implied consent of the Licensee, this Agreement shall be immediately terminated.
16. Condemnation: If all or any part of the Premises shall be taken as a result of the exercise of the power of eminent domain, this Agreement shall terminate as to the part so taken as of the date of taking, and, in the case of a partial taking, either Party shall have the right to terminate this Agreement as to the balance of the Premises by notice to the other Party within 30 days after such date. However, a condition to the exercise by Licensee of such right to terminate shall be that the portion of the Premises taken shall be of such extent and nature, in Licensee’s reasonable
judgment, as substantially to handicap, impede or impair Licensee’s use of the balance of the Premises. In the event of any taking, the proceeds shall belong to the owner of Premises.
17. Right of Inspection: County shall have the right to enter upon the Premises at all reasonable times to inspect the Premises and Licensee’s operations thereon. County reserves all rights in and with respect to the Premises, not inconsistent with Licensee’s use of the Premises as provided in Section 8, including without limitation the right of County to enter upon the Premises for the purpose of installing, using, maintaining, renewing, and replacing such underground oil, gas, water, sewer, and other pipelines, and such underground or aboveground telephone, telegraph, and electric power conduits or lines as County may deem desirable in connection with the development or use of the Premises. County shall compensate Licensee for damage to Licensee’s Golf Equipment caused by the exercise of the rights reserved in this Section 17.
18. Hazardous Materials:
a. No Hazardous Materials - Licensee shall not permit any Hazardous Materials to be stored or brought onto the Premises without the prior written consent of the CGSO, which may be granted or withheld in the CGSO’s sole discretion. If Licensee spills any Hazardous Materials anywhere on the Premises, Licensee shall cleanup said spill, at its sole cost, and to the sole satisfaction of County. “Hazardous Materials,” as used in this Agreement, shall be defined as stated in Exhibit “B.” b. Clean Up of Hazardous Materials - If any governmental authority or court, which has jurisdiction, demands that a cleanup plan be prepared and/or that a cleanup be undertaken because of any deposit, spill, discharge, or other release of any Hazardous Materials at, on, or from the Premises at any time during Licensee’s occupancy of the Premises, or which arises at any time as a result of any uses or occupancy of the Premises by Licensee, then Licensee shall, at its sole cost, prepare and submit the required plans and all related bonds and other financial assurances and carry out all such cleanup plans in a timely manner.
c. Failure by Licensee to Clean Up - Licensee shall promptly provide all information regarding the use, generation, storage, transportation, or disposal of Hazardous Materials that is requested by County. If Licensee fails to fulfill any duty imposed under this Section 18.c within a reasonable period of time, County may, but is not required to, perform those duties at Licensee’s sole cost. Licensee shall promptly cooperate with County if County undertakes to perform any such duties. No action by County taken pursuant to this Section 18 shall constitute a waiver of Licensee’s obligations under this Section 18. Licensee obligations under this Section 18 shall survive the expiration or termination of this Agreement.
d. Receipt of Notice of Violation - If Licensee becomes aware of or receives notice or other communications concerning any actual, alleged, suspected, or threatened violation of any Environmental Requirements, or liability of Licensee in connection with the Premises or past or present activities of any person thereon, then Licensee shall deliver to County within 10 days of receipt of such notice or communication by Licensee, a written description of said violation, liability, correcting information, or actual or threatened event or condition, together with copies of any documents evidencing same. Receipt of such notice shall not create any obligation on the part of County to defend or otherwise respond to any such notification. “Environmental Requirements,” as used in this Agreement, shall be defined as stated in Exhibit “B.”
19. Indemnification:
a. In General - Licensee shall indemnify and defend, upon request of County, its governing board, commissions, elected and appointed officials, employees, agents, volunteers, and authorized representatives, and each of them (“Indemnified Parties”), against any and all actions, lawsuits, proceedings, losses, costs, expenses, claims, fines, liabilities, fees and costs of County Counsel and outside counsel retained by County, costs of County staff time, investigation, expert and consultant fees and costs, and damages, including liability for personal injuries or death or property damage, regardless of where located, including property of County, and workers’ compensation claims or suits arising from or connected with any services performed under this Agreement on behalf of Licensee by any person or entity (“Claims”), arising out of or in any way connected with the acts or omissions of Licensee, its employees, agents, independent contractors, or invitees (“Licensee Acts”), unless the Claim is due to the sole default, act or failure to act, negligence, or willful misconduct of County or the Indemnified Parties. b. Environmental - In addition, Licensee shall indemnify and defend, upon request of County, County and the Indemnified Parties against any and all Claims arising out of or in any way connected with any deposit, spill, discharge, or other release of any Hazardous Materials at any time during Licensee’s occupancy of the Premises, or which arises at any time as a result of any uses at, on, or from the Premises or the occupancy of the Premises by Licensee, or as a result of Licensee’s failure to provide any or all information, make any or all of its submissions, and take any or all steps required by any governmental authority or court which has jurisdiction or by any Environmental Requirements.
c. Survival of Indemnification Obligations - Licensee’s obligations under this Section 19 shall survive the expiration or termination of this Agreement.
20. Release and Waiver; Waiver of Civil Code Section 1542:
a. Release and Waiver – Licensee releases County and the Indemnified Parties from all Claims, and waives all Claims against and the Indemnified Parties, that it may have as of the Execution Date, or may have in the future, relating to this Agreement and any acts or omissions of County or the Indemnified Parties, unless the Claim is due to the sole default, act or failure to act, negligence, or willful misconduct of County or the Indemnified Parties.
b. Waiver of Civil Code Section 1542 - Licensee waives all rights under California Civil Code 1542, and all rights arising under any similar laws, whether local, state, or federal. Section 1542 provides:
“A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement.”
21. Licensee Maintenance of Insurance: In order to protect County and the Indemnified Parties against Claims as a result of Licensee Acts, Licensee shall secure and maintain insurance as described below. Licensee shall not utilize the Premises under this Agreement until Licensee has obtained all insurance required under this Section 21 and the required certificates of insurance, and all required endorsements have been filed with the County’s authorized insurance representative. Receipt of evidence of insurance that does not comply with all applicable insurance requirements shall not constitute a waiver of these insurance requirements. The required
documents must be signed by the authorized representative of the insurance company shown on the certificate. Upon request by County, Licensee shall supply proof that such person is an authorized representative thereof, and is authorized to bind the named underwriter and company to the coverage, limits, and termination provisions shown thereon. Licensee shall promptly deliver to County’s authorized insurance representative a certificate of insurance, and all required endorsements, with respect to each renewal policy, as necessary to demonstrate the maintenance of the required insurance coverage for the term of this Agreement or as otherwise specified herein.
Such certificates and endorsements shall be delivered to County’s authorized insurance representative not less than 30 days prior to the expiration date of any policy and bear a notation evidencing payment of the premium thereof if so requested. Licensee shall immediately pay any deductibles and self-insured retentions under all required insurance policies upon the submission of any claim by Licensee or County as an additional insured. a. Workers’ Compensation and Employer’s Liability Insurance Requirements.
1) Worker’s Compensation Insurance- Licensee Employees. If Licensee has employees who may perform any services pursuant to this Agreement, Licensee shall submit written proof that Licensee is insured against liability for worker’s compensation in accordance with the provisions of California Labor Code section 3700. 2) Worker’s Compensation Insurance- Licensee Subcontractors.
Licensee shall require any subcontractors to provide worker’s compensation for all of the subcontractors’ employees, unless the subcontractors’ employees are covered by the insurance afforded by Licensee. If any class of employees engaged in work or services performed under this Agreement is not covered by California Labor Code section 3700, Licensee shall provide and/or require each subcontractor to provide adequate insurance for the coverage of employees not otherwise covered.
3) Employer’s Liability Insurance. Licensee shall also maintain employer’s liability insurance with limits of $1,000,000 for bodily injury or disease.
b. Liability Insurance Requirements.
1) In General. Licensee shall maintain in full force and effect, at all times during the term of this Agreement, the following insurance:
(a) Commercial General Liability Insurance, including without limitation Contractual Liability Insurance (specifically concerning the indemnity provisions of this Agreement with the County), Products-Completed Operations Hazard, Personal Injury (including bodily injury and death), and Property Damage for liability arising out of Licensee’s performance of work under this Agreement. The Commercial General Liability insurance shall contain no exclusions or limitation for independent contractors working on the behalf of the named insured. Licensee shall maintain the Products-Completed Operations Hazard coverage for the longest period allowed by law following termination of this Agreement. The amount of said insurance coverage required by this Agreement shall be the
policy limits, which shall be at least $1,000,000 each
occurrence and $2,000,000 aggregate.
(b) Automobile Liability Insurance, against claims of Personal Injury (including bodily injury and death) and Property Damage covering any vehicle and/or all owned, leased, hired, and non-owned vehicles used in the performance of services pursuant to this Agreement with coverage equal to the policy limits, which shall be at least $1,000,000 each occurrence and $2,000,000 aggregate.
2) Additional Insureds - The Commercial General Liability and Automobile liability Insurance required in this Section 21.b.2 shall include an endorsement naming the County and the Indemnified Parties as additional insureds for liability arising out of this Agreement and any operations related thereto. Said endorsement shall be provided using one of the following three options: (i) on ISO form CG 20 10 11 85; or (ii) on ISO form CG 20 37 10 01 plus either ISO form CG 20 10 10 01 or CG 20 33 10 01; or (iii) on such other forms which provide coverage at least equal to or better than form CG 20 10 11 85.
3) Self-Insurance - Any self-insured retentions in excess of $10,000 must be declared on the Certificate of Insurance or other documentation provided to County and must be approved by the County Risk Manager, which may be granted or withheld at the County Risk Manager’s sole discretion. 4) Claims-Made - If any of the insurance coverages required under this Agreement is written on a claims-made basis, Licensee, at Licensee’s option, shall either (i) maintain said coverage for at least three years following the termination of this Agreement with coverage extending back to the Execution Date; (ii) purchase an extended reporting period of not less than three years following the termination of this Agreement; or (iii) acquire a full prior acts provision on any renewal or replacement policy.
c. Cancellation of Insurance - The above-stated insurance coverages required to be maintained by Licensee shall be maintained until the completion of all of Licensee’s obligations under this Agreement. Each insurance policy supplied by Licensee must be endorsed to provide that the coverage shall not be suspended, voided, cancelled, or reduced in coverage or in limits except after 10 days written notice in the case of nonpayment of premiums, or 30 days written notice in all other cases. Such notice shall be by certified mail, return receipt requested. This notice requirement does not waive the insurance requirements stated herein. Licensee shall immediately obtain replacement coverage for any insurance policy that is terminated, canceled, non-renewed, or whose policy limits have been exhausted or upon insolvency of the insurer that issued the policy. d. Insurance Company Rating - All insurance shall be issued by a company or companies admitted to do business in California and listed in the current “Best’s Key Rating Guide” publication with a minimum rating of A-; VII. Any exception to these requirements must be approved in writing by the County Risk Manager, which may be granted or withheld at the County Risk Manager’s sole discretion. e. Licensee Self-Insured - If Licensee is, or becomes during the term of this Agreement, self-insured or a member of a self-insurance pool, Licensee shall provide coverage equivalent to the insurance coverages and endorsements required above. County will not accept such coverage unless the County Risk Manager determines, in his/her sole
discretion and by written acceptance, that the coverage proposed to be provided by Licensee is equivalent to the above-required coverages. f. Primary Insurance - All insurance afforded by Licensee pursuant to this Agreement shall be primary to and not contributing to all insurance or self-insurance maintained by County. An endorsement shall be provided on all policies, except professional liability/errors and omissions, which shall waive any right of recovery (waiver of subrogation) against County.
g. No Limitations by Policy Limits - Insurance coverages in the minimum amounts set forth herein shall not be construed to relieve Licensee for any liability, whether within, outside, or in excess of such coverage, and regardless of solvency or insolvency of the insurer that issues the coverage, or to preclude County from taking such other actions as are available to it under any other provision of this Agreement or otherwise under Applicable Laws.
h. Failure to Maintain Insurance. Failure by Licensee to maintain all such insurance in effect at all times required by this Agreement shall be a material breach of this Agreement by Licensee. County, at its sole option, may terminate this Agreement and obtain damages from Licensee resulting from said breach. Alternatively, County may purchase such required insurance coverage, and without further notice to Licensee, County shall deduct from sums due to Licensee any premiums and associated costs advanced or paid by County for such insurance. If the balance of monies obligated to Licensee pursuant to this Agreement is insufficient to reimburse County for the premiums and any associated costs, Licensee shall reimburse County for the premiums and pay for all costs associated with the purchase of said insurance within 10 days of demand by County. Any failure by County to take this alternative action shall not relieve Licensee of its obligation to obtain and maintain the insurance coverages required by this Agreement.
22. Liens and Encumbrances: Licensee shall keep the Premises free from any liens and encumbrances arising out of any work performed, material furnished, or obligations incurred by Licensee, or from any other cause. If a lien or encumbrances is recorded against the Premises, and Licensee fails to remove the lien or encumbrance or post a bond to remove same within 15 days after its filing, County shall give a 15-day notice to Licensee, requiring Licensee to remove or bond around the lien or encumbrance within the 15-day period. If Licensee fails to do so within the 15-day period, County, at its sole discretion after expiration of the 15-day period, may obtain a bond, with all costs of the bond to be reimbursed by Licensee to County.
23. Breach by Licensee: In the event of the breach by Licensee of any term, covenant, or condition, Licensee shall have 30 days after written notice has been given to Licensee by County to cure, except for breach of the nuisance provisions of Section 8.b, which allows 72 hours to cure.
If Licensee fails to cure within the stated time periods, County may exercise its remedies under Section 24.
24. Remedies of County: In the event of a breach by Licensee, County shall have the right either to terminate Licensee’s right to possession of the Premises, by giving written notice of termination to Licensee, and thereby terminating this Agreement, or to have this Agreement continue in full force and effect with Licensee at all times having the right to possession of the Premises. a. Agreement and Possession Continue - If County elects to have this Agreement continue in full force and effect, Licensee shall remain liable to perform all of its obligations under this Agreement and County may enforce all of County's rights and remedies.
If Licensee abandons the Premises or fails to maintain and protect the same as herein provided, County shall have the right (i) to do all things necessary or appropriate to maintain, preserve and protect the Premises, including without limitation the installation of keepers or guards or the appointment of a receiver, and (ii) to relet the Premises as the agent of Licensee and for Licensee's account and to do all things appropriate for such reletting. In the event of such reletting, rental received by County shall be credited to Licensee's account. None of the foregoing acts shall be deemed to terminate Licensee's right of possession, and Licensee shall reimburse County on demand for all amounts reasonably expended by County in connection with the foregoing acts, together with interest on all amounts expended by County from time to time at the maximum legal rate from the date due until paid. Notwithstanding any such election to have this Agreement remain in full force and effect, County may at any time thereafter elect to terminate Licensee's right to possession of the Premises and thereby terminate this Agreement for any previous breach by Licensee which remains uncured or for any subsequent breach.
b. Agreement and Possession Terminate - If County gives notice of election to terminate Licensee's possession of the Premises, County shall be entitled to recover from Licensee the amounts specified in paragraph (a)(4) of Section 1951.2 of the California Civil Code, as such section reads as of the Execution Date.
c. Remedies Not Exclusive - No right or remedy herein conferred upon or reserved to County is intended to be exclusive of any other right or remedy herein or by law, provided that each shall be cumulative and in addition to every other right or remedy given herein or now, or hereafter existing at law or in equity or by statute. d. County Right to Cure - In addition to County’s remedies upon Licensee’s breach, upon 10 days prior written notice to Licensee by County, County may cure any breach by Licensee and, if necessary, may enter upon the Premises for such purpose. In such event, the cost of cure, plus interest at the maximum legal rate from the date due until paid, shall become immediately due and payable.
25. No Waiver of Breach: The waiver by County of any term, covenant, or condition contained in this Agreement must be in writing and shall not be deemed to be a waiver of any subsequent breach of the term, covenant or condition contained in this Agreement, and no custom or practice that may arise between the Parties during the course of this Agreement shall be construed to waive or lessen the right of County to the performance by Licensee in strict accordance with the terms of this Agreement.
26. Force Majeure:
a. Definition - Neither Party shall be held responsible or be deemed to be in default under this Agreement for any delay in performance or failure to perform any of its obligations, if such delay or failure is the result of causes beyond the control and without negligence of the Party. Such causes include, without limitation, acts of nature, strikes, lockouts, riots, insurrections, civil disturbances or uprisings, sabotage, embargoes, blockages, acts of war or terrorism, acts or failure to act by any governmental or regulatory body (whether civil or military, domestic or foreign), governmental regulations superimposed after the fact, communication line failures, power failures, fires, explosions, floods, accidents, epidemics, earthquakes, tsunamis, or other natural or man-made disasters (“Force Majeure”). Consequences - The Party affected by a Force Majeure event, upon giving prompt notice to the other Party, shall be excused from performance to the extent of such
prevention, restriction, or interference, on a day-to-day basis until the Force Majeure event is removed, and the other Party shall likewise be excused from performance of its obligation which relate to the performance so prevented, restricted, or interfered with. The affected Party shall use its best efforts to avoid or remove the causes of nonperformance and to minimize the consequences thereof, and both Parties shall resume performance when the Force Majeure event is removed.

b. Failure to Obtain Consent - If Licensee shall assign, transfer, mortgage, or otherwise convey this Agreement, or its rights and interests hereunder, or attempt to do so in violation of the foregoing provision, then in addition to any and all other rights and remedies available to it, County may, at its option by written notice to Licensee, either declare such assignment, transfer, mortgage, or other conveyance void or terminate this Agreement and all rights and interests of Licensee and all other persons hereunder. c. No Waiver or Limitation on Consent - Any consent to any different or subsequent sublease, assignment, transfer, mortgage, or conveyance shall not be deemed or construed as consent to any different or subsequent sublease, assignment, transfer, mortgage, or conveyance. This clause shall not be construed to limit any right or remedy which County may become entitled to as a matter of law or become entitled to by reason of Licensee’s actions or failures to act.
d. Licensee in Compliance - As a condition of County’s consent to any conveyance of this Agreement, Licensee must be in compliance with all terms, covenants, and conditions of this Agreement, including without limitation the payment of all monies due to County.
29. Surrender of Premises: On the last day of the term, or extension thereof, or sooner termination of this Agreement, Licensee shall peaceably and quietly leave, surrender, and yield up to County the Premises, in as good a condition and state of repair as it existed on the Execution Date subject to damage by Force Majeure, and shall comply with Section 17. Licensee shall have the right to remove the Golf Equipment and shall coordinate such removal with County's Parks and Recreation Department. Notwithstanding the foregoing, if Licensee has not removed the Golf Equipment, within 30 days after this License has expired or terminated, County may, at its option, treat such machines and/or equipment as abandoned property and dispose of it pursuant to Chapter
2.80 of the Kern County Ordinance Code. At any time following the termination of this License, County may, at its option, restore the Building to the same condition as prior to the commencement of this License, at the sole expense of Licensee.

Staff is recommending that Delano use the SGR funds for FY 2022/2023 for the following projects:

FROM: Maribel Reyna, City Manager
By: Sumeet Batth-Chavez, Recreation Manager
SUBJECT: Approval of the co-sponsorship in the amount of $450 for the Kern County Public Works Department to host a public informational meeting on October 5
Recommendation
Staff is requesting the City Council to consider the total amount of $450 for the usage of the Civic Center on October 5 by the Kern County Public Works Department. The Kern County Public Works Department will be hosting a public meeting to inform residents of upcoming changes to their garbage services.
Discussion
County residents may be affected in different ways by upcoming fee increases and state requirements. Some fees will be pertaining to the County landfill and others pertaining to the garbage collection services provided by franchise haulers in the county areas. Also, due to SB 1383 an expansion of the Universal Collection Areas is needed. Therefore, those who may not currently be required to have garbage collection services, will find that they will now be required by law to have said services. This is the second public meeting that will be held by the Kern County Public Works Department. The first meeting was held on May 4, 2023.
The rental rate for the Civic Center is $50 (per hour) for public meetings, plus the $300 building deposit (per day).
Budget Impact
The total cost of $450 of the co-sponsorship of the Civic Center fees will be charged to City’s co-sponsorship account 01-5307-105.

AUTHORIZING THE CITY MANAGER OR DESIGNEE TO
SUBMIT A GRANT APPLICATION TO THE STRATEGIC
GROWTH COUNCIL COMMUNITY RESILIENCE CENTERS
(CRC) PROGRAM IN THE AMOUNT OF $2,500,000.00 FOR THE
CITY OF DELANO NEW CIVIC CENTER RETROFIT AND
EXECUTE ALL RELATED DOCUMENTS IF AWARDED
RECOMMENDATION:
Adopt the Resolution of the City of Delano authorizing the City Manager or designee to submit a grant application to the Strategic Growth Council Community Resilience Centers (CRC) Program in the amount of $2,500,000.00 for the City’s New Civic Center Retrofit.
DISCUSSION:
The City is in the process of retrofitting the old Methodist Church school building, across the street from City Hall, and there’s an opportunity through the subject CRC program to have the construction costs 100% funded. Staff is working with our grant writer to submit the preapplication on August 25 and the complete application on September 18, 2023.
The approved concept for the retrofit consists of gutting the 7,500 sqft. structure and making it into one 4,500 sqft. event hall and 3,000 sqft. to be occupied by the restrooms, warming kitchen, and storage facilities. The event hall can be divided into three separate rooms by sliding walls. An emergency generator is also included in the design.
This grant requires the commitment that this civic center will be used as an emergency shelter in case of a disaster, thereby requiring the installation of the emergency generator.
FISCAL IMPACT:
The grant submittal costs will be paid under account 40-820E-411 (“Methodist Church Capital Project”).

SUBJECT: Resolution of the City Council of the City of Delano authorizing City Manager/designee to purchase computer equipment from Dell Technologies.
Recommendation
Staff recommends the City Council of the City of Delano adopt the attached resolution authorizing the City Manager/designee to purchase computer equipment from Dell Technologies.
Discussion
The City of Delano’s IT department maintains computer equipment for the city’s employees at multiple locations. In today's rapidly evolving digital landscape, our agency's efficiency and effectiveness depend heavily on robust and up-to-date computer equipment.
As our operations expand and technology advances, our existing infrastructure is becoming inadequate to meet the demands of our work. The acquisition of new computer equipment is vital to ensure seamless service delivery, data security, and efficient management.
The purchase of new computer equipment offers several benefits to our agency:
Enhanced Performance: The upgraded equipment will significantly improve processing speed, enabling our staff to complete tasks more efficiently, thereby increasing productivity.
Reliability: Newer hardware is less prone to breakdowns, reducing downtime and uninterrupted workflow.
Data Security: Modern equipment often comes with advanced security features that help safeguard sensitive data from cyber threats.
Compatibility: Newer devices are compatible with the latest software and applications, ensuring a smooth user experience and allowing us to leverage the latest technological advancements.
Cost Savings: While there is an upfront cost, the enhanced performance and reliability will lead to long-term cost savings by reducing maintenance and support expenses.
The city council recently authorized the purchase of 47 computers to upgrade the police department’s computer equipment; therefore, staff is requesting to authorize the purchase of an additional 95 computers to replace the remaining aging computer equipment throughout the city.
Budget Impact
The cost of the proposed equipment is $98,313. Staff is requesting an appropriation of $98,313 to be encumbered in the new budget FY 23/24 for this purchase. This investment aligns with our agency's commitment to staying at the forefront of technology and providing efficient services to our community.

By: Danielle Monsibais, Interim Community Development Director SUBJECT: Martin Luther King Jr. Park Concept Expansion
_____________________________________________________________________________ Project Proposal
The Martin Luther King Jr. Park expansion will be located on the northwest corner of 1st Avenue and Belmont Street on approximately 2.5 acres. The concept for the expansion was access to the site, multi-use spaces including play equipment, exercise equipment and a basketball court, park benches and tables, and a loop trail.
Staff and City Council initially reviewed two (2) proposed concepts that included more of an open space with exercise equipment throughout the park idea. However, a Revised Plan was created that incorporated the feedback that was provided. The Revised Plan includes a play area that will have two (2) tot lots; one (1) for ages 2-5 and one (1) for ages 5-12. In addition, there will be two (2) parcourse equipment areas along the loop trail. In the middle of the loop trail there will be an open area that could be utilized for different purposes such as family activities, sport activities and/or family hobbies. The Revised Plan also includes pickleball courts with fencing and shade structures.
After review of all concepts, Staff is recommending the Martin Luther King Jr. Park expansion merge some of the previous design elements with the Revised Plan including replacement of the pickleball courts with a full-size basketball court, both a tot lot and parcourse equipment and the inclusion of shade structures.
