SECOND AMENDMENT
TO
MAINTENANCE SERVICES AGREEMENT
This Second Amendment to Maintenance Services Agreement Second Amendment") is made and entered into as of June 20, 2023, by and between the City of Diamond Bar, a municipal corporation ("City"), and Guaranteed Janitorial Service, Inc. (herein referred to as the "Contractor") with reference to the following:
The City and the Contractor entered into that certain Maintenance Services Agreement dated as of June 18, 2019, which is incorporated herein by this reference (the "Original Agreement"); and
The City and the Contractor desire to amend the Original Agreement to modify, amend and supplement certain portions thereof.
NOW, THEREFORE, the parties hereby agree as follows:
1. Defined Terms. Except as otherwise defined herein, all capitalized terms used herein shall have the meanings set forth for such terms in the Original Agreement.
2. Term. The Term of the Original Agreement as set forth in Section 2 therein is from July 1, 2019 to June 30, 2022. the First Amendment extended the Term up to and including June 30, 2023, this Second Amendment extends the Term up to and including June 30, 2023.
3. Compensation. The total not-to-exceed compensation set forth in Section 3 of the Agreement was the sum of two hundred forty-two thousand seven hundred fifty-two dollars ($242,752) per fiscal year. Section 3 of the Agreement is hereby amended to provide for an increase of twenty-one thousand seven hundred forty-eight dollars ($21,748) so that the total not-to-exceed compensation for fiscal year 22/23, as amended by this First Amendment shall not exceed two hundred sixty-four thousand five hundred dollars ($264,500) per fiscal year without the prior authorization of the City.
Integration. This Second Amendment and all attachments hereto (if any) integrate all of the terms and conditions mentioned herein, and supersede all negotiations with respect hereto. This Second Amendment amends, as set forth herein, the Original Agreement and except as specifically amended hereby, the Original Agreement shall remain in full force and effect. To the extent that there is any conflict or inconsistency between the terms and provisions of this Second Amendment and the terms and provisions of the Original Agreement, the terms and provisions of this Second Amendment shall control.

We are not in the habit of increasing our customers unless it is absolutely necessary. However, despite our very best efforts, due to minimum wage increases, increased service rates from our third-party vendors and higher insurance rates, we need to adjust your monthly price to

Should there be additional State of California Mandated Minimum Wage increases to go into effect during this term we will request an amendment to the above rate to reflect this additional cost of doing business.
