SUBJECT: ANNUAL RATE ADJUSTMENTS REQUESTED BY ATHENS SERVICES, INC. FOR

SOLID WASTE COLLECTION AND RECYCLING SERVICES

EXECUTIVE SUMMARY

The City Council will consider adopting Resolution No. 23-8189 approving the annual rate adjustment for solid waste and recycling services provided by Athens Services, In c. to residential and commercial customers. The annual rate adjustment is in accordance with the Integrated Waste Management Services Franchise Agreement between the City and CalMET Services, Inc., now owned by Athens. The City Council will also consider approving amendments to the Integrated Waste Management Services Agreement.

RECOMMENDATION

That the City Council:

1) Adopt Resolution No. 23-8189, approving rate adjustments for solid waste and recycling services provided by Athens Services, Inc. to residential, multi-family, and commercial customers; and,

2) Approve the First Amendment to the Integrated Waste Management Services Agreement.

BACKGROUND

On February 23, 2016, the City of Downey entered into a 10-year agreement with CalMet Services, Inc. (CalMet) for exclusive residential and commercial solid waste and recycling services in Downey. The agreement became effective on April 1, 2016 and is set to expire on March 31, 2026.

On November 18, 2021, all of the assets of CalMet along with its affiliate business, Paramount Resources Recycling, were acquired by Arakelian Enterprises, Inc. dba Athens Services, Inc. (Athens).

On March 29, 2022, the City Council adopted a resolution consenting to the assignment of the integrated waste management services franchise agreement between the City of

2 Downey and CalMet to Athens. Athens has been providing services to the community since that time.

The agreement includes certain provisions for Athens to receive a required adjustment to its rates annually. Athens’ residential and commercial rates are adjusted annually using a Refuse Rate Index (RRI), which is defined in the Franchise Agreement, and passthrough costs for the disposal of solid waste collected within the community . The RRI is a series of indices that are tied to Athens’ major cost centers (labor, fuel, vehicle and equipment replacement, vehicle maintenance, and other costs) and disposal element costs (transfer/landfill, materials recovery facilities processing, green waste and organics), which Athens must pay to dispose of the waste it collects in the City.

ANALYSIS

On December 1, 2022, (subsequently revised on April 1, 2023) the City received a request and notice from Athens to initiate the annual rate increase process for solid waste collection services. Based on the contract required inflationary factors, Athens has requested a $3.46 rate increase for single-family residential customers, $16.43 rate increase for 3 cubic yard (CY) for multi-family residential customers (five or more units), and a $17.72 rate increase for 3 CY bin service for commercial customers. Additionally, the rate increases for single-family residential and multi-family customers will have a $0.24 and $1.26, respectively, added for Abandoned Bulky Item Collection Services where Athens will collect abandoned bulky items throughout the City for 2 hours a day, 3 days a week. With the addition of this service, the total rate increases for residential is $3.70 and $17.69 for multi-family per month.

The rate increase proposed by Athens Services does not include services for organic waste recycling related to the new Senate Bill (SB) 1383 legislation. Neither the City nor Athens has control over the requirements of this legislation as they are imposed on the City by a State mandate. City staff will return to a City Council meeting later in the year with the proposed rates for SB 1383 legislation compliance.

City staff along with a third-party consultant, R3 Consulting Group, Inc., have reviewed and analyzed supporting documents identifying the changes in the costs of labor, fuel, vehicle replacement, vehicle maintenance, and other related expenses and evaluated the proposed adjustments to the collection component of the rates using the contract required RRI methodology. Furthermore, all records related to the costs of disposal (transfer and landfill) and processing have been analyzed to determine the necessary rate adjustment for each disposal component. R3 Consulting Group, Inc. confirmed that the 2023 Downey Refuse Rate Index was mathematically correct and that each individual cost drivers met the terms and conditions of the franchise agreement.

The charts below demonstrate the calculations utilized in determining the proposed rate adjustments related to residential and commercial customers. The same methodology

6 A complete list of adjustments to current rates for different categories of customers and various types of services provided by Athens is included in the resolution attached to this report. Staff recommends the adoption of the attached Resolution No. 23-8189.

If approved, the new rates become effective starting August 1, 2023 for commercial customers as they are billed monthly, and a July, August, and September quarterly period for residential customers as they are billed on a quarterly basis. The bill statement will be sent mid-August 1, 2023 for the period. Athens will notify the customers via a notification letter with the regular billing statement. It should be noted that City staff negotiated that the new rates not be retroactive to April 1, 2023, providing cost relief to residents and businesses.

The reasoning for the delay in the implementation of the annual rate adjustment was to allow staff time to review proposed contractual changes. More specifically, the following contractual changes were negotiated for City Council consideration to help mitigate inflationary cost increases in the future:

1. Change the Annual Rate Adjustment Methodology from the combination of Refuse Rate Index (RRI) and disposal cost drivers to a flat Trash CPI Index + 1% Methodology. To move forward with the Trash CPI Index + 1% as requested by Athens, City staff negotiated the removal of extra-ordinary cost language that is allowed under the current agreement. This action limits charges to residents and commercial businesses to only the Trash CPI + 1% with no future unexpected charges that can be applied by Athens . This change also reduces the large fluctuations that customers have seen in annual rate adjustments when using the RRI methodology.

2. Change Diversion Calculation for AB 939 State Compliance.

3. 7-Year contract extension to the current end date of March 31, 2026.

Exhibit 2
Rate and Billing Provisions

1. Rates. Contractor shall provide Collection Services to Service Recipients as provided in this Agreement at rates not to exceed the rates specified in EXHIBIT 1, as applicable – which, by this reference, is incorporated into the Agreement. Contractor shall not be permitted to receive compensation by means of any customer rates or charges that are not specifically listed in EXHIBIT

1. This EXHIBIT 2 of the Agreement pertains only to the Collection Services described throughout this Agreement, and it does not apply to services which are not covered under this Agreement.

Contractor shall not seek, request or be entitled to any adjustment in the rates for any reason except as specified in this EXHBIT 2, or SECTION 26 of the Agreement, as applicable.

2. Rate Adjustments.

2.1 Annual Rate Adjustment. Beginning on April 1, 2024, and annually each April 1 thereafter, Contractor shall receive an annual adjustment of Maximum Rates as set forth in EXHIBIT

1. The annual adjustment shall be the sum of the percentage increase of the Consumer Price Index for Trash and Garbage Collection (CUUR0000SEHGO2) U.S. City Average (not seasonally adjusted) as may be amended or renamed and replaced from time to time by the United States Bureau of Labor Statistics (“Trash CPI”) for the prior 12-month period (November 1 to October 31) plus one percent (1%) (i.e., Trash CPI+1).

2.2 Rate Calculations. On or before February 1, 2024, and annually each December 1 thereafter during the term of this Agreement, Contractor shall deliver to City calculations of the annual adjustment of Maximum Rates as set forth in EXHIBIT 1. As of March 1, 2024, and annually thereafter each February 1 during the term of this Agreement, the City Representative shall notify Contractor of any disagreements in Contractor’s calculation of the affected service rates to take place on the subsequent April 1st.

2.3 Rounding. Annual adjustments shall be made only in units of one cent ($0.01).

Fractions of less than one cent ($0.01) shall not be considered in making adjustments. The indices shall be truncated at four (4) decimal places for the adjustment calculations.

2.4 Change in Date of Annual Rate Increase. By mutual agreement of both the City and Contractor, the effective date of the annual rate adjustments prescribed in SECTION 2.1 and SECTION 2.2 of this Exhibit may be moved to July 1st of each Agreement Year (as opposed to April 1st) in order to better align with increases in disposal fees and annual diversion requirements.

3. Franchise Fee and Vehicle Impact Fees.

3.1 Franchise Fee. Contractor shall pay City an amount equal to five percent (5%) of Contractor’s Gross Revenues, per month as a Franchise Fee.

3.2 Vehicle Impact Fee. Contractor shall pay City an amount equal to ten percent (10%) of Contractor’s Gross Revenues, per month as a Vehicle Impact Fee.

-10-

3.3 Franchise Fee and Vehicle Impact Fee Payment. These Franchise Fees and Vehicle Impact Fees shall be paid to City by 12:00 noon on or before the 30th calendar day after the end of each calendar quarter during which Collection Services were provided pursuant to this Agreement.

Accompanying each quarterly payment shall be an accounting of the Gross Revenues for each month.

Failure of Contractor to make any payment within the appropriate time period shall result in interest, compounded daily, accruing thereon at the maximum rate permitted under California law, in addition to all other remedies of the City pursuant to this Agreement.

4. Government Fees.

4.1 Process for adjusting Government Fees. When “Government Fees” (Franchise Fees, Vehicle Impact Fees, and any other government fees that may be implemented during the Term of this Agreement) are adjusted or new Government Fees are imposed by regulating agency(ies), then either City or Contractor must follow the procedures in this subsection before the fees will be adjusted.

4.1.1 City or Contractor shall give the other Party prompt notice of the adjustment to existing Government Fees or implementation of new Government Fees. Prompt notice shall be defined as either (1) at least 90 calendar days before the effective date of the revised or new Government Fees or (2) within two working days of receiving notice of revised or new Government Fees, if such notice is received within 90 calendar days before the effective date of the adjusted or new Government Fees.

4.1.2 City or Contractor shall thereafter submit to the other Party, the associated adjustment in the Government Fee as it applies to the rates specified in EXHIBIT 1.

4.2 Payments to the City. No acceptance by any Party of any payment shall be construed as an accord that the amount is in-fact the correct amount, nor shall such acceptance of payment be construed as a release of any claim each Party may have against the other Party for any additional sums payable under the provisions of this Agreement. All amounts paid to City shall be subject to independent audit and recompilation by City and paid for by Contractor as specified herein.

If, after the audit, such recompilation indicates an underpayment Contractor shall pay to City the amount of the underpayment and shall reimburse City for all reasonable costs and expenses incurred in connection with the audit and recompilation within ten (10) Work Days of receipt of written notice from City that such is the case. If, after audit, such recompilation indicates an overpayment, City shall notify Contractor in writing of the amount of the overpayment, less costs and expenses incurred in connection with the audit and recompilation. At the City’s election, and without admitting the applicability of Proposition 218 to this Agreement, City may conduct the hearings with respect to the approval or adjustment of the maximum rate schedule in accordance with Proposition 218.
