EXECUTIVE SUMMARY

The City Council will discuss Stay Arts and provide direction to City staff. Stay Arts is a 501(c)(3) nonprofit organization that engages Southeast Los Angeles communities through the arts, creative exploration, and cultural expression.

RECOMMENDATION

That the City Council:

Discuss Stay Arts programs, operations, and finances, including City funding of the organization, and provide any desired feedback and direction to City staff regarding these items.

BACKGROUND

At the November 14, 2023 City Council meeting, the City Council directed staff to return to the next City Council meeting with a staff report that would provide the City Council with an opportunity to discuss Stay Arts programs, operations, and finances, including funding assistance that has been received from the City. The following section includes an analysis of the City’s contributions towards Stay Arts over the last 10 years.

ANALYSIS

Operating/Lease Agreements

In March 2012, the City Council amended the Art in Public Places Guidelines to expand availability of art to the general public. This amendment allowed for the use of the City’s Art in Public Places fund to pay for art venues within the boundaries of the Downtown Specific Plan area. Art venues that are subsidized by these funds must display physical art such as paintings, sculptures, and the like. A minimum of 90 percent of the art displayed must be from Downey-based arts.

Operating Agreement #1

In May 2012, the City Council approved a five-year Operating Agreement with Downey Art Vibe (or “DAV”, now known as Stay Arts) to manage and run an art gallery (Stay Gallery) in the Downtown area. As part of the operating agreement, it included required services/programming at the gallery, and stated that the City would pay for the first two (2) years of lease payments ($2,000 per month), and the remaining three (3) years were the responsibility of DAV. The City contributed $50,000 from July 2012 – May 2014.

In May 2013, a 6-month update was provided to the City Council by DAV regarding its programming, facility usage, fundraising efforts, and business plan progress.

In July 2014, DAV submitted a proposal requesting funding for the remaining three (3) years of the contract.

In August 2014, the City Council discussed authorizing an amendment to the Operating Agreement to provide additional funding of up to $75,000 for lease payments for the remaining three (3) years of the agreement. The City Council shared its appreciation of the work of the DAV and its programming of the Stay Gallery, and expressed that they would like to see Stay Gallery be self-sustainable and for the DAV to provide a business plan. DAV shared it had plans in place to reduce further City funding in the future, which includes seeking grant funding and growing its partnership base.

The City Council approved the agreement amendment in October 2014, and t he City contributed $69,625 from August 2014 – June 2017.

Operating Agreement #2

In February 2017, the City received a funding request from DAV. The Council discussed the matter and expressed the desire for DAV and the Stay Gallery to become self-reliant, and to increase its revenue streams from other sources.

Representatives from DAV stated its difficulty with becoming self-reliant and shared that funding would not be used for salaries as the Gallery is run by volunteers. The DAV shared that they had a five (5)-year plan to become less reliant on the City

As a result of this meeting, the City Council created a Stay Gallery ad-hoc committee to discuss financial solutions for DAV and the Stay Gallery. The subcommittee also reviewed quarterly reports and other information.

In May 2017, the City entered into a second Operating Agreement with DAV, with the understanding that the DAV and Stay Gallery would be self-sufficient after the five (5)-year Agreement. The operating agreement included required

services/programming at the Gallery, quarterly reporting and bi-annual financial statements, and a subsidy from the City to pay for lease payments and program expenses. The services in the agreement were expanded to include the Gallery’s use as a community space by civic, charitable, and community groups for special events. It also outlined the ability for the Downey Arts Coalition to use the space as a strategic partner. The City paid $2,750 per month in lease payments with three (3) percent annual increases, plus $2,625 for prorated rent for the month of June 2017. Additionally, the City committed to providing $4,000 (total $48,000) per quarter over three (3) years towards program expenses. The City’s total contribution was $150,168 from June 2017 – May 2020.

In May 2019, the City Council received a presentation by DAV. The presentation discussed the change in leadership and new programming and events at Stay Gallery. The City Council shared their appreciation for the arts and the contributions of the DAV and the work being done at Stay Gallery. The City Council shared the importance of the DAV having a plan of how it was going to engage more with the community, and promote programs and services. Additionally, the City Council suggested that DAV work with other non-profits in the community. The DAV Board shared possible ideas and discussed developing a fundraising campaign utilizing community leaders to not be as reliant on the City. Both the City Council and DAV discussed sharing Stay Gallery programs and events on the City’s social media platforms, and potentially including a link on the City’s webpage.

Operating Agreement #3

In July 2020, the City entered into its third Operating Agreement with DAV. The agreement and the prescribed services to be performed by DAV at Stay Gallery as well as required reporting requirements can be seen in Attachment A. The City paid $3,004 per month in lease payments with three (3) percent annual increases.

The City contributed $77,918 from August 2020 – May 2023.

COVID-19 Assistance

On March 8, 2022, the City Council Stay Gallery ad-hoc committee met and received a presentation from DAV regarding its current activities, funding challenges due to the COVID-19 restrictions, and a request for additional funding to operate Stay Gallery for the time period of April 2022 through July 31, 2022.

Also, due to a growing regional impact, DAV changed its corporation name to Stay Arts. The City’s Operating Agreement with DAV required that any transfer or assignment of the agreement to a different listed entity required the City's approval.

Thus, staff recommended approval of the assignment and assumption agreement.

At the March 22, 2022 City Council meeting, the City Council approved the provision of additional funding for the remaining lease payments for April-July 2022

at a cost of $12,128, with the addition of $4,000 per month from April-July 2022, for operating costs to ensure regular open hours and programming for the public, for a total additional cost of $28,128. It also approved the assignment and assumption agreement to Stay Arts.

The total funding the City has provided to the DAV/Stay Arts for the management of Stay Gallery from May 2012 to May 2023 is $375,838.

Stay Gallery Capital Improvements

From June 2012 to December 2013, Stay Arts embarked on a capital campaign to transition the space from the former drapery shop into a multi-use creative space with the potential to house different local art groups, events, workshops, and community events.

As part of the City’s contribution, the City waived all City fees, which equate d to approximately $7,000.

City Partnership

The City has engaged with Stay Arts to participate in City events, and it also publicizes programming at Stay Gallery on its social media platforms and has included a link on the City’s website.

More recently, for the City’s Dia De Los Muertos event, Stay Arts was contracted for a water color workshop to be held during the event. The City has provided Stay Arts the following for its services at the event:

2022 – Dia De Los Muertos - $1,260

2023 – Dia De Los Muertos - $1,260

Branding Services

In addition to City partnerships, in February 2014, the City entered into a Professional Services Agreement (PSA) for $57,200 with DAV to provide branding and strategic marketing as part of Phase I of the City’s branding initiative. Phase I included:

• City of Downey & Discover Downey brand identity;
• City of Downey & Discover Downey Branding Style Guide; • City of Downey & Discover Downey Implementation & Action Plan; • North Star Brand Identity report research & analysis; • Concept designs;
• Logotype development;
• Structured brand computer folder for city staff;

• Brand identity report;
• Stationery design options;
• Assistance with the branding and marketing of special events; • Consultation on website and social media logos;
• Consultation with Downtown subcommittee meeting regarding streetscape project; and
• Bicycle banner design and photography.

In January 2015, the City approved an amendment to the agreement in the amount of $30,000 to move forward with Phase II of the City’s branding initiative. Phase II included:

• Creation of a Discover Downey video highlighting retail, commercial , and City attractions;
• Various "On-Call" services were contracted such as: strategic marketing for Discover Downey Events; Downtown Downey branding; assistance with the design of the City's website template to match the new brand; and Discover Downey social media.

The amendment also included the assignment and assumption of the PSA to the Crawford Group, a California Limited Corporation, run by and created to compete for for- profit work for DAV. Due to the DAV’s non-profit status, it has legal limits on the revenues it can receive.

The total amount provided to Stay Arts through the Crawford Group for this project was $87,200.

Community Based Organization Funding (CBO) Program 2023

As part of the City’s Fiscal Year 2023-2024 Adopted Budget, the City Council developed a CBO funding program where Downey non-profits, including Stay Gallery/Arts, can apply.

This program was developed to create a fair and equitable process for non-profits in the City to receive funding from the City of Downey. Stay Arts was encouraged by the City to submit for funding through this program.

Stay Arts submitted the following program, which will be discussed later this meeting under a separate Administrative Report.

Art classes/workshops for March 4 - May 31, 2024 (approx. 13 weeks) - $24,000.
