Riley, etc.) to City Hall. The locations of the signalized intersections, flashing warning beacons and fiber-optic communication routes within the City are shown on the location map in Attachment A.
In 2017, the City retained the services of Computer Services Company (CSC) for the maintenance of its traffic signals, flashing beacons and fiber-optic communications system for a period of three years with an option to renew said services for up to two additional one-year periods. In 2020, CSC was acquired by Crosstown Electrical & Data, Inc. which continues to provide the aforementioned maintenance services. The current agreement with Crosstown Electrical & Data, Inc. will expire on April 30, 2024.
ANALYSIS
The City issued a Request for Proposals (RFP) for the next round of the subject maintenance services covering Fiscal Years 2024-2027 with an option to extend for up to three additional one-year periods by posting the RFP on Planet Bids on November 16, 2023. On December 8, 2023, the City received proposals from the following four contractors: St. Francis Electric, LLC, Crosstown Electrical & Data, Inc., Econolite Systems and Yunex Traffic. An evaluation panel consisting of two City of Downey Dept. of Public Works employees and one employee from the City of South Gate Dept. of Public Works evaluated the proposals. The following evaluation criteria as specified in the RFP were utilized along with respective weighting in rating the contractors’ proposals:
Criteria Weight (%)
1. Key personnel/staff qualifications 35
2. Experience/references 20
3. Understanding scope-of-work and work proposal 15
4. Quality and completeness of submittal 10
5. Annual fee 20
Based on the evaluation utilizing the above scoring criteria, the contractors’ proposals were scored as summarized below along with the contractors’ corresponding annual fees as submitted:
Contractor Ranking Annual Fee
St. Francis Electric, LLC 1 $434,970.32
Yunex Traffic 2 $412,249.00
Econolite Systems 3 $442,755.00
Crosstown Electrical & Data, Inc. 4 $312,276.00
St. Francis Electric, LLC obtained the highest score as a result of the proposal evaluation based on their previous experience in providing similar services to other agencies,

St. Francis Electric, LLC has provided similar maintenance services to other public agencies, including the Cities of Colton, Downey, Lancaster, Palm Springs, Rialto, Rosemead, South El Monte, Yorba Linda and the County of San Bernardino. A check of this contractor’s credentials showed that they are in good standing. Specifically, St. Francis’ state contractor’s license is current and active and the company is registered with the State Department of Industrial Relations under the Public Works Contractor Registration Program for Labor Compliance.
Staff recommends the approval and execution of the attached Professional Services Agreement with St. Francis Electric, LLC (Attachment B) in order to retain the services of this contractor.
The services which will be specifically provided by St. Francis Electric, LLC include monthly preventative and extraordinary maintenance of the City’s traffic signals and flashing beacons (i.e., emergency call-outs in response to equipment knock-downs, equipment modifications, upgrades and repairs; and periodic troubleshooting) and repair, troubleshooting and improvements to the City’s fiber-optic communication system on an as-needed basis. St. Francis Electric, LLC has also assisted the City in the past on an as-needed basis for street lighting maintenance services (i.e., knock-downs, re-lamping, etc.) and has experience in troubleshooting vehicle speed feedback signs similar to those used by the City.

As used herein, "Extra Work" means any work which is determined by City to be necessary for the proper completion of the Services, but which the parties did not reasonably anticipate would be necessary at the execution of this Agreement. Contractor shall not perform, nor be compensated for, Extra Work without written authorization from the Director of Public Works/City Engineer.
3.3.5 Prevailing Wages. Pursuant to Downey Municipal Code Section 2935, the requirements of California Labor Code Sections 1720 et seq. and 1770 et seq., as well as California Code of Regulations, Title 8, Section 16000 et seq. Liquidated damages are necessary as an incentive to the Contractor to respond to calls for service, particularly emergencies, in a timely manner to provide for the health, safety and welfare of the public as well as to ensure the city’s traffic signals and flashing beacons are maintained regularly and properly such that repeated maintenance calls are minimized to the extent practical. The Contractor will be subject to liquidated damages for any of the following failures to provide service as follows:
• Repetitive calls for service at a single location: $500 • Failure to provide preventative maintenance at any given location once every two months: $500 per instance
10 • Failure to respond to after-hours calls for extraordinary maintenance or extra work:
1. Technician reports to location 2-3 hours after notification: $500
2. Technician reports to location 3-4 hours after notification: $1,000
3. Technician reports to location 4 or more hours after notification: $2,500
If assessed liquidated damges, the assessment will be deducted from the Contractor’s monthly payments. If the assessed amount should happen to exceed t he amount owed the Contractor, the Contractor’s surety shall be responsible for the excess amount. Given that it is impractical and extremely difficult to estimate the potential cost of the damages that may occur due to failed responses for service in a timely manner (i.e., within two hours), the amounts to be assessed for liquidated damages set forth above are hereby agreed upon.
3.4 Performance Bond.
3.4.1 The Contractor shall obtain, pay for, and maintain throughout the life of this Agreement a Faithful Performance Bond in an amount equal to 100% of the annual Contract price. 3.4.2 Said bond shall be in the form of attached hereto (see Exhibit “D”) and incorporated herein by reference, accompanied by a power of attorney from the surety company authorizing the person executing the bond to sign on behalf of the company. If the bond is executed outside of the State of California, a California representative of the surety must countersign all copies of the bond. The signature of the person executing the bond shall be acknowledged by a Notary Public as the signature of the person designated in the power of attorney.
3.4.3 The surety or sureties on all bonds furnished must be satisfactory to the CITY. CITY will reject surety bond obtained from any company which is not an admitted surety insurer under the laws of the State of California and which does not hold a Certificate of Authority from the U.S. Secretary of the Treasury under 31 U.S.C. as an acceptable surety on Federal bonds. The surety must also be listed in the latest edition of U.S. Department of Treasury Circular 570, and the bond provided must not exceed the surety’s bonding limitations as set forth in Circular 570.
3.4.4 If, during the continuance of the Agreement, any of the sureties, in the opinion of the City, are or become non-responsive or otherwise unacceptable to City, City may require other new or additional sureties, which the Contractor shall furnish to the satisfaction of City within ten (10) days after notice, and in default thereof the Agreement may be suspended and the work completed by City forces at the expense of the Contractor.
11 3.4.5 No modifications or alterations made in the work to be performed under the Agreement or the time of performance shall operate to release any surety from liability on any bond required to be given herein. The surety shall waive notice of such events.
