2 Refurbishment is estimated to take two years and requires the City to identify a suitable property where a temporary structure can be erected to house Inspiration and complete the necessary work.
ANALYSIS
Earlier this year, the City identified 12140 Bellflower Boulevard as an ideal location for the refurbishment of Inspiration due to its size and proximity to the Space Center. The property owner, Downey Land Limited, is agreeable to the City’s use of the property and is ready to execute a lease agreement. The two-year lease term will begin upon its execution on September 10, 2024, and is estimated to provide ample time to complete the refurbishment of Inspiration. It is anticipated that the transport of Inspiration and construction of the temporary structure will be performed concurrently in the middle of October 2024. Should additional time be required beyond the two-year term, the City will work with Downey Land Limited to amend the lease agreement and extend the term accordingly. Opportunities for public engagement of the space shuttle refurbishment will be determined as part of the rehabilitation process, and will be announced to the public via social media and other media outlets.
The lease amount to Downey Land Limited is $4,000 a month, for a total of $96,000 during the two-year lease term, and is funded by the California State Grant 2103, administered by the California State Natural Resources Agency. The City received these monies for the rehabilitation of the Space Shuttle Inspiration Mock Up.

Section 1. General Provisions. Landlord shall not be obligated to make any repairs, alterations, additions or improvements in or to or upon the Premises or in, on or upon any structure or other improvements existing or hereinafter erected or installed thereon.
Tenant initially plans to add Tenant Improvements and or modify the existing Pre-existing Improvements on the Premises and then to store and refurbish a space shuttle on the Premises.
After the execution date of this Lease and during the construction, Tenant shall comply with all applicable laws in connection with all Tenant Improvements and Pre-Existing Improvements, collectively referred to as Improvements, on the Premises.
Tenant at all times and at its sole cost shall ensure that the Premises and Improvements, and every part thereof, are maintained in accordance with all requirements of applicable Laws, governmental authorities and covenants, conditions, and restrictions pertaining to the Premises or the Improvements filed of record in the real property records wherein the Leased Premises is located as of the Commencement Date, or otherwise expressly agreed to in writing by Tenant.
Tenant shall use reasonable efforts to keep the Premises free of non-hazardous waste outside of closed locked containers and shall maintain locks on its waste containers keeping them locked at all times except when Tenant or its agents or its contractors are removing or adding the waste to the containers. Containers may have small openings where its customers and invitees can add trash.
12 Tenant shall indemnify and save harmless the Landlord against all actions, claims and damages by reason of Tenant’s non-observance or non-performance of any law, ordinance or regulation applicable thereto in connection with Tenant’s business operations on the Premises, repairs made or failed to be made or improvements constructed on the Premises, except to the extent caused by the negligence or willful misconduct of Landlord or its agents, employees or contractors. Without limitation of Landlord’s duties, liabilities and obligations under this Lease, Tenant waives any provisions of law, including. Sections 1932, 1941 and 1942 of the Civil Code of the State of California, as may be amended from time to time, that may require any duty of repair by Landlord or permit Tenant to repair at expense of Landlord, and any law, judicial pronouncement, or common law principle similar thereto, which is now or hereafter in effect or is otherwise inconsistent with the provisions of this Lease. However, these waivers do not limit Tenant’s rights or Landlord's obligations arising out of the intentional acts or omissions of Landlord or its agents, officers, representatives, employees, contractors, or invitees.
Section 2. Hazardous Substances. The term "Hazardous Substance" as used in this Lease shall mean any product, substance, chemical, material or waste whose presence, nature, quantity and/or intensity or existence, use, manufacture, disposal, transportation, spill, release or effect, either by itself or in combination with other materials expected to be on the Premises, is either: (i) potentially injurious to the public health, safety or welfare, the environment or the Premises, (ii) regulated or monitored by any governmental authority, or (iii) a basis for liability to any governmental agency or third party under any applicable statute or common law theory.
Hazardous Substances shall include, but not be limited to, hydrocarbons, petroleum, gasoline, crude oil or any products, by-products or fractions thereof. Tenant shall not engage in any activity in, on or about the Premises which constitutes a Reportable Use (as hereinafter defined) of Hazardous Substances without the express prior written consent of Landlord and compliance in a timely manner (at Tenant’s sole cost and expense) with all applicable Law. "Reportable Use" shall mean (i) the installation or use of any above or below ground storage tank, (ii) the generation, possession, storage, use, transportation, or disposal of a Hazardous Substance that requires a permit from, or with respect to which a report, notice, registration or business plan is required to be filed with, any governmental authority. Reportable Use shall also include Tenant’s being responsible for the presence in, on or about the Premises of a Hazardous Substance brought thereon by Tenant or its agents, employees or contractors with respect to which any applicable Law requires that a notice be given to persons entering or occupying the Premises or neighboring properties.
Notwithstanding the foregoing, Tenant may, without Landlord’s prior consent, but in compliance with all applicable Law, use any ordinary and customary materials reasonably required to be used by Tenant in the normal course of Tenant's business permitted on the Premises, so long as such use is not a Reportable Use and is not in violation of applicable Law. In addition, Landlord may (but without any obligation to do so) condition its reasonable consent to the use by Tenant upon Tenant's giving Landlord such additional assurances as Landlord, in its reasonable discretion, deems necessary to protect itself, the public, the Premises and the environment against damage, contamination or injury and/or liability therefrom or therefor, including, but not limited to, the installation (and removal on or before Lease expiration or earlier termination) of reasonably necessary protective modifications to the Premises (such as concrete encasements). 13 Section 3. Duty to Inform the Landlord. If Tenant knows or has reasonable cause to believe, that a Hazardous Substance, or a condition involving or resulting from same, has come to be located in. on, under or about the Premises in violation of applicable Law, other than as previously consented to by Landlord, Tenant shall promptly give written notice of such fact to Landlord. Tenant shall also promptly give Landlord a copy of any statement, report, notice, registration, application, permit business plan, license, claim, action or proceeding, in the possession of Tenant, given to, or received from, any governmental authority or Tenant or its agents, employees, contractors, subtenants or assigns, concerning the presence, spill, release, discharge of, or exposure to, any Hazardous Substance or contamination in, on, or about the Premises, including but not limited to all such documents as may be involved in any Reportable Uses involving the Premises.
Section 4. Indemnification. Tenant shall indemnify, protect, defend and hold Landlord, its agents, employees, and lenders and the Premises, harmless from and against any and all loss of rents and/or damages, liabilities, judgments, costs, claims, liens, expenses, penalties, permits and attorneys’ and consultants’ fees arising out of or involving a Reportable Use. Tenant’s obligations under this Article X shall include, but not be limited to, the effects of any contamination or injury to person, property or the environment created or suffered by Tenant, and the cost of investigation (including consultant’s and reasonable attorney’s fees and testing), removal, remediation, restoration and/or abatement thereof to comply with applicable Laws, or of any contamination therein involved to comply with applicable Laws, and shall survive the expiration or earlier termination of this Lease. No termination, cancellation or release agreement entered into by Landlord and Tenant shall release Tenant from its obligations under this Lease with respect to Hazardous Substances, unless specifically so agreed by Landlord in writing at the time of such agreement.
In addition to the above and without limitation to the above, Tenant will be responsible for ordinary and customary maintenance of the drive aisles and parking areas located on the Premises relating to amounts of oil and gasoline, deposited on the drive aisles and parking areas by vehicles in the ordinary course of Tenant’s business operations on the Premises.
ARTICLE XI.
Destruction
Section 1. Destruction to Improvements.
In the case of total destruction of Improvements to the Premise not caused by Tenant, there shall be an early termination of the Lease upon Tenant removing all Tenant Property from the Premises with any necessary restoration.
14 ARTICLE XII.
Condemnation
Section 1. Definitions.
(a) "Condemnation" means (a) the exercise of any governmental power, whether by legal proceedings or otherwise, by a or as condemnor and (b) a voluntary sale or transfer by Landlord to any condemnor, either under threat of condemnation or while legal proceedings for condemnation are pending or threatened. (b) "Date of taking" means the date the condemnor has the right to possession of the property being condemned.
(c) "Award" means all compensation, sums. or anything of value awarded, paid, or received on a total or partial condemnation.
(d) ’'Condemnor" means any public or quasi-public authority, or private corporation or individual, having the power of condemnation.
Section 2. Parties’ Rights and Obligations to be Governed by Lease.
If during the term or during the period of time between the execution of this Lease and the date the term commences, there is any taking of all or any part of the land of which the Premises are a part or any interest in this lease by condemnation, the rights and obligations of the parties shall be determined pursuant to this Article.
Section 3. Total Taking
If the Premises are totally taken by condemnation, this Lease shall terminate on the date of taking.
Section 4. Partial Taking.
If any portion of the Premises should be taken so as to impair materially the use of the Premises as contemplated by this Lease and Tenant and Landlord reasonably determines that the remaining portion of the Premises is not economically feasible for Tenant’s use as provided for under this Lease, Tenant may, at its option, terminate this Lease by delivery of written notice to Landlord within 30 days after such determination specifying such date of termination. On any such termination, the Monthly Rent shall be apportioned to the date of termination.
In addition to and without limitation of the foregoing, if any portion of the Premises is taken by condemnation this lease shall remain in effect if not otherwise terminated pursuant to this Section, except that Tenant can elect to terminate this Lease if in the reasonable judgment of Tenant and Landlord, it will have a material adverse effect on the conduct of Tenant’s business as theretofore conducted on the Premises. If Tenant elects to terminate this Lease, Tenant must exercise its right to terminate pursuant to this paragraph by giving notice to Landlord within 60 days after the Taking. If Tenant elects to terminate this Lease as provided in this paragraph, Tenant also shall notify Landlord of the date of termination, which date shall not be earlier than 30 days 15 nor later than 90 days after Tenant has notified Landlord of its election to terminate. If Tenant does not terminate this lease within the 60-day period, this Lease shall continue in full force and effect, except that Monthly Rent shall be reduced as herein set forth. Tenant acknowledges that loss solely of Tenant's landscaping areas or other areas of excess space will not cause Tenant’s business to be materially interfered with, provided that the applicable governmental agency or authority does not enforce any then-existing set back or other governmental requirements to cause the loss of use of any areas of the Premises improved with improvements, including without limitation, paving, curbing, or parking.
Section 5. Effect on Rent
If any portion of the Premises is taken by condemnation and this Lease remains in full force and effect, on the date of taking the Monthly Rent shall be reduced by an amount calculated as a ratio which shall contain in the numerator the total number of square feet of the Premises which is taken over the total number of square feet of the Premises immediately before the date of taking as the denominator multiplied by the Monthly Rent.
Section 6. Waiver of CCP Section 1265.130
Each party waives the provisions of the Code of Civil Procedure section 1265.130 allowing either party to petition the superior court to terminate this lease in the event of a partial taking of the Premises.
Section 7. Allocation of Award: Partial Taking
The total award in the Condemnation Proceedings, in the event of such partial taking, shall be apportioned and paid, to the extent available, in the following order of priority:
(a)Tenant shall first be entitled to an amount equal to the cost of Restoration. (b) Landlord, Tenant, and any secured Mortgagee shall be entitled to their reasonable expenses and charges, including, without limitation, reasonable attorney fees incurred in connection with the Taking.
(c) Landlord shall be entitled to a portion of the award based on the then-value of the portion of the Parcel subject to the partial taking (which shall be deemed to be zero if no Rent reduction occurs pursuant to Article XII, Section 4).
(d) The balance of the award, after payment to any secured Mortgagees of the amount of any indebtedness then owing by Tenant to such secured Mortgagees, shall be paid to Tenant.
Section 8. Temporary Abatement or Reduction of Rent.
Rent shall be abated or reduced during the period from the date of taking until the completion of restoration, but all other obligations of Tenant under this lease shall remain in full force and effect. The abatement or reduction of Rent shall be based on the extent to which the 16 restoration interferes with Tenant's use of the Premises but shall not be reduced below $2,000.00 per month.
Section 9.Award – Distribution Allocation of Award; Total Taking If this Lease shall terminate pursuant to the provisions of Article XII, Section 3, the total award in the Condemnation Proceedings shall be apportioned and paid, to the extent available, in the following order of priority:
(a) Landlord, Tenant, and any Mortgagee of Landlord with debt secured by Landlord’s interest in the Premises shall be entitled to their reasonable expenses and charges, including, without limitation, reasonable attorney fees incurred in connection with the Taking. (b) Any Mortgagee of Landlord with debt secured by Landlord's interest in the Premises shall be entitled to satisfy the debt secured by its secured Mortgage (but in no event greater than the value of Landlord’s interests in the Premises). (c) Landlord shall be entitled to that portion of the award which represents the sum of (i) the value of the Parcel, encumbered by this Lease (taking into account the then-present value of the Monthly Rent or any Additional Rent payable to Landlord); (ii) the value of Landlord’s reversionary interest in the Improvements; and (iii) the so-called "bonus value" of the leasehold estate created by this Lease if the Rent payable under this Lease is determined to be in excess of the fair rental value of the Premises, discounted to present value. (d) The balance of the award, including any portion of the award attributable to Tenant’s Personal Property, shall be paid to Tenant.
Section 10. Waiver
Except as otherwise expressly set forth herein, Tenant waives any rights now or hereafter conferred on it by statute otherwise to quit or surrender this Lease or the Premises or any suspension, diminution, abatement, or reduction of Rent on account of any Taking.
Section 1 1 Relocation Benefits and Goodwill
Anything contained in this Article XII to the contrary notwithstanding, all compensation, damages, reimbursements, or other benefits payable to Tenant or Tenant’s subtenants, for or in connection with any relocation, displacement, inability to relocate, loss of business, or loss of goodwill resulting from or in connection with any taking covered by this Article XII, shall be payable to and be the sole property of Tenant or Tenant’s subtenants.
Section 12 Trade Fixtures and Equipment.
17 In the event of any taking of any portion of the Premises, Tenant shall be entitled to receive all compensation and damages arising from such taking and payable for or on account of Tenant’s trade fixtures and equipment at any time located on the portion of the Premises so taken. except for those trade fixtures that pursuant to this Lease are to remain with the Premises on expiration or termination of the Term.
Section 13 Landlord’s Reservation of Power of Eminent Domain Tenant acknowledges Landlord’s reserved power on payment of just compensation to exercise its power of eminent domain as to the leasehold estate created hereunder; provided, however, that the foregoing acknowledgment shall not be deemed or construed to prejudice or waive any rights of Tenant to challenge or object to any attempt by Landlord so to exercise such power.
ARTICLE XIII.
Transfer of Tenant’s Interest (Assignment And Subletting).
Section 1. Assignment and Subletting.
Tenant shall be able to assign and or sublet its rights under this Lease only after obtaining approval of Landlord which shall not be unreasonably withheld.
ARTICLE XIV.
Section 1.Bankruptcy or Insolvency.
If during the term of this Lease a petition to have Tenant adjudicated a bankrupt or a petition for reorganization or arrangement under any of the laws of the United States relating to bankruptcy be filed by Tenant or be filed against Tenant and not be dismissed within sixty (60) days from the date of such filing or if Tenant makes an assignment for benefit of creditors the occurrence of such contingency shall be deemed to constitute and shall be construed as a repudiation of the obligations of Tenant and a breach of this Lease. It is an express covenant and agreement of Tenant and Landlord that Landlord may, at its election, terminate this Lease or any leasehold estate arising hereunder in the event of the occurrence of any of the aforesaid events by giving not less than thirty (30) days’ written notice to Tenant; and when so terminated, Landlord may re-enter the Premises and this Lease shall not be treated as an asset of Tenant's estate.
Section 2 Right of Termination.
18 Should any of the following events occur, Landlord may terminate this Lease and any interest of Tenant herein, effective with the commencement of the event:
(a) Proceedings are instituted whereby all, or substantially all, of Tenant's assets are placed in the hands of a receiver, trustee, or assignee for the benefit of Tenant-s creditors, and such proceedings continue for at least 60 days;
(b) Any creditor of Tenant institutes judicial or administrative process to execute on, attach, or otherwise seize any of Tenant’s Improvements, merchandise, or Personal Property located on the Premises and Tenant fails to discharge, set aside, exonerate by posting a bond, or otherwise obtain a release of such property within 60 days; or (c) Tenant becomes a debtor in any case filed by Tenant under the Bankruptcy Code or similar law providing relief to bankrupt or insolvent debtors.
Section 3 .Request for Information.
Within ten (10) days after Landlord’s request therefor, Tenant shall provide Landlord and Landlord's mortgagee or proposed mortgagee, as Landlord shall specify, such financial, legal, and business information concerning any of the events described in this Article XIV as Landlord shall request.
ARTCLE XV.
Section 1. Events of Default
The occurrence of any of the following shall constitute an ''Event of Default'’ by Tenant:
(a) Any failure by Tenant to pay the Rent (the term ''Rent’' shall include the Monthly Rent, Additional Rent or any other rent or monetary obligations of Tenant that may be due under this Lease), when such failure continues for 5 days after written notice thereof by Landlord to Tenant;
(b) A failure by Tenant to observe and perform any provision of this Lease to be observed or performed by Tenant (other than those specified in Article XV, Sections 1.(a), (c) or (d), when such failure continues for 30 days after written notice thereof by Landlord to Tenant; provided, however, that if the nature of such default is such that the same cannot reasonably be cured within such 30 day period, Tenant shall not be deemed to have committed an Event of Default if Tenant shall within such 30 day period commence such cure and thereafter diligently prosecute the same to completion;
(C)Entering into a Transfer contrary to the provisions of Article XIII; or 19 (d) The failure or refusal of Tenant to execute, acknowledge, and deliver to Landlord any estoppel certificate referred to in Article XIX within the time period required by Article XIX.
Notwithstanding anything to the contrary contained in this Lease regarding notice and cure periods, in the event of a failure by Tenant to pay the Rent or any other payment required to be made hereunder on the due date, such sum shall bear interest from and after such due date at the Interest Rate from the due date until paid if the delinquent Rent is not paid by Tenant within the 5 day cure period pursuant to Article XV, Section 1(a) Any notice and cure periods provided for herein shall be in lieu of, and not in addition to, any applicable time periods prescribed by applicable state or local law as a condition precedent to the commencement of legal action against Tenant for possession of the Premises.
Section 2. Rjghts of Landlord
Following an Event of Default by Tenant, Landlord will have the cumulative, rights set forth below in this Article XV provided, notwithstanding the foregoing, in the case of a material default, and only in the event of a material default by Tenant, Landlord shall have the option in accordance with this Lease, to terminate this Lease and all rights of Tenant hereunder by giving ten (10) days written notice to Tenant of such intention to terminate. In the event pursuant to such material default that Landlord shall elect to so terminate this Lease, then Landlord may recover from Tenant:
(a) The worth at the time of award of any unpaid Rent, that had been earned at the time of such termination; plus
(b) The worth at the time of award of the amount by which the unpaid Rent, which would have been earned after termination until the time of award. exceeds the amount of such Rent loss Tenant proves could have been reasonably avoided; plus (c) The worth at the time of award of the amount by which the unpaid Rent for the balance of the Term after the time of award exceeds the amount of such Rent loss that Tenant proves could be reasonably avoided; plus
(d) Subject to the limitations set forth in the Lease, any other amount reasonably necessary to compensate Landlord for all the detriment proximately caused by Tenant's failure to perform its obligations under this Lease or which in the ordinary course of events would be likely to result therefrom, including, without limitation, all actual, reasonable costs and expenses incurred by Landlord in (i) retaking possession of the Premises, including reasonable attorney fees; (ii) reasonable cost of maintaining or preserving the Premises; (iii) reasonable cost of preparing the Premises for a new tenant, including repairs but not reconfiguration or major alterations to the Premises; and (iv) reasonable leasing commissions; 20 (e) Subject to the limitations set forth in the Lease, such other amounts in addition to or in lieu of the foregoing as may be permitted from time to time as applicable state law
As used in subsections a. and b. above, the "worth at the time of award" is computed by allowing interest at the rate of the greater of ten percent (10%) per annum or the discount rate of the Federal Reserve Bank of San Francisco at the time of the award plus 5 percent, however, that in no event shall the interest rate exceed the maximum lawful rate of interest in the state of California in which the Premises are located. As used in subsection c. above. the "worth at the time of award" is computed by discounting such amount at the discount rate of the Federal Reserve Bank of San Francisco at the time of award plus 2 percent. All rents and other payments Landlord shall receive from subtenants, and other occupants of the Premises, shall be credited against Tenant's Rent obligations under this Lease.
Section 3.Landlord’s Right of Reentry.
Following an Event of Default by Tenant, Landlord shall also have the right, with or without terminating this Lease, to reenter the Premises pursuant to legal proceedings and eject all parties in possession therefrom following issuance of an order of a court of competent jurisdiction allowing such entry and ejection. Without terminating this Lease and with or without reentering the Premises, Landlord may, at any time and from time to time following an Event of Default, either recover all Rent as it becomes due or relet all or any part of the Premises, for the account of Tenant, or otherwise, receive and collect the rents and other income therefrom, applying the same first to the payment of such expenses as Landlord may have paid, assumed, or incurred in recovering possession of the Premises, including reasonable costs, expenses, and attorney fees, and for placing the same in good order and condition, or for preparing or altering the same for reletting, and all other expenses, commissions, and charges paid, assumed, or incurred by Landlord in or in connection with re-letting the Premises, and then applying to the fulfillment of the covenants of Tenant to be performed under this Lease. In addition to the foregoing, Landlord shall have the remedies provided under California Civil Code Section 1951.4, as the same may be modified or replaced hereafter. Landlord may continue this Lease in effect after Tenant’s breach and abandonment and recover Rent as it becomes due, if Tenant has the right to sublet or assign, subject only to reasonable limitation.
Section 4. No Automatic Termination
No reentry or taking possession of the Leased Premises by Landlord pursuant to Article XV, Section 3. shall be construed as an election to terminate this Lease or Tenant's liability for the payment of Rent or other charges due or accruing hereunder, or as an acceptance of Tenant’s surrender of the Premises, unless a written notice of such intention is given to Tenant or unless the termination is decreed by a court of competent jurisdiction. Notwithstanding any re-letting without termination by Landlord because of any material default by Tenant, Landlord may at any time after such re-letting elect to terminate this Lease for any such material default.
Section 5. No Waiver
21 The waiver by Landlord or Tenant of any breach of any term, covenant, or condition contained in this Lease shall not be deemed a waiver of such term, covenant, or condition of any subsequent breach thereof, or of any other term, covenant, or condition contained in this Lease.
Landlord's subsequent acceptance of partial Rent or performance by Tenant shall not be deemed to be an accord and satisfaction or a waiver of any preceding breach by Tenant of any term, covenant, or condition of this Lease or of any right of Landlord to a forfeiture of this Lease by reason of such breach, regardless of Landlord’s knowledge of such preceding breach at the time of Landlord’s acceptances. Tenant’s subsequent acceptance of partial payment or performance by Landlord shall not be deemed to be an accord and satisfaction or a waiver of any preceding breach by Landlord of any term, covenant, or condition of this Lease or of any right of Tenant to a forfeiture of this Lease by reason of such breach, regardless of Tenant’s knowledge of such preceding breach at the time of Tenant’s acceptance. No term, covenant, or condition of this Lease shall be deemed to have been waived by Landlord or Tenant unless such waiver is in writing and signed by Landlord or Tenant, as applicable.
Section 6. Rjght to Cure
If Tenant fails, refuses, or neglects to perform any obligation under this Lease in the time and manner required herein, subsequent to the giving of any required notice and expiration of any applicable cure period set forth in Section 1, Landlord shall have the right, but not the obligation, to do the same at the expense of Tenant. The amount of money so reasonably expensed or obligation so incurred by Landlord, incurred and paid to unrelated third parties together with interest thereon at the Interest Rate, shall be repaid to Landlord as Additional Rent within thirty (30) days of Tenant’s receipt of written notice thereof together with reasonable evidence evidencing such. Landlord's performance of such obligations shall not waive any default by Tenant under this Lease, unless Tenant has reimbursed Landlord as required in this Section 6.
Section 7. Late Charges: Interest
(a) Late Charges. Tenant acknowledges that the late payment by Tenant to Landlord of Rent will cause Landlord to incur costs not contemplated by this Lease, the exact amount of which will be extremely difficult to ascertain. Such costs include, but are not limited to, processing and accounting charges, and personnel costs. Accordingly, if any installment of Rent due from Tenant shall not be received by Landlord within 5 days following the date such installment of Rent is due, Tenant shall pay to Landlord a late charge equal to 5 percent of such overdue amount. Landlord and Tenant agree that such late charge represents a fair and reasonable estimate of the cost Landlord shall incur by reason of late payment by Tenant. Acceptance of such late charge by Landlord shall in no event constitute a waiver of Tenant's default with respect to such overdue amount, nor prevent Landlord from exercising any of the other rights and remedies granted hereunder.
(b) Default Interest. In addition to the late charges provided in Article XV, Section 7.a., any Rent due and not paid on the date such Rent is due as provided in this Lease shall al
bear interest from the date such Rent was due at the rate of the greater of ten percent (10%) per annum or the discount rate of the Federal Reserve Bank of San Francisco at the time such Rent was due plus 5 percent, however, that in no event shall the interest rate exceed the maximum lawful rate of interest in the state of California in which the Premises are located (referred to herein as -Interest Rate--).
Section 8. Rights to Cure Default of Landlord.
Landlord shall be in default of this Lease if it fails or refuses to perform any provision of this Lease that it is obligated to perform or in the event of the failure of any representation or warranty when deemed given hereunder, if the failure to perform or of the representation and warranty is not cured within thirty (30) days after written notice of the default has been given by Tenant to Landlord. If the default cannot reasonably be cured within thirty (30) days, Landlord shall not be in default of this Lease if Landlord commences to cure the default within the 30-day period and diligently and in good faith continues to cure the default to completion.
Section 9. Landlord’s Entry on Premises.
Landlord and its authorized representatives shall upon not less than forty-eight (48) hours prior written notice, have the right to enter the public portions of Premises at all reasonable times for any of the following purposes:
(a) To serve, post, or keep posted any notices required or allowed under the provisions of this Lease (provided Landlord acknowledges that all notices to Tenant must be provided pursuant to Article XX, Section 1 of this Lease, and not to the Premises; (b) To post "for sale" signs at any time during the term not to exceed 2'x2' and located only in landscape areas of the Premises, to post "for rent" or "for lease" signs not to exceed 2’x2’ and located only in landscape areas of the Premises during the last twelve (12) months of the term; (c) To show the Premises to prospective brokers, agents, buyers, tenants (only during the last twelve ( 12) months of the Term), or persons interested in a property exchange, at any time during the term;
(d) To perform any obligation of Tenant after Tenant's Event of Default subsequent to the giving of any required notice and expiration of any applicable cure period; (e) if Tenant defaults under this Lease after the giving of any notice and expiration of any required cure period.
Landlord and its authorized representatives shall be permitted to enter on the public portions of the Premises, as may reasonably be necessary, in order for Landlord or its designees to make improvements or do other work, or to make improvements, repairs, or maintenance to adjacent property owned by Landlord. Landlord’s entry shall not unreasonably interfere with the business and operations at the Premises.
23 Landlord shall not be liable to Tenant or any third party in any manner for any inconvenience, disturbance, loss of business, nuisance, or other damage arising out of Landlord's entry on the Premises as provided in this paragraph subject to compliance by Landlord with the terms of this Section, except damage resulting from the negligence or willful acts or omissions of Landlord or its authorized representatives in this Article.
Tenant shall not be entitled to an abatement or reduction of rent if Landlord exercises any rights reserved in this paragraph conditioned upon compliance by Landlord with the terms of this Section.
Landlord shall conduct its activities on the Premises as allowed in this paragraph in a manner that will cause the least possible inconvenience, annoyance. or disturbance to Tenant.
ARTICLE XVI.
Section 1. Attorney Fees.
Should either party hereto institute any action or proceeding in court to enforce any provision hereof or for damages by reason of an alleged breach of any provision of this Lease, the prevailing party shall be entitled to receive from the losing party such amount as the court may adjudge to be reasonable attorney's fees for the services rendered the prevailing party in such action or proceeding and court costs and other necessary litigation expenses including the costs of expert WItnesses.
ARTICLE XVII.
Section 1. Holding Over Beyond Term
Except as otherwise provided in this Lease, the Tenant, upon the expiration of the term of this Lease, or upon the sooner termination thereof, as provided hereunder, will promptly and peaceably quit and surrender said Premises. If the Tenant shall hold over after the term of this Lease, of the Landlord, such holding over shall be construed to be a tenancy from month to month only, with Monthly Rent paid in the last month of the Lease Term, whichever is applicable, to be increased by fifty percent (50%), i.e., the Monthly Rent paid in the last month of the Lease Term or Option Term, whichever is applicable, multiplied by 1 .5.
ARTICLE XVIII.
Section 1. Amendment
This Lease shall not be subject to modification or amendment, except by an instrument in writing formally executed by the parties hereto identifying this instrument and specifying the particulars of that amendment or modification.
ARTICLE XIX.
Section 1. Subordination and Attornment
24 This Lease is and shall be subject and subordinate to the lien and provisions of any mortgages or deeds of trust hereafter placed against the Premises or against Landlord’s interest or estate in the Premises, and Tenant shall execute and deliver, within 10 days of request from Landlord, such instruments evidencing the subordination of this Lease to any mortgage or deed of trust. As a condition to such subordination, such instrument shall provide that (a) as long as Tenant is not in default of this Lease, Tenant’s possession of the Premises shall not be affected by any foreclosure proceedings; and (b) if such lender (including any purchaser at foreclosure sale or purchaser from such Lender after foreclosure) shall perform Landlord’s obligations under this Lease during the time period, then such lender (including any purchaser at foreclosure sale or purchaser from such Lender after foreclosure) has succeeded to Landlord’s interest in this Lease.
In the event of foreclosure or the exercise of the power of sale under any mortgage or deed of trust against the Premises, Tenant shall, on request of any person or party succeeding to the interest of Landlord as a result of such proceedings, attorn to such successor in interest and recognize such successor in interest as Landlord under this Lease.
Section 2. Estoppel Certificate.
If any mortgagee, beneficiary, or trustee elects to have this Lease prior to the lien of such mortgagee’s, beneficiary’s, or trustee’s mortgage or deed of trust, and gives notice of such election to Tenant, this Lease shall be deemed prior to the lien of such mortgage or deed of trust, whether this Lease is dated prior or subsequent to the date of such mortgage or deed of trust, or the date of the recording thereof.
Each party (Responding Party) agrees at any time and from time to time, and within 20 days after written request from the other party (Requesting Party), to execute, acknowledge, and deliver to the Requesting Party an estoppel certificate substantially in such form as the Requesting Party may reasonably request, (a) certifying that this Lease represents the entire agreement between Landlord and Tenant, and is unmodified and in full force and effect (or. if modified, stating the nature of such modification and certifying that this Lease, as so modified, is in full force and effect), and the dates to which the Rent and other charges are paid in advance, if any; (b) certifying the commencement and expiration dates of the Term; (c) certifying that there has been no assignment or other transfer by either party to this Lease, or any interest therein, or certifying that there has in fact been an assignment, as the case may be; (d) acknowledging that there are not, to the Responding Party’s knowledge, any uncured defaults on the part of either party to this Lease and that neither party has a right of offset, counterclaim, or deduction against Rent, or specifying such defaults if any are claimed together with the amount of any alleged offset, counterclaim, or deduction; and (e) certifying or acknowledging such other matters as the Requesting Party may reasonably request. A Responding Party’s failure to deliver such statement within such time shall be conclusive and binding on the Responding Party that this Lease is in full force and effect, without modification except as may be represented by the Requesting Party, that there are no uncured defaults under this Lease, that neither party has a right of offset, counterclaim, or deduction against Rent, and that no more than one month’s Rent has been paid in advance, it being understood, however, that such presumed certification shall not relieve a Responding Party from its obligations under this paragraph. It is intended that any such statement delivered pursuant to 25 this Section may be relied on by any prospective purchaser or mortgagee of the Requesting Party.
