RESOLUTION NO.
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF EAST PALO ALTO
AUTHORIZING THE CITY MANAGER TO EXECUTE AN OUTSIDE COUNSEL
AGREEMENT WITH SLOAN SAKAI YEUNG & WONG, LLP FOR THREE YEARS IN AN AMOUNT NOT-TO-EXCEED $225,000
WHEREAS, the attorneys at the firm of Sloan Sakai Yeung & Wong, LLP have provided labor negotiation services and labor relations advice for over seventeen years and retain a high degree of historical labor relations knowledge for the City; and WHEREAS, the sum originally authorized for payment was insufficient to cover the services rendered and the work has been completed with SSYW; and WHEREAS, the City desires to enter into a new three-year agreement effective July 1, 2022 with SSYW in an amount averaging $75,000 each year, for a total not-toexceed amount of $225,000 as well as the possibility of two (2) six (6)-month extensions at the sole discretion of the City Manager, to provide outside legal counsel services to address issues including, but not limited to labor negotiations, workers’ compensation, personnel investigations and other employment legal services as needed.
NOW, THEREFORE, BE IT RESOLVED THAT THE CITY COUNCIL OF THE CITY OF EAST PALO ALTO HEREBY:
1) Authorizes the City Manager to enter into a new three-year agreement with SSYW in an amount averaging $75,000 each year for a total not-to-exceed amount of $225,000 as well as the possibility of two (2) six (6)-month extensions at the sole discretion of the City Manager; and
2) Process a payment to Sloan Sakai Yeung & Wong, LLP in the amount of $38,664.40; and
3) Waives the formal bid procedures under section 2.84.070(D) of the Municipal Code due to the special circumstances that the City has ongoing work with SSYW, and it would be neither practical nor productive to change firms.
