Dear Melvin E. Gaines,
This letter is in response to the ongoing discussion between the City of East Palo Alto (City) and the Midpeninsula Regional Open Space District (District) regarding the documentation necessary to fulfill a Regional Water Quality Control Board (RWQCB) requirement for a Land Use Covenant on parcels owned by the City and the District, that collectively make up Cooley Landing Park. This letter memorializes our agreement to share the cost for a sea level rise assessment required by the RWQCB.

The District agrees to provide $9,975 up front funding for the preparation of a sea level rise and vulnerability assessment for Cooley Landing Park to the City as per the proposal provided by Ninyo and Moore prepared for the City (attached Proposal #090AK03-01562 Rev. 1). The City agrees to enter into an agreement with Ninyo and Moore for completion of the sea level rise assessment per the above proposal and provide a draft copy for review and comment to the District prior to finalization. After completion the City will provide a final copy to the District and the RWQCB.

The main points for contact shall be Senior Engineer Anwar Mirza for the City and Assistant General Manager Brian Malone for the District.

Sincerely, Agreed and Accepted by:
