B. CITY is the owner of that certain real property, including all improvements therein or to be provided by the CITY under terms of this Lease, commonly known by the street address of 405 East Lexington Ave, El Cajon, California 92020, which is more particularly described in Exhibit "A" (the "Property"). The property includes land, building, and fixtures , as more fully set in Exhibit "A" to this Lease. Said real property is leased on the terms and conditions hereinafter set forth.

FOR VALUABLE CONSIDERATION , the parties agree as follows:

LESSEE acknowledges and agrees that the square footage figures set forth in this Lease are reasonable approximations for reference only and shall not be subject to revision except with an actual physical change in the Premises. This Lease shall not create any agency, joint venture, or other relationship between the CITY and LESSEE other than that of landlord and tenant.

2. Uses. LESSEE shall use the Premises solely to provide services to the CITY by providing social services to El Cajon residents, but for no other purposes (the "Allowed Uses").

Other than guide, signal and seeing-eye dogs, LESSEE shall not keep or allow in the Premises any pets, animals, birds, fish, or reptiles. The CITY shall not unreasonably withhold or delay its consent to any written request for a modification of the Agreed Use, so long as the same will not impair the structural integrity of the building on the Property or the mechanical or electrical systems therein, and/or is not significantly more burdensome . If the CITY elects to withhold consent, The CITY shall within 7 days after such request give written notification of same, which notice shall include an explanation of the CITY'S objections to the change in the Agreed Use. LESSEE acknowledges that this Lease is expressly conditioned on the El Cajon City Council's (the "City Council's") prior authorization to enter into and execute this Lease and the Agreement ("Council Authorization"), which may or may not be granted in the City Council's sole discretion. LESSEE understands and agrees that in entering into this Lease CITY is acting solely in its proprietary capacity of a lessor of a real property interest, and not in its governmental capacity as the primary regulatory authority for the Property. Whenever, in this Lease, approval, or consent, of CITY is required or failure to approve or consent is deemed to be approval or consent, it shall only relate to CITY's capacity as the landlord as owner of a real property interest.

4. Term. The term of this Lease is five (5) years, commencing on "Commencement Date" as hereinafter provided, and terminating on the last day of the 60th month thereafter .

Commencement Date of the Lease term will be ____ ____ . 6. Quiet Enjoyment. LESSEE, performing the covenants and agreements in this Lease, shall at all times during the Term (as defined above) peaceably and quietly have, hold, and enjoy the Premises. If CITY for any reason cannot deliver possession of the Premises to LESSEE at commencement of the Term, or if LESSEE is temporarily dispossessed through action or claim of a title superior to CITY's, this Lease shall be voidable.

7. Reservation of Rights.

7.1 Mineral Rights. CITY reserves all rights, title, and interest in and to any and all subsurface natural gas, oil, minerals, and water on or within the Premises or the Property.

7.2 Easements. CITY reserves the right to grant, establish, and use easements and rights-of-way over, under, along, and across the Premises or the Property for utilities, thoroughfares , or access as it deems advisable for the public good at no cost or liability to CITY.

8. Holdover. LESSEE may not continue in possession of the Premises past the expiration of the Term or earlier termination of this Lease. If LESSEE continues to occupy the Premises after the expiration or earlier termination of this Lease, such occupancy shall neither constitute a renewal or extension of this Lease, nor give LESSEE any rights in or to the Premises. If LESSEE continues to occupy the Premises after the expiration or earlier termination of this Lease, CITY may demand and receive from LESSEE rent for the Premises calculated on a per diem basis at the fair market rental rate as of the date of the expiration or termination of this Lease. CITY, utilizing the services of qualified CITY staff, shall determine the amount of the fair market rental rate to be applied as of the date of the expiration or termination of this Lease. CITY's acceptance of such rent shall neither constitute a renewal or extension of the Lease, nor give LESSEE any rights in or to the Premises.

9. Surrender of Premises. Upon the expiration or earlier termination of this Lease, LESSEE shall vacate the Premises and surrender it to CITY free and clear of all liens and encumbrances, and in a decent, safe, and sanitary condition. If LESSEE fails to surrender the Premises to CITY on the expiration of the Lease as required by this paragraph, CITY shall deliver to LESSEE written notice of the work needed, and LESSEE shall arrange for the necessary work to be completed, subject to and in accordance with the terms of this Lease.

At any time after the expiration or earlier termination of this Lease, LESSEE shall execute, acknowledge, and deliver to CITY, but in no event later than thirty (30) days after CITY's demand, a valid and recordable quitclaim deed covering all of the Premises. If LESSEE fails or refuses to deliver the required quitclaim deed, CITY may prepare and record a notice reciting LESSEE's failure to perform this Lease provision, and the notice shall be deemed conclusive evidence of the termination of this Lease and of all of LESSEE's rights in and to the Premises.

10. Rent. LESSEE shall pay to CITY rent in the amount of Five Dollars ($5. 00) for the entire five- year term. Rent shall be considered paid in full upon execution of this Lease.

10.1 Security Deposit. LESSEE shall pay to City a security deposit in the amount of Twenty Five Thousand Dollars ($25,000.00) which shall be held by the CITY as security for the faithful performance by LESSEE of all the terms, covenants, and conditions of this Lease to be kept and performed by LESSEE during the term hereof. If LESSEE defaults with respect to any provision of this Lease after the expiration of all applicable notice and cure periods, including, but not limited to the provisions relating to the payment of Rent, Landlord may (but shall not be required to) use, apply or retain all or any part of the Security Deposit for the payment of any Rent or for the payment of any amount which Landlord may spend or become obligated to spend by reason of LESSEE's default, or to compensate CITY for any other loss or damage which CITY may suffer by reason of LESSEE's default. If any portion of said Security Deposit is so used or applied, LESSEE shall within ten (10) days after written demand therefor, deposit cash with CITY in an amount sufficient to restore the Security Deposit to its original amount and LESSEE's failure to do so shall be an Event of Default under this Lease. CITY shall not be required to keep the Security Deposit separate from its general funds, and LESSEE shall not be entitled to interest on the Security Deposit. If LESSEE shall fully and faithfully perform every provision of this Lease to be performed by it, the Security Deposit or any balance thereof shall be returned to LESSEE within sixty (60) days.

If the rent is still unpaid after fifteen (15) days past due, LESSEE shall pay an additional five percent (5%) (being a total of ten percent (10%)), which is agreed by the parties to be appropriate to compensate CITY for the cost of servicing the delinquent account. In no event shall the charge for late payments of rent be less than Twenty-Five Dollars ($25). Acceptance of late charges and any portion of the late payment by CITY shall neither constitute a waiver of LESSEE'S default with respect to late payment nor prevent CITY from exercising any other rights and remedies available at law or in equity. 11 . Maintenance. Repairs and maintenance shall be made promptly, as and when necessary .

All repairs and maintenance shall be in good quality and class at least equal to the original work.

In the event it is determined that the Premises were not in good working order and condition and in compliance with applicable laws, rules and regulations (including complying with the Americans with Disabilities Act) as of the Lease Effective Date, and such non-compliance is not due to LESSEE's particular use of, or activities or work in, the Premises, CITY shall correct such non-compliance at CITY's cost within thirty (30) business days after CITY's receipt of written notice thereof . The waiver by City of any breach of any term, covenant or condition contained in this Lease shall not be deemed to be a waiver of such term, covenant or condition of any subsequent breach thereof, or of any other term, covenant or condition contained in this Lease. City's subsequent acceptance of partial rent or performance by Lessee shall not be deemed to be an accord and satisfaction or a waiver of any preceding breach by Lessee of any term, covenant or condition of this Lease or of any right of City to a forfeiture of the Lease by reason of such breach, regardless of City's knowledge of such preceding breach at the time of City's acceptance. The failure on the part of City to require exact or full and complete compliance with any of the covenants, conditions of agreements of this Lease shall not be construed as in any manner changing or waiving the terms of this Lease or as estopping City from enforcing in full the provisions hereof. No custom or practice which may arise or grow up between the parties hereto in the course of administering this Lease shall be construed to waive, estop or in any way lessen the right of City to insist upon the full performance of, or compliance with, any term, covenant or condition hereof by Lessee, or construed to inhibit or prevent the rights of City to exercise its rights with respect to any default, dereliction or breach of this Lease by Lessee.

If the CITY elects to withhold consent, The CITY shall within 7 days after such request give written notification of same, which notice shall include an explanation of the CITY'S objections to the change in the Agreed Use. The waiver by City of any breach of any term, covenant or condition contained in this Lease shall not be deemed to be a waiver of such term, covenant or condition of any subsequent breach thereof, or of any other term, covenant or condition contained in this Lease. City's subsequent acceptance of partial rent or performance by Lessee shall not be deemed to be an accord and satisfaction or a waiver of any preceding breach by Lessee of any term, covenant or condition of this Lease or of any right of City to a forfeiture of the Lease by reason of such breach, regardless of City's knowledge of such preceding breach at the time of City's acceptance .

Dr. Barka served as a board member at East County Chamber of commerce, East County Economic development, San Diego Leadership Forum, East County Boys and Girls Club and currently, he is a board member at Grossmont Hospital Foundation.

In 2015, Dr. Barka and city council member, Tony Ambrose submitted the first proposal of a small business incubator in the city of El Cajon. The proposal was approved by the city council and a funding of $10,000 were funded to start the process. However, the project was placed on hold as the city couldn't locate a space for the incubator.

Recently, Dr. Barka approached El Cajon city to reactivate the incubator project using the space available at the Chaldean Community Council building located at 405 East Lexington Ave in El-Cajon, which resulted in the current RFP.

Dr. Barka is a well-known community leader, widely recognized for his unwavering dedication to the El Cajon community. He is also a prominent philanthropist who puts a lot of time and effort to empower his people. Having thoroughly studied the incubator concept, Dr. Barka is convinced of its potential to significantly enhance the economy and support the growth of small businesses in El Cajon. Dr. Barka is not pursuing any compensation for his involvement in the incubator project; he will continue to serve as a dedicated volunteer and will be among the first to donate.

BUSINESS PLAN
The incubator will focus on small businesses that want to start and remain in Et Cajon.

The incubator will be open to all qualified candidates, but will be tailored to support talented newcomers who may have skills and education from their home country, but when they get to America there can be many barriers for them to enter the business world. They may lack the acumen or the resources necessary to start and form a business. That is where the incubator will assist in a variety of ways depending on where a prospect is in their process. Acknowledging the distinct challenges these businesses encounter, our concept revolves around the notion that fostering local entrepreneurship can greatly enhance regional development.

The array of businesses we aim to support through our incubator is diverse, spanning sectors like health services, restaurants, education, design, art, and more. We're open to any small business that aligns with our location's capacity and the space we have to offer. Recognizing the unique nature of each candidate and the varying stages of their business development, we are committed to providing a tailored evaluation to determine their fit with our incubator. Beyond business support, we are also dedicated to assisting entrepreneurs in overcoming language barriers and navigating the equivalency of certificates or degrees obtained in their home countries.

This is why we will focus our incubator on the immigrant community. Through our efforts and theirs, they will be able to see that with hard work and a hand up where needed, it is possible to be successful in America regardless of where you start.

This is how the process would look for a candidate:

FINANCING PLAN
Funding Model for ESBI:

1. Federal and state grants shall be a viable option for funding the incubator. These grants often come from various governmental agencies that aim to stimulate economic development, foster innovation, and support small businesses and startups, especially in communities with specific needs like those of newcomers and refugees. Our grant writer, Ms. Kaye Turpin has a great experience in obtaining these grants

2. Support from private donors and corporations approached by our consultant, Ms.

Kaye Turpin.

3. Private investors contribution to support the candidates within the incubator . This financial backing is crucial, as it not only provides the necessary capital for startups to scale their operations but also strengthens the overall ecosystem of the incubator.

By investing in these emerging businesses, investors play a pivotal role in fueling , innovation and driving economic growth in the local community. Furthermore, these investments can offer investors access to a pipeline of promising startups, potentially leading to profitable returns and long-term partnerships.

4. Local Business Sponsorships: We started a membership program to promote local businesses in San Diego through our social media outlets including the Chaldean radio. We charge monthly fees based on the specific need for each business starting from $500 per month. We do video production, live interviews , product photography, commercial ads, merchandise production and other related marketing campaigns.

5.. Partnerships: We started approaching our partners to provide support to our incubator including but not limited to: East County Chamber of Commerce, East County Economic Development Council, Public Consulting Group (PCG), IRC, Local colleges and Universities.

6. City's Contribution: We are indeed grateful for the city's commitment to provide the building space. Moreover, the idea of offering post-graduation grants to businesses that set up within the city limits is commendable and aligns perfectly with our vision of fostering local entrepreneurship.

7. Repayment Mechanism for businesses benefiting from ESBI could repay through a flexible model. This might include a modest percentage of their profits over a specified period or a fixed repayment rate. Additionally, businesses might also contribute in-kind, such as offering free workshops or mentoring subsequent incubator entrants .
creation , and the tangible economic benefits they bring to our community. Each business will have a different path to fully being able to be on their own. We will have owr own proprietary assessmen t of when businesses are ready to graduate based on revenue, amount of clientele, and overall knowledge the business owner has obtained through our program. We would ensure they are ready to not only be on their own, but flourish on their own so they can continue to be a productive tax paying business in the local community.

READINESS TO OPERATE
Upon approval, we can operate as of January 2024.

DATE: April 23, 2024
TO: Honorable Mayor and City Councilmembers
FROM: Gary Kendrick, Councilmember & Phil Ortiz, Deputy Mayor SUBJECT: Panhandling Signs
RECOMMENDATION:

That the City Council considers changing the City's panhandling signs with different messaging.

BACKGROUND:

About six years ago, the City installed "No Panhandling" signs at major intersections. Since the initial signs, the City Council modified the message on the signs. We believe that the "No Panhandling" signs are intended for motorists that may be considering giving money to those that are panhandling. We believe that it is time for the City Council to have a discussion about other messaging on the signs and would like to direct staff to bring back options for City Council consideration.

CALIFORNIA ENVIRONMENTAL QUALITY ACT:

The action being considered by the City Council is exempt from the California Environmental Quality Act (CEQA) because it is not a “project” under Section 15378(b)(5) of CEQA Guidelines.

The action involves an organizational or administrative activity of government that will not result in a direct or indirect physical change in the environment.

FISCAL IMPACT:

None.
