RECOMMENDATION:

That the City Council:

Conducts the Tax and Equity Fiscal Responsibilities Act ("TEFRA") public hearing in consideration of the issuance of tax-exempt revenue bond financing by the California Municipal Finance Authority for the benefit of La Maestra Family Clinic, Inc., to provide for the acquisition and renovation of several buildings at 1242-1248 East Main Street, El Cajon, California, for the development of a new heath clinic; and

1. Adopts the next Resolution, in order, approving the issuance of Bonds by the California Municipal Finance Authority not to exceed $15,000,000 for the benefit of La Maestra Family Clinic, Inc., to provide for the acquisition and renovation of several buildings at 1242-1248 East Main Street, El Cajon, California, for the development of a new heathcare clinic.

2. BACKGROUND:

A Tax Equity and Fiscal Responsibility Act ("TEFRA") public hearing is a requirement of the IRS when non-profit organizations borrow money through tax-exempt revenue bonds issued by a conduit entity like the California Municipal Finance Authority ("CMFA"). The purpose of this hearing is to give the public a chance to share their thoughts – they can comment, support, oppose, or question the use of tax-exempt revenue bonds by a non-profit that's doing something good for the community. Providing health care services for the community is one example of a public benefit.

The CMFA was created on January 1, 2004 pursuant to a joint exercise of powers agreement to promote economic, cultural and community development, through the financing of economic development and charitable activities throughout California. To date, over 350 municipalities, including the City of El Cajon, have become members of CMFA.

The CMFA was formed to assist local governments, non-profit organizations and businesses with the issuance of taxable and tax-exempt bonds aimed at improving the standard of living in California. The CMFA’s representatives and its Board of Directors have considerable experience in bond financings.

Prior to this TEFRA Hearing, a public hearing notice was published in the San Diego Daily Transcript on June 25, 2024 (Attachment 2: Public Hearing Notice). Moreover, the notice was posted in the kiosk at City Hall and on the City’s website under “Public Hearings/Public Notices.” The notice was also mailed to the two public libraries in the City of El Cajon, located at 201 East Douglas Avenue and 576 Garfield Avenue.

Proposed Project
La Maestra Family Clinic, Inc. (the “Borrower”) has requested that CMFA serve as the municipal issuer of tax-exempt revenue bonds for an aggregate principal amount not to exceed $15,000,000. The proceeds of the bonds will be used for the purpose of making a loan to the Borrower, to enable the Borrower to finance the acquisition and renovation of several buildings at 1242-1248 East Main Street for the development of a new health clinic (the“Project”), which will be owned by the Borrower (Attachment 1: Location Map).

Please note that the City Council's adoption of the proposed resolution is solely for the purposes of satisfying the requirements of TEFRA. No other participation of the City in the bond financing will be required. The debt issued that is financed by the bonds is not debt of the City, and all repayment of debt is the strict obligation of the Borrower. Furthermore, all administrative actions related to this issuance are the responsibility of CMFA. The City's participation will not impact the City's appropriation limits and will not constitute any type of indebtedness by the City.

Proposed Use of Bond Proceeds
In November 2021, La Maestra Family Clinic, Inc. (LMFC) purchased the commercial retail property at 1242-1248 E. Main Street for $6,450,000. The site is developed with three buildings, parking, landscaping and lighting. The current use of the property is as follows:
1242 E. Main Street is 3,542 sq. ft, currently occupied by LMFC and used for dental services.
1246 E. Main Street (suites 101 – 113) is 14,310 sq. ft and is currently under renovation.

The renovations began on December 14, 2023, and are expected to be complete by September. LMFC intends to provide the following services in this building:
primary medical care, behavioral health, chiropractic, optometry, acupuncture, and dental. Additional services to be provided at this location include pharmacy, community outreach, enhanced care management/community support and administrative services for programs such as senior services, liver and asthma health programs. Suite 113 consists of 2,400 sq. ft. and is currently leased by a retail tobacco business. This lease is scheduled to end on May 30, 2025, but the tenant has indicated he will exercise the option to lease the space for an additional five years. At the end of the five-year option period (May 30, 2030), LMFC intends to occupy the space and provide additional services.
1248 E. Main Street consists of 2,468 sq. ft. which is currently leased by City Bistro restaurant. This lease is scheduled to expire on February 28, 2026, but the tenant has two sixty-month extensions which it can exercise. It is unknown at this time whether the tenant plans to exercise either of the options which could extend the lease term to February 28, 2036. Once the lease terminates, LMFC intends to remodel the space for additional health services. The Bond proceeds from the 2024 Bonds will be used to reimburse LMFC for the purchase of the site, the renovation of the 1246 building, and other related development costs. The current budget for the remodel construction is $6,318,020.

Additional work includes new underground utilities, upgraded trash enclosures, parking lot resurfacing and striping, new energy efficient parking lot light fixtures, a new landscape •

irrigation drip system, ground cover, shrubs, and new signage. The exterior of the existing clinic building will be patched and repainted, and rooftop solar will be installed.

Conclusion
After this project is completed, LMFC will be able to provide over 80,000 critical primary care visits annually at this site to over 22,000 low-income patients. In addition, this will be a primary site for LMFC staff to connect patients and their families with programs addressing other critical social determinants of health.

CALIFORNIA ENVIRONMENTAL QUALITY ACT:

This project is exempt pursuant to the California Environmental Quality Act ("CEQA") State Guidelines section 15061(b)(3), the “Common Sense Rule,” which states that CEQA applies only to projects which have the potential for causing a significant effect on the environment.

Where it can be seen with certainty that there is no possibility that the activity in question may have a significant effect on the environment, the activity is not subject to CEQA. The proposed project will result in a new owner and substantial rehabilitation of an existing affordable housing development, and therefore does not raise this project to a level of significance that warrants CEQA analysis because the intensity of the existing development does not change and there are no potentially significant environmental effects.

FISCAL IMPACT:

There is no fiscal impact on the City. The bonds will be issued as limited obligations of CMFA, payable solely from revenues and receipts derived from loan repayments to be made to CMFA by Borrower. The City bears no liability with respect to the issuance of the bonds. A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF EL CAJON

AUTHORIZING AND APPROVING THE FINANCING TO BE UNDERTAKEN

BY THE CALIFORNIA MUNICIPAL FINANCE AUTHORITY FOR THE BENEFIT OF LA MAESTRA FAMILY CLINIC, INC. IN AN AGGREGATE AMOUNT NOT TO EXCEED $15,000,000 FOR THE PURPOSE OF FINANCING A PORTION

OF THE COSTS OF THE ACQUISITION AND RENOVATION OF SEVERAL BUILDINGS AT 1242-1248 EAST MAIN STREET, EL CAJON, CALIFORNIA,

FOR DEVELOPMENT AS A NEW HEALTH CLINIC AND

CERTAIN OTHER MATTERS RELATING THERETO

WHEREAS, pursuant Chapter 5 of Division 7 of Title 1 of the Government Code of the State of California (the “Act”), certain public agencies (the “Members”) have entered into a Joint Exercise of Powers Agreement Relating to the California Municipal Finance Authority, dated as of January 1, 2004 (the “Agreement”) in order to form the Californi a Municipal Finance Authority (the “Authority”), for the purpose of promoting economic, cultural and community development, and in order to exercise any powers common to the Members, including the issuance of bonds, notes or other evidences of indebtedness ; and

WHEREAS, the City is a Member of the Authority in order to facilitate the promotion of economic, cultural and community development activities in the City , including the financing of projects therefor by the Authority; and

WHEREAS, the Authority is authorized to issue and sell revenue bonds for the purpose, among others, of financing or refinancing the construction of capital projects; and

WHEREAS, the Section 4 of the Agreement and section 6586.5 of the Act requires the approval of the governing body of a Member for the issuance of bonds by the Authority with respect to any project located in the jurisdiction of such Member; and

WHEREAS, La Maestra Family Clinic, Inc., a nonprofit public benefit corporation as described in section 501(c)(3) of the Internal Revenue Code of 1986 (the “Borrower”), has requested that the Authority issue and sell revenue bonds in the maximum principal amount of $15,000,000 (the “Bonds”) for the purpose of making a loan to the Borrower, to finance the acquisition and renovation of several buildings at 1242- 1248 East Main Street, El Cajon, California, for development as a new health clinic (the “Project”); and

WHEREAS, pursuant to section 147(f) of the Internal Revenue Code of 1986 (the “Code”), the issuance of the Bonds by the Authority must be approved by the “applicable elected representative” required to approve the issuance of Bonds under Section 147(f) of the Code; and

WHEREAS, the Authority has requested that the Council approve the issuance of the Bonds by the Authority in order to satisfy the public approval requirement of section 147(f) of the Code and the requirements of Section 4 of the Agreement; and

WHEREAS, the Project is located within the territorial limits of the City; and

WHEREAS, the Council is the elected legislative body of the City and is one of the “applicable elected representatives” required to approve the issuance of the Bonds under Section 147(f) of the Code; and

WHEREAS, pursuant to section 147(f) of the Code, following notice duly given a public hearing regarding the issuance of the Bonds was held and the Council now desires to approve the issuance of the Bonds by the Authority; and

WHEREAS, notice of such public hearing has been duly given as required by the Code, and such public hearing has been held at which all interested persons were given an opportunity to be heard on all matters relative to the financing of the Project and the Authority’s issuance of the Bonds therefor; and

WHEREAS, it is in the public interest and for the public ben efit that the Council approve the issuance of the Bonds by the Authority for the aforesaid purposes.

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF EL CAJON AS FOLLOWS:

Section 1. The foregoing recitals are true and correct , and are the findings of the City Council.

Section 2. The finding being made is that significant public benefits will arise from the issuance of the Bonds.

Section 3. The Council hereby approves the issuance of the Bonds by the Authority. It is the purpose and intent of the Council that this resolution constitutes approval of the issuance of the Bonds (a) by the “applicable elected representative” of the governmental unit having j urisdiction over the area in which the Corporation’s f acilities are located in accordance with s ection 147(f) of the Code and (b) by the Council in accordance with Section 4 of the Agreement.

Section 4. The issuance of the Bonds shall be subject to the approval of the Authority of all financing documents relating thereto to which the Authority is a party. The City shall have no responsibility or liability whatsoever with respect to the Bonds.

Section 5. The adoption of this Resolution shall not obligate the City or any department thereof to (i) provide any financing to for the financing of the Project ; (ii) approve any application or request for or take any other action in connection with any planning approval, permit or other action necessary for the acquisition, construction, rehabilitation or operation of the Project; (iii) make any contribution or advance any funds whatsoever to the Authority; or (iv) take any further action with respect to the Authority or its membership therein.

Section 6. The officers of the City are hereby authorized and directed, jointly and severally, to do any and all things and to execute and deliver any and all documents

which they deem necessary or advisable in order to carry out, give effect to and comply with the terms and intent of this resolution and the financing transaction approved hereby.

Section 7. This resolution shall take effect immediately upon its adoption.

BACKGROUND:

On June 27, 2023, the City Council directed staff to conduct a market analysis of possible redevelopment options for the Parkway Plaza property. Following this directive, the City solicited interest from capable firms and reviewed proposals from seven firms, ultimately interviewing four. Based on the evaluations, Hunden Partners and 505Design at Cooper Carry (505Design) were selected to provide the economic analysis and architectural renderings of redevelopment options.

Hunden Partners began work on December 12, 2023. Their efforts included:

Meeting with stakeholders, including mall property owners, Analyzing current activity at the mall property,
Consulting with brokers and developers in the San Diego area, Identifying potential missing uses, and
Conducting a financial analysis of possible redevelopment opportunities.

Based on the market analysis, 505Design created an architectural rendering envisioning a redevelopment project. These preliminary renderings were shared with the various ownership groups at Parkway Plaza. Subsequently, staff requested an additional architectural concept to illustrate an alternative design approach.

The intent of this agenda item is for Hunden Partners and 505Design to present their study and solicit feedback. It is important to emphasize that the renderings presented are not proposals but illustrations showcasing the redevelopment potential of Parkway Plaza.

At the conclusion of the presentation, staff will present possible next steps for the City Council to consider.

On January 23, 2024, the City Council convened for its annual Priority-Setting Workshop. After providing additional feedback on February 27th, the City Council adopted the City Council Action Plan (2024) on March 12, 2024. The City Council Action Plan (CCAP) includes the following six categories:

City Beautification,
City Infrastructure,
Economic Development,
Homelessness,
Public Safety, and
Miscellaneous.

The purpose of this agenda item is to provide an update to the City Council on progress made on the CCAP. Attached is a matrix that includes a status report for each of the tasks associated with the six priority areas.

CALIFORNIA ENVIRONMENTAL QUALITY ACT:

This report on the City Council Annual Action Plan provides an update on priority efforts designed to improve governmental operations, processes and infrastructure.
