EL CENTRO FINANCING AUTHORITY
LEASE REVENUE BONDS, 2023 SERIES A
(POLICE STATION PROJECT)
The undersigned, on behalf of Samuel A. Ramirez & Co., Inc. (“Ramirez”) hereby certify as set forth below with respect to the sale and issuance of the above-captioned bonds (the “Bonds”).
1. Sale of the General Rule Maturities. As of the date of this certificate, for each Maturity of the General Rule Maturities, the first price at which at least 10% of such Maturity was sold to the Public is the respective price listed in Schedule A.
2. Reserve Fund. The funding of the debt service reserve fund with respect to the Bonds was reasonably required to market the Bonds at the interest rates at which they were marketed, and funding a reserve fund for a lesser amount would have resulted in a sale of the Bonds at materially higher interest rates or for a materially lower purchase price.
3. Defined Terms.
(a) General Rule Maturities means those Maturities of the Bonds listed in Schedule A hereto as the “General Rule Maturities.”
(b) Issuer means the El Centro Financing Authority.
(c) Maturity means Bonds with the same credit and payment terms. Bonds with different maturity dates, or Bonds with the same maturity date but different stated interest rates, are treated as separate maturities.
(d) Public means any person (including an individual, trust, estate, partnership, association, company, or corporation) other than an Underwriter or a related party to an Underwriter.
The term “related party” for purposes of this certificate generally means any two or more persons who have greater than 50 percent common ownership, directly or indirectly. (e) Underwriter means (i) any person that agrees pursuant to a written contract with the Issuer (or with the lead underwriter to form an underwriting syndicate) to participate in the initial sale of the Bonds to the Public, and (ii) any person that agrees pursuant to a written contract directly or indirectly with a person described in clause (i) of this paragraph to participate in the initial sale of the Bonds to the Public (including a member of a selling group or a party to a retail or other third-party distribution agreement participating in the initial sale of the Bonds to the Public).
The representations set forth in this certificate are limited to factual matters only. Nothing in this certificate represents Ramirez’s interpretation of any laws, including specifically Sections 103 and 148 of the Internal Revenue Code of 1986, as amended, and the Treasury Regulations thereunder. The undersigned understands that the foregoing information will be relied upon by the

BACKGROUND:
The City’s experience through the pandemic, continuing to the present, has been that a dedicated Public Information Officer is needed both to address crisis situations and to develop and implement positive informational programs regarding the City. For example, recent issues with storms have highlighted ongoing need for crisis communication; the evolving ECRMC situation also highlights the need for a consistent voice providing information. In some cases, the work done by the PIO will supplant that currently done by Spectrum.
DISCUSSION:
▪ Support, coordinate, and implement a citywide Crisis Communication Strategy. ▪ Plan, develop and direct a comprehensive, Citywide public information program that utilizes various forms of media; oversee the distribution of information to the public; represent the City and City officials on designated occasions. ▪ Plan, coordinate, and direct the formulation, execution, and evaluation of informational, educational, and public affairs programs and materials. ▪ Research, recommend, develop and direct the preparation of public information materials, such as newsletters, brochures, pamphlets, booklets, news releases, fact sheets, and video productions.
▪ Coordinate and direct the dissemination of information for community representatives and various communications media regarding policies, objectives, and activities.
10 Packet Pg. 329
Action Item (ID # 5829) Meeting of January 17, 2023
▪ Direct and participate in preparing speeches, radio and television scripts, and audiovisual programs for public presentation. ▪ Prepare reports, publications, and other documents; write articles for inclusion in local publications.
▪ Develop and monitor information and messages to be delivered to the public and determine the best venue for distribution.
▪ Administer and update the City’s social media platforms and pages as assigned. ▪ Supervise the work of subordinate clerical and technical program staff; assist in selecting, training, motivating, and evaluating work; provide or coordinate staff training; work with employees to correct deficiencies.
▪ Teamwork: Works collaboratively with colleagues to achieve organizational goals; solicits input by genuinely valuing others’ ideas and expertise; is willing to learn from others; places team agenda before personal agenda; supports and acts in accordance with the final group decision.

License. Insurance will be received and verified after award. A&N Quality Builders has worked on numerous previous city parks projects and staff is satisfied with their work product.
BACKGROUND:
McGee Park is a widely frequented park in the city particularly for underserved residents residing on the eastern portion of the community. The park is located on the Community Center property. The existing asphalt basketball court surface is in dire need of replacement due to large cracks and drainage issues. The existing field lighting is inadequate, has excessive number of poles and has antiquated halide lighting system.
A new restrooms facility and playground were installed at McGee Park within the last 5 years. Phase III or the McGee Park Improvements includes the installation of a new multi-sport court and LED Field Lighting, and will complete the renovation of McGee Park.
The scope of work for Phase 3 at McGee Park includes the installation of a new MultiSport court to replace the existing asphalt basketball court. The new Multi-Sport court will be built out of concrete and be painted for basketball, volleyball and pickle ball use.
New fencing and walkways will also be added around the perimeter of the court. The existing wooden pole field lighting will be replaced with new Musco LED metal light poles with a Total Control remote system. The existing 200A overhead service will be upgraded to a 400A underground service, which will greatly improve the aesthetics of the area by removing overhead wiring.
On October 4, 2022, City Council authorized the project to be placed out for public bidding.
DISCUSSION:
On November 17, 2022, bids for the project were opened. The City received three bids as follows:
1. C.S. Legacy Construction $1,183,602.00
2. HSCC, Inc. $1,178,786.00
3. A&N Quality Builders $1,082,920.00
The estimated project cost for this project was $857,000. The area with the largest discrepancy was in the lights and electrical. The original cost estimate was based on pricing obtained by the light manufacturer, Musco; however, the pricing was substantially greater than estimated by Musco. It is anticipated that cost increases will likely continue in the future, as such, it is recommended the project be awarded now since the design is complete.
A subsequent review of the bids determined that the low bid submitted by A&N Quality Builders was both responsive and responsible.
CONCLUSION:

Discussion and any necessary action regarding
appointments to the El Centro Regional Medical Center
(ECRMC) Board of Trustees.
CITY MANAGER’S RECOMMENDATION:
Request that the Mayor make two (2) additional appointments to the El Centro Regional Medical Center for the Chief Medical Officer and UCSD management representative.
Pursuant to City Code and State law, the Mayor appoints the seven (7) members of the ECRMC Board, subject to certain provisions regarding membership and the consent of the Council. The Chief Medical Officer and a UCSD management representative served on the Board of Trustees pursuant to the various amendments to the Management Agreement between the City ECRMC and the City.
On November 15, 2022, the Council approved the replacement of the members of the Board of Trustees with the members of the City Council. Thereafter, the City confirmed the continuation of two UCSD representatives on the Board of Trustees. As of January 1, 2023, and with the agreement of both parties, the provisions of the Master Management Agreement with UCSD expired. The ongoing relationship with UCSD continues in several ways and Dr. Tomaszewski remains the Chief Medical Officer through at least June 2023. Therefore, it is important that Dr. Tomaszewski continue on the Board. In addition, for continuity and for assistance with the issues facing the Hospital, it also is important that a UCSD management representative remain on the Board as well. That representative has been Patty Maysent, Chief Executive Officer with back-up representation from Matthew Jenusaitis, Chief Administration Officer. We appreciate her willingness to provide her time to the Hospital.
We recommend that Dr. Tomaszewski be re-appointed in his role as the CMO and that Ms. Maysent be re-appointed, with Matthew Jenusaitis as her alternate representative. 16 Packet Pg. 414

Imperial Avenue / Euclid Avenue sink hole emergency work update
Background
On September 27, 2022 Council approved an emergency declaration regarding Hurricane Kay through Resolution 22-103.
On October 4, 2022 City Council approved emergency repair work at the Imperial Avenue @ Euclid Avenue sink hole and authorized up to $750,000 Waste Water Enterprise Fund budget towards repairs through a change order to the existing city contract with A&R Construction for the Alder Sewer Repairs. The approval was through Resolution 22-106.
Work Update
The 10/15/22 Imperial Storm following Hurricane Kay delayed repairs at this site as the work site was completely flooded. Work resumed and the root cause of the sink hole has been repaired. Traffic is fully open at the intersection. A final course of asphalt is pending to be performed.
Staff has received the invoice from A&R for the work and is in the process of routing for approval. The work is within Council budget approval. Staff is working with CalOES for potential State participation.
Staff will return to Council with information items on the emergency work every Council meeting to keep Council updated until the emergency project is completed. 17 Packet Pg. 415

Imperial Avenue / Scott Avenue sink hole emergency work update
Background
On October 18, 2022 Council approved an emergency declaration regarding the Imperial October 15, 2022 storm event.
The 10/15/22 Imperial County Storm Event created a new sink hole along Imperial Avenue at the Scott Avenue intersection on October 24, 2022.
On November 1, 2022 City Council was advised by staff that the same work contractor (A&R Construction) assisting with the nearby Euclid Avenue sinkhole repairs had been engaged to assist. City Council authorized up to $750,000 in Waste Water Enterprise Fund budget towards repairs.
Work Update
Work activities are almost complete. The sewer main has been repaired and traffic opened in all lanes. As of 12/13/2022, paving has been completed. The final lift of asphalt is still pending, however traffic is now fully open.
A concrete ADA ramp was removed as part of the work. The replacement of the ADA ramp falls beyond the scope of the emergency for Caltrans repair purposes. As such, the replacement of the ADA ramp will be done as a separate process through standard Caltrans encroachment permit application.
Staff will return to Council requesting approval of a change order to the Alder Sewer Project with A&R in the near future to perform these repairs.
Staff will return to Council with information items on the emergency work every Council meeting to keep Council updated until the emergency project is completed. 18 Packet Pg. 416
