3. Staff report regarding transfer of El Centro Regional Medical Center to IVHD.
4. Public Input/Comments were received by Virginia Torres, Kay Pricola, Pete Rodriguez, Monica Perez, Sky Ainsworth, Edgard Garcia, Chris Bjornberg, Josh Schneiderman, Adriana R. City Council took a recess at 7:17 p.m. and reconvened at 7:29 p.m. with all Council Members present.
5. City Council discussed and took action on the City Term Sheet. Moved by Carter, second by Marroquin, to approve the City Term Sheet, the transaction if for IVHD to acquire all of the assets and liabilities of El Centro Regional Medical Center, AB918 requires that ECRMC will use commercially reasonable efforts to maintain at least $5,000,000 dollars of cash on hand. The assets transfer at closing include the four residential properties owned by the City on the street behind ECRMC and the clinic property at 385 Main as well as the main building at 1415 Ross. In addition to the above and exchange for full and complete release by IVHD of the City, ECRMC and their respective managers and affiliates of all claims and liabilities other than obligations under the definitive transaction documents. The City and ECRMC will transfer the assets of the hospital and the City and the city shall make a one-time cash payment to IVHD of $5,000,000 upon the closing. The definitive transaction documents will contain covenants requiring that all of the foregoing funds only be used to fund operations at El Centro Regional Medical Center and no event will the City be required to pay any amounts in excess of the above referenced cash payment, plus the expenses referenced below. This one-time payment is intended to
Book 37
support healthcare for city residents. Prior to the closing, ECRMC will enter into a three-year line of credit for $15,000,000 that will remain in place following the closing. The LOC shall have a balance of zero at closing. City will not guarantee, co-sign or anyway be responsible for the LOC. The city will cooperate with IVHD in the tax measure that has to be on the ballot by November 2026. The terms of the transaction will not change in the event that the tax measure does not pass. At closing ECRMC will terminate its employees and IVHD will offer to employ all of the terminated ECRMC employees effective immediately, as of the closing date, at compensation levels consistent with what each employee received immediately pre-closing. At or prior to closing, IVHD will establish or make available a private retirement plan for participation by transferred employees. These are the closing conditions which we had a lot of discussion about. Among other customary conditions to closing, at the closing, the assets must include at least $5,000,000 of cash on hand and the liability shall not include more than $29,000,000 dollars specified payables. Specified payables mean the sum of the following amounts calculated from ECRMC balance sheet. ECRMC accounts payables, accrued expenses and accrued compensation not including accrued benefit.
To summarize, assuming this is approved by the IVHD board as they have indicated they will do.
Parties will begin negotiating a written definitive agreement. That definitive agreement will be provided by the city. The initial draft of the definitive agreement will be provided by the city’s outside council.
No party will be obligated to indemnify another. IVHD will not be require to close the transaction in the event of a material brief of the representation or warranties prior to closing. They will not attempt to procure a type of insurance called representation and warranties insurance in connection with closing.
There will be certain standards provisions in the definitive agreement. The transfer of hospital licenses is a prerequisite consummating the transaction and the merger. IVHD will pay for this. IVHD will use its best efforts to operate ECRMC as a general acute care hospital for ten years post-closing. The City will be responsible through its El Centro Financing Authority to use commercially reasonable efforts to transfer the Preston-Hollow bond obligations to IVHD. Basically, on the same terms and conditions as currently existing in that bond issue. There are some additional provisions called binding provisions, which regulate the party’s relationship. They provide access to books and facilities they provide the ECRMC will conduct business in the same way it had been conducted but will coordinate with IVHD.
Each party bares its own cost and expenses. The city provides the $1.5 million dollar closing cost as it’s been discussed. The provision is governed by the laws of the State of California. There are certain nondisparagement clauses, press release clauses, standard provision that this is a binding agreement and it constitutes the entire agreement and basically says these provisions will terminate on the 90th day following the term sheet. If there has been no definitive agreement reached by that time.
Council members Camarena and Council Member Ellett had a few questions regarding the term sheet.
After a brief discussion, Council members voted.

Community Development Block Grant (CDBG) Fund Allocation Update.
CITY MANAGER'S RECOMMENDATION:
Allocate $68,531.36 in CDBG funds for Community Center improvements.
FISCAL IMPACT:
This item will have no fiscal impact on the City's general fund. It is funded through CDBG allocations from prior program years.

BACKGROUND:
At the February 18, 2025, Council meeting, City staff presented several projects for consideration to be funded through Community Development Block Grant (CDBG) funds for the 2025/2026 program year. Since that meeting, additional funding has been identified from savings on previous projects, increasing the available resources for allocation.
DISCUSSION:
At the February 18, 2025, meeting, City staff presented the possibility of utilizing Community Development Block Grant (CDBG) funds for key projects, including Eddie White Complex/Frazier Field, Community Center Improvements, and the purchase of bus shelters. Following this discussion, $277,576 was allocated to Frazier Field.
As a CDBG entitlement community, the City of El Centro receives funding that fluctuates annually, and from time to time, project savings accumulate.
After the February 8, 2025, Council meeting, an additional $68,531.36 in project savings was identified. City staff recommends allocating these funds to improvements at the Community Center, specifically Rooms A and B. This facility is widely utilized by the community for baby showers, birthday parties, celebrations of life, public forums, and senior exercise programs.
Several ADA compliance issues have been identified, particularly with interior doors that require excessive force and tight grasping to open, making them inaccessible to individuals with disabilities. The proposed improvements would address these concerns, ensuring compliance with accessibility standards. Additionally, if the budget allows, new flooring will
be considered as part of the renovations.
These enhancements will improve the functionality, safety, and accessibility of a heavily used community space, benefiting residents of all ages and abilities.
CONCLUSION:
Staff recommends allocating $68,531.36 in CDBG funds for Community Center improvements.

Funding source description:
1. ARPA (fund 214). This fund was initially created to fund public health projects, assist General Government expenses due to COVID, and address water and sewer infrastructure needs. The infusion of ARPA funding to this project mitigates against potential future rates adjustment and made this project financially possible.
2. Wastewater Capacity Fees (fund 512). These are funds collected from new development that adds capacity to Wastewater infrastructure. Over the years, this fund builds up, thus allowing one-time expenses such as this project to proceed.
3. Wastewater Enterprise Funds (fund 502). Over the years, staff has built up our working capital to allow one-time expenses such as this to be funded.
4. Wastewater Stabilization Fund (fund 514) Fund was created to receive excess revenues and to meet bond covenants and debt service ratios. Fund has excess funding that can be utilized to fund this project.
5. Wastewater Working Capital. The combined funds 502, 512, 514 as approved by finance.

NA, City has performed various projects with this contractor successfully.
BACKGROUND:
Our wastewater master plan calls for constructing a regional sewer lift station near Farnsworth and Danenberg.
Projects of this nature are financed through wastewater customer fees and capacity fee revenues, which constitute the Wastewater Enterprise Fund. These funds are selfsufficient, requiring revenues to match expenditures akin to a business model. Over the years, the City has increased its available working capital within the Wastewater Enterprise Fund and Wastewater Capacity Fee Fund, enabling the delivery of this and other ongoing projects without the need for additional bonding. Current operational expenses are maintained without impact.
The new regional station increases system reliability and expands capacity, thereby strengthening the city's appeal for both commercial and residential development and stimulating economic growth.
The project supports the development of property generally located southerly of Interstate 8, northerly of McCabe Road, easterly of 8th Street, and westerly of Dogwood Avenue, approximately 1,000 acres of land. This includes the ability to provide service to the recent Dogwood Annexation and proposed residential subdivisions such as Willowbend residential subdivision.
Additionally, the lift station will help address odor concerns in the southwest and northwest quadrants of the city. Furthermore, the regional pump station will eliminate the need for two existing local pump stations, thereby reducing maintenance requirements and
enhancing system reliability.
An environmental review was completed in December 2014.
On November 14, 2019, the Council approved a design contract with Psomas to update and revise plans and phase the project. The phasing of work was pursued in an effort to reduce costs to manageable amounts while allowing for the completion of the work and enjoyment of its main benefits in a more expedient manner.
Staff has obtained the required ROW for this property and has obtained required permits from Union Pacific Rail Road.
On June 1, 2021, the City Council authorized the plans and specifications for the Southern Pump Station to be placed to bid.
On December 7, 2021, City Council authorized the rejection of bids after receiving a single unfavorable bid.
On May 7, 2024, City Council authorized revised plans and specifications for the project.
The revised plans and specifications included dividing the initial Phase 1 of the Southern Pump Station project into Phase 1a and Phase 1b in an effort to allow the award of a construction project within the available budget. Both phases must be completed in order to operate a functional pump station.
On June 25, 2024 City staff opened bids.
On July 31, 2024 City Council awarded the contract to Rove Engineering in the amount of $11,794,968, without authorizing the standard additional 10% budget contingency for the project.
On January 21, 2025 City Council approved Change Order No. 3 in the amount of $326,385 to advance a component of Phase 1b of the project to proceed.
DISCUSSION:
During the July 31, 2024 Council meeting, staff outlined its plan to work with the design engineer and contractor to identify cost-saving measures that would accelerate the advancement of Phase 1b of the project. In addition, staff committed to reviewing the wastewater enterprise fund balance, cross-referencing it with upcoming system improvement projects, and assessing the availability of funding to fully support Phase 1b. It is important to note that the successful completion of Phase 1b is essential for the overall functionality of the project. It is also important to note that the award of Phase 1a was needed to allow the expenditure of ARPA funds within the prescribed timeframe.
On January 21, 2025, Council approved Change Order 3, which was the result of value engineering efforts. By eliminating certain scope items from Phase 1a and utilizing the associated savings, we were able to reallocate funds to advance the scope of Phase 1b to a logical termination point. Specifically, the change order funded the completion of the deep sewer trunk main between Beverly Lane and Farnsworth Drive along Danenberg
Avenue—approximately 2,200 linear feet of sewer infrastructure. While Change Order 3 did not fully fund Phase 1b, it was a necessary step forward, allowing the contractor to begin work on the new scope immediately, without any delays, as the city continued to explore funding options to cover the remaining Phase 1b work.
Summary of Value Engineering Efforts:
Original total cost of Phase 1a and Phase 1b at bid time: $16,375,153 Value Engineered total cost of Phase 1a and Phase 1b: $15,025,588.40 (a $1,349,564.60 project cost saving)
To date, $12,121,353 has been approved to Rove Engineering through Change Order 3, leaving a balance of $2,904,235.40 pending funding to complete Phase 1b. The remainder Phase 1b work extends a deep sewer main along Beverly Lane and connects it to the Countryside lift station located at SR-86 and Willow Bend Drive intersection. To support this request, we have received letters from project vendors stating expected cost increases due to the current administration's economic policy, as such, time is of the essence to secure current pricing.
After meeting with the finance department team, and reviewing programmed and ongoing wastewater projects and expenses, staff has identified available wastewater working capital, mainly composed of funding through Fund 514 that can be utilized to completely fund the remainder scope of Phase 1b. The new proposed funding allocations is shown in the Fiscal Impact section of this report. The funding had been held for receipt of excess revenues and to help meet bond covenants and bond ratios and is now available to be utilized to complete this generational project without affecting current rate payers, or ongoing or planned projects.
CONCLUSION:
Authorize budget as requested and authorize Change Order No. 4 to Rove Engineering as presented.
