IN RELATION TO THE

CITY OF ELK GROVE
JUNE 25, 2025

REGULAR MEETING

Testimony of Michael Monasky
Wednesday, June 25, 2025
Before the Elk Grove City Council
Re: Item 9.4: Project Milestone, city land sale agreement to CenterCal, LLC The applicant proposes to develop 20 acres of land after paying $4M to the city. The land is currently worth around $10M. This looks like a $6M real estate taxpayer subsidy to Mr. Jean Paul Wardy and Mr.

Fred Bruning.

Only half an acre will be dedicated to a public park, while over five acres will be set aside for parking nearly 1,000 motor vehicles.

The plan is for a boutique hotel with at least 100 rooms.

The definition of such a facility is less than 100 rooms, which is dedicated to a unique customer experience, with immersion into the culture of the neighborhood and its surroundings.

Northern California examples include Olema House, in the Point Reyes National Seashore; and the Harbor House Inn, at Elk, California. The restaurant at Harbor House has stunning views of the Pacific Ocean and earned two Michelin stars with a focus on the food the staff harvests from the ocean and their local gardens.

Elk Grove already has four other hotels and motels, each of which have fewer than 100 rooms. Does the council consider Marriott and Holiday Inn to be boutique? The culture and neighborhoods surrounding the proposed project mimics those of the other hotels and motels in Elk Grove. There is no special, unique, or otherwise boutique experience to be had at such lodgings.

Mr. and Mrs. Elk Grove...you’re no Harbor House...you’re no Olema House...and you’ll never see one, much less two, Michelin stars. You’ve lived up to the cliché in Joni Mitchell’s song, Big Yellow Taxi:

They’ve paved paradise and put up a parking lot, with a pink hotel, a boutique, and a swinging hot spot.

Let’s kick these southern California crooks out of Elk Grove, back to Costa Mesa so they can pay the retribution they owe to the people of Redondo Beach. Keeping them here with a contract they’re not likely to honor will only impoverish Elk Grove.

Let’s focus instead on affordable housing. Let’s get poor unfortunate souls off the streets and into dignified living spaces. Let’s bolster our economy with policy planning which strengthens our people and their families and do not threaten them with higher commodity costs and unnecessary taxes.

No land giveaways to these crooked developers. No to Mr. Ward and Mr. Bruning. The people of Elk Grove aren’t stupid enough to suffer their malicious, proxy lawsuits. Just ask the people of Redondo Beach about their pricey, still unresolved, thirteen year legal battles with these two hoodlums.

Re: Agenda Item 9.4: Resolution Authorizing the City Manager to Execute a Purchase and Sale Agreement and Joint Escrow
Instructions with CenterCal Acquisitions, LLC for Project Elevate Dear Mayor Singh, Mr. Lindgren, and Councilmembers:

We are writing on behalf of the Sacramento-Sierra Building and Construction Trades Council (“SSBCTC”) regarding Elk Grove City Council Agenda Item 9.4:
proposed resolution authorizing the City Manager to execute a Purchase and Sale Agreement (“PSA”)and Joint Escrow Instructions with CenterCal Acquisitions, LLC (“Developer”) for Project Elevate (the “Project”).1
SSBCTC opposes City Council approval of the resolution because the City has not complied with the California Environmental Quality Act.2 Specifically, approval of the PSA constitutes “Approval” of a “Project” as those terms are defined under 1 City of Elk Grove, Regular Meeting, Agenda Item 9.4 (June 25, 2025) available at https://elkgrove.granicus.com/DocumentViewer.php?file=elkgrove_5a259a63b5939aaedbe56fd9e8b0b 25a.pdf&view=1.

CEQA.3 The City may not approve the PSA until CEQA review has been completed for this Project.

A. CEQA Review is Required Prior to Approval of the PSA Under CEQA, “approval” is defined as a decision by a public agency which commits the agency to a definite course of action in regard to a project intended to be carried out by any person. The exact date of approval of any project is a matter determined by each public agency according to its rules, regulations, and ordinances. Legislative action in regard to a project often constitutes approval.4 With regard to private projects, approval occurs upon the earliest commitment to issue or the issuance of a discretionary contract, grant, subsidy, loan, or other form of financial assistance, lease, permit, license, certificate, or other entitlement for use of the project.5 The term “approval” in the CEQA Guidelines is defined broadly so that an agency’s commitment to a “definite course of action” on a project is treated as an approval. Under this standard, the City cannot formally approve a project, or commit itself to approve it, without complying with CEQA before doing so.6
Further, pursuant to CEQA, “Project” means the whole of an action, which has a potential for resulting in either a direct physical change in the environment, or a reasonably foreseeable indirect physical change in the environment.

According to the Staff Report, the City asserts that the City Council’s action on Agenda Item 9.4 does not constitute approval of a project under CEQA stating:

The approval of this Agreement does not commit the City to the approval or carrying out of any potential project. In conducting CEQA review for any future proposed project, the City retains discretion to (i) modify any proposed project as necessary to comply with CEQA, (ii) select other feasible alternatives to avoid significant environmental impacts, (iii) balance the benefits of any proposed project against any significant environmental impacts prior to taking final action if such significant impacts cannot 3 See CEQA Guidelines § 15352 (defining “Approval”); see also Pub. Resources Code § 21065; CEQA Guidelines §15378 (defining “Project”).

otherwise be avoided, and/or (iv) determine not to proceed with or approve a proposed project. Therefore, approval of the Agreement does not constitute the approval of a project under CEQA, and it is exempt from CEQA review.7 However, the fact that subsequent, additional City approvals will be needed for the project does not change that the action today is to approve a discretionary contract that requires the developer to build a specified development. Per the Staff Report, the Agenda item before the City is asking the Council to approve a contract with the Developer wherein the City will sell the Project real property to the Developer for $4,000,000 and in return, the Developer shall be required to construct: A four-story boutique hotel with not less than 100-rooms; Not less than 100,000 square feet of retail including restaurants, soft goods, and entertainment uses with an emphasis on new-to-market elevated concepts; Not less than 10,000 SF of flexible second floor uses above retail that could include additional retail, office, or residential; and to allow, but not require, development of a residential component.8 This contract binds the developer to a specific course of action. While the contract provides the City the unilateral option to amend the project or to reject the proposed project, the contract approved today binds the Developer to take this course of action unless the City affirmatively takes a subsequent, discretionary future action to change it.

Under CEQA execution of the PSA constitutes the issuance of a discretionary contract for use of the Project.9 Whether the City will make subsequent discretionary entitlement decisions regarding the disposition of the Project has no bearing on whether the approval of the contract before the Council today triggers CEQA. CEQA applies at the first approval, not the final approval.

Furthermore, the California Supreme Court in Save Tara v City of West Hollywood10 expressly rejected the argument that an agreement with a developer for development of a project does not trigger CEQA if an agency retains the ability 7 Staff Report, p. 4.

to deny or modify a project in later discretionary entitlement approvals for the project As the California Supreme Court in Save Tara v City of West Hollywood11 noted:

A public entity that, in theory, retains legal discretion to reject a proposed project may, by executing a detailed and definite agreement with the private developer and by lending its political and financial assistance to the project, have as a practical matter committed itself to the project. When an agency has not only expressed its inclination to favor a project, but has increased the political stakes by publicly defending it over objections, putting its official weight behind it, devoting substantial public resources to it, and announcing a detailed agreement to go forward with the project, the agency will not be easily deterred from taking whatever steps remain toward the project's final approval.12
The action before the City is also not exempt under the cases finding that nonbinding term sheets for a project do not trigger CEQA. For example, in Saltonstall v City of Sacramento the court found that a nonbinding term sheet relating to development of a basketball arena project left the city with complete discretion to adopt mitigation measures and to refuse to approve the project on completion of CEQA review.
13 Similarly, in Cedar Fair LP v City of Santa Clara
the court determined that the city’s agreement to a detailed term sheet relating to development and operation of a football stadium coupled with other actions by the city representatives did not create a binding contractual commitment to proceed with the project or commit parties to a particular course of action. 14 These cases are distinguishable from the instant matter as both Saltonsall and Cedar Fair involved the execution of a non-binding term sheet that could be amended by either party prior to final approval of the project. These cases are consistent with CEQA Guidelines section 15004, which addresses the need to balance public and private interests by allowing for pre-approval agreements. 11 Save Tara v. City of West Hollywood (2008) 45 Cal.4th 116. 12 Id. at 135.
13 Saltonstall v City of Sacramento (2015) 234 CA4th 549, 570 14 Cedar Fair LP v City of Santa Clara (2011) 194 CA4th 1150 June 25, 2025

Page 5 ends

7333-003j
However, section 15004 provides that such agreement cannot bind any party, or commit to any definite course of action, prior to CEQA Compliance. 15 Here, the PSA
commits the Developer to construction of specific Project components. Specifically, the PSA states that the Project:
[S]hall consist of (i) not less than 100,000 SF of retail […] not less than 10,000 square feet of second-floor office or residential […] (ii) a hotel with not less than 100 hotel keys […] (iii) all related on-site, and required off-site improvements, if any, such as landscaped areas, parking, sidewalks, and roads[.]16
The City is thus being asked to enter into a binding purchase agreement that includes language requiring the developer to construct certain specified projects. If the developer fails to meet the construction requirements, it will have to sell back the property to the City at a rate set forth in the Contract. This is no mere term sheet or pre-approval agreement. In this case, the negotiations are done. By entering into the PSA, the Developer is committing to development of the Project’s commercial, retail and hotel uses.

As a result, the City’s approval of a resolution to execute the PSA absent CEQA review will violate the law.

B. Conclusion
Based on the foregoing, approval of the PSA is subject to CEQA review.

SSBCTC respectfully requests that the City Council not approve the PSA and return the Project to staff to conduct CEQA review of the Project.

Sincerely,
Kevin Carmichael

Hello Mr. Lindgren,
After receiving more information from Civic Summer and from Ms. Femi, I’d like to kindly ask if I could add the following information to my application:
- I have participated in the Path to Positivity event as a member of Franklin’s National Honor Society, which allowed for me to learn more about my mental health and how to balance my mental health throughout a busy life.
- A youth-related concern that I’d like to address is the traffic situation at the schools, particularly along Franklin High Road and Whitelock Parkway due to student drop-off and pick-up for Carroll Elementary, Toby Johnson Middle and Franklin High Schools. - Another youth-related concern that I’d like to address is providing more services for immigrant children and adults.

Thank you,

I believe you should choose me to be included in the youth commission because I believe I can bring a unique perspective and ideas to make the city a better place for future generations.

With my age I know first hand what needs to be changed in our city.

Some issues I have seen around the city and my school is the growing use of vapes. During my first year school I was always nervous to use the bathrooms because as soon as I would walk in I would be greeted with puffs and puffs of vapes. Another issue I have noticed is the amount of trash on the roads and streets which I believe if done correctly we could decrease the amount of trash on our streets.

I would also like to bring attention to the Elk Grove animal shelter and help with dogs finding their forever homes and to decrease animal abuse.

As the vapes go I don’t have a solution quite yet because there are so many factors that go into like mostly how do teenagers have access to vapes and who should be held responsible.

I do believe we could find a solution if we work together. Some of my ideas to improve the trash aspect is to have a “trash team” all volunteers come out every weekend and go around the city and clean up trash and sort for recycling. As far as the animal shelter I believe we should improve the social media and the dog photos on there website. Studies have shown that the better the dog photos and videos are the higher chance of their adoption. I also believe workshops on proper dog ownership would go a long way. I would also like to bring attention to mental health in Elk Grove and would like to the options we have for people with severe mental health issues. 6/16/2025

I think more initiative should be taken to increase education on and demystify politics and government for young people, and promote ways for everyone to get involved in the advocacy they care about. I also feel that education about healthy academic expectations should be promoted for both students and families, to forward the goal of improved mental health.

Because I believe in the Youth Commission's importance, I will prioritize the time needed to be a part of it and make sure I am a dedicated member.

Gurshaal Singh
Public Comment for Agenda Item #9.5
Elk Grove Youth Commission
June 25, 2025
1 Good evening,
Honorable Mayor, Vice Mayor, and Council members,
My name is Gurshaal Singh. I am here to submit my candidacy for the Elk Grove Youth Commission. I am a rising senior at Elk Grove High School, born and raised in Elk Grove, District 3. I am here to represent and make a diEerence for the youth population in our community, wishing for an Elk Grove that not only is better in its current state, but also better in its future state. It is an honor to receive an insightful recommendation from my principal to represent Elk Grove High School in the Youth Commission.

If I am appointed to the commission, I can utilize my excellent leadership, astonishing accolades, and exorbitant passion to serve by:
• Addressing issues of the youth such as mental health and substance abuse • Making the youth environment a better place, as these kids and teenagers grow into responsible adults
I have been always supporting the community, whether it’s tutoring the students, running food drives, participating in Memorial Day flag service, and clean up. In addition, I am an active volunteer with our local Food Bank and Historical Society.

One of the significant parts of my community service has been tutoring students over the last two years through the Volunteer Peer Tutoring Program. As a result, I have made an impactful diEerence for many students who have been able to improve themselves in ways that they did not initially envision.

The adolescent years of a human’s life are possibly the most crucial. In this timeframe, the youth must begin to set themselves up with a suEicient foundation to execute their future goals, but not many seek to maximize the opportunity. This leads me into what I believe is one of the larger issues plaguing our youth environment, being the lack of motivation for many students to use the opportunities and resources available to them.

In recent years, there has been a notable increase in substance abuse and mental issues aEecting the youth. According to a recent study conducted by UCLA, 45% of youth have reported mental health issues with one third experiencing issues aEecting their daily lives.

The eEects of these are apparent as not only it is ruining their opportunities, but it also aEects the peers surrounding those involved, further dramatizing the issue.

2 To combat this, if appointed to the Youth Commission, I would be hosting community discussions and activities. I would be interacting directly with those in need while spreading mental health awareness by introducing healthy ways of living, and distracting the youth from issues they face, ultimately bringing positive reform. Such events will help the youth realize their full potential.

Thank you for your time and consideration. I am hopeful to make an everlasting impact to our youth community.
