Resolution Of The City Council Of The City Of Emeryville Authorizing The City Manager To Execute A Fourth Amendment To The Contract With Regional Government Services Increasing The Total Contract Amount By $60,000 From $142,000 To $202,000 For Leave Management Consulting Services WHEREAS, the City Council desires to continue engagement with Contractor for leave management consultation services; and
WHEREAS, the City finds that specialized knowledge, skills, and training are necessary to render the services necessary to continue the work provided; and WHEREAS, in December 2022, the City entered into agreement with Contractor for said services due to the Risk Analyst vacancy in the Human Resources department; and WHEREAS, there continues to be a need for services in the area of disability and leave management that includes workers’ compensation, medical leaves, and reasonable accommodation; and
WHEREAS, the HR vacancy is slated to be filled by the end of the calendar year making such services unnecessary through this contract after that; and WHEREAS, sufficient funding exists to cover this needed expense; now, therefore, be it RESOLVED, that the City Council of the City of Emeryville hereby authorizes the City Manager to execute a Fourth Amendment to the Contract with Regional Government Services to increase the total contract amount by $60,000 to $202,000, and all other terms and conditions of the Contract shall remain in full force and effect.

AMENDMENT NO. 4 TO MANAGEMENT AND ADMINISTRATIVE
SERVICES AGREEMENT
This fourth amendment to the Management and Administrative Services Agreement between the CITY OF EMERYVILLE (“Agency”) and Regional Government Services Authority, hereinafter called “RGS” is made and entered into this 5th day of August 2024.
RECITALS
The Agency and RGS entered into an Agreement for services dated September 6. 2022.
This Amendment is entered into with reference to the following facts and circumstances:
A. Section 3, Compensation, is amended to increase the Not To Exceed (NTE) amount by $60,000, to a revised total of $202,000.
B. All other terms and conditions of the Agreement shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have caused this Additional Services Amendment to be executed on the date first above written by their respective officers duly authorized in that behalf.
