Resolution Of The City Council Of The City Of Emeryville Authorizing The City Manager To Execute A First Amendment To The Contract With Regional Government Services To Increase The Total Contract Amount By $50,000 From $75,000 To $125,000 And Extend The Contract Term To December 31, 2025 For Finance Consulting Services
WHEREAS, the City’s Finance Director resigned on October 18, 2024, creating a need for temporary assistance to support the transition and facilitate the recruitment of a new Finance Director; and
WHEREAS, the City finds that specialized knowledge, skills, and training are necessary to render the services necessary to continue the work provided; and WHEREAS, the City Council desires to continue engagement with Contractor for Finance Department services; now, therefore, be it
RESOLVED, by the City Council of the City of Emeryville that the City Manager is authorized to execute a First Amendment to the Contract with Regional Government Services to increase the total contract amount by $50,000 from $75,000 to $125,000 and extend the contract term to December 31, 2025.

AMENDMENT NO. 1 TO MANAGEMENT AND ADMINISTRATIVE
SERVICES AGREEMENT
This first amendment to the Management and Administrative Services Agreement between the CITY OF EMERYVILLE (“Agency”) and Regional Government Services Authority, hereinafter called “RGS” is made and entered into this 1th day of April 2025.
RECITALS
The Agency and RGS entered into an Agreement for services dated October 30, 2024.
This Amendment is entered into with reference to the following facts and circumstances:
A. Section 2, Term of Agreement and Termination, in subsection 2.1, is amended to extend the anticipated completion of service to December 31, 2025.
B. Section 3, Compensation, is amended to increase the Not To Exceed (NTE) amount by $50,000, to a revised total of $125,000.
C. All other terms and conditions of the Agreement shall remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have caused this Additional Services Amendment to be executed on the date first above written by their respective officers duly authorized in that behalf.
