Department Recommendation:

Staff recommends that the City Council accept the list of three qualified contractors as presented and authorize the City Administrator to execute an initial agreement with each contractor.

Summary/Background:

In early 2019, the City put out its first Request for Qualifications (RFQ) to utility contractors to allow the City to quickly get assistance when needed for emergencies or large repairs on the City utility systems. The annual cost has been around $100K to $200K per year but varies based on the needs. This program has been very successful over the last several years and is coming up for the five-year renewal, so staff is looking to renew it.

A Notice to Contractors and Request for Qualifications (RFQ 23-001) for repair and rehabilitation work on the City's water distribution and sanitary and storm sewer collection systems was advertised on June 23, 2023. The purpose of this advertisement was to solicit responses from contractors to be evaluated and pre-qualified for future work on the City's water distribution and sanitary and storm sewer collection systems. This qualification process will streamline and shorten the time to get a contractor started on repair or rehabilitation work as needed since a fully advertised qualification process has already been conducted. Once the list of qualified contractors is established, those contractors would simply be contacted and provided with scopes of work as specific repairs and rehabilitation needs arise. Each qualified contractor would have the opportunity to submit a bid for each specific scope of work. The low bidder for each specific scope of work would then be awarded the contract for that specific work, subject to approval per the City purchasing policy. In the event of an emergency repair situation, City staff would also consider the availability of the contractors to choose who would perform the repairs.

In response to the RFQ, the City received qualifications from the following contractors:

Contractor Location
RT Nelson Company, Inc. Visalia, CA
Lyles Utility Const., LLC Visalia, CA
West Valley Const. Campbell, CA
All qualification packets were found to be complete and responsive. All three contractors hold a vaied on the antive, stata is ree reging treat ith the Deept his lot of dutie contractor and aced on the above
authorize the City Administrator to execute an initial agreement with each contractor.

Fiscal Impact: No impact at this time. Costs for individual scopes of work will be paid from the appropriate Enterprise Fund
Prior Council/Board Actions: April 23, 2019 - The Council accepted a list of five qualified contractors to perform repair and rehabilitation work on the City's water distribution and sanitary and storm sewer collection systems and authorized the City Administrator to execute an initial agreement with each contractor. The five contractors were Bill Nelson General Eng Const., Inc. of Fresno, CA, Dawson-Maulden, LLC of Selma, CA, SW Construction of Bakersfield, CA, Lyles Utility of Bakersfield, CA, and West Valley Construction of San Jose, CA.

Summary:

On February 28, 2023, Airica de Oliveira, President/CEO of the TCEDC, presented an update to the Council on the activities of the TED and discussed their current status and future plans.

The presentation is located in Attachment A. As part of the TCEDC's push to continue improvement and enhancement of its performance, it has had to also consider the fiscal position of the organization. Based on the current contributions the organization has been in annual deficit and using reserves to cover expenses, in spite of staffing being limited to two personnel and other costs being minimized. Under the current circumstances the TCEDC can only continue for about another two years unless revenues are increased.

One of the CEDC's goals and objectives over the past few years has been to not rely as much on public sector agencies for financial support and encourage additional private sector support.

Prior to July 1, 2020, private sector contributions were approximately 9% of the public sector contributions. For last fiscal year the private sector contributions were about 20% of the public sector contributions. The TCEDC's 2023-2024 budget includes a goal and focus of significantly increasing private sector contributions.

On June 16, 2023, Councilmember Sally and the City Administrator met with Ms. de Oliveira to discuss TCEDC's work program for the 2023-2024 Fiscal Year and proposed public sector membership contribution increases. During the meeting, Ms. de Oliveira requested that the City of Exeter consider increasing its public sector membership contribution from $2,500 to $5,000.

On July 13, 2023, the City received a letter and invoice from the TCEDC for $5,000. The letter and invoice are located in Attachment B.

Along with pursuing private sector contribution increases of $100,000, the TCEDC is seeking to increase public sector contributions $65,000 as shown in the table below, with most of the cities having approved or preparing to approve the increases:

Agency FY 2022-23 FY 2023-24 Increase
County of Tulare $ 50,000 $ 65,000 $ 15,000
City of Visalia $ 50,000 $ 60,000 $ 10,000
City of Tulare $25,000 $ 40,000 $ 15,000
City of Porterville $25,000 $ 35,000 $ 10,000
City of Dinuba $ 15,000 $ 20,000 $ 5,000
City of Exeter $2,500 $5,000 $ 2,500
City of Farmersville $ 2,500 $5,000 $ 2,500
City of Lindsay $ 2,500 $5,000 $ 2,500
City of Woodlake $2,500 $ 5,000 $2,500
TOTALS $175,000 $240,000 $ 65,000
The TCEDC is the only regional (countywide) economic development agency in Tulare County.

Outside of their efforts economic development in the Tulare County region is limited to that provided by the individual agencies (County and cities) themselves. With only two staff the TCEDC is not able to effectively provide individual service to each community at a robust level.

However, they can be effective at bringing development attention to the Tulare County region.

While an occasional locate in a small City is possible, an expectation of consistently bringing a prospect to each small city is probably unrealistic. For example, many of the prospect's property, building and utility needs cannot be provided in a small city, which limits the number of prospects that can locate in a small city. However, the consistent benefit to a small city is that development in most of the county region can bring jobs to small city residents. Exeter in particular sits in a position where residents can easily commute daily for work to any of the three largest cities in Tulare County. The TCEDC benefits to provide the type of services discussed above are located in Attachment C.

A new benefit of TCEDC membership is access to a software solution to provide economic impact data and analytic software developed by IMPLAN. The TCEDC has also recently upgraded its web offerings to include the services of GIS WebTech that will be integrated into its real estate database, allowing member agencies to share geographical information system (GIS) layers on the TCEDC website to provide improved property information to potential prospects.

Background:

The City of Exeter had been a member of the Tulare County Economic Development Corporation (TCEDC) for many years. In recent years Tulare County and the incorporated cities within the county (Public Stakeholders) were concerned with the costs and benefits of membership and performance of the TCEDC. In 2016/2017 the county and cities discussed that there needed to be some performance metrics and better communication if membership was to be continued by the public stakeholders. The Exeter City Council also considered their participation in the past as part of the budget preparation.

In response to the public stakeholder's concerns the TCEDC held a strategic planning session to discuss public stakeholder needs in August of 2018. The discussion identified that stakeholder differences throughout the county meant that individual needs also varied. The TCEDC committed to develop a Strengths, Weaknesses, Opportunities and Threats (SWOT) analysis for each City and the County to better understand opportunities and issues with landing economic development prospects in each jurisdiction. In addition, the TCEDC was going to discuss expectations between each public stakeholder and the TCEDC to develop an agreement to further enhance prospect development. These items were not developed by the TCEDC with the City of Exeter.

At their April 2020 meeting, the TCEDC Board was presented with a proposal to reduce the Board seats for Farmersville, Woodlake, Lindsay and Exeter to one Board seat for all four cities that would be rotated between the cities annually, although still expecting these cities to continue the same financial contribution. Apparently, this was proposed in an effort to keep the County participating in the TCEDC. Most of the cities indicated that they were not supportive of the proposal, which was then put on hold. There was also some discussion regarding private sector partners, and their contributions, with the advisory committee raising the potential of privatizing the TCEDC. At the May 2020 TCEDC Board meeting three proposals for public partner contributions was presented. The approved option lowered most of the jurisdiction's contributions with the anticipation of private partners making up the remainder of the total TCEDC funding. The City of Exeter's contribution dropped from about $4,691 to $2,500. The City of Exeter had been receiving a meeting room credit of $2,750 off the previous contribution.

It is not anticipated that the CEDC would need the meeting room in the future.

In regard to actual development in the City, the TCEDC had previously sent out a few potential prospects and their needs to the cities, including Exeter. However, the prospects needs have not been able to be met within Exeter. The TCEDC needed to pursue prospects whose needs match what the City has to offer. In addition, a SWOT analysis would have been extremely helpful to identify shortcomings in Exeter. Some prospect needs may have been those provided by the municipality but some were often needs that would potentially be provided by the TEDC private partners, such as utilities, real estate and private building development. TCEDC development of partnerships between the TCED members to meet prospect needs would have been extremely helpful and could have also benefited from SWOT analysis.

On June 9, 2020 the City Council reviewed the history and current status of the City's membership in the Tulare County Economic Development Corporation (TCEDC). As part of the review, Paul Saldana, President and CEO of the TCEDC, provided a presentation to the Council discussing the history, current status and future plans of the TCED. After some discussion, the Council indicated that they would like some time to consider the TCEDC membership and directed that the item be brought back to Council for discussion at the next meeting. On June 23, 2020, the City Council discussed the City's participation in the TCEDC, decided to drop the City's participation in the TCEDC and directed staff to not include this cost in the upcoming budget.

Through late 2020 and early 2021 the TCEDC went through several changes and worked to improve on past issues, including;

1. Retirement of the previous President/CEO and appointment of Nathan Ahle as the new President/CEO.

2. Increased individual communication with each member of the TCEDC - monthly meetings with City staff and two presentations to Council per year.

3. Increased concentration on prospective development that "fits" the communities within the County

4. Development of an equitable cost of membership.

5. Continued with a board position for each member City, regardless of size

6. Development of increased participation of all members to contribute in providing prospective development needs.

7. Major enhancements and improved access to the real estate database

8. Willingness to discuss development of a Strengths, Weaknesses, Opportunities and Threats (SWOT) analysis for the City in regard to development opportunities.

The new President/CEO, Nathan Ahle provided a presentation to the Council at their June 22, 2021 meeting regarding the many changes that were occurring within the TCEDC and answered Council questions. On September 28, 2021, the Council elected to rejoin the TCEDC based on the changes that had been made in the organization. At this point Mr. Ahle continued working on these goals and improving services through the next year. Around the end of the irst year, Mr. Ahle's chose to pursue other employment opportunities and after much discussio and deliberation by the TCEDC Board, Ms. Airica de Oliveira was appointed the new President/CEO of the TCEDC. She has continued the work started by Mr. Ahle and has continued to work with the TCEDC Board to make improvements.

Fiscal Impact: The new annual contribution of $5,000 would be included in the budget if the Council chose to increase the contribution from the current $2,500, or the Council could propose to the TCEDC to remain at the current $2,500, somewhere in between $2,500 and $5,000 or withdrawal from the TCEDC and save the current $2,500.

Prior Council/Board Actions: Discussions regarding the TCED contribution being included in budgets and direction regarding continued participation in the TED since June of 2020.

Attachments: Attachment A - TCEDC FY 22-23 Organizational Update Attachment B - Membership dues letter and invoice
Attachment C - Public Sector Membership Benefits of the TCEDC Recommended motion to be made by Council/Board: 1 move to direct staff to continue membership in the TCEDC at an annual contribution of $5,000 and include the cost in upcoming budgets.

Subject: Increase in Membership Dues for Fiscal Year 2023-2024 Dear Adam,
I hope this letter finds you well. As a valued member of Tulare County EDC, we wanted to inform you of an important update regarding the membership dues for the upcoming fiscal year 2023-2024.

Over the past years, Tulare County EDC has worked diligently to provide exceptional services and resources to all our members. We have consistently strived to improve the quality of our offerings, enhance business location opportunities, and facilitate the growth and success of Tulare County.

In order to sustain and enhance the level of services we provide, it has become necessary to revise our membership dues. After careful consideration and analysis of our operational costs, we have determined that an increase in membership dues is essential to meet our financial obligations and continue delivering valuable resources to our members.

Effective from the start of the new fiscal year on July 1, 2023, the membership dues for all existing and new members will increase. This increase will enable us to invest in improved site selection software, expand our outreach initiatives, and offer an even greater range of benefits to our members.

We understand that any adjustment in dues may impact your organization's budgeting and resource allocation. We believe that the value and advantages gained from being part of our organization will outweigh the increased dues and contribute significantly to the growth and development of your jurisdiction.

We remain committed to maintaining transparency and open communication with our members.

If you have any questions or concerns regarding the revised membership dues, we encourage you to reach out to our Board Chairman, Brian Poochigian or President/CEO Airica de Oliveira. We are here to address any queries and provide any necessary assistance to ensure a smooth transition during this period.

We greatly appreciate your continued support and membership with Tulare County EDC. Your participation and contributions are invaluable in shaping our region and fostering its progress.

We look forward to a prosperous and productive fiscal year ahead, and we are confident that together we can achieve remarkable results.

Thank you for your attention to this matter. We appreciate your prompt attention to the revised membership dues and eagerly anticipate your continued partnership.
