Re: Super 8 Motel located at 2170 North Texas

Present Operator of the Super 8 Motel: Shri
Guru Hari, LLC
Refer To File No.

I represent Shri Guru Hari, LLC ("SGH") the present licensed operator of the Supoer 8 Motel located at 2170 North Texas Street, Fairfield, CA 94533-3204 ("Motel"). My client is in receipt of your letter dated January 25, 2023 demanding an alleged past due transient occupancy tax ("TOT") amount of $686,542.38 for the tax years 2019 to 2022.

My client requests an immediate appeal of the assessment. I am informed that the present owner, Pinnacle Bank ("Pinnacle"), is also requesting to join in his appeal and request an appeal on its behalf. The grounds for the appeal, which is not exhaustive are as follows:

First, the TOT imposed by the City of Fairfield does not "run" with the land as a conditional use permit but is an individualized obligation on the owner and operator of a motel to collect the tax from the occupant who is being tax for such occupancy by the City.

Pinnacle took ownership and possession of the motel by a non-judicial foreclosure for the previous owner and operator of the motel, Shrinika Investments LLC ("SI"), in December of 2022 and authorized SGH to operate the motel.

The owners of SGH have, and have never had any legal or beneficial relationship with SI, its owners Bhavesh and Reena Patel, or the motel until the foreclosure sale by Pinnacle.

Thus, my client and Pinnacle who were in no way involved in the ownership and operation of the motel prior to December of 2022, cannot as a matter oflaw be held responsible for a TOT they were not required by law to collect.

Imposition of the past TOT on my client and Pinnacle would violate, among other constitutional grounds, the procedural and substantive due process clause of the Fourteenth Amendment of the United States Constitution , the Fifth Amendment Takings Clause of the United States Constitution, the Equal Protection Clause of the Fourteenth Amendment of the United States Constitution, in addition to parallel provisions of the California Constitution.

I have practiced extensively in the state and federal courts and the United States Court of Appeals for the Ninth Circuit primarily specializing in civil rights cases and the TOT on behalf of Asian-Indian motel owners and operators.

Some of my published cases are City of Los Angeles Pat I, (2015) 576 U.S. 409 (affirming in a 5-4 decision the Ninth Circuit's en bane decision facially invalidating on Fourth Amendment grounds a motel search ordinance that authorized law enforcement to search motel registers on demand without consent or a warrant) (Patel v ity of Lo Angeles (9th Cir. 2013) (en bane) 738 F.3d 1058); Herrera v City of Palmdale, (9th Cir. 2019) 918 F. 3d 1037 ; Patel y City Packet Page 849 of 860Attachment 3 Page 2 of 3

Re: Administrative Hearing Determination Regarding Delinquent Transient Occupancy and Tourism Tax Assessment

Dear Frank A. Weiser:

On January 31, 2023, you submitted to the City of Fairfield (“City”) on behalf of your client, Shri Guru Hari, LLC, the current hotel operator of the Super 8 Motel, located at 2170 North Texas Street, Fairfield CA 94533‐3202 (“Hotel”), a request for an administrative hearing on the full amount of the City’s assessment of delinquent transient occupancy and tourism tax (“TOT”) in the amount of six hundred eighty six thousand five hundred forty‐two dollars and ninety‐eight cents ($686,542.98).  The City provided your client notice of said assessment in a correspondence dated January 25, 2023.  Your hearing regarding the same was held on March 14, 2023.

At the hearing you presented evidence of the Hotel’s current and up‐to‐date business license and a Grant Deed dated March 1, 2023, granting the full real property interest of the Hotel property to your client.  No other evidence was presented at the hearing.

The City Finance Director, acting in their delegated capacity as the City Tax Administrator, conducted a review and verification of the information and documentation provided on behalf of your client. It is hereby determined that your request for relief of the total tax assessment amount is denied and the proper tax to be remitted remains in the full amount of $686,542.98.

Your appeal contended that your client has no financial rapport with the prior Hotel owner(s), was unaware of the outstanding TOT amount, and is not responsible for such delinquent amounts. Pursuant to Chapter 18, Article III, Section 18.17.1(c) and (d) of the Fairfield Municipal Code, any person purchasing an ongoing Hotel business may apply to the Tax Administrator for a tax clearance certificate showing the tax due, if any, from the selling operator. If an operator who is liable for delinquent taxes or penalties under this article sells its business, its successor shall withhold a sufficient portion of the purchase price to satisfy the delinquency. If the seller does not present such receipt or notice within thirty (30) days after Packet Page 856 of 860Attachment 6 Page 1 of 2

the successor commences business, the successor shall deposit the withheld amount with the Tax Administrator. If the successor fails to withhold a portion of the purchase price as required, the successor shall be liable to the City for payment of the amount the successor was required to withhold.

If you wish to appeal the above determination to the City Council, you may, within fifteen (15) days of the serving or mailing of this determination, file a notice of appeal with the City Clerk at the below address.

Dear Ms. Rees:

I represent the owners and operators of the Super 8 Motel located at2l70 Nonh Texas Street, Fairfield, CA94533-32302 ("Motel"). My clients are in receipt of the April l2,2023letter from John Furtado, Finance Director, denying my client's appeal for relief from the transient occupancy tax ("TOT") assessment of $686,542-98.

My clients request an immediate appeal to the City Council or whatever administrative board has jurisdiction over the matter. The grounds for appeal are as follows:

As I explained at the appeal hearing before Mr. Furtado, my clients are not subject to the City of Fairfield's Municipal Code Sections 18.17.(l)(c) and (d) as the motel was purchased by Packet Page 858 of 860Attachment 7 Page 1 of 3

way of an involuntary foreclosure of the previous owners and licensees.

At best, the ordinance in question is ambiguous as to whether it covers a case of an involuntary foreclosure such as this.

An ambiguity in a tax statute will generally be resolved in favor of the taxpayer. See Microsoft Corp. v Franchise Tax Board,39 Cal.4th 750, 759; Agnew v State Board of Equalization.( I 999) 2l Cal.4th 3 I 0, 330.

Further, the ordinance is in violation of the Califomia Supreme Court's holding in In re Transient Occupancy Tax Cases (2016) 2 Cal5th l3l . It is axiomatic under this precedent that a non-operator of a hotel or motel cannot be held liable for third party TOT assessments.

The decision further violates the Fifth Amendment Takings Clause, and the Due Process and Equal Protection Clauses of the United States Constitution.

Further grounds for appeal are as follows:

The City's TOT ordinance establishes various financial sanctions to encourage motel operators to tender tax payments before any resolution of any dispute over the tax's validity.

The U.S. Supreme Court has held that this type of taxing scheme does not provide a meaningful opportunity for predeprivation relief. See McKesson, supra, 496 U.S. at 37 ("Since Florida has established various financial sanctions and summary remedies to encourage liquor distributors to tender tax payments before resolution of any dispute over the tax's validity, the State does not provide a meaningful opportunity for predeprivation relief.").

The City's TOT ordinance does not provide a hotel operator the ability to seek a refund after payment of an illegal tax that he has either paid without colle,:ting the same from the transient or has been assessed by the City.

In other words, if the hotel operator has not collected the tax from the occupant, but has paid the tax out of his own pocket in protest because he has been personally assessed by the City, he cannot seek a post-payment refund for himself because the "amount of the tax so collected [cannot] either [be] refunded to the transient or credited to rent subsequently payable to the operator by the ffansient."
This ordinance does not provide a "clear and certain" post-deprivation remedial scheme to satisfu due process.

To avoid any mistake as before in contacting me also, please e-mail me at [email protected] as to any correspondence regarding this matter and my clients request that you notifu them also as to the appeal hearing dates.
