1 AMENDMENT City of Fairfield, California, with offices at 1000 Webster Street, Fairfield, California 94533 WHEREAS, Tyler and Client are parties to an agreement dated September 10, 2020 WHEREAS, the Term of the Agreement expires September 30, 2025 ; THEREFORE, in consideration of the mutual covenants contained herein, Tyler and Client agree as follows. 1. SaaS Term Renewal. a. SaaS Term. The term of the Agreement is hereby renewed for a five (5) year term commencing on the day following the Expiration Date (for the purposes of this Amendment, the Renewal We will provide you notice of any increase in SaaS Fees no less than sixty (60) days prior to the anniversary of the renewal date. b. SaaS Fees. SaaS Fees, as detailed in the Investment Summary attached hereto as Exhibit 1, for year one (1) are invoiced annually in advance, beginning on the commencement date of the Renewal Term. Subsequent annual SaaS Fees are invoiced annually in advance, beginning on the anniversary of the initial invoice date. c. Users Limits. The SaaS fees may be based on user limits indicated in Exhibit 1 and the Agreement, with Exhibit 1 controlling in the event of conflict. Should the number of users be exceeded, Tyler reserves the right to re-negotiate the SaaS fees based upon any resulting changes in the pricing categories. 2. Planned Adoption, Consulting, and Education (PACE) Program. a. The items set forth in the Amendment Investment Summary attached as Exhibit 2 to this Amendment are hereby added to the Agreement. b. The services set forth in Exhibit 2 shall be provided by Tyler in accordance with Exhibit 2 Schedule 1. 3. Impact Fees Development Services. a. The items set forth in the Amendment Investment Summary attached as Exhibit 3 to this Amendment are hereby added to the Agreement. 4. This Amendment shall be governed by and construed in accordance with the terms and conditions of the Agreement. 2 5.
