RECOMMENDED ACTION
Adopt resolution.

STATEMENT OF ISSUE
On December 6, 2022, the City Council adopted Resolution No. 2022 -324 which executed an Improvement Agreement (Agreement) with One Lake Holding, LLC (Developer) to construct improvements for the Linear Park Trail – Segment 3A Project (Pr oject) The Agreement had an initial term of eighteen months and expired on June 8, 2024. In accordance with Section 5 of the Agreement, council authorization is required for any extension. The recommended action authorizes staff to extend the Agreement for an additional year, through December 31, 2026.

DISCUSSION
The Developer began grading and constructing the Project and discovered contaminated soil containing elevated levels of arsenic. Arsenic contamination is commonly associated with herbicides historically used by the Union Pacific Railroad (UPRR) to control vegetation along the railroad tracks.

Upon uncovering the contaminated soil, the Developer immediately halted work and notified the Department of Toxic Substances Control (DTSC). Following more than a year of coordination, plan review and submittals, the DTSC issued a remedial action workplan and approved the Developer to proceed with soil mitigation.

The contaminated soil has since been remediated in accordance with the DTSC ’s approved remedial action plan. During a recent coordination meeting in November 2025, DTSC staff identified several follow -up actions, including the need for additional soil sampling in the northern portion of the site and installation of an open-space-style fence along Lake Trail to limit access near the proposed residential area. DTSC is also finalizing its review of the Operations and Maintenance (O&M) Plan. With these remaining environmental compliance items underway, the Developer now requires additional time to co mplete the park improvements, including installation of park features and the undergrounding of existing Pacific Gas and Electric (PG&E) electrical lines over a portion of the Linear Park.

FINANCIAL IMPACT
There is no financial impact for the City associated with authorizing the time extension . The Developer may be required to provide additional construction bonding to reconcile with the current estimated cost of improvements.
