Revised November 2025
AMENDMENT 1
To the Technology Software-as-a-Service Agreement
Between
City of Fairfield and Tablet Command, Inc.

This Amendment No. 1 (“Amendment”), made by and entered into as of the _____ day of _____________, 2026, by and between the CITY of FAIRFIELD, a municipal corporation (hereinafter “CITY”), AND Tablet Command, Inc. (hereinafter “Tablet Command”), for the purpose of reviewing the Technology Software-as-a-Service Agreement (hereinafter “AGREEMENT”) dated July 9, 2020, between the parties. This Amendment does not take effect until signed by both parties.

The revisions to the AGREEMENT are limited to those specific below. All other provisions of the AGREEMENT remain in effect as set forth in Exhibit “A”.

The AGREEMENT is amended as follows:

1. The AGREEMENT term is extended to December 31, 2027.

2. Exhibit B-2 attached will replace Exhibit B with an updated payment schedule for the subscription.

3. The vendor agrees to use commercially reasonable efforts to comply with SOC 2 reporting requirements by December 31, 2026, as per Exhibit C.

4. The vendor agrees to obtain and maintain a City of Fairfield business license for the entire term of the agreement.

5. Notwithstanding anything to the contrary in Section 9 of Exhibit A (Exhibit “C” General Provisions) or any other provision of the Agreement, in no event shall Tablet Command’s total cumulative liability to the City, any authorized user of the services, or any other third party arising out of or relating to the Agreement, the services, or their use, whether in contract, tort (including negligence), strict liability, or otherwise, exceed One Million Dollars ($1,000,000.00) in the aggregate, which corresponds to the minimum limits required for Commercial General Liability coverage as described in Section 1(a) of Exhibit “D” (“Insurance Requirements”). Tablet Command’s obligations under the Agreement, as amended, are expressly conditioned upon the City: (a) providing prompt written notice of any claim, demand, or action; (b) granting Tablet Command exclusive control and authority over the defense and settlement of such matter; and (c) fully cooperating with Tablet Command, at its reasonable request and expense, in such defense. Notwithstanding the foregoing, Tablet Command shall have no obligation or liability with respect to any claim or allegation arising from or related to: (a) any use of the services in breach of the Agreement; (b) use of the services in combination with any equipment, software, data, or other materials not approved in writing by Tablet Command; (c) any modification or alteration of the services not expressly authorized in writing by Tablet Command; or (d) continued use of the services after receipt of written notice from Tablet Commmand to cease such use. The parties acknowledge and agree that the service fees reflect the allocation of risk and limitations of liability set forth in this Agreement, and that Tablet Command would not have Revised November 2025
entered into this Amendment absent such limitations.

6. All other terms and conditions remain the same according to the agreement of July 9, 2020.

Except as specifically set forth herein, all terms and conditions of the AGREEMENT between the CITY and Tablet Command dated July 9, 2020, shall remain in full force and effect.

In Witness whereof, the parties through their authorized representatives, have affixed their signature.
