STATEMENT OF ISSUE
Staff are recommending that the City of Fairfield enter into the Purchase and Sale Agreement and Joint Escrow Instructions (Purchase Agreement) with Woolner Works, LLC (Woolner Works) for the purpose of acquiring the property located at 1336 Woolner Avenue (Property).
DISCUSSION
On April 7, 2026, the City Council adopted Resolution No. 2026 -49, adding the Transit Maintenance Facility Project (Project) to the Capital Budget and updating the 5 -Year Capital Improvement Plan to include the Project. The scope of the Project includes:
Replace five battery -electric buses with diesel -electric hybrids to align with low-emission initiatives, support CARB Compliance, and reduce operation costs Acquire adjacent real property at 1336 Woolner Avenue to serve as additional space for bus storage and maintenance (addressing insufficient space at the current Corporation Yard) Incorporate workforce development and training programs focused only on hybrid vehicle maintenance and operations
Provide engineering design for future maintenance facility upgrades
The Public Works Department seeks to acquire the Property to support the planned expansion of the City’s Corporation Yard. This expansion is necessary to accommodate additional maintenance and operational space for the City’s growing fleet of electric vehicles.
The Property includes two existing structures totaling approximately 20,000 square feet, which Public Works intends to repurpose for transit vehicle maintenance and associated support functions. The acquisition also aligns with long-term transit system needs and supports ongoing transition to zero -emission fleet operations. Acquisition of the site requires entering into a Purchase and Sale Agreement with Woolner Works.
The majority of funding will come from the $12,060,000 Federal Transportation Administration (FTA) grant award (CA -2025-283-00) received with the remaining funds coming from Local Transportation Funds (LTF) including Transportation Development Act (TDA) monies.
The City received a N ational Environmental Policy Act exemption on January 30, 2026.
Additionally, the City received concurrence from the FTA appraisal to proceed with the purchase on March 13, 2026.
FINANCIAL IMPACT
The total purchase price for the Property is $2,600,000. The Transit Fixed Route Fund (Fund 451) will be used for the property acquisition including $2,080,000 from FTA and $520,000 from Local Transportation Funds (LTF) which includes TDA funding.
