AMENDMENT NO. 3
TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF FAIRFIELD AND CONCERN: EMPLOYEE ASSISTANCE PROGRAM
This Amendment No. 3 , made by and entered into as of the _____ day of __________, 20 26, by and between the CITY of FAIRFIELD, a municipal corporation (hereinafter “CITY”), and CONCERN: Employee Assistance Program (hereinafter CONSULTANT), for the purpose of reviewing the Professional Services Agreement (hereinafter “AGREEMENT”) dated January 1, 2023, between the parties. This Amendment does not take effect until signed by both parties.
The revisions to the AGREEMENT are limited to those specific below. All other provisions of the AGREEMENT remain in effect as set forth in the previous legal services agreement.
The AGREEMENT is amended as follows:
1. The AGREEMENT modifies “Exhibit A” of the original contract, which specifies the maximum compensation payable to the consultant not to exceed $100,0 00 (“Original Term”) .
Amendment No. 1 increased the not-to-exceed amount by an additional $50,000 to reflect a maximum not-to-exceed amount of $150,000. Amendment No. 2 only modified the terms of the agreement from January 1, 2026, to December 31, 2026. While Amendment No. 3 seeks to increase the not- to-exceed amount by an additional $ 40,000, bringing the total not- to- exceed amount to $190,000; all other terms and conditions of the contract remain the same.
Except as specifically set forth herein, all terms and conditions of the AGREEMENT between the CITY and CONSULTANT, dated January 1, 2023, shall remain in full force and effect.
