AMENDMENT NUMBER 1
AGREEMENT FOR SHARING OF STATE HIGHWAY ELECTRICAL FACILITIES
IN THE CITY OF FAIRFIELD
This Amendment No. 1, effective on______________________ , to the Agreement for Sharing of State Highway Electrical Facilit ies in the City of Fairfield is made and entered into by and between the State of California, acting by and through the Department of Transportation, hereinafter referred to as “STATE”, and the City of Fairfield, hereinafter referred to as “CITY” and collectively referred to as “PARTIES”.
WITNESSETH:
A. WHEREAS, an Agreement for Sharing of State Highway Electrical Facilities in the City of Fairfield, hereinafter referred to as “AGREEMENT”, was executed by CITY and by STATE on December 30, 2022; and
B. WHEREAS, AGREEMENT by its terms provides that it may be amended at any time upon mutual consent of the PARTIES; and
C. WHEREAS, CITY desires to construct electr ical facilities that include Rectangular Rapid Flashing Beacons ("RRFB") and associat ed electrical facilities within STATE’s right of way by Encroachment Permit at Interstate 80 ("I-80") at Travis Boulevard and the I-80 eastbound ("EB") off-ramp, within the jurisdictional limits of CITY; and
D. WHEREAS, the PARTIES mutually desire to establish and clarify maintenance responsibilities for the electrical facilities described in Recital C , which are to be constructed or installed within the STATE right of way; and
E. WHEREAS, the PARTIES hereto now desire that AGREEMENT be amended.
NOW, THEREFORE, the PARTIES agree to amend AGREEMENT as follows:
1. The AGREEMENT is hereby amended as follows:
1.1. New Exhibit “A-1” attached hereto and in corporated herein by this reference.
Exhibit “A-1” supplements Exhibit “A” by providing additional information and identifying additional State highway electrical facilities and related improvements subject to the terms and ma intenance responsibilities set forth in the AGREEMENT.
1.2. New Exhibit “C,” attached hereto and incorporated herein by this reference, is added to the AGREEMENT.

2. A new Article 10 is hereby added and made a part of AGREEMENT to read as follows:
"10. Damage to CITY Facilities.
If any facilities identified in Exhibit “A-1” are directly damaged as a result of the negligent acts of the STATE or its authorized contractors, the STATE shall, at its sole discretion, either repair the damaged facilities to their pre- damage condition or reimburse the CITY for the reasonable, documented actual cost of such repair.
This section applies only to direc
t physical damage caused by STATE
negligence, and does not apply to:
relocation, modification, or removal required due to highway maintenance, improvements, or operational needs;
impacts resulting from lawful and non-negligent STATE activities; or conditions arising from the CITY’s placement of facilities within the State right-of-way."
3. Exhibit “A” to the AGREEMENT shall remain unchanged and in full force and effect.
4. This Amendment No. 1 to AGREEMENT shall remain in full force and effect until amended or terminated as provided for in AGREEMENT. In all other respects, AGREEMENT shall remain in full force and effect.
5. Electronic signatures of the PARTIES, whether digital or encrypted, are intended to authenticate this Amendment, and sha ll have the same force and effect as manual signatures.
