Plotz explained the easement details and the terms of the acceptance of the easement. Councilman Jorgensen questioned if there would be anything that could prevent this from taking place. Plotz stated that it will have to go through a design and regulatory process, however, with the 5-year time allotment given that there should be plenty of time to complete the processes. Councilwoman Fisk-Becker questioned if the construction of the trail is in the budget.

Parrish stated that it is not yet, however, it can be discussed for next year’s budget, and there may be grants available. Plotz added that only the trail needs to be completed in 5 years, not any parking area or other facilities. Ms. Lorenzen spoke regarding the parking area and encouraged the Council to put in parking as soon as possible as not to create a problem in people driving up and not having anywhere to park. The Council thanked Ms. Lorenzen and Family for the generous donation,

RECOMMENDATION
Approve the City of Ferndale Audited Financial Statements for FY 2023-24.

BACKGROUND:

The City has all financial transactions audited every year. This audit reviews how the city conducts business. It also ensures that the city’s transactions were done properly and in compliance with all state and federal laws and follow standard accounting procedures.

The Certified Public Accountant firm of JJCPA, Inc. did an independent audit report on the City’s Financial Statements for the fiscal year ending June 30, 2024.

After the adoption of the Audited Financial Statements, the statements are sent to various agencies and lending institutions including the State of California, REMIF, and the agencies with which the City currently has outstanding loans.

CITY COUNCIL MEETING
______________________________________________________________ 42 _______________________________________________________________ Fiscal Year 23/24 Post-Audit Budget Analysis
Audits provide an evaluation of the city’s financial health, internal controls, and compliance with accounting standards. The financial statements were prepared in accordance with the Generally Accepted Accounting Principles (GAAP).

Our audit was performed by JJACPA, Inc, who have been faithfully performing our audit for over 11 years. They have found that the city continues to maintain its financial and internal standards and is compliant with the GAAP.

Overall, the cities revenues exceeded expenses by $47,003.29, $22,183.53 under budget.

A summary of the FY 23/24 Audit findings follows:
- The city’s governmental funds reported a net increase of $116,116, reflecting prudent financial management and stable revenues from various sources, including property taxes and sales taxes. - Sales tax revenue saw a significant increase of 46% compared to last fiscal year, mainly due to a full year of recognizing the additional tax measure implemented in April 2023. These funds were used to support the police department’s employee retention and public safety efforts. - Town Hall rentals exceeded expectations by 27%.
- Donations to the city totaling over $50,000 went to the improvement of our parks and public safety.
- Grant revenue increased by over 14%, $93,296. CIRA alone gave the city over $44,000 to address the fence along the driveway, replacing the roof, and installing a generator at Town Hall.
- Planning revenue exceeded all projections by roughly $150,000. As we all know, it is difficult to time reimbursements and project revenue from grants, and overall planning expenses came in $20,000 under budget.

This line item 10415052 for Professional Services also includes expenses Evan Edgar & Associates which are handling the SB1383 Grant. Most of that cost is covered by the grant money already received.

It is also important to note that this number will vary from year to year.

CITY COUNCIL MEETING
______________________________________________________________ 43 _______________________________________________________________ - Construction permit revenue increased by over $17,000, which is a great indicator of an increase in housing and property values for a city. It is important to note that the increased expense in Building Regulation/Inspection is related to this activity.
- Due to efforts of the Finance Department, collection of reimbursements for Planning and Engineering Fees yielded almost $10,000 in revenue. - Vehicle expenses for Streets and Roads came in $15,000 under budget as replacements and repairs were not needed as much this year. This illustrates how depreciation can be difficult to budget for and expenses in this line item can vary greatly from year to year.
- Sewer Employee salaries were fare less than projected due to the change in Chief Operators. This also resulted in far less expenses for Medical coverage, Worker’s Compensation, Deferred Retirement, and Payroll Taxes. The only notable increase here is in Overtime expense due to the additional hours needed to service the plant on the weekends and holidays being done by non-salary employees.

Notes on Over-Budget Items:
- PD Training, an essential part of maintaining an effective police force, was slightly only slightly over budget when you take into account POST Reimbursements revenue. Also, Medical coverage costs were higher than expected due to the addition of an officer previously not participating in our health plan.
- The cost of General Planning Services includes not only Planwest, but Edgar & Associates, whose services are covered by the OWR-2/4 Grants already received.
- Engineering costs were higher than projected mainly due to the work needed to complete the Bike & Pedestrian Grant, and Per Capita Grant.

There was also additional cost in Contractual Services in Streets and Roads for Ontiveros providing the engineering for Berding Street. - Street Maintenance and Repair came in over budget in the Public Works department mainly due to unexpected work needed on ditch repair on California Street and the increased need for rock, sand, and cold mix.

CITY COUNCIL MEETING
______________________________________________________________ 44 _______________________________________________________________ There was also an overage on salaries for public works in the Streets and Roads line items for two reasons: we had to re-allocate salaries covered by Gas Tax revenue to Streets and Roads as the Gas Tax revenue is not growing in pace with inflation, and the accrual of overtime for servicing the Main Street Restrooms.
- There continues to be a marked reduction in Septic Discharge Revenue generated by the WWTP, down 50% since 2022. This illustrates the necessity of raising the berm to continue to receive septic discharge. - A note on changes at the WWTP and how the change in chief operators affected the budget for FY 23/24: there was an $5,000 reduction in salary actuals from the previous year, but an $10,000 increase in overtime as non-salaried workers need to maintain the plant oh weekends and holidays on top of their already full-time schedule. - The WWTP also saw a marked increase in IT Support, due to multiple software and system upgrades needed. There were also budget overages necessary to address replacements of UV Lights, blowers, and work to repair lines on Tennyson Ave in September 2023. - Please note also that we received a $34,000 refund in sewer line maintenance that was received in FY 24/25 and is not reflected. - Lastly, Carollo Engineering continues the work City Council approved last year, which will total $200,000 of funds recorded in Planning Grant Expense in the Sewer budget through this year.

Presented By: City Manager, Jay Parrish
Type of Item: x Action Discussion Information
Action Required: No Action x Voice Vote Roll Call Vote

RECOMMENDATION
Approve contract for legal services and direct the City Manager to sign the Attorney-Client Fee Agreement.

DISCUSSION:

In February 2024, the City Council unanimously approved the contract for the City Attorney service from The Mitchell Law Firm, LLP. The primary representative was partner Ryan Plotz, and the term of contract was February 23, 2024, through February 22, 2025. A contract is sought at this time; however, the new term will be open ended and does not require yearly renewal. The primary representative will continue to be Ryan Plotz.

At this time, The Mitchell Law Firm, LLP, is not requesting a rate increase and the amount per hour will continue to be $225.00 per hour for partners; $200.00 per hour for associates; and $95.00 per hour for paralegals. These rates continue to be well below the market rate for comparable services and are in recognition of the longstanding relationship with the City.

ATTORNEY-CLIENT FEE AGREEMENT
THE MITCHELL LAW FIRM, LLP (“Attorney”) and CITY OF FERNDALE(“Client”) hereby agree that Attorney will provide legal services to Client on the terms set forth below.

1. CONDITIONS. This Agreement will not take effect, and Attorney will have no obligation to provide legal services, until Client returns a signed copy of this Agreement.

Attorney will provide those legal services reasonably required to represent Client. Attorney will take reasonable steps to keep Client informed of progress and to respond to Client's inquiries. Separate arrangements must be agreed to for those services. Services in any matter not described above will require a separate written Agreement.

3. CLIENTS DUTIES. Client agrees to be truthful with Attorney, to cooperate, to keep Attorney informed of any information or developments which may come to Client's attention, to abide by this Agreement, to pay Attorney's bills on time and to keep Attorney advised of Client's address, telephone number and whereabouts. Client will assist Attorney in providing necessary information and documents and will appear when necessary at legal proceedings.

4. DEPOSIT. No Deposit shall be required at this time.

5. LEGAL FEES AND BILLING PRACTICES. Client agrees to pay by the hour at Attorney's prevailing rates for all time spent on Client's matter by Attorney's legal personnel.

declines to pay any increased rates, Attorney will have the right to withdraw as Attorney for Client.

The time charged will include the time Attorney spends on telephone calls relating to Client's matter, including calls with Client, witnesses, opposing counsel or court personnel. The legal personnel assigned to Client's matter may confer among themselves about the matter, as required and appropriate. When they do confer, each person will charge for the time expended, as long as the work done is reasonably necessary and not duplicative. Likewise, if more than one of the legal personnel attends a meeting, court hearing or other proceeding, each will charge for the time spent. Attorney will charge for waiting time in court and elsewhere and for travel time, both local and out of town.

Time is charged in minimum units of one tenth (.1) of an hour.

(c) Experts, Consultants and Investigators. To aid in the preparation or presentation of Client's case, it may become necessary to hire expert witnesses, consultants or investigators. Client agrees to pay such fees and charges. Attorney will select any expert witnesses, consultants or investigators to be hired, and Client will be informed of persons chosen and their charges.

Additionally, Client understands that if the matter proceeds to court action or arbitration, Client may be required to pay fees and/or costs to other parties in the action. Any such payment will be entirely the responsibility of Client.

7. BILLING STATEMENTS. Attorney will send Client periodic statements for fees and costs incurred. Each statement will be payable within 30 days of its mailing date. Client may request a statement at intervals of no less than 30 days. If Client so requests, Attorney will provide one February 19, 2025

within 10 days. The statements shall include the amount, rate, basis of calculation or other method of determination of the fees and costs, which costs will be clearly identified by item and amount.

8. DISCHARGE AND WITHDRAWAL. Client may discharge Attorney at any time. Attorney may withdraw with Client's consent or for good cause. Good cause includes Client's breach of this Agreement, refusal to cooperate or to follow Attorney's advice on a material matter or any fact or circumstance that would render Attorney's continuing representation unlawful or unethical. When Attorney's services conclude, all unpaid charges will immediately become due and payable. After services conclude, Attorney will, upon Client's request, deliver Client's file and property in Attorney's possession, whether or not Client has paid for all services.

9. DISCLAIMER OF GUARANTEE AND ESTIMATES. Nothing is this Agreement and nothing in Attorney's statements to Client will be construed as a promise or guarantee about the outcome of the matter. Attorney makes no such promises or guarantees. Attorney's comments about the outcome of the matter are expressions of opinion only. Any estimate of fees given by Attorney shall not be a guarantee. Actual fees may vary from estimates given.

10. ENTIRE AGREEMENT AND MODIFICATION BY SUBSEQUENT AGREEMENT.

This Agreement contains the entire agreement of the parties. No other agreement, statement, or promise made on or before the effective date of this Agreement will be binding of the parties.

This Agreement may be modified by subsequent Agreement of the parties only by an instrument in writing signed by both of them or an oral agreement only to the extent that the parties carry it out.

11. SEVERABILITY IN EVENT OF PARTIAL INVALIDITY. If any provision of this Agreement is held in whole or in part to be unenforceable for any reason, the remainder of that provision and of the entire Agreement will be severable and remain in effect.

12. EFFECTIVE DATE AND EXECUTION. This Agreement will govern all legal services performed by Attorney on behalf of Client commencing with the date Attorney first performed services. The date at the beginning of this Agreement is for reference only. Even if this Agreement does not take effect, Client will be obligated to pay Attorney the reasonable value of any services Attorney may have performed for Client. This Agreement may be executed in counterparts, the parts of which shall be taken to constitute one whole. Electronic scan signatures and/or facsimile signatures shall be deemed to constitute originals.

13. FILE RETENTION. This law office generally maintains a client’s file for a period of five (5) years following the completion of an attorney’s work on a case, after which the file is shredded and discarded without further notice.

In the following cases, however, files will be retained for a longer period, but normally not more than 10 years unless cause exists to keep a file for a longer time period: (1) cases involving a minor child or otherwise in which the statute of limitations in bringing a legal action is tolled; (2) February 19, 2025

THE PARTIES HAVE READ AND UNDERSTOOD THE FOREGOING TERMS AND AGREE TO THEM AS OF THE DATE ATTORNEY FIRST PROVIDED SERVICES. IF

Our first public education meeting is set to be held on March 1, 2025, from 10:00am-12:00pm. The flyer regarding this meeting will be placed on the website, the public boards, as well as put in the Enterprise to try to reach as many citizens as possible. The bill, which became effective on January 1, 2022, will be applicable to the citizens of Ferndale soon, and the council will be taking steps to reduce the impact of this legislation by adopting an ordinance to allow a phased in three stream waste system that will serve all citizens universally in the future.

for February 2025 City Council Meeting
CITY MANAGER (January 09, 2025 – February 12, 2025)

• The county recently released the Updated Draft Humboldt Regional Climate Action Plan, Behind the scenes, the County’s consultant is preparing revisions to the initial draft EIR. We are waiting for that to be available to the public to read and download. • SB 1383 Compost Procurement Debrief: Ferndale/Agromin. Although the City of Ferndale was able to get a population deferment, we still had to produce the amount of compost that would have been produced if we did not have a deferment. For us that turned out to be 41 tons. We were able to procure that much in the Sacramento and then put it on a farm to avoid shipping it anywhere. We will be required to do this again next year until the county and we are able to have a local composting plant.
• Met with PG&E representatives of the Undergrounding Rule 20a program to go over the Francis Street project. This was a Zoom meeting and was an introduction to a new team from PG&E. We have sent them a number of previous documents to bring them up to speed on this project. Our next meeting will be on February 11 from 1:00 to 3:00.
• Police services research and interaction. We met in Blue Lake with BL’s city manager, Trinidad’s CM, and Eli, the former Trinidad CM. We are just going through a checklist of desires and wants by Blue Lake and Trinidad, and potential abilities and that we have and trying to come to a summary that can determine whether we will be able to see any type of possible benefit to all communities. We are hoping to come to some kind of resolution in the next couple of months.
• Salt River meeting with Williamson Act director and County Counsel regarding a way to have a funding program that would be supported by the City, County and property owners to supply enough funding to maintain Salt River to stabilize the location of the watershed so that property boundaries remain stationary and healthy. The second meeting discussing the best way to raise funds for the purpose of this needed goal. County Counsel still looking into alternatives. • Monthly meeting regarding the Arlington drainage project. • HMP- Hazardous Mitigation Plan. Michelle from Planwest and I have attended numerous meetings regarding our local plan and are quickly moving toward sending our updated plan to the county for inclusion in our county plan. We are trying to get the county’s plan done sometime around July and sent to the state for approval. • Met with representatives of Spirit to consider helping city to replace our public bathrooms at Firemen’s Park with a different design and collection system that would allow us to reposition the bathrooms farther away from Francis Creek and the sewer laterals will be the City’s funding responsibility. There are a number of advantages to this replacement that would make this project advantageous to city and Firemen’s Park.

February 19, 2025
_______________________________________________________________

CITY COUNCIL MEETING
______________________________________________________________ 67 _______________________________________________________________ • The contractor began the sidewalk and started the barbecue, and the encloser for the big barbecue and the structure and roof. This will get us closer to buttoning up this Per Capita grant as well as the Harmony Park project. We are also putting committee together to gather design ideas for landscaping design of the Harmony Park in memory of Betty Deihl. Susan Deihl is on that committee, and we have met several times and are excited about that.

Other
• Communication with Planwest representative about land use and several properties and state and local issues.  We have several public meetings scheduled regarding the zoning and Land Use in the coming months.
• The Chief and I have met several times a week to go over a strategy to help determine a feasible plan to help Blue Lake and Trinidad with the desire to have a police force that fits their desires but is within their budgets. We are making headway, and we will give updates on the process periodically. Our next meeting will be January 22nd in Blue Lake. • Continuously working on Franchise agreement and universal pickup, and Cal Recycle compliance with the state and 1383 compliance regarding organics. We are on somewhat of a fast timeline as we only approved a Recology extension until July 1st. Remember that we will need to have first reading and second reading and 30 additional days for enactment to have an ordinance that covers all our solid waste needs. We will have Eric of HWMA and Frank from Recology involved with helping us through this Ordinance development and Franchise agreement. We will have a decision to make regarding the universal pickup before July 1st, and a fairly long process to complete our franchise agreement before December 31. • HWMA agenda review. This is a meeting once a month to review the JPA as a technical committee made up of staff from each city and the county. The Executive Director for HWMA conducts these meetings.
• Agromin: Compliance for Calrecycle for year 2024. Although we have a deferment from compliance of organics until 2027, we still need to comply with the amount of compost that our city would need to produce if we were not getting a deferment. To be compliant we have to procure the appropriate amount of compost. We may have a different solution in years to come, but right now our only way to comply is by buying compost. • Emergency Response committee. Fire Department, Schools, Fair Board, Cert, Police department, and City Manager. Monthly meetings. These meetings have been very important and give each organization input about how we respond to different emergencies and knowledge on how we all can collaborate better by all knowing what every organization is doing.

4. Approve Purchase of Transfer Station Scale
February 19, 2025
_______________________________________________________________

CITY COUNCIL MEETING
______________________________________________________________ 76 _______________________________________________________________ Executive Director Keller-Heckman reviewed the Transfer Station scale replacement project as a part of the approved fiscal year 2024-2025 Capital Improvement Plan, and the critical nature of this piece of equipment in the daily operations of the Hawthorne Street transfer station. The HWMA Board approved the release of a Request for Bids to replace the Transfer station scale at its November 2024 meeting. The HWMA received and evaluated two bids, and only one bid was deemed responsive. Staff recommends that the Board award the bid to Quality Scales Unlimited, the successful bidder, for the purchase of the Transfer Station scale.

Director Castellano requested clarification of a non-responsive bidder. Executive Director Keller-Heckman responded the non-responsive bidder failed to meet some of the requirements of the bid packet.

Chairperson Matthews requested more information about the price of the scale relative to the requested amount in the Capital Improvement Plan. Executive Director KellerHeckman explained that the price of the scale was higher than anticipated because cost projections had been carried over for a few fiscal years. Staff has identified two other projects that can be delayed without impacting operations and will also be evaluating current fiscal year operational expenditures to ensure the Authority has the appropriate level of funding for this critical purchase.

Chairperson Bushnell inquired about the source of the scale purchase funds in excess of the requested amount in the Capital Improvement Plan. Executive Director KellerHeckman clarified that the funds would still be drawn from the Capital Improvement Fund, and no other fund balances will be impacted. Sufficient funding for the scale purchase will be achieved by delaying the purchase of mowing equipment and an allterrain vehicle for the Cummings Road Landfill until the 2025-2026 fiscal year.

Environmental Health & Safety Director Heacock does not believe that delaying the equipment purchases will negatively impact current operations at the Landfill.

Chairperson Matthews questioned why the successful bid was so much higher than the budgeted amount, and what the longevity of the new scale might be. Executive Director Keller-Heckman described the specialized nature of the equipment and installation and projected that the new scale would operate for approximately 15-20 years.

Director Bushnell asked if the new scale would have a warranty. Executive Director Keller-Heckman responded that warranties related to wear and tear are not common in the waste industry, but the purchase and installation contracts will include standard provisions for manufacturing defects.

Chairperson Matthews opened the floor to public comment regarding the purchase of the Transfer Station Scale. No comment was received.

Chairperson Matthews closed the floor to public comment.

5. Ratify Emergency Purchase of Suppression System
Executive Director Keller-Heckman reported that in October, the Hawthorne Street transfer station suppression system suffered a catastrophic failure of its flow sensor system, leaving the suppression system unable to function properly in the event of a fire.

Advanced Security Systems was able to replace the critical suppression infrastructure within about two weeks. Fire suppression is a vital part of daily operations at the transfer station, particularly given the recent increase in fires due to improperly disposed items.

HWMA Policy 4040 states that purchases in excess of $20,000 are subject to bid requirements and Board approval unless required due to emergency instances or are previously approved public works projects. Staff recommends the Board approve and ratify the Executive Director’s approval of an emergency purchase in the amount of $23,612.35 under Policy 4040.

Director Wilson asked if the Board should consider raising the purchasing limit for the Executive Director. Executive Director Keller-Heckman responded that staff could return with a report about comparable spending limits at member agencies and identify the number of HWMA’s general business projects that are expected to exceed the current approval limit.

Director Wilson asked if the cost of the suppression system had been included in the current fiscal year budget. Executive Director Keller-Heckman indicated that the cost of the suppression system had not been included in the current fiscal year budget, which may result staff recommending an adjustment to the Solid Waste Repairs and Maintenance line item in the mid-year budget report.

Director Bushnell asked about the methodology for developing the budget for the Repairs and Maintenance line item. Executive Director Keller-Heckman described the process used by staff to budget for known repair projects as well as estimating costs for unplanned repairs. Director Bushnell asked for clarification as to why the suppression system project did not go out to bid pursuant to Policy 4040. Executive Director KellerHeckman clarified that the project did not go out to bid because it was an emergency purchase, and the purpose of the agenda item was to seek the Board’s ratification of the Executive Director’s approval of the purchase under emergency circumstances under Policy 4040.

Director Castellano expressed her support for an increase in the purchasing limit in Policy 4040.

Chairperson Matthews opened the floor to public comment regarding the Emergency Purchase of Suppression System. No comment was received.

Chairperson Matthews closed the floor to public comment.

6. Receive update on Request for Proposal for “Organics Processing Feasibility Study” Executive Director Keller-Heckman updated the Board that staff anticipate bringing the final draft of the Request for Proposals for “Organics Processing Feasibility Study” back to the Board at the February meeting. There was not sufficient input from member agency staff since the draft document was released, and the jurisdictions would like to hold a meeting to review all member agency staff comments and edits. The feasibility study has the ability to define organics for the foreseeable future, so it is prudent to allow an additional month to gather input from all the jurisdictions.

Chairperson Matthews opened the floor to public comment regarding the update on the Request for Proposals for “Organics Processing Feasibility Study.” No comment was received.

Chairperson Matthews closed the floor to public comment.

power plants in Fairhaven and Blue Lake. Staff Manager Gwynn described the types of projects sought for the proposed request for offers and scoring criteria. The directors discussed how microgrids would likely be less financially attractive in this solicitation, which is geared more toward energy storage projects. They requested adding more information about community benefits to the preferred criteria section of the request.

Vice Chair Bauer, Chair Schaefer, Directors Tuttle and Woo volunteered to serve on an ad hoc Local Distributed Energy Storage Request for Offers Committee. Director Scafani disclosed that the City of Blue Lake owns a potential storage project site and inquired whether she should participate in this item’s vote. The Director’s ad hoc subcommittee participation was discouraged, and the Director was advised to consider for herself whether to recuse from future project discussion. The Board confirmed that non-CCE-voting directors were eligible to serve on ad hoc CCE program procurement committees because the committees are advisory and all Board members would vote on resulting contracts. There were no public comments on this item.

M/S: Bauer, Arroyo: Authorize staff to issue the Request for Offers for Local Distributed Energy Storage Resources.

The motion passed with a unanimous roll call vote. Ayes: Arroyo, Bauer, Jorgensen, Schaefer, Tuttle, Wilson. Noes: None. Absent: Mobley. Non-voting: Ramos, Woo.

Abstain: Scafani.

7.2. Ocean Wave Energy Grant Proposal Letter of Intent
Senior Power Resources Manager Gwynn described how RCEA’s strategic plan directs staff to explore wave energy viability. CorPower Ocean Commercial Director Rebenius introduced the international wave power development company, their buoy technology which can generate five times more energy than was previously possible by enhancing wave motion, and CorPower Ocean’s current European test projects and development contracts. Wave energy buoys can be deployed in high-density clusters or with offshore wind turbines. The company is gaining funding to scale up project deployment and has applied for a U.S.

Department of Energy grant to test their technology in U.S. waters at Oregon’s PacWave wave energy test site. CorPower Ocean would like to partner with RCEA to learn more about how this technology can work in US conditions with community choice aggregators. RCEA’s near-term involvement includes staff time, the requirements of which will be outlined in more detail for the Board should the DOE award CorPower the grant. RCEA would gain information about procuring this renewable energy source which is currently missing from RCEA’s power portfolio. CorPower Ocean’s west coast wave energy studies show that the wave resource off Humboldt County is one of the best in the world. Wave energy can fill solar and wind power’s energy production gaps and lessen battery storage capacity needs. There were no public comments on this item.

M/S: Scafani, Bauer: Authorize staff to develop and provide a letter of intent in support of CorPower Ocean’s proposal to the U.S. Department of Energy’s “Oceans of Opportunity: U.S. Wave Energy Open Water Testing” funding opportunity.

The motion passed with a unanimous roll call vote. Ayes: Arroyo, Bauer, Jorgensen, Scafani, Schaefer, Tuttle, Wilson. Noes: None. Absent: Mobley. Non-Voting: Ramos, Woo. Abstain: None.

OLD BUSINESS

8.1. Regional Resilience Grant Program (Rural Fire Station Solar + Battery) Design/Build Solicitation Pathway Approval
Infrastructure Programs Manager Bohn described progress on a $3 million grant-funded project to install standalone solar power and battery storage systems at 16 remote fire stations. The roof- or trailer-mounted systems will help keep the stations running during disasters and help pay for electricity use in non-emergency situations. Staff seek approval for a two-step design-build process where contractors are first qualified, then submit proposals.

The grant will cover equipment purchase and installation. Some unexpected, special case costs may arise, such as stations needing roof reinforcement before panels can be installed.

The directors discussed conflict of interest parameters, value benefits of the design-build versus lowest responsive bidder procurement process, and the importance of a maintenance package.

Directors Arroyo, Ramos, Scafani and Tuttle volunteered to serve on an ad hoc Regional Resilience Grant Program Committee to approve a shortlist of qualified respondents and to help review proposals. The full Board will be asked to award the contract. There were no public comments on this item.

M/S: Scafani, Bauer: Authorize RCEA’s Executive Director to utilize the design-build process to procure design and construction of the solar plus battery storage systems for the RRGP Energy-Resilient Fire Services in High-Threat Communities project; and initiate the first step by developing and issuing an RFQ.

Delegate authority to the RRGP Ad Hoc Committee to: 1) approve the short list of qualified design build contractors, and 2) authorize the Executive Director to issue an RFP for construction of the solar plus battery storage systems.

The motion passed with a unanimous roll call vote. Ayes: Arroyo, Bauer, Jorgensen, Ramos, Scafani, Schaefer, Tuttle, Wilson, Woo. Noes: None. Absent: Mobley. Abstain:

None.

NEW BUSINESS

9.1. Financial Audit for Fiscal Years Ending June 30, 2021 and 2020 Baker Tilly CPA and Principal Ryers presented a report on RCEA’s FY 2020-2021 and 2019- 2020 financial audits. The auditor worked on two fiscal years at once to catch up on its financial statements. These years’ audits were clean with no findings. Staff quickly responded to an audit recommendation by preparing an investment policy, which the Board approved in September 2024. Work on the next two fiscal years’ audits begins very shortly and new government accounting standards will be implemented. Staff expressed a desire to be current on financial audits in the next year. The directors discussed how accounts receivable aging accounts estimates, or adjustments to the percentage of past due or uncollectible accounts, were increased from 0.3% of sales to 3%, to align with actual uncollectible bill amounts. The auditors recommend monitoring uncollectible bills to fine tune the amount held in the allowance account. The directors thanked staff and the auditor for their work. There were no public comments on this item.
