RECITALS
Lender implements a Business Assistance Loan Program (“Program”) more specifically described in the Fontana Business Assistance Loan Program Guidelines on file with the Fontana City Clerk (the “Guidelines”).

The Program provides support to eligible new businesses in the downtown Fontana area through business assistance loans (each a “Loan”), both as defined in the Guidelines.

Borrower submitted the application for a Loan under the Program attached to this Agreement as Exhibit A (the “Application”).

Lender has approved Borrower’s Application for a Loan for the business indicated on the Application (the “Business”) located at _______________________________________ (the “Property”), subject to Borrower’s entry into this Agreement.

The Program and Loan benefit the health, safety, and/or welfare of the residents and visitors to the City of Fontana through the support and revitalization of the local economy and the availability of quality local services and products.

AGREEMENT
TERM AND TERMINATION.

Term. The term of this Agreement (“Term”) shall begin on the Effective Date and shall end on the date when Lender confirms in writing to Borrower that (1) the Loan has been repaid in its entirety or forgiven pursuant to Section 2 of this Agreement and (2) all outstanding obligations of Borrower under this Agreement which do not survive termination have been satisfied. Borrower may request Lender confirm termination of this Agreement at any time the foregoing requirements are met.

Termination for Failure to Enter Into Lease. If Borrower’s Application was approved based on a letter of intent to lease, Borrower and the property owner shall enter into and submit to Lender a fully executed lease agreement for the Business to operate on the Property which complies in all respects with this Agreement within one hundred eighty (180) days of the Effective Date. No Loan funds shall be disbursed to Borrower pursuant to Section 2 until Borrower has complied with this obligation. In the event Borrower fails to submit the required lease in the period provided, this Agreement shall automatically terminate on the one hundred eighty first day after the Effective Date.

LOAN AND FORGIVENESS.

Grant of Loan. Lender hereby lends to Borrower a Loan in the amount indicated on Exhibit B (“Loan Amount”) for Borrower’s use only for the eligible expenses indicated thereon (“Eligible Expenses”). The Loan shall bear simple interest of zero percent (0%) per annum. The Loan shall be held by Lender and disbursed to Borrower pursuant to approved Disbursement Requests submitted between the Effective Date and June 30, 2027 as more specifically set forth in Subsection 2.D and 2.F.

Loan Repayment. Subject to any portion of the Loan that has been forgiven pursuant to Subsection 2.C, the Loan is due and repayable in full on the date that is two (2) years from the earliest of the following:

Cessation of Operation. The Business closes, or ceases to operate continuously at the Property as required by Subsection 3.E.

Sale or Transfer of Business. The Business is sold, conveyed, or otherwise transferred to any person other than Borrower.

Borrower shall provide notice as early as feasible of either of the foregoing events to Lender, and no later than thirty (30) days before such event occurs. Borrower is encouraged to request an assignment of this Agreement pursuant to Subsection 7.M where appropriate, in which event the provisions of this Agreement shall apply to the approved assignee.

Loan Forgiveness. Subject to Borrower’s continuing compliance with this Agreement, the Loan shall be forgiven at a rate of twenty percent (20%) of the Loan Amount per 12 months of the Term, such that by the end of five (5) years (sixty (60) months) from the Effective Date, the Loan would be one hundred percent (100%) forgiven provided that Borrower has not committed an act of Default.

Disbursement of Loan. The entirety of the Loan shall be held by Lender, and disbursed only upon Lender’s approval of a Disbursement Request in the form attached as Exhibit C to this Agreement (“Disbursement Request”) subject to the following requirements:

Required Contents. All Disbursement Requests shall be submitted by Borrower to Lender with all invoices, quotes, and estimates applicable to the Eligible Expenses for which disbursement of the Loan is requested.

Review by Lender. Lender shall review the Disbursement Request and shall approve it if the request complies with the requirements of this Agreement. Lender shall use best efforts to respond to Disbursement Requests within thirty (30) days, and provide comments if a Disbursement Request is rejected or incomplete.

Disbursement of Funds. The portion of the Loan indicated in an approved Disbursement Request will be disbursed to Borrower by check issued to the address provided in the Application within thirty (30) days of approval by the Lender or other disbursement method acceptable to both parties.

Expenditure of Disbursed Loan Funds. Upon receipt of disbursed Loan funds, all amounts shall be expended by Borrower on the Eligible Expenses approved in the relevant Disbursement Request on or before the date that is one hundred eighty (180) days following the date the portion of the applicable Loan funds are disbursed to Borrower pursuant to Subsection 2.D (“Expenditure Deadline”). On or before the Expenditure Deadline, the Business shall submit to Lender the following:

Proof of Eligible Expenditures. Paid invoices, receipts, proofs of purchase, or other documentation in a form satisfactory to Lender which document the disbursed Loan funds were spent only on the items in the approved Disbursement Request.

Return of Remaining Loan Funds. A cashier’s check or other form of payment acceptable to Lender returning any and all amounts of the disbursed Loan funds not included on the proof of eligible expenditures submitted pursuant to the previous Paragraph.

Following receipt, Lender will review the submitted proof and repayment. In the event Lender determines that additional documentation is needed, Borrower shall respond with any requested documentation within ten (10) days of request.

In the event that Lender reasonably determines that the amount of the disbursed Loan funds were expended on anything other than Eligible Expenses, or the funds returned pursuant to Paragraph 2 were otherwise not properly calculated pursuant to the proof submitted and the terms of this Agreement, Borrower shall correct the miscalculation and pay to Lender by cashier’s check or other form of payment acceptable to Lender any additional amount of the Loan as calculated by Lender within ten (10) days of demand.

The Expenditure Deadline for any approved Disbursement Request may be extended solely by written agreement of Lender.

Disbursement Request Deadline. Disbursement Requests will only be accepted until June 30, 2027, after which date no further Disbursement Requests will be accepted or processed. Indemnification, Hold Harmless, and Release. Borrower agrees that Lender shall not be liable for, and covenants and agrees to indemnify, release and hold harmless Lender and its officials, officers, employees, and agents from and against any and all losses, claims, damages, liabilities, and/or expenses, of every conceivable kind, character and nature whatsoever arising out of, resulting from, or relating to this Agreement, including without limitation Borrower’s compliance or noncompliance with the terms hereof, expenditure of the Loan, and any claims regarding the payment or nonpayment of prevailing wages for work pursuant to the California Labor Code. The terms of this Agreement shall be construed in accordance with the meaning of the language used and shall not be construed for or against either party by reason of the authorship of this Agreement or any other rule of construction which might otherwise apply. The section, subsection, and paragraph headings are for purposes of convenience only, and shall not be construed to limit or extend the meaning of this Agreement.

Severability.  If any part, term or provision of this Agreement is held to be illegal, in conflict with any law or otherwise invalid, the remaining portion or portions shall be considered severable and not be affected by such determination, and the rights and obligations of the parties shall be construed and enforced as if the Agreement did not contain the particular part, term or provisions held to be illegal or invalid.

Survival. Notwithstanding the expiration of earlier termination of this Agreement, Borrower’s obligations to Lender shall not terminate until all closeout requirements are completed. In addition, all provisions expressly stated to survive termination of this Agreement and any other obligations which cannot by their nature be performed until after the expiration or earlier termination of the Agreement shall survive termination. No expiration or termination under this Agreement shall release either party then in Default from liability for such Default. All terms of this Agreement shall survive as necessary for the purpose of enabling either party to enforce its provisions or pursue an action with respect to a Default of this Agreement.

No Third Party Beneficiaries. There are no third party beneficiaries to this Agreement.

This Agreement integrates all of the terms and conditions mentioned herein, or incidental hereto, and supersedes all negotiations or previous agreements between the Parties with respect to all or any part of the subject matter hereof. In the event of a conflict between this Agreement and the Guidelines, this Agreement shall prevail.

No Joint Venture. Nothing herein shall be construed as making Lender a joint venturer or partner of Borrower or making Lender a party to Borrower’s contracts with contractors or vendors.

Nondiscrimination. Each party covenants that, by and for itself, its heirs, executors, assigns, and all persons claiming under or through them, that in the performance of this Agreement there shall be no discrimination against or segregation of, any person or group of persons on account of any impermissible classification including, but not limited to, race, color, creed, religion, sex, marital status, sexual orientation, national origin, or ancestry.

Amendments. This Agreement may only be amended by writing mutually executed by Lender and Borrower.
